KNOW ALL MEN BY THESE PRESENTS:

The undersigned incorporators, all of legal age and majority of whom are residents
of the Philippines, have this day voluntarily agreed to form a stock corporation
under the laws of the Republic of the Philippines.

THAT WE HEREBY CERTIFY:

FIRST : The name of this corporation shall be:

MEDIATRIX INDUSTRIES INCORPORATED

SECOND: A. That the primary purpose of the corporation is:

To build fishing boats

B. That the corporation shall have the following secondary

purpose(s):

To provide repair and maintenance to fishing boats.

THIRD: That the place where the principal office of the Corporation is to be
established or located at:

16 M. Blas Ext., Talabahan, Hulong Duhat, Malabon City

FOURTH: That the corporation shall have a term of fifty (50) years from the date
of issuance of the Certificate of Incorporation.

are also the incorporators .

SEVENTH: That the authorized capital stock of the corporation is FIFTY MILLION
Philippine Pesos (P50,000,000.00) in lawful money of the Philippines,
and said capital is divided into TEN MILLION (10,000,000) shares with
par value of FIVE Philippine Pesos (P5.00) per share.

EIGHT : That the capital stock which has been actually subscribed and paid for
by the subscribers is set out after their respective names:

NINTH : That no transfer of stock or interest shall be allowed or permitted to be

recorded in the proper books of the corporation of said transfer shall
reduce the ownership of Filipino citizens to less than the required
percentage of the capital stock as provided by the existing laws and
such restriction shall be indicated in all the stock certificates issued by
the corporation.

TENTH : That YOLANDA G. MATA has been elected by the subscribers as

Treasurer of the Corporation to act as such until after the successor is
duly elected and qualified in accordance with the by-laws, has been
authorized to receive in the name and for the benefit of the
corporation, all subscriptions, contributions, or donations, paid or
given by the subscribers or members, who certified the information set
forth in the seventh and eight clauses above, and hereby
acknowledges and certifies the receipt of the paid-up portion of the
subscription in cash and/or property for the benefit and credit of the
corporation.

ELEVENTH: That the incorporators undertake to change the name of the

corporation immediately upon receipt of notice from the Commission
that another person, firm, or entity has acquired a prior right to use of
said name or one deceptively or confusingly similar to it, or that it is
contrary to law, public morals, good customs, or public policy.

That I have been elected by the subscribers of the corporation as Treasurer

thereof, to act as such until my successor has been duly elected and qualified in

hereby certify under oath that 100% of the authorized capital stock of the
corporation has been subscribed and 100% of the total subscriptions has been paid,
and received by me, in cash , in the amount of FIFTY MILLION Philippine Pesos in
accordance with the Corporation Code.
