Remarks:
Response refers to any actions taken by Supplier at the Supplier’s receiving any fault notification, such as
acknowledgement via e-mail, phone calls, corrective planning, etc.
Exhibit E - Availability Performance Standard
A. Availability. The availability of each Turbine Equipment for determining the Average Availability shall be calculated
on an annual basis as:
Availability (%) = ( 1 - (TA - TB) / TCT) x 100%
Where:
“TCT” shall mean the total calendar time in hours of the calculation period (i.e. for availability on an annual basis TCT =
8,760 hours, except for the first year where TCT shall be the actual hours starting from Service Commencement Date
(inclusive) until 31 December).
“TA” means the total annually cumulative number of shut down hours.
“TB” means the total annually cumulative number of the shut-down hours caused by the events and circumstances which are
not considered as Turbine Equipment errors due to one or more of the following factors:
(a) The Turbine Equipment is stopped or damaged due to an event or circumstance for which Supplier is not liable,
including events and circumstances of Force Majeure and event listed in Clause 2.14,

(b) Any stoppages ordered by Buyer or third parties which is not caused or attributable to the operation of the
Turbine Equipment,

(c) Activation of the operating state ‘Pause’ by, or on request from, Buyer provided that such activation or
request is not due to a fault in one or more of the Turbine Equipment supplied by Supplier pursuant to this

(d) Activation of the emergency stop button for safety reasons provided that such activation or request is not
due to a fault in one or more of the Turbine Equipment supplied by Supplier pursuant to this Agreement,

(e) Wind speeds outside the operational limits of Turbine Equipment as set forth in the Exhibit O,

(f) Temperature outside the operational limits of Turbine Equipment as set forth in the Exhibit O,

(g) Lightning or induction caused by lightning resulting in stoppage of the Turbine Equipment,

(h) Icing of the blades of one of more Turbine Equipment, resulting in stoppage of the Turbine Equipment,

(i) Technical standby events, such as untwisting of cables, pre-heating or cooling or auto-lubrication

(j) Scheduled maintenance. However, the total downtime of such Scheduled maintenance shall not exceeds sixty (60)
hours per year. For avoidance of doubt, the maximum “TB” allowed for the Schedule maintenance is 60 hours per year.

(k) Any electrical outage not caused by the Turbine Equipment or times where the electrical grid is not within
the Operating Parameters,

(l) Defects in the balance of plant as listed in Balance of Plant Specification, including without limitation the
sub-station, cables or other equipment not forming a part of the Turbine Equipment and its relevant work,

(m) Repair due to grid failures or grid fluctuations outside the parameters set out in the Exhibit O,
(n) Such hours where access to faulted Turbine Equipment is necessary and, due to adverse weather conditions or lack of
maintenance of roads, such access to the Turbine Equipment or the Project Site is unsafe or otherwise prevented, provided
that such lack of accessibility shall be subjected to Buyer’s approval. In this case, Supplier shall provide reasons and support
materials to Buyer for consideration. Buyer shall act reasonably considering safety and international wind industry practice
to judge and provide reasonable comments or approval to the Supplier in regards to counting such hours as “TB”,

(o) The performance of the Services (as defined in the Service and Availability Agreement) is suspended by
Supplier in accordance with the Section 10.4.2 of this Agreement,

(p) Inability to restart due to Buyer-caused communication line failure,

(q) Repair or maintenance delayed due to Buyer or any other Person other than Supplier Responsible Parties,

(r) Stoppage caused by the improper operation or maintenance by Buyer Responsible Parties,

(s) Force Majeure,

(t) Compliance with Wind Sector Management Requirements,

For avoidance of doubt, “TA” and “TB” shall be reset to zero (0) on 1st January every year. For the first year of Service, the
“TA” and “TB” shall be counted starting from the Service Commencement Date until 31 December.

B. Average Availability. The average availability of the Turbine Equipment (“Average Availability”) in the Project over a
specific period of time shall be computed as:

Ai : is the availability of each Turbine Equipment pursuant to the calculation under this Exhibit E, and
n : is the number of Turbine Equipment in the Project.

C. Availability Liquidated Damages. If the Average Availability is below the Availability Warranty, the Availability
Liquidated Damages payable by Supplier to Buyer in accordance with Section 6.2 and 12.4 shall be computed as:

“Actual Period Revenue” means the actual gross revenues received by Buyer for the sale of the energy
production from Project during the relevant period.

“Availability Warranty” has the meaning set forth in Section 2.13.1
