In reference to the Global Importer Dealer Sales and Services Agreement concluded between Ford
Motor Company and Al Mana Motors Company, dated in January 15, 1999 and subsequent amendments
and renewals, we wish to inform you that Almana family is in the process of undertaking a corporate
restructuring in order to ensure business continuity and succession planning.

As a result of this, we are changing the ownership of Almana Motors by transferring the Company’s
shares to new corporate entities, which are ultimately owned by Almana family.

Pursuant to Article (F) of Global Importer Dealers Sales and Services Agreement relating to Change in
Ownership, we wish to inform you through this written notice of the proposed change of ownership of
Almana Motors Company W.L.L.

Almana Motors Company W.L.L. is currently owned by Mr. Omar Almana - 68% and Mr. Bader Almana -
32%. We are changing the ownership of Almana Motors Company W.L.L. to Almana Group International
for Automotive Co. W.L.L. ("AGIA") - 99% and Almana Group Corporation Q.S.C ("AGC") - 1%.

Please note that AGIA and AGC are still ultimately owned by Almana family members. We are enclosing
Commercial Registration Certificate issued by Ministry of Economy & Commerce, State of Qatar for
Almana Group W.L.L., Almana International Holding Group L.L.C., Almana Group International
Automotive Co. W.L.L. and Almana Group Corporation Q.S.C.

These Commercial Registration certificates show that the ownership of all these companies are within
Almana family members.

Please note that Almana Motors Company will continue to be the Global Importer Dealer for Sales and
Service for Ford and Lincoln in the State of Qatar pursuant to the Agreement.
As part of this corporate structuring initiative, Almana Group International for Automotive Co W.L.L,
as a new corporate entity, will be the holding company for all Automotive businesses of
Almana Group Corporation including other manufactures franchises.

We look forward to your approval to change in ownership of Almana Motors Company.
