EMPLOYMENT CONTRACT

By the present private instrument of employment contract entered into between ACADEMY New York
Sports Club, established at 113 E 23rd St New York, in New York, registered with CNPJ/MF under No.
59876187/20, hereinafter referred to as ACADEMY, and Mr. Jose Carlos Oliveira Prado Junior, qualification,
resident and domiciled at Road Vinte e Um - Parque da Torre Piedade - SP, 18170-000, in São Paulo Brazil, holder
of Visa AA00BZIHUT and Passport FW996254, hereinafter referred to as GENERAL ASSISTANT, the following is
agreed and contracted:

1) The GENERAL ASSISTANT will work for the ACADEMY, performing general services, obeying the dates
and times pre-established by it at the beginning of each academic year, fulfilling, for the faithful and satisfactory
performance of its function, all the attributions inherent to this activity.

2) For the full fulfillment of his duties, the GENERAL ASSISTANT will be entitled to receive a salary of $3.200
to be paid monthly by the ACADEMY, until the fifth working day of the month following the due date.

3) The monthly salary, to be paid in accordance with the above clause, will be calculated by multiplying the total
value of the weekly classes assigned to ACADEMIA, by 4.5 (four and a half weeks), plus the calculation of 1/6
(one sixth) , for remuneration of weekly breaks, which will be incorporated into wages for all legal purposes and
effects.

3.1. From the calculated monthly total, the ACADEMY will deduct the amounts corresponding to the unjustified
absences of the GENERAL ASSISTANT, as well as the reflection of these absences in the payment of paid
weekly breaks.

3.2. In the event of a gala or the death of the spouse, mother, father or child of the GENERAL ASSISTANT,
the absences that occur within the period of 9 (nine) days following the event will be justified.

4) The GENERAL ASSISTANT is obliged to strictly observe the times and deadlines established for him, as
well as to correctly comply with the legal and regimental provisions in force, under the penalties of the law.

And being thus fair and contracted, they sign the present, in the presence of the two witnesses who also sign.
