to the Framework Service Agreement, which was concluded on [14 June 2021]
(“Agreement”), by and between:

THE STATEMENT OF WORK

BRAINLY, INC., a Delaware corporation (“Brainly”), with its office at 155 Fifth Avenue, 5th
floor, New York NY 10010,
and
ARFIYAN SUSANTO (the “Agency”) with its office at Jl.Kendalpayak Watudakon Gg.Rambutan
No.19

Brainly and Agency hereinafter referred to as the “Parties”.

1. Term. The Parties agree that the Term of the Agreement shall start on September 20,
2020, and end on September 31, 2021.

2. Brainly Platform. The Parties agree that applicable Brainly Platform shall be:
brainly.co.id

3. Communication Channel. The Communication Channel referred to in point 1.1.4 of the

Agreement shall be the following:

A. Brainly Platform moderation system available from the level of the user account at
Brainly Platform shall be used for the following types of communication:
a. reporting of improper, non-educational, or spam content (including questions,
answers, and comments),
b. reporting of user's misbehavior, violation of Brainly Platform's Terms and
Conditions,
B. Email communications between the Agency and Brainly shall be sent to the following
email addresses:
a. at Brainly: dimas.mukhlas@brainly.com
b. at the Agency: arfiyansusanto99@gmail.com
C. Brainly Answering Tool - Plug-in OptiTool on the Brainly Platform
D. Question feeds on the Brainly platform available to all users.
4. The number of Questions and Answers. The Parties agree to the following contractual
numbers of Answers at Primary, Junior, and High School Level per month, as specified in
the below table:

5. Minimum Number of Questions Delivered. In a particular calendar month, the
Minimum Number of Questions Delivered by Brainly shall equal to 110% of the Minimum
Number of Answers Delivered by the Agency in this calendar month. Brainly may decide
not to send questions that month, or a lesser amount of questions, but in that case, it won't
be the freelancer's fault fulfilling this quota.

6. Categories of Questions. The Parties hereby agree to jointly pursue the following
distribution of Questions among the subject matter categories:

7. Quality Evaluation. Brainly shall perform Quality Evaluation of Answers provided by

SMEs (Subject Matter Expert) in a given month and provide the Quality Evaluation report
within 15 days of the following month.

The payment will be made when the approval of the answers and video reaches a
minimum of 96% of the said evaluation.

8. Rates. With reference to point 2.2 of the Agreement, for the purposes of the Agency’s
Service fee calculation the Parties agree to the following rates per Answer in each group
of Answers:

9. Service fee calculation. Subject to points 10 and 11 below, the Agency’s monthly
Service fee shall be calculated based on the following formula. In regards to the cost that
comes after the usage of Upwork, will not be covered by Brainly. Information regarding
 Upwork service fees can be found on the following link;

Whereby:
S stands for the monthly Service fee,
R1 stands for the rate per Answer agreed for the first group of Answers (each line in the
above table in point 8 represents a separate group of Answers),
A1 stands for the number of Answers provided by SME and approved by Brainly
evaluators, categorized in the first group of Answers, in the calendar month,
R2 stands for the rate per Answer agreed for the second group of Answers,
A2 stands for the number of Answers provided by SMEs and approved by Brainly
evaluators, categorized in the second group of Answers, in the calendar month,
Rx stands for the rate per Answer agreed for the last group of Answers.
Ax stands for the number of Answers provided by SMEs and approved by Brainly
evaluators, categorized in the last group of Answers, in the calendar month,

11.Cancellation
Brainly and parties are able to terminate the contract immediately with the notice period max
1 day. If there is some amount of work that has not been paid, then Brainly shall pay those.
However, if the agency also still owes some amount of work of Brainly that has been paid in
advance (as is mentioned in verse 10) then the party should pay back the amount of money
that Brainly has given.
We are also able to not pay the amount of work, if the work contains some of the activities
that breach the code of conduct that has been explained in the guidance of content creation,
for example, plagiarism or abusive content. The violation of some of our content creation
guidance will affect contract termination, effective immediately.
