RECRUITMENT AGREEMENT

This Recruitment Service Agreement (“Agreement”) is entered into by and between:

Aiki Co., Ltd with office address at 509-0206 Gifu-Ken Kani-shi Dota 711-1 Japan, Republic
of Japan, hereafter referred to as EMPLOYER represented by its President/Representative
Director, Hidetoshi Ide.

And

ORIENTAL SERVICE MANPOWER, INC. with office address at Suite B, 5 th Flr. G.E. Antonio Bldg. Jorge
Bocobo St., Ermita, Manila, Metro Manila represented by its PRESIDENT, CAPT. ALEXANDER G. ABILO,
hereafter referred to as CONTRACTOR, sets the following provisions with respect to the recruitment of
Filipino workers:

1.0 General Provisions

1.1 The EMPLOYER shall utilize the facilities and services of CONTRACTOR in the
recruitment, processing and documentation of Filipino workers. This shall not preclude
the use by the EMPLOYER of its own database for the recruitment, processing and
documentation of Filipino workers. The information in such database belongs to the
EMPLOYER and CONTRACTOR shall not use or disclose any information from such
database without the prior written approval of the EMPLOYER.

1.2 The EMPLOYER shall have the final authority on the selection of workers for
employment.

1.3 Parties to this Agreement shall ensure compliance to host country laws including
immigration laws in the employment of Filipino workers and the protection of their
rights and general welfare.

2.0 Sourcing of Applicants

2.1 CONTRACTOR shall offer its manpower pool to the EMPLOYER in accordance with the
EMPLOYER’s Qualification Standards (QS)

2.2 The EMPLOYER shall have the option to advertise when the CONTRACTOR manpower
pool falls short of its QS. CONTRACTOR shall provide all assistance necessary in relations
to such advertisements. Advertisement cost shall form part of the Agency Fees
stipulated in the Addendum to this Agreement.

3.0 Selection of Workers and Medical Examination

3.1 CONTRACTOR shall undertake the pre-screening of workers based on the EMPLOYER’s
QS. A shortlist of pre-screened workers shall be endorsed to the EMPLOYER together
with their application papers.

3.2 The EMPLOYER shall advise CONTRACTOR on its trade test requirement if any, cost of
which shall be borne by the EMPLOYER for the selected worker/s.

3.3 The EMPLOYER may conduct interview of short-listed applicants at the CONTRACTOR
premises. Phone interview, videotaped interview or interview outside of the
CONTRACTOR premises may be allowed whenever necessary, subject to the
requirements of the EMPLOYER.

3.4 The EMPLOYER shall communicate to CONTRACTOR within reasonable time, their
selection of workers. Otherwise, the selected workers may be referred for possible
employment with other EMPLOYERs/clients of CONTRACTOR provided that
CONTRACTOR shall not refer such selected workers to any medical services provider or
assistance company

3.5 The EMPLOYER shall return to CONTRACTOR documents of workers who were not
selected.

3.6 Selection of workers on the basis of QS is subject to the result of medical examination
conducted by duly accredited medical clinic or hospital. CONTRACTOR shall ensure that
selected applicants undergo basic medical examination which shall include chest X-ray,
blood pressure, EENT check-up, urinalysis, complete blood count (CBC), stool test and
psychological test as well as other medical tests as specified under EMPLOYER-defined
medical protocol. The costs and expenses of such basic medical examination are part of
the fees chargeable to the EMPLOYER under Schedule A.

3.7 Replacements of those who fail in the medical examination shall be done in consultation
with and shall be subject to the approval of the EMPLOYER.

3.8 Upon submission of the final list of selected applicants by EMPLOYER to the
CONTRACTOR, the CONTRACTOR shall complete all pending verifications related to the
applicants’ qualification, experience and other credentials, and shall bear full
responsibility for the applicant’s deployment. In case any replacement of the selected
applicant is required due to inadequate qualifications, work experience, incompetence
or unsuitability during the probationary period, the CONTRACTOR shall bear the costs of
recruitment and replacement. For the avoidance of doubt, if within six (6) months of the
date of introduction of an applicant who commences an engagement with EMPLOYER,
the EMPLOYER receives or obtains information, which gives it reasonable grounds to
believe that the applicant is unsuitable for the engagement it shall, without delay,
inform CONTRACTOR of that information.

4.0 Worker Briefing

4.1 CONTRACTOR shall provide Pre-Departure Orientation Seminar (PDOS) to workers


selected by the EMPLOYER for which a certificate shall be issued. Such PDOS shall equip
selected workers with basic understanding of the employment contract, information on
host country profile and orientation on necessary value and attitudes for effective
employment abroad.

4.2 The EMPLOYER or his representative or through CONTRACTOR shall likewise provide
selected workers Company Briefing to orient them on company rules and regulations
and package of benefits, technical peculiarities of the demands of the work and its
environment and other matters unique to their employment with the EMPLOYER.

5.0 Employment Contract

5.1 The EMPLOYER shall employ his selected workers under an Employment Contract (EC),
mutually agreed upon between the EMPLOYER and CONTRACTOR and acceptable to the
worker. It must be compliant with existing laws and enforceable in the country of
destination
5.2 The EC shall be signed by the workers after the EMPLOYER has sent it to them and after
the confirmation of work visa availability and orientation of selected workers on the
total employment package being offered to them

6.0 Visa Arrangements and Deployment of Workers

6.1 The EMPLOYER shall be responsible for and bear the expenses of securing entry visa or
work permit of accepted workers, including but not limited to expenses associated
with the protocols concerning the COVID 19 pandemic. CONTRACTOR shall be
provided by the EMPLOYER with authority to transact with concerned Embassy in the
Philippines for the release of the visa.

6.2 The EMPLOYER shall update CONTRACTOR as regularly as possible on the status of visa
application and approval for a timely advice to selected workers.

6.3 The EMPLOYER shall immediately upon release of work visa, facilitate the sending of
airline ticket or prepaid ticket advice to CONTRACTOR for the booking of flights and/or
departure advice to the workers. The EMPLOYER on the other hand, may request
CONTRACTOR to purchase for the airline tickets, which shall be charged back to the
EMPLOYER at cost plus 5% handling fee

6.4 Workers selected by the EMPLOYER by virtue of this Agreement shall be deployed to
such EMPLOYER exclusively through CONTRACTOR.

7.0 Repatriation of Workers

The EMPLOYER shall be responsible for the repatriation of the worker and the transport of
his/her personal effects. All costs attendant to repatriation shall be borne by the EMPLOYER.

8.0 Responsibilities of CONTRACTOR

8.1 CONTRACTOR shall ensure to keep in force throughout the life of this Agreement all
relevant insurances covering adequately all the selected workers in accordance with the
applicable laws of the Philippines and as stipulated in Schedule “A”

8.2 CONTRACTOR shall be responsible for all matters in connection with any license, permit,
accounting and reporting requirement, and the like in connection with the services
supplied hereunder, including making and submitting reports to the appropriate
government agencies or authorities as required under the Philippine Law. Any payments
in the Philippines resulting from CONTRACTOR’s responsibilities in this Agreement will
be for the account of CONTRACTOR.

8.3 CONTRACTOR shall be responsible for all taxes levied by the Philippine Authorities on
CONTRACTOR’s invoices.

8.4 CONTRACTOR shall be responsible for all licenses, permits and report requirements
and/or all taxes levied to the selected workers in the Philippines.

8.5 CONTRACTOR and its personnel will have the obligation to keep confidential and not to
reveal to any third party or use, without a written consent of the EMPLOYER, any
information concerning the operations of the EMPLOYER and its affiliates

8.6 Upon termination of the employment contract between the EMPLOYER and any of the
selected workers, CONTRACTOR shall obtain from such personnel, a formal and general
receipt in full discharge of liabilities and/or quit claim against the EMPLOYER and
CONTRACTOR. A copy of such discharge shall be delivered to the EMPLOYER upon
request.

9.0 Indemnification

9.1 CONTRACTOR’s performance hereunder shall comply will all applicable laws and
regulations of any Philippine Governmental Authority having jurisdiction under the
circumstances involved and CONTRACTOR shall indemnify incurred as a result of any
failure to so comply or any breach of its obligations under this Agreement.

9.2 The EMPLOYER’s performance hereunder shall comply with applicable laws and
regulations of any of the Governmental Authority of the destination of the assignment
for the selected workers and the EMPLOYER shall indemnify and hold harmless
CONTRACTOR from and against any loss, cost and expense incurred as a result of any
failure to so comply or any breach of its obligations under this Agreement.

9.3 Each party shall not be liable to the other party for punitive or exemplary damage,
indirect or consequential loss or damage, including but not limited to loss of profits or
interruptions to business, howsoever arising.

10.0 Fees and Terms of Payment

10.1 The EMPLOYER shall pay the CONTRACTOR with the sum of US$1090 per deployed
worker (Refer to Appendix A) and payable based on the following schedules:

50 % after candidate(s) had been successfully interviewed and pre- selected; and
50 % one week after arrival of deployed worker (s) in Japan.

10.2 In case of dispute in the invoice, Employer shall pay the undisputed portion of
the invoice without delay, while settling the disputed portion with the
Contractor.

10.3 It is agreed the EMPLOYER shall be responsible in covering the workers for the entire
duration of the contract for monetary claims arising from breach of contractual
obligations of the foreign EMPLOYER in the contract of employment with the selected
workers including attendant repatriation expenses coverage of workers under the
circumstances.

10.4 CONTRACTOR may suspend its services to the EMPLOYER if overdue accounts are not
settled within reasonable time.

11 Period of Agreement

11.4 This Agreement shall be effective for a period of four (4) years upon its execution by the
authorized representative of both parties, unless sooner terminated or cancelled in
accordance with Provision No. 13 of this Agreement.

11.5 This Agreement shall be automatically renewed when neither party causes to terminate
the same.

12 Amendment(s)

12.4 Any party may initiate the review or reaffirmation of this Agreement as it sees fit.

12.5 In the event the terms of this Agreement shall be affected by national policies or future
legislations of the Philippines and/or country where the employees have been assigned to
perform contracted services, this Agreement shall be amended or modified accordingly
upon mutual consent of both parties.

13 Termination of this Agreement

13.4 This Agreement may be terminated by either party without cause by giving written
notice of at least 30 days to the other party.

13.5 A party may terminate this Agreement at any time by providing prior written
notification to the other party in the event the other party (i) becomes bankrupt, or (ii)
makes or attempts to make any composition or scheme of arrangement with its creditors
or any of them, or (iii) passes a resolution for winding up, or (iv) an order is made by a
court of competent jurisdiction that the other party shall be wound up.

13.6 In case of termination of this Agreement as above stated, the contract of employment
shall remain valid, binding and enforceable between the EMPLOYER and Employee in
accordance with the terms thereof.

13.7 Termination of this Agreement shall not affect the requirement of CONTRACTOR that
the EMPLOYER shall advise the former of any renewal or termination of employment of
workers hired under this Agreement.

14 Communications

All communication under this Agreement shall be coursed through:

15 Non-Solicitation

15.4 CONTRACTOR shall not directly or indirectly enter into any agreement or arrangement
with and shall not actively solicit any of the personnel (including those personnel recruited
by the EMPLOYER from its own database of Filipino personnel) who work or have worked
for the EMPLOYER to work for CONTRACTOR or to provide any services for other parties
during the term of the contract of employment between the EMPLOYER and such
personnel and for a period of one (1) year after the termination or expiry of such contract
of employment, without the prior written approval of the EMPLOYER.

15.5 This article remains applicable irrespective of the reasons for the termination or expiry
of this Agreement.

Philippines in the recruitment, hiring and placement of Filipino contract workers for

recruitment, hiring and placement of Filipino contract workers for overseas employment;

3. To sign, authenticate and deliver all documents necessary to complete any transaction
related to such recruiting, process visa and hiring, including making the necessary steps
to facilitate the departure of the recruited workers;

4. To bring suit, defend and enter into compromises in our name and stead in litigation
brought for or against us (or our company) in all matters involving the employment of
the Filipino contract workers for our company;

5. To assume jointly and solidarity with the undersigned (our company) any liability that
may arise in connection with the worker’s recruitment and/or implementation of the
employment contract and other terms and conditions of the appointment as defined and
spelled out in the attached agreement which we have previously executed.

HEREBY GRANTING unto our said representative full power and authority to execute or
perform whatever requisite only for the mission of recruiting, hiring and replacing of Filipino contract
workers for overseas employment as we might or lawfully do if personally present with, and confirming
all that our said legal representative or his/her substitute shall lawfully do our cause to be done under
and by virtue of these presents.
