AGREEMENT FOR LEAVE AND LICENCE

This AGREEMENT FOR LEAVE AND LICENSE is made on this _____ day
of ________________, 2021.

BETWEEN

Eastern Hardware Mart , a company/firm _________________ having its


registered office Address at 135A, B.R.B Basu Road,(Canning Street), 1st
Floor, Kolkata-700001.represented through its Authorized Signatory: Mr.Nilesh
Parekh. hereinafter referred to as the “LICENSOR” (which expression shall
unless excluded by or repugnant to the context be deemed to mean and include her
heirs, executors, legal representatives, successors, administrators and/or assigns)of
the FIRST PART.
AND

GEOTECH INFOSERVICES PRIVATE LIMITED, CIN :


U72200WB2011PTC159188, a company under the provision of the Companies

Act, 2013, and having its registered office at Ecocenter, Unit No.0610, 6 th Floor,
Block-EM, Plot-04, Salt Lake, Sector-V, Kolkata-700091, represented by its
Director MR. KAUSHIK KHASNOBIS son of Late Sunil Kumar Khasnobis,
working for gain at Ecocenter, Unit No.0610, 6th Floor, Block-EM, Plot-04, Salt
Lake, Sector-V, Kolkata-700091, hereinafter referred to as the “LICENSEE”
(which expression shall unless excluded by or there be something repugnant to the
subject or context be deemed to mean and include its successors and/or successors-
in-office and/or interest) of the OTHER PART:

WHEREAS the Licensor is the lawful owner of all that 2561.00 Sqft with fully
furnished office accommodation on the 19th floor consisting of
______________________ hereinafter referred to as the “Said Premises” and
fully described in the schedule herein at “INFINITY BENCHMARK” Plot-G1
in Block-GP, Sector-V of Bidhannagar in the District of North 24-Parganas within
Police Station Electronics Salt Lake City, Kolkata - 700091;

AND WHEREAS the Licensee approached the Licensor to allow him to use
all that the 2561.00 Sqft with fully furnished office accommodation on the 19th
floor of hereinafter referred to as the “Said Premises” and fully described in the
schedule herein at “INFINITY BENCHMARK” Plot-G1 in Block-GP, Sector-V
of Bidhannagar in the District of North 24-Parganas within Police Station
Electronics Salt Lake City, Kolkata - 700091 for running their office on a Leave
and License basis, and being satisfied the Licensor agreed to allow the Licensee to
use the said portion of the premises on Leave and License basis for a period of
________ months commencing on and from _____________ to
___________________;

NOW THIS AGREEMENT WITNESSETH AND IT IS HEREBY AGREED


BY AND BETWEEN THE PARTIES HERETO AS FOLLOWS:-

1. The Licensor hereby agrees to allow the Licensee to use the aforesaid
2561.00 Sqft with fully furnished office accommodation on the 19 th floor
of hereinafter referred to as the “Said Premises” and fully described in the
schedule herein at “INFINITY BENCHMARK” Plot-G1 in Block-GP,
Sector-V of Bidhannagar in the District of North 24-Parganas within Police
Station Electronics Salt Lake City, Kolkata - 700091 for running their office
on a Leave and License basis,, from ___________ to ____________, for a

monthly licence fees of Rs. 1,53,660.00/- (Rupees One lac fifty three
thousand six hundred and sixty only) payable within the 10th day of each
English month. There will be increase of 10% of the prevailing license
fees after the completion of 22 months and a further 5% increase shall take
place after the completion of 33 months on the first prevailing rate.

2. The Licensee shall use the said licensed portion for commercial purposes as
agreed for running its office of I.T. services and it will not do or permit to be
done upon the said licensed portion anything which may cause nuisance or
cause annoyance to or in any way interfere with the peaceful possession and
usage of the other units or users.
3. The Licensee shall, be for a period of 33 months and licensee shall be having
all authority to use and enjoy the said licensed portion, fully furnished along
with all the fittings and fixtures in good condition and shall deliver the same
to the Licensor on expiry of the tenure unless renewed.
4. The licensor shall all the statutory dues, taxes of the licensed premises for
running common affairs, amenities of the building.
5. A security deposit of Rs. Rs.18,43,920.00 (Rupees eighteen lacs forty three
Thousand only), is being deposited by the Licensee with the Licensor as on
this day of signing this agreement which shall be adjusted @ Rs.
55,000.00(Rupees fifty five thousand only) with the monthly license fees
and the balance amount of Rs. _________ shall be paid month by month by
this Licensee by fund transfer.
6. The Licensee is expected to use the licensed portion with proper care.
7. Upon the expiry of the License Agreement, or upon a default in payment of
monthly license fees for 2(two) consecutive months, or with a notice period
of 2 months from either the Licensor or Licensee, the licensed portion
should be vacated by the Licensee and handed over back to the Licensor on
cancellation of the agreement.
8. That the License is granted to the Licensee in consideration of its need and
on merely temporary basis and will not create any interest whatsoever of the
Licensee on the said property.
9. That the Licensee shall not add or alter, or do interior designing of the
licensed portion or change its nature and character in any manner
whatsoever nor shall sublet the same.

10.That this is simply a leave and license agreement, it never can be used as
Tenancy Agreement which falls under Premises Tenancy Act in any manner
whatsoever, which both the parties herein have agreed and accepted.

IN WITNESS WHEREOF the Licensor and the Licensee have hereunto set and
subscribed their respective hands and seals the day month and year first above
written.
