ARTICLES OF INCORPORATION

KNOW ALL MEN BY THESE PRESENTS:

The undersigned incorporators, all of legal age and majority of who are residents of
the Philippines, have this day voluntarily agreed to form a non-stock corporation under the
laws of the Republic of the Philippines;

AND WE HEREBYCERTIFY:

FIRST: That the name of said corporation shall be:

Ka1ngKalikasan Inc.
(Sagip Kalikasan Media Production)

SECOND: That the purpose/s for which such corporation are incorporated:

To serve as an extension of LGUs in giving solution to the problem of waste

management by creating an organized and functioning system in communities. Its specific
goals are as follows:

Section 1. To be part of the solution in the Conservation of Nature through proper waste
management by providing awareness campaigns and skill development programs to
communities.

Section 2. To encourage the community in the development of sustainable environmentally

friendly livelihood and conservation program.

Section 3. To conduct and have close coordination with Local Government Units, Nature
Conservation Awareness seminars to different sectors of the community.

Section 4. Recruit and organize community membership from varied backgrounds to

implement goals and serve as networking source for project study and development.

Section 5. Educate parties involved or interested in solid waste management, of the

environmental and economic importance of waste reduction, reuse, and recycling.
Provision of recycling skill and technologies to community members as additional source of
sustainable environmentally friendly livelihood.

Section 6. Work on market development and promotion of the use of recycled materials
and products that can be recycled and reused. And also monitor the program’s progress and
stability in the community.

Section 7. To have cooperation with other organizations and Government Agencies for
technological assistance and development for the programs;

THIRD: That the principal office of the corporation is located at 669 Masagana
Homes Phase 2, Tabang, Municipality of Guiguinto, Province of Bulacan, Philippines. The
Association may have other such offices, either within or outside of the Province of Bulacan
as the Board of Trustees may designate or as the business of the Association may require
from time to time.

FOURTH: That the term for which said corporation is to exist is 50 years from and
after the date of issuance of the certificate of incorporation;

FIFTH: That the names, nationalities and residences of the incorporators are as

SIXTH: That the number of trustees of the corporation shall be five (5); and the

SEVENTH: That the corporation shall have no shares or capital stock and shall
function exclusively for civic, social and charitable purposes and no dividend shall ever be
declared or paid to any member, and that fee charges, contributions, donations, grants,
devices, bequest gifts, and endowment as well as property as may from time to time be
acquired or received or collected shall be spent in such activities as may be necessary to
enable the association to carry out its purpose for which it was formed and that said trustees
shall receive no remuneration whatsoever but shall function exclusively for the purposes
above-mentioned. And the contributions of the incorporators are shown below and
amounting to the total amount of Php 3,000.00:

EIGHTH: No part of the net earnings of the Corporation shall inure to the benefit of,
or be distributable to its members, trustees, officers, or other private persons, except that
the Corporation shall be authorized and empowered to pay reasonable compensation for
services rendered and to make payments and distributions in furtherance of the purposes.
Provided, That any profit obtained by the association as an incident to its operation shall,
whenever necessary or proper shall be used for the furtherance of the purposes
enumerated in Article II, subject to the provision of Title XI of the Corporation Code of the
Philippines.

NINTH: That Kahren G. Paradero has been elected by the members as Treasurer of
the corporation to act as such until his successor is duly elected and qualified in accordance
with the by-laws, and that as such Treasurer, she has been authorized to receive for and in
the name and for the benefit of the Association, all contributions or donations paid or given
to the association.

TENTH: That the incorporators and trustees undertake to change the name of the
corporation as herein provided, or as amended thereafter, immediately upon receipt of
notice or directive from the Securities and Exchange Commission that another corporation,
partnership or person has acquired a prior right to the use of that name or that the name
has been declared as misleading, deceptive, confusingly similar to a registered name or
contrary to public morals, good custom or public policy.

signed these Articles of Incorporation, this 5th day of June, 2023, in the Municipality of
