BUSINESS AND TECHNICAL COOPERATION AGREEMENT

Kocapicak (hereinafter: the Client)
and
HUSEYIN KOCAPICAK - KOCABICAK INSAAT VE OTOMOTIVE (KOCABICAK
CONSTRUCTION AND AUTOMOTIVE), established in Bahcelievler, Sairnefi Street Nu: 2-14
ilkadim / Samsun / Turkey, trade registry number: 24460, Chamber registration number:
27414, (hereinafter: Contractor ).

The Contracting Parties, in their above mentioned capacities, have agreed as follows:

Subject of the contract

Article 1
The subject of this contract is long-term business and technical cooperation of the
contracting parties in performing construction activities, sharing knowledge and
experience they possess for the purpose of promotion and expansion of operations, as well
as in the execution of specific works in the construction of facilities on the territory of the
Republic of Serbia.

Rights and obligations of the parties

Article 2
The contracting parties undertake to cooperate with each other in order to achieve the
purpose of this contract and according to good business practices in the form of exchange
of technological knowledge and experience in the field of construction, hiring construction
workers employed by contractors to perform work operations at the request of the
contractor, in accordance with the contracts on construction with third parties.
According to third parties, each contracting party bears the responsibility independently.

Rights and obligations of the Client

Article 3
The Client undertakes to provide the Contractor with all the necessary documentation for
the execution of the required work, as well as to enable the Contractor to perform the
contracted work by providing all necessary permits, both in terms of technical conditions,
and in terms of required permits for work of contractors, in terms of temporary residence
permits, work permits and the like.
The Client undertakes to designate persons in charge of communication with the
Contractor who will cooperate with the Contractor in the course of his work engagement
and coordinate the fulfillment of specific requirements of the Client which may arise from
this Contract for the purpose of its realization.

Rights and obligations of the Contractor

Article 4
The Contractor undertakes to act in accordance with the rules of the profession, in
accordance with the standards, agreed terms and conditions of this Contract, in the
performance of his contractual obligations, professionally, conscientiously and with the
attention of a good businessman.

Price and payment terms

Article 5
The contracting parties agree to reimburse for the subject of cooperation under this
Agreement, which the Contracting Authority pays according to the Contractor's invoice for
the month of realized business-technical cooperation in the amount of ______ EUR (in
letters: _________ Euro).

Amendments to the contract

Article 6
This contract may be modified solely in the same form as it was concluded.

Temporal validity of the contract

Article 8
This contract is concluded for a period of two years.
The validity of this Agreement may be extended beyond the expiry of the period of the
preceding paragraph by a written agreement of the Parties.

Termination of contract
Article 9
Each Contracting Party shall have the right to unilaterally terminate this Agreement in
writing, subject to the conditions prescribed by internationally accepted standards of
contract law.
The party faithful to the contract reserves the right to seek compensation for any damage
in the event of termination.
Dispute Resolution
Article 10
The Contracting Parties undertake to try to resolve any dispute concerning this Agreement
amicably, and if they fail to do so, contract the jurisdiction of the courts of the Republic of
Serbia, namely the Commercial Court in Niš.

Final Provisions
Article 11
This Agreement shall enter into force on the date on which it is signed by the authorized
persons of the Contracting Parties.
This contract is made in 2 (two) identical copies, one for each contracting party.
