suits, disputes, denial, interruption, litigations, previous commitments, sureties,
mortgages, charges, and/or ejection whatsoever.

3. That the Vendors do hereby covenant with the Vendee that the 99 Years Lease
Form “B” in respect of the said property is in full force and is subsisting and the
Vendors have not done committed anything whereby the same may be impaired or
has become / may become void or voidable.

4. That the Vendors do hereby covenant with the Vendee that the Vendors have not
done, made, committed, permitted, cause or suffered to be done, neglected or
committed from doing anything whereby Vendors’ right to grant, sell, assign,
convey or transfer, any of estates, rights, title and interest in the said property and
right of possession has been or may be impaired.

5. That the Vendors covenant with the Vendee that the Vendors have paid all
assessment, taxes, charges, fees, rates, dues, ceases, Electricity, Telephone, Gas
Bills & any other money whatsoever due and payable in respect of or arising out
or concerning or relating to the said property up to the date hereof being the date
of delivery of peaceful vacant possession and that the Vendors shall pay the same
if not so paid and indemnify and to reimburse the Vendee if the Vendee at any
time is required or made to pay the same.

6. That the Vendors do hereby covenant with the Vendee that the Vendee shall
peacefully and quietly possess, occupy and enjoy the Said Property free from all
claims, demands, charges, lets, hindrances, interruptions, disputes, litigations and
eviction whatsoever from any persons claiming through under or in trust from the
Vendors.

7. That the Vendors do hereby covenant with the Vendee that the Said Property is
free from all claims, dues, disputes, mortgages, charges, liens, and demands and
encumbrances whatsoever and that the Vendors shall keep and hold the Vendee
free, secured, acquitted, exonerated, discharge and indemnified from all claims,
liens, mortgages, charges, eviction, lets and hindrances and encumbrances
whatsoever made in respect of the said property by any person or persons claiming
through, under or interest from the Vendors or otherwise howsoever by reason of
any breach committed, permitted or suffered by the Vendors or Vendors’
predecessor in respect of said property prior to this Indenture or in respect of this
Indenture.

8. That the Vendors hereby indemnify the Vendee against all losses, damages, of any
action or suit or claim or demand made or preferred by the Government or any
other person and shall make good the same to the Vendee, whenever called upon
by the Vendee and immediately do all such acts, things and deeds as are
reasonably required by the Vendee for further and perfectly assuring and
transferring the said property in the name of Vendee.

9. That the Vendors do hereby declare that the peaceful complete physical vacant
possession of said property has been handed over to the Vendee by the Vendors on
the date hereof and Vendors have also delivered all original title documents and
that henceforth the Vendee shall be rightful absolute owner of the said property.
