STATEMENT OF WORK

This statement of work (“SOW”) made as of January 15, 20XX (the “Effective date”) by and between
Cognitive Global Publishers, Inc. and Goldbach Solutions LLC is subject to and incorporates by reference
the provisions of the Agreement by and between CGP and GS.

Scope of Work: For the module “Molecular Biology”, and using the pre-defined template, GS will deliver
1000 videos.

Delivery Dates: CGP acknowledges deliverables have been received on January 5.

Payment: CGP shall pay GS $75,000 within 30 days after signing this SOW.

Expenses: GS shall be responsible for all expenses involved in the performance of the Services and in
the preparation of the Work by GS, including without limitation all amounts due to persons supervised,
employed, and/or contracted for by You, as may be permitted hereunder.

Confidentiality: GS agrees that it will protect any “Confidential Information”, which may be
communicated to GS verbally or in writing, relating to CGP, its businesses, financial records, products,
marketing plans, potential business partners or other information which is not generally known to
public, from disclosure, will not divulge any such Confidential Information to anyone and will not make
use of the same without prior written consent of CGP.

Warranties: GS warrants and represents that GS has or will obtain valid written agreements with all
parties (individuals or entities) who contribute material, enabling GS to grant the rights herein granted
to CGP. GS will also address any quality issues raised after the delivery and will do necessary rework,
modification and deliver the products; in CGP’s sole judgment, complete and satisfactory, failure to
deliver within 30 days of raising the issue will result in repaying the price of each erroneous video.

Ownership of Rights: Any contributions made by GS shall be considered a work made for hire, and CGP
shall own the copyright and all rights comprised in the copyright. To the extent any material does not
qualify as a work made for hire, GS hereby transfers to CGP, during the full term of copyright in any such
material and any revisions thereof. Any material including electronic copies given to GS for the
execution of projects must be removed from GS servers or given back to CGP within 30 days of final
delivery.
