CLIENT AUTHORIZATION LETTER

INSTRUCTIONS TO THE BANK OF THE PHILIPPINE ISLANDS

To enable me/us to fulfill my/our financial transactions through accounts maintained with Bank of the Philippine Islands (the
“BANK”), I/we ____________________________________________________________________________________________
(the “CLIENT”) hereby authorize the BANK to accept, rely upon and act on email instructions to which forms, letters of authority,
instruments, certifications and/or such other electronically signed documents bearing an electronic signature are executed and
transmitted to the BANK in portable document format (“PDF”) form via the DocuSign platform, with intent to legally bind CLIENT
as fully as if said CLIENT had physically signed a paper copy of said instructions and/or forms, letters of authority, instruments,
certifications or documents, transmitted to the BANK in accordance with the guidelines outlined in Annex "A" using the CLIENT’s
email addresses registered with the BANK and set out in Annex "B", all forming part hereof (the “Instructions”), it being
understood and agreed that the BANK is authorized to treat the CLIENT’s Instructions transmitted electronically bearing electronic
signatures affixed and sent via the Docusign platform as original signatures conclusive, valid and enforceable on the CLIENT and
having the same legally binding force and effect as its wet or handwritten signatures.

Upon request of the BANK, CLIENT agrees to submit original transaction and/or supporting documents in cases where the BSP or
other relevant regulatory agencies require its submission for post-verification purposes.
REPRESENTATIONS AND WARRANTIES
CLIENT represents and warrants to the BANK on a continuing basis that:
(a) any Instructions given hereunder do not violate applicable laws, rules and regulations;
(b) the Instructions provided hereunder by the CLIENT are complete, true and correct and that the BANK is entitled to rely on
such Instruction, without liability;
(c) the authorized signatories signing this Authorization electronically and transmitting the Instructions via the DocuSign platform
have the appropriate authority to do so in accordance with its duly approved Secretary’s Certificate/Board Resolutions submitted
to the BANK;

(d) the CLIENT is ultimately responsible for the Instructions and ultimately benefits from and bears the risk of any and all
transactions performed by the BANK ;
(e) the CLIENT understands the nature and suitability of the types of transactions or accounts contemplated herein and the risks
involved in them and that it has sufficient experience and sophistication to assess the suitability of such transactions; and
(f) all representations and warranties under the loan documents and/or relevant agreements are true and correct and will be
true and correct on each transaction made pursuant to this Authorization.

IMPLEMENTATION OF INSTRUCTIONS
The BANK is authorized to rely and act, without liability, upon the Instructions received by it in accordance with this Authorization.
The BANK reserves the right to require the CLIENT’s Instructions to be contained or sent in a particular form or with supporting
documents.
All financial transactions implemented by the BANK in accordance with the procedures set out in Annexes “A” and “B” hereof
shall be conclusive and binding on the CLIENT. The PDF image of each Transaction Document received electronically by the BANK
through the DocuSign platform shall be accorded all the benefits of an original document bearing an original signature and is valid
and legally binding on the CLIENT. Failure of the CLIENT to comply with the submission requirements covering loan availments,
foreign exchange and/or trade transactions for whatever reason shall not constitute a revocation of nor affect the validity of said
Instructions.
CLIENT agrees that phone conversations between the CLIENT and the BANK may be recorded and any such recording or transcript
thereof shall be conclusive evidence of the contents and shall be admissible in evidence in any proceedings related to this
Authorization or the transactions covered thereby.
The BANK shall not be responsible or liable for any delay, non-performance or failure to perform any or all of the Instructions of
CLIENT for reasons due to, directly or indirectly, arising out of or caused, by circumstances beyond its control including, without
limitation, acts of God, natural disasters, epidemics, pandemics, system failure or system downtime, network or
telecommunication failure, regulatory, government actions or self-regulatory actions of the BANK which may include the
institution of its Business Continuity processes. The BANK shall likewise not be responsible for any special, indirect, incidental,
exemplary or consequential damages, including but not limited to, lost profits or lost opportunities.

SUBMISSION REQUIREMENTS FOR ORIGINAL TRANSACTION DOCUMENTS


For utilization of credit facilities indicated in the Facility Letter, CLIENT shall still be required to transmit the duly accomplished
and signed Promissory Notes and Disclosure Statements and other documents that may be required to the BANK no later than
the relevant transaction date.
For trade transactions availed pursuant to the Bangko Sentral ng Pilipinas Manual of Regulations on Foreign Exchange
Transactions (“BSP MORFXT”), CLIENT agrees to submit the original trade supporting documents including, but not limited to,
such other documents as may be required by the BANK and under the BSP MORFXT, as the same may be amended or
supplemented from time to time, to the BANK no later than the relevant transaction date.
For foreign exchange transactions availed pursuant to the BSP MORFXT, CLIENT agrees to submit the original transaction
documents including, but not limited to, such other documents as may be required to be submitted under the BSP MORFXT, as
the same may be amended or supplemented from time to time, to the BANK no later than the relevant transaction date.

ACKNOWLEDGMENT OF RISKS
The CLIENT acknowledges and is fully aware of the risks related to the implementation of the Instructions and has taken into
account the inherent consequences of giving Instructions through electronic mail transmission. CLIENT also understands the risks
of forgery, falsification, electronic hacking or those arising from fraud, in the absence of mitigants employed in its own work
environment.

INDEMNITY AND RIGHT OF SET-OFF


In consideration of the BANK’s acceptance of the CLIENT’s Instructions and this Authorization, the CLIENT agrees to hold the
BANK, its subsidiaries and affiliates, their respective directors, officers, employees, representatives, agents and outsourced
service providers engaged by the Bank, under a duty of confidentiality, free and harmless and indemnified from and against any
liability, costs, damages, claims, losses or dispute which may arise in connection with the implementation of such Instructions
and this Authorization unless such loss or damage is solely attributable to and directly caused by the BANK's gross negligence or
willful misconduct. In addition to any lien, right of set-off or other right which it may have, the BANK shall be entitled, at any time
without notice to the CLIENT, to set-off the indemnity herein given or any fees or costs owed to the BANK in connection with this
Authorization against the CLIENT’s accounts, whether mantained in the Philippines or in foreign jurisdictions notwithstanding
that the deposit balances of such accounts and the CLIENT’s liabilities may not be expressed in the same currency. Where
applicable, the CLIENT authorizes the BANK to undertake conversion of the currency at the BANK’s prevailing rate of exchange.

APPROVAL LIMITS AND EFFECTIVE DATE


Attached hereto as Annex "B" and forming part hereof, are the names, designations, email addresses, mobile phone numbers
and specimen signatures of CLIENT's authorized signatories. This Authorization shall be effective as of the date of the BANK's
receipt of this Authorization (the “Effective Date”) and as confirmed by the BANK. It shall be CLIENT's responsibility to immediately
notify the BANK of any changes to the names, designation, specific authority limits, email addresses and mobile phone numbers
of CLIENT's authorized signatories.
This Authorization may be signed in any number of counterparts, each of which is an original, but all of which together constitute
one and the same agreement.

thereto), all of which accurately reflect the CLIENT’s intent and agreement.

ANNEX "A"

Procedural Guidelines for Creation, Execution, Transmission and Receipt of DocuSign-Executed Documents

For Clients with DocuSign Subscriptions initiating Creation of the Document

1) CLIENT AUTHORIZED MAKER


a) Using the DocuSign Platform, Client Authorized Maker shall create a DocuSign Envelope containing the template
Transaction Documents enumerated herein in the form prescribed by the BANK. Authorized Maker shall ensure
that all relevant details in Transaction Documents are complete and accurate.
b) Client Authorized Maker shall include the following parties as RECIPIENTS of the Envelope, in the following order
of sequence:
i) CLIENT Authorized Approvers/Signatories
 As SIGNERS of the Transaction Documents
 To sign in accordance with their respective approval limits in the existing Secretary’s Certificate/Board
Resolution previously submitted to the BANK.
ii) BANK Authorized Representatives
 As RECIPIENTS of the instructions/documents, after the same are electronically signed by CLIENT
Authorized Approvers/Signatories
 The BANK shall inform the CLIENT on the BANK Authorized Representatives that will be designated as
RECIPIENTS of the instructions/documents
 Only registered email addresses of the BANK’s Authorized Representatives shall be used and entered in
the DocuSign system
c) Client Authorized Maker shall ensure that BANK Authorized Representative shall be provided a copy of the
Certificate of Completion (“COC”). CLIENT’s non-transmittal of the COC shall constitute incomplete instructions.

For Clients with no DocuSign Subscriptions and for Bank-initiated Documents

1) BANK AUTHORIZED MAKER


a) Using the DocuSign Platform, BANK Authorized Maker shall create a DocuSign Envelope containing the Transaction
Documents enumerated in section below in the form prescribed by the BANK.
b) Bank Authorized Maker shall include the following parties as RECIPIENTS of the Envelope, in the following order
of sequence:
i) CLIENT Authorized Maker (if necessary)
 Client Authorized Maker shall ensure that all relevant details in the LOI and Transaction Documents are
complete and accurate
ii) CLIENT Authorized Approvers/Signatories
 As SIGNERS of the LOI/Documents
 To sign in accordance with their respective approval limits in the existing Secretary’s Certificate/Board
Resolution previously submitted to the BANK.
iii) BANK Authorized Representatives
 As RECIPIENTS of the instructions/documents, after the same are electronically signed by CLIENT
Authorized Approvers/Signatories
 The BANK shall inform the CLIENT on the BANK Authorized Representatives that will be designated as
RECIPIENTS of the instructions/documents
 Only registered email addresses of the BANK’s Authorized Representatives shall be used and entered in
the DocuSign system
c) For additional security, Bank Authorized Maker will activate the SMS Verification code in the DocuSign Envelope
SMS verification code will be sent directly to the Client Authorized Approvers/Signatories when they initiate access
to the document. The code is required to be encoded for them to open the envelope and affix their signature.

For both Client and Bank-initiated Documents


2) CLIENT AUTHORIZED APPROVER/SIGNATORY
a) Upon receipt of the Document via email, Authorized Approver/Signatory shall affix his/her electronic signatures
on the LOI/Documents as applicable.

3) BANK AUTHORIZED REPRESENTATIVES


a) Upon receipt of the DocuSign-executed document/s via registered email address, Bank Authorized Representative
will:
i) Verify CLIENT Authorized Approvers/Signatories against those listed in Annex “B”
ii) Verify amounts in the Transaction Documents against approval limits in Secretary’s Certificate/Board
Resolution
iii) Ascertain receipt of DocuSign COC that is transmitted together with the Transaction Documents
iv) Ascertain receipt of original signed documents as may be required by the BANK
b) At the sole option of the BANK, a BANK Authorized Representative may call CLIENT Authorized Approver/Signatory
on his/her registered phone number to verify transaction
c) Upon execution or implementation of the service request and/or Instruction, Authorized Representative shall
confirm the completed transaction via email to the Registered Company Email Address of the CLIENT Authorized
Maker/Approver.
