Respectfully, In connection with the email from Mr/Mrs. Tamshi Mateen Syed that we have received on
Sunday, December 4th, 2022 at around 2:30 pm to our law office "SON SIGAP LAW FIRM" then we
hereby want to submit a Retainer Legal Consultant Service Offer to the Company that you lead, among
others, as follows:
SCOPE
To meet the needs of the Company's legal consulting services that you lead, we offer Legal Consulting
Services with the following scope:
1. Legal Opinion

The Consultant will provide a Legal Opinion to the Company in carrying out its business activities,
which includes legal issues related to corporations, business licensing, employment/labor, civil law,
criminal law and other legal issues related to business strategies and company policies.

2. Legal Drifting

Consultants will provide legal assistance for companies in conducting various negotiations with
third parties, especially negotiations in the context of drafting business contracts and disputes
arising from the implementation of company contracts, as well as making contract drafting for the
company's business interests.

3. Legal Due Diligence

Consultants will conduct legal and due diligence on company activities which include mergers and
acquisitions, and other activities that require legal considerations and document checks in the
context of implementing corporate action.

4. Legality and Licensing

Carry out documentation (filing) on the legality and permits owned by the Company, such as:
Company Deed, Decrees and Approvals from the Minister of Law and Human Rights (SK
Kemenkumham), domicile certificate, Taxpayer Identification Number (NPWP), Taxation, Financial
Auditor, Trade Business License (SIUP), Company Registration Certificate (TDP), and other
legalities and permits and ensure that the legality and licensing owned by the Company, remain in
a valid condition and in accordance with company regulations.

5. Litigation

 Consultants will provide legal assistance in the form of assistance in handling legal cases involving
the company both outside and inside the court session, and assist the company in the
investigation involving the company both as witnesses, applicants, respondents, plaintiffs and
defendants in civil cases as well as whistleblowers, reported persons, suspects and defendants in
criminal cases. The Legal Consultant Services are provided to the Company in both oral and
written form, either face-to-face or by using other means of communication mutually agreed
between the Consultant and the Company.
TERM
This Legal Consultant Service Cooperation is carried out based on an agreement, with a minimum
period of 1 (one) year which can be extended based on a mutual agreement between the Consultant
and the Company.
HONORARIUM
For the Legal Consultant Services provided, the Company is obliged to make honorarium payments to
the Consultant with the following conditions:
1. For Legal Consultant Services in the form of Legal Opinion, Legal Drafting, Legal Due Diligence,
and Legality and Licensing honorarium is determined in the form of a retainer fee of Rp.
30,000,000,- (Thirty Million Rupiah) per month on a date mutually agreed between the Consultant
and the Company.

2. For Legal Consultant Services in the form of Litigation, the honorarium is determined in the form of
a Lump Sum whose amount is mutually agreed upon by the Consultant and the Company based
on the complexity of the case / case and taking into account the estimated period of handling the
case / case and is carried out based on a Special Power of Attorney.

3. Transportation Costs, Accommodation, and Pocket Money (Miscellaneous)

For work carried out outside the area of the Consultant Office, the Company is obliged to bear the
following costs:

1) Transportation Costs

For air travel using the services of City Link airlines and for trips that cannot be reached by
aircraft The Company provides ground vehicles with a maximum vehicle age of 5 (five)
years.

2) Accommodation

Accommodation stay at least 3 (three) star hotels.

3) Allowance

For Consultant personnel, the Company is required to provide an allowance of Rp

1,000,000 (One Million Rupiah).
