75% downpayment upon contract signing. 25% payment in CASH on showdate. Otherwise, any failure of the above payments shall result to the cancellation of this agreement where any or all payments made shall be forfeited in favor of Surd

As per the following terms and conditions:

1. POSTPONEMENT In case of postponement of the aforementioned show/event for whatever reason to a later date: A ) The same should be held not later than Thirty (30) days after the original scheduled date subject to mutual availability. B) If mutually available, all expenses incurred due to postponement of the aforementioned show/ event is to be charged to the party concerned and to be settled upon confirmation of new show/ event date with party entitled. Otherwise, this agreement shall be cancelled and all downpayment shall be forfeited in favor of Surd. 2. CANCELLATION/ FORTUITOUS EVENTS A) In the event of the cancellation or abandonment of the contract for whatever reason other than those caused by an act of God, strikes, insurrection (coup d'etat) acts of war, civil disturbances, riots, mutiny, social unrest, sickness, vehicular accidents and other similar incidents, the party who had caused the cancellation shall be liable for the entire contract amount, as and by way of damages. B) Should such cancellation be caused by force majeure damages of fortuitous event as aforementioned, payments shall be made prior to the date of cancellation shall be returned to the party entitled thereto, minus any and all expenses incurred in relation by the party concerned. 3. EQUIPMENT FAILURE In cases of equipment failure or unavailability, both parties agree to a replacement of approximate specification. However, in no case shall tardiness and equipment failure be made grounds for a discount. Physical delivery shall constitute sufficient grounds for payment in full. 4. NO HIRE POLICY/ NON PIRACY OF SURD REPRESENTATIVES Both parties agree to no direct hiring or non- piracy of Surd representatives. Should such be proven, both parties agree that the offending party be liable to Surd for the amount in pesos- five hundred thousand (P500,000.00) per representative as and by way of damages. 5. LIMITATION OF LIABILITY

Both parties agree that under no circumstance and under no legal theory, tort, contract or otherwise shall Surd, its suppliers and its representatives, in part or whole be liable to any entity as a result of, or as an effect of activities arising from this transaction whether said damages be direct, indirect, special, incidental, consequential or of any other given character. Moreso, both parties agree to keep Surd, its suppliers and its representatives, free from any and all liabilities and damages. Hence, be kept free from any claims and dangers against loss of goodwill, opportunities lost, work stoppage and all commercial damages, losses, failures and malfunctions. 6.
