This Agreement made and entered into on this….day of …., Yr…… between Kaaya Learning Centre
(hereinafter called Kaaya), its registered address at, Khasra No Ka, Village Tilwari, Vikasnagar,
Dehradun, represented by, Santosh Passi and INVESTING PARTNER, Name ………….. (hereinafter called
the IP’s) which expression shall include its successors and permitted assignees with his/her residence
at , (Insert Address) .

WHEREAS, this document is understood to be an expression of the intent of the Parties to attempt in
good faith to negotiate and reach binding agreements on the matters discussed herein,

Whereas, the Investing Partner seek to participate in the collective development of private agricultural
land (the Farm) as an organic farm to avail many social, recreational, environmental and health benefits
from the said farm.

Whereas, Kaaya has an agreement with the private owner to sell their land to individual IP’s, and

Whereas, Kaaya is willing to undertakes development, maintenance, and management of this land as
an organic farm with common facilities, and

Whereas, the Investing Partner has an opportunity to bring unique and complementary skills and
resources to the effort of developing this Farm; draw recreational, educational, and social benefits,
support local community and evolve an exemplary model for sustainable living, and

Whereas, the IP’s have a choice to develop their property as they collectively decide as a Society, and

Whereas, a new memorandum of agreement will be drawn based on mutually agreed terms between
intending IP’s and a newly constituted Society of all IP’s that will guide further process of developing the
property, and

THEREFORE, the Parties hereby enter into this agreement to work in partnership to ensure the
acquisition and development of the Farm according to the following:

(1) The Investing Partner do hereby nominate, constitute, and appoint Kaaya or its
representative to purchase /develop the said property.

(2) Kaaya shall facilitate completion of all the legal formalities for transferring the ownership of said
property via sale deed registration followed by mutation of the said property in the name of the
Investing Partner; develop and maintain the organic farm with common facilities

(3) In consideration of this, the Investing Partner agree to make an investment in two parts towards

- A private ownership of farmland size of approx. 300 square yards of the said property
(hereinafter called "the Farm Unit”)
- Development and management of common facilities and access to open areas as
mentioned in clause 6

(4) Upon the receipt of pre-agreed Investment amount towards purpose as specified in clause 2 above,
Kaaya team shall facilitate the transfer the title of the land in IP’s name. The Investing Partners as per
their convenience and with prior information to Kaaya shall arrive at Vikas Nagar Dehradun to complete
the Sale Deed Registration at the Registrar Office by paying nominal stamp and court fees as per
prevailing rates.

(5) Upon the possession of the said property by IP’s, the newly constituted Society of all IP’s shall
thereafter become authorized to commence, a non-preferential, random allocation of Farm units to
IP’s. It may appoint an architect, develop a landscape plan and architectural guidelines and take such
steps as may be necessary or expedient and incidental to carry out the development of the landscape
at their own costs, expenses.

(6) It is agreed that certain areas of the Farm be developed for making common facilities like basic
accommodation, kitchen, toilets, water storage etc. The IPs are not expected to pay for the
development of such facilities, but in case they want to use the same for the purpose of recreation, they
may pay nominal charges to the extent of benefit they have received from the use of said facilities to
cover actual expenditure during their visits or as decided by The Society.

(7) For the said purpose, on the interim, till the New Society takes over, Kaaya shall be entitled to
appoint Architects, Surveyors, and Contractors and other personnel and shall be entitled to take all
such steps as may be necessary or incidental for such development and construction of common
facilities.

(8) It is agreed and undertaken by Kaaya that they shall persuade the matter regarding all the necessary
permission and/or sanction required from the Competent Authority and/or State Government for the
purpose of development of the said property as a Farm and the IP’s shall not be liable for any such NOC,
expenses relating thereto or delay in obtaining the same.

(9) It is expressly agreed by the IP’s that in the event of IP’s desiring to re- assign/ transfer his/her
rights of the farm land under this project to any third party, they may do so with the prior
intimation/consultation of Kaaya and later to the Society in writing and will be required to pay
transaction fees as may be decided by the Society

(10) In case of change or deviation in the project design due to member’s preferences or any
unforeseen circumstances, due consultative process will be adopted, however, the final decision will
rest with Kaaya till the entire management is transferred to new Society constituted duly by all IP’s

(11) It is expressly agreed by the IP’s and Kaaya that member’s are free to form their Society or
engage third party for further development of the said property as per the member’s requirements
and as per the norms sanctioned by the IP’s collective will,. Te role of Kaaya ends, once the Society has
been formed..

(12) It is agreed and undertaken that the Kaaya shall indemnify and keep indemnified and harmless
the IP’s and their said property and effects from and losses or damages or any consequences which
may flow by virtue of their signing of this MoA with Kaaya.

IN WITNESS WHEREOF, this agreement is executed in duplicate with each copy being an official version
of the Agreement and having equal legal validity.

BY SIGNING BELOW, the parties, acting by their duly authorized officers, have caused this
Memorandum of Agreement to be executed, effective as of the day and year first above written.
