Notice of Annual General Meeting

Notice is hereby given that the Annual General Meeting (‘AGM’) of the Malawi
Engineering Institution (MEI) will be held at Sunbird Nkopola in Mangochi on Friday, 9th
September, 2022 from 2:30 pm.
Procedure
a) Any questions or comments relating to the business to be transacted at the AGM
shall be sent by email to mei@mei.org.mw by 31 August, 2022.
b) Responses to questions or comments from Part (a) above shall be read out and
commented upon by the MEI Chairperson during the meeting. Members will also
have an opportunity to ask questions during the meeting.

Agenda
The AGM will consider and, if thought fit, pass Resolutions 1 to 3 as Ordinary Resolutions
and Resolutions 4 and 5 as Special Resolutions.

Ordinary resolutions
1. Annual Report and Accounts
a) To consider an approve the annual report from the President
b) To receive the audited annual accounts of the Malawi Engineering Institution for the
year ended 31st March 2022 together with the Chairman’s Report and the auditor’s
report on those annual accounts (the Annual Report and Accounts). Directors’

2. Annual Report on Human Resources

a) To approve the Directors’ Human Resources Report
3. Auditors
a) To re-appoint Bakertilley as Auditors of MEI to hold office until conclusion of the next
General Meeting at which accounts are laid before the Institution.
b) To authorize the Finance Committee of the Board to determine the remuneration of
the auditor.
Special Resolutions
4. Consider and Approve decisions referred to the AGM by the Board

5. Notice of General Meetings of the Institution

That, a general meeting other than an annual general meeting, may be called on not less
than 21 clear days’ notice.
