Terms of Business
1. Definitions:
In these Terms of Business the following definitions apply:

a. “APPLICANT / CANDIDATE” means the person introduced by the AGENCY to the CLIENT for an ENGAGEMENT
including any officer or employee of the applicant if the applicant is a limited company and members of the Agency’s
own staff;

b. “CLIENT” means the person; firm or corporate body together with any affiliated companies, subsidiaries, holding or
group companies or associated to which the APPLICANT is introduced; CLIENT here Pinnacle Infotech Office no.26, SN

c. “AGENCY” means the person; firm or corporate body together with any subsidiary or associated which introduces
Applicant to the client. AGENCY is the Recruitment service provider and here is Management Gaps Consulting Private
Limited (“HIRE GLOCAL”), 708 & 709, 7th floor, Corporate Avenue, Sonawala Road, Opposite Atlanta Centre, Goregaon
(East), Mumbai - 400063, Maharashtra, India.

d. “ENGAGEMENT” means the engagement, employment or use of the APPLICANT by the CLIENT or any third party on
a permanent or temporary basis, whether under a contract of service or for services; under an agency, licence, franchise
or partnership agreement; or any other engagement; directly or through a limited company of which the APPLICANT is
an officer or employee.

e. “INTRODUCTION” means (i) the CLIENT’s interview of an APPLICANT in person or by telephone, following the
CLIENT instruction to the AGENCY to search for an APPLICANT; or (ii) the passing to the CLIENT of a curriculum vitæ
or resume or information which identifies the APPLICANT either orally or in writing or via telephone or via fax or
electronically via email or the internet;

The headings contained in these Terms of Business are for convenience only and do not affect their interpretation.

2. The Contract

These Terms of Business constitute the contract between the AGENCY and the CLIENT and are deemed to be accepted by
the CLIENT by virtue of an INTRODUCTION to, or the ENGAGEMENT of an APPLICANT or the passing of any
information about the APPLICANT to any third party following an Introduction.
These terms contain the entire agreement between the parties and unless otherwise agreed in writing or acceptance of
the Agreement over the email. These Terms of Business prevail over any other terms of business or purchase conditions
put forward by the CLIENT.
No variation or alteration or amendment to these Terms shall be valid unless the details of such variation are agreed
between the AGENCY and the CLIENT and are set out in writing or Agreement on email and a copy of the varied
terms is given to the CLIENT stating the date on or after which such varied terms shall apply.

3. Validity / Renewal: The term of this Agreement will be valid between the CLIENT and AGENCY till March 31, 2025 unless
otherwise terminated. Either party may terminate this Agreement by providing written notice to the other party thirty (30)
days before the date of termination. Charges for the CANDIDATE selected from the resume’s INTRODUCED during the
validity of this agreement would be as per the terms and conditions agreed upon in this agreement. This Agreement can be
renewed from time to time on mutually accepted terms and conditions.

4. Professional Fees: Our Professional Fees charged for the CANDIDATES recruited for various positions by CLIENT would
be following:

Annual CTC** (Rs.) Professional Fees*

Less than 3 Lakhs Rs. 25,000 Fixed Fees


(For Executives Positions)
From 3 Lakhs but less than 7 Lakhs 8.75% of Annual CTC
(For Junior Managerial Positions)
From 7 Lakhs but less than 11 Lakhs 9.00% of Annual CTC
(For Middle Managerial Positions)
From 11 Lakhs but less than 20 Lakhs 12.50% of Annual CTC
(For Senior Managerial Positions)
From 20 Lakhs and greater 14.00% of Annual CTC
(For Leadership Positions)
*GST or any other local tax will be extra as per government rules

**Annual CTC (Cost To Company) includes: Basic, Conveyance, House Rent Allowance, Leave Travel Allowance, Dearness
Allowance, City Compensatory Allowance, Medical Allowance, Education Allowance, Provident Fund, Gratuity,
Superannuation, ESOP, Medical / Accidental Insurance, Medical Reimbursement, Leave Encashment and any other Special
allowance mentioned in the offer/appointment letter. It does not include performance linked variable pay but includes fixed
incentives and non-performance linked variable of any type. A copy of the Appointment letter issued to the candidate to be
forwarded to the AGENCY within 7 days of CANDIDATE joining the CLIENT to helps us calculate annual CTC being offered
for the purpose of billing (shall be kept in strict confidence).

5. Disbursement: Invoice for the professional fees will be raised once CANDIDATE joins your organization. Full payment for
our professional fees needs to be made within 15 days from date of candidate joining your organization. In the event of delay
in payment, interest would be levied at the rate of 2% per month on the amount due.

6. Free Replacement: A free replacement will be provided in case of any CANDIDATE leaving job within 15 days from joining
date, provided AGENCY has been informed within 3 days of CANDIDATE’s resignation and the CANDIDATE ceases to be
on the CLIENT’s payroll. No replacement for CANDIDATE removed by CLIENT. No replacement of replacement. The
replacement will be carried out only if the payment (as mentioned above) for the relevant search has been cleared within 15
days from date of candidate joining the organization.

7. Candidates Validity: If any candidate recommended or introduced by us joins client or sister companies within 2 years
from the date of sending his/her resume and/or the first interview, CLIENT shall still be required to pay our professional
fees, as applicable. This would be effective in spite of termination of agreement within this period. We do not encourage the
practice of clients getting references of other candidates at the time of interview from the candidates sent by us. However
unfortunately this has happened in the past. Hence, if you happen to choose a candidate who has come with reference from
the candidate sent by us, you will be liable to pay us the professional fees (as applicable) for him/her as well.

8. Duplication Issues: In case the resumes sent by us are already in your databank, you will immediately intimate about the
same in 3 days from the date of introduction or if the said candidate is selected and engaged by the client, the professional fees
would be charged to the client.

9. Recruitment Process Flow: In receipt of the information regarding the manpower requirement, we will send the relevant
resumes by email based on job description, qualification, experience, skill sets, salary range and location details provided by
CLIENT. CLIENT and AGENCY will each nominate a coordinator to facilitate a single point of contact and better
understanding of CLIENT’s requirements and staffing policies.

a. Shortlisted Names: You will inform the names of short-listed CANDIDATE’s screened from the profiles of the
CANDIDATE’s accepted through us.
b. Organizing Interviews: We will help you organizing the meeting/interview as per your request. This will be done by
arranging a meeting at specified date, time and venue and we will provide you with necessary assistance.
c. Follow-up: We will keep in touch with the CANDIDATE to facilitate his/her joining your organization and keep you
informed regarding any development.

10. Employment verification: This has to be conducted by the Company themselves only. AGENCY can assist the CLIENT
with reference of other agencies dealing with employment verification.

11. Notwithstanding the foregoing CLIENT shall have no claim of whatsoever nature against AGENCY arising out of alleged
warranties, errors, omissions or representations made with reference to the CANDIDATE with regards to his/her
qualifications, experience, knowledge and abilities. There is no liability for any claim for loss, expense, damage or delay as a
result of our referral or the CLIENT's employment of a CANDIDATE. CLIENT makes the final decision to recruit the
CANDIDATE and assumes full responsibility to confirm the CANDIDATE’s capabilities and suitability for the position at
CLIENT. AGENCY will not be liable on any legal or equitable basis, including in negligence, for any acts or omissions of
CANDIDATE joining the CLIENT and performing professional, scientific, engineering, technical or similar services.

12. General Terms & Conditions: That this agreement shall be governed and construed in accordance with the laws prevailing
in India and any legal proceeding brought by either Party under this Agreement, shall be exclusively referred to and instituted
in the Court having jurisdiction in the city of Mumbai.

13. Arbitration: Any dispute between the parties arising out of or related to this Agreement shall be settled through arbitration
of a sole arbitrator to be appointed by CLIENT and AGENCY after deciding mutually. The seat of arbitration shall be in
Mumbai, Maharashtra, India. The arbitration proceedings shall be conducted in English and a record of the proceedings shall
be maintained in English.

14. Business Agreement IN WITNESS WHEREOF, the parties have executed this Agreement on the date written below.
