 The given document provides the legal basis for the Seller’s transfer of these terms and
parameters for preparing of the draft contract and shall become an integral part of the future
contract and valid for up to 365 days.
CONFIRMING BANK:
We also give our sanction to Bank of the Supplier (Seller) to make inquiry of our solvency
concerning the given transaction ( ‘Soft Probe’ ). To that we authorize our bank to give from
3rd June, 2023 the necessary information ( ‘Soft Probe’ ). 
Payment Terms:

1. DLC LETTER OF CREDIT (top 50): TT 100% letter of credit DLC - Transferable,
divisible e irrevocable, TOP 50 OF THE BANK RANKING.
This payment format with amounts above (+) USD 75,000,000.00

Procedures:
1. The buyer issues, for company compliance:

A. CIS Complete Buyer with Company Registration

B. Updated RWA

C. ICPO

2. After approval, the seller sends FCO with the pre-approved registration.

4. Buyer sends FCO signed with Swift MT 799 to seller's account.

5. The seller after receiving the SWFIT MT799 had the SPA Draft.

6. The seller signs, seals, authenticates and returns 3 (three) hard copies to the
buyer, by mail, within 5 working days.

7. The buyer issues payment to the seller's bank in accordance with the payment
terms.

8. The shipment as mentioned in the contract starts 45/60 days after the issuance
and transmission of the bank instruments.

9. In note there is no guarantee of 2% guarantee (PB).

10. Note: If any false documents are presented by the buyer and informer to the
local police, interpol, the international chamber of commerce, and the seller

The buyer will have to pay a total penalty of 10% of the value of this 12 month fco.

11. Sign fits like all signatures and pages presented with the transaction,
remembering that any forgery of documents presented will be sent by the senders
and the purchasing company.
12. In note, our company does not send previous bl or sgs from other customers in
each contract we sign with our customers (customers) has a trust clause with a fine
in case any of these documents, bl, sgs, previous contracts passed on to a future
support customer, we will have to pay a fine and we will lose the buyer (customer)
who has been working with our company for several years, so we cannot send any
documents from the past.

15. The circulation of this document is prohibited, except for those involved.

14. Data protection in Brazil is registered by federal law 13. 709/2018. Regardless of

Quantity, shipment batches, destination port, delivery time, payment terms (read

procedure.
