This TRAINING AGREEMENT AND LIABILITY WAIVER made and executed on


March 28, 2023 at Magellan Performance Outsourcing Corp., ("Company") by
Mikhail V. Reyes, legal age and currently residing at Dr. Sixto Antonio Ave. Rosario, Pasig City

In favor of Magellan Performance Outsourcing Corp.

WITNESSETH:

WHEREAS, the company shall plan, develop, equip and improve the skills and aptitude of company
employees as may be necessary for the pursuit of service excellence and as required for the company's
operations and services;.

NOW, HEREBY the PARTICIPANT, in his own free will, agrees to participate in the Call Center
Agent Training Program of Magellan Performance Outsourcing Corp. for employment purposes, with the
following terms and conditions:

a. The Company allows the PARTICIPANT to participate in the training that will commence on
April 17, 2023 at our site in Summit One Tower, Shaw Blvd., Mandaluyong OR Eton,
Cyberpod 5, Centris, Quezon City and/or upon completion of training and/or passing the
revalida exams; Your start date will be dependent once you have completed the following pre-
employment requirements:
 SSS Number (E-4/1902/1905/2316)
 Tax Identification Number (TIN)
 Philhealth Identification Number (PIN)
 Pag Ibig Number (HDMF Number)

b. During the training period, the company shall shoulder the costs and expenses relative to the
training, including training materials. The PARTICIPANT shall be entitled to receive a salary of
Philippine pesos: Eighteen Thousand Pesos (Php18, 000.00) monthly basic salary from
the Company since the training is considered part of his/her skills development and to carry
out proper performance of duties and functions.

c. The PARTICIPANT shall abide by all Company rules and regulations and shall comply with the
training policies, including attendance & punctuality, otherwise, he/she shall be relieved from
further participation;

d. The Company implements a minimum of Twenty Days (20) up to a maximum of Thirty


Days (30) training program depending on the complexity of the modules. The training program
consists of classroom and production floor training, where vocabulary, diction, pronunciation,
culture, product specifics, and/or technical support skills are taught. This could also include
training, supervised by a product/technical support Trainer where the PARTICIPANT
undergoes training in taking/making calls. During the training period, the PARTICIPANT’S
performance and ability to learn new skills is evaluated to determine if he/she is worthy to
proceed to the next level of probationary employment;

Attendance and Timekeeping during Training shall be done using Biometrics and thru Security
and Training Logbooks, these records affect the salary received. Deductions shall apply for
absences, tardiness and undertime. The salary shall be computed based on the attendance
submitted by Training Department.

e. If the PARTICIPANT fails the training program anytime during the training period, his/ her
training may be withdrawn for failure to meet the required skills and competence for
probationary employment;

f. Unless notified to have failed the training program, the company shall
employ the PARTICIPANT and shall place the PARTICIPANT under a probationary period of
not exceeding six (6) months of probationary employment, commencing upon completion of
the training program. During this period, the PARTICIPANT’s performance shall be evaluated
if the PARTICIPANT is worthy of continued and regular employment;

The Company shall make a probationary employment offer of Eighteen Thousand Pesos
(Php18, 000.00) monthly basic salary.

g. Since the Company shall spend a considerable amount of finances for your training/s in order
for you to perform your duties and responsibilities well during your probation period, you agreed
to maintain your employment with the Company for the duration of six (6) months or the whole
probation period. In the event that you decided to severe your employment or is dismissed for
any violation of the Company Policies or any other cause under Article 282 of the Labor Code
of the Philippines prior to the expiration of your probation period, as indemnity, a penalty of
seventy five percent (75%) based on the Employee’s latest Gross Monthly Salary shall be
deducted against your Final Pay. This Penalty clause will expire upon your regularization from
work.

h. The Company shall not in any way, directly or indirectly, be held liable for any injuries or
accidents that the PARTICIPANT may suffer in the course of his/her participation in the
Training. The PARTICIPANT shall hold the Company free and harmless from any liability for
damage or injury to third parties, which may be occasioned by the intention or negligent acts
of the PARTICIPANT.

IN WITNESS WHEREOF, I affix my signature in this contract to signify that I fully read,
understand, and agree to the abovementioned terms and conditions, which form part of my partnership
with Magellan Performance Outsourcing Corp.

Confidentiality and Non-Disclosure Agreement

This Agreement is made effective as of the day of March 28, 2023, by and between the
Magellan Performance Outsourcing Corp. ("Company"), a corporation registered under the laws
of the Philippines located at 8th floor, Cyberpod 5 Centris, EDSA cor. Quezon Ave. Brgy. Pinahan,
Quezon City, Metro Manila, and Mikhail V. Reyes, legal age, of (“Trainee/Employee”) Dr. Sixto
Antonio Ave.. WHEREAS, both parties to this Agreement consider the disclosure of records and
documents pertaining to its business or affairs including information pertaining to Company's
business operations and procedures, to be necessary and desirable for the purpose of
marketing, operations, possible collaborative development activities, and other related activities
relating to Company's operations and services; and

WHEREAS, this Agreement is being entered into by and between the parties in order to secure
and protect the confidentiality and non-disclosure of Company information as part of a mutual
understanding, trust, and partnership in between the Company and the Trainee/Employee.

NOW, THEREFORE, the parties agree as follows:

1. Definition of Confidential Information. As used in this Agreement, the term "Confidential


Information" is defined as all marketing strategies, client information, scientific data, trade
secrets, technical or test data, graphic communication, specifications, "know-how," business
plans, financial data, drawings, electronic, software, and other information related to the
Company's business operations and services which is provided to Trainee/Employee under
this Agreement. Confidential Information shall also include any tangible or intangible
information that is designated as such by the Company at the time of disclosure to
Trainee/Employee.

2. Use of the Confidential Information. Trainee/Employee agrees to use the Confidential


Information exclusive only for the Company's business operations and services.
Trainee/Employee agrees to hold in confidence any and all Confidential Information
disclosed, and further agrees not to disclose Confidential Information to third parties, except
with the written permission from the management of the Company. However,
Trainee/Employee may disclose the Confidential Information to any Company colleague with
a "need to know" in order to effectuate the Company's business operations and performance
of Trainee/Employee duties, provided that such colleague have been specifically informed of
the confidentiality of the Confidential Information or have entered into an agreement of
similar scope and obligations with the Company.

Specifically, while this agreement is in effect, Trainee/Employee shall not directly or


indirectly act as an Trainee/Employee, agent, proprietor, partner, broker, stockbroker,
stockholder, officer, or director of a direct competitor of the Company, or otherwise use
special knowledge or training or divulge trade secrets or confidential information learned
during the period of employment to any third person without prior consent of the Company.
Trainee/Employee shall not, without prior consent of the Company:

a) Reproduce, tamper with, modify, alter or amend any confidential information, plan or
design, whether owned directly or indirectly by the Company, or that of the Company's
clients, or any of the Company's files which are confidential;

b) Gain access to files and databases of the Company, including computer files,
configuration systems, and the like, which are restricted and classified as confidential by
the Company;

c) Disclose to any third party any confidential and/or proprietary information of the
Company that Trainee/Employee has gained by virtue of his having been engaged by
the Company;

d) Commit any other act or omission which will undermine the confidential nature of files or
information of the Company or any business by the Company, whether or not
Trainee/Employee acquires such information or have direct custody or possession of such
as a result of working for the Company or its clients;

e) During the term of this agreement, Trainee/Employee shall not engage in any activity,
employment or capacity either directly or indirectly, as a partner, shareholder, owner, or
otherwise in the management and operation of an entity whose business or products
competes with or is likely to compete with the business or products of the Company; or

f) Neither shall Trainee/Employee, either directly or indirectly, solicit the customer of, or deal
with any individual or legal entity which was a customer or client of the Employer or its
affiliates or subsidiaries at any time, for any business likely to compete with the business,
services and products of the Company, nor commit any other act or omission that
creates competitive business or activities against the Company's business operations.

All company issued properties, including but not limited laptops, desktops and mobile phones,
may be inspected and used by the company at any moment, for whatever legal purpose it
may serve. The properties are intended to be used for company matters and thus shall be used
only for said purposes, and shall not be used for any other purposes. This is in line with Rules on
Ownership under the Civil Code.

All information received, including work rendered during your employment with the Company
should be treated as strictly confidential and cannot be released or relayed to any person
without the consent of the Company.

Electronic business records provided that these are systems as part of the Company’s operation
that records and captures activity in the laptop and/or mobile phones using various applications
and programs such as but not limited to Cloud, Webmail, and the likes and is considered as part
of the regular course of business.

Any violation and deviations from the above-mentioned shall be dealt with the appropriate
sanction based on the Company Code of Professional Conduct. Violation on the Information
Security, Confidentiality, & Non-disclosure Agreement shall mean a penalty of Three Hundred
Thousand Pesos (Ph300,000.00) or the value of the damage caused whichever is higher.

3. Ownership of the Confidential Information. All Confidential Information is and remains the
property of the Company. Trainee/Employee agrees to return such Confidential Information
to the Company with or without written demand for part or all of its return, and at the
separation of Trainee/Employee for any reason.

4. Limitations on Confidentiality. Nothing in this Agreement shall be interpreted as placing any


obligation of confidentiality and non-use by Trainee/Employee with respect to any
information that:

4.1 is permitted to be disclosed or used pursuant to express written consent from


management of Company; or
4.2 is required to be disclosed pursuant to law or court order; provided that
Trainee/Employee provides prior notice to Company and provides sufficient time
to Company to assert any exclusions or privileges that may be available by law.

5. Term and Termination of Agreement and Continuation of Clauses. This Agreement will
commence as of the effective date specified above and while under training or employed
by the Company, and will continue within two (2) years from the effective date of termination
of training of the Trainee if not absorbed by the Company, or will continue within two (2)
years from the effective date of separation of the Employee from the Company.

6. Breach and Violation. In case of breach or violation of this Agreement, the Company shall
have the right to enjoin or restrain the Trainee/Employee from continuing with such acts
through disciplinary action and/or legal prosecution. In addition, the Trainee/Employee shall
be liable for compensatory damages. In this event, the aggrieved party shall be entitled to
recover all the costs and expenses incurred in connection with such legal recourse.

Company.

BPO and call center operations.

Summary about the Role:


Hiring Back Office Representative to review documents and handle customer service.

Basic Functions:

 Reviewing document and determining what needs to be done.


 Accurately creating order & verifying insurances, demographics.
 Accurately creating new patients charts
 Dispersing documents to other departments.
 In taking non-order documents and labeling correctly.
 Notifying scheduling for any orders that we do not perform
 Will handle emails and chats
 May handle customer service back office tasks but calls for follows up, clarifications,
Etc. will be done by customer service.

Qualifications:

 Experience in data validation, data entry or
similar roles is preferred.
