PURCHASE ORDER
1. Invoice : The Invoices shall be addressed to our Stores Department along
with the material clearly Indicating our Line No., Purchase Order No. & Date,
Description of the Consignment item number, etc.
2.Loading: Loading is included in price.The material must be properly packed
to avoid damages during loading and unloading

4. Prices: Prices are fixed. No increase in price shall be permitted during the
period of contract without the written acceptance of the Executive in
Purchaser's Company
5. Payment: The credit period will be counted from the date of satisfactory
receipt of goods at site. In the event of any dispute pertaining to
dimensions,weight, quality, finish, color, design, etc., the said period shall not
be binding. The weight, size and number of goods recorded by our stores will
be final and accepted as basis for the payment of these Invoices.
GST payment will be made only against submission of valid Tax Invoice/E
invoice and only on receipt of GST credit on GST Portal of the Company.
Hence payment will be made in two tranches - Basic value and other
charges as tranche one and GST amount as Tranche two. GST amount
will be paid once credit is received in GSTR2B form of the company(PRIL/
DEW/ICON) on filing of the invoice details in their GSTR1 form by the
seller.
6. Pending Invoices: For clearance of outstanding Invoices (if any) a
statement showing invoices details shall be sent to us indicating Invoice
No.,Purchase Order No. and Date and Description by the seller.
7. Lorry Receipt: Any demurrage or loss incurred due to non receipt of R.R
(Railway Receipt). / L.R. (Lorry Receipt) will be debited to you.
8. Quality: All goods are to be supplied as per specifications specified and
quality agreed to and within the stipulated time schedule. We reserve the right
to reject goods, in case of any deviation in quality even after delivery In case of
rejection of goods it shall be the responsibility of the supplier to remove them at
his own cost refunding the cost and charges within 3 days of receipt of
rejection notice. We shall not be responsible for such goods if they are not
removed within 3 days of receipt of rejection notice.
9. Inspection: Purchaser reserves right for inspection of Goods at your end.
10. Delivery: All the goods are to be delivered within the time specified in the
Purchase order, failing which we shall be at liberty to cancel this order (in part
or in full) and / or purchase the goods at your risk and your cost. You are in this
case to return the advances paid if any along with 14% interest.
11. Delayed delivery Charges : Delayed delivery Charges @1/2% per week
limited to 10% of the delayed portion shall be levied on you, if the work is not
completed/ material is not deliverd as per delivery schedule.
12. Sub -contracting : You cannot delegate the job outside or sub contract
the job to any outside firm without prior consent of Purchaser. However the test
which has to be carried at outside agencies (like inspection agencies) will not
disclose the name of product or end customer to any of his stb
13. Confidential Disclosure And Non Disclosure Undertaking : You shall
use this information strictly for the purpose of making components belonging to
this order only. Do not make any copies of the confidential information (in any
medium) without the prior expressed written consent of Purchaser.
14. Safety Precautions: Supplier will ensure that all safety precautions are
taken while manufacturing the component & testing the same at various
locations. Supplier should ensure adherence and conformation to the existing
safety laws and the rule and regulations for safety.
15. Order acceptance: The Purchase order to be signed and sent to
`Purchaser as token of acceptance. If the order acceptance is not received
within 10 days from the date of order, consent of the seller shall be deemed to
have obtained.
16. Jurisdiction: Disputes, if any, subject to appropriate Court in Hyderabad
Jurisdiction only.
17. General: Any terms or conditions quoted by you previously, which are
inconsistent with the above terms or vary from them or any of them, will not
form the terms and conditions of the order and it is specifically agreed the
above terms will supersede all the terms, which are inconsistent with the
above.

20.Guaranty/Warrantee:- 18 months from date of Invoice & 12 Months from
date of Commissioning. The warranty shall continue notwithstanding the
inspection, payment made and acceptance of the ordered goods. If any defect is
found and proven to the manufacturer as solely arisen from faulty designs, poor
workmanship and / or quality of materials, the supplier shall repair or replace
such material without any extra charges at free of cost of spares, labour and
supervision
21. Force Majeure: Neither party shall be liable in damages or have the right to
terminate this agreement for any delay or default in performing hereunder if such
delay or default is caused by conditions beyond its control including but not
limited to acts of GOD, Government restrictions wars insurrections and / or any
other cause beyond the reasonable control of the party whose performance is
affected. However you will not liable under this clause if any delay in arranging
inspection by us.
22. Termination: - The Company reserves the right to terminate this order in the
event of default / unwarranted delay, in execution of the order / failure to provide
the agreed quality.
23.Adherence to GST law:
1.Since under GST input tax credit will be available only upon supplier
timely payment of tax & filing of monthly return on time. Hence,
supplier need to pay GST adherence charges @ 18 % on failure of
timely payment of tax & filing of monthly return.
2.Failure by vendor to pay GST and file returns on due time will lead to
reimbursement of input credit disallowed to along with all interest,
penalties, extra in full to
3.Purchaser is not liable for any action taken by respective authorities
under Anti-Profiteering clause under GST Law.
4.HSN code,PO taxation part any legal obligation will be on vendor account
and Patil group is not responsible for the consequences.
5.Income Tax TDS will be deducted from payment to be made by the
company as per provisions of Income Tax Act as applicable at the
time of making payment
24.The Contractor will get itself registered under the Shops and Establishment
Act and/or Contract Labour (Abolition and Regulation) Act PF Act, ESI Act
or any other law applicable and shall maintain all required documents,
statutory records and prescribed records / details of its workers and the
Company(PRIL) is not liable to maintain any record of the Contractor's
employees under any Act.
25.The Contractor shall be liable for due observation and implementation of the
statutory conditions or requirements of labour and factory laws as
applicable to its workmen i.e. minimum wages, P.F., ESIC, maternity
benefit, Professional Tax and for payment of all Government Liabilities like
PF, ESI and the company(PRIL) is not responsible payment/maintenance
of records regarding employees of the Contractor.
26.Whistle Blower Policy
The Company promotes a culture of ethical, safe and secure work environment,
a Helpline has been provided to encourage Whistle blowers to report the
information without any fear of victimization.
All the stakeholders of the company are eligible to communicate in good faith
the information or evidence about the any unacceptable practice or event
of misconduct. All such disclosures are to be reported in writing by a
whistle blower as soon as possible after he became aware of the same
either in English or Local language.
The identity of the whistle blower shall be kept confidential, subject to applicable
laws

dispatching any material in order to arrange transit insurance for the material
