حصلت شركة "ألفا أويل" "Alpha Oilالمؤسسة والمسجلة في كوريا الجنوبية على رخصة للتنقيب
واستكشاف المواد الهيدروكربونية (المحروقات) في تونس.
وفي 18كانون الثاني/يناير ،1999ولغاية القيام بأعمال التنقيب عن المحروقات ،أبرمت "ألفا أويل"
اتفاق تشغيل مشترك ) Joint Operating Agreement (JOAمع الشركة النرويجية "نورج أويل" ،يقضي
وتوحدا جهودهما الستغالل الحقول التي يتم اكتشافها والحصول بشأنها على لزمة
ّ بأن تتعاون الشركتان
(امتياز) استغالل ،وذلك وفقا لممارسات صناعة النفط وأعرافها ،على أن يتم توزيع الحقوق في هذه
اللزمات بنسبة 66في المائة ل ـ"ألفا أويل" و 34في المائة ل ـ"نورج أويل".
في 1مارس ،2015أرسلت " "Norge Oilإخطا ار باعتزامها بيع ٪20من حقوقها إلى الشركة الفرنسية
"موريس أويل" " ، "Maurice Oil and Coمع اإلشارة إلى أنه إذا لم توافق "ألفا أويل" " "Alpha Oilعلى
الشركة المحال إليها ،فإن "نورج أويل" سوف تكون مضطرة إلى االنسحاب كلّيا من الشراكة .وفي هذه
الحالة ،يجب على "ألفا أويل" أن تقتني منها جميع حقوقها بقيمة 270مليون دوالر أمريكي ،ينبغي عليها
دفعها في غضون 3أشهر.
يهدف هذا التدريب إلى تدارس كيفية إدارة إجراء ات التحكيم بموجب قواعد التحكيم لمؤسسة تحكيم حديثة

تدعى ( )TCDRوهي مؤسسة تحكيم وهمية .وسيتم التركيز بشكل خاص في الدورة التدريبية على كيفية
بدء إجراءات التحكيم والخيارات المتاحة أمام ألطراف النزاع إلى حين صدور حكم التحكيم.
الهدف الثاني هو تحليل كيفية معالجة نزاع ناشئ عن اتفاق تشغيل مشترك (من حيث الموضوع) من قبل
هيئة تحكيم دولية.

Norge Oil C.1.
Mr. Director,
I would like to notify you, on behalf of "Norge Oïl", our intention to assign 20% of our interests in
the joint venture subject to the Agreement dated January 18, 1999, to "Maurice Oïl & Co", a
French company established in Nice, France, registered with the trade register under No.
RLX32558.
You are kindly reminbded that Article 14.1 of the Joint Operating Agreement reads:
Subsequently, we look forward to receiving a positive reply to this request for your acceptance
within 90 days.
In the event you decide not to approve the Assignee, we are inclined to withdraw from the
partnership in accordance with Article 12, § 2 and 3 of the Joint Operating Agreement which
reads:
“2.
(a) A Defaulting Participant may not withdraw from this agreement while a Default Event
it has committed has not been remedied in full.
(b) Subject to the conditions of the Petroleum Titles, the provisions of the Act and this
agreement, a Non-Defaulting Participant may withdraw from this agreement in respect of
all or any of the Petroleum Titles as from the end of a Title Year by giving the other
Participants and the Operator notice of withdrawal at least 60 days before the Title Year
end, provided that a Participant may not give a notice of withdrawal from this agreement
in respect of any Petroleum Titles if:
(i) The Minimum Work Obligations for the first such 3 years of the
Petroleum Title or any renewal thereof have not been completed or
discharged;
(ii) The Minimum Work Obligations in respect of the current Title Year
have not been completed or discharged; or
(iii) A Development Plan has been approved and the Development Plan
has not been undertaken and completed for a period of 6 months from
the date of final practical completion.
(c) Before a withdrawal by a Non-Defaulting Participant becomes effective, the
withdrawing Participant must provide Security acceptable to the remaining Participants
and the Operator in respect of the withdrawing Participant’s Percentage Share of all
expected Abandonment Obligations in respect of all Joint Venture Property held by the
Joint Venture at that time, as determined by the Operator.
(d) In lieu of the withdrawing Participant providing Security covering its future
Abandonment Obligations, the continuing Participants may by Unanimous Vote within 60
days of receiving notice of withdrawal from this agreement, require the withdrawing
Participant as from the end of a Title Year to forfeit absolutely to the remaining
Participants (and if more than one, pro-rata in the proportion that their respective
Percentage Shares bear to each other) all its Participating Interest and the withdrawing
Participant is, upon such forfeiture becoming effective, released from all future
obligations relating to the Joint Venture.
(e) Within 30 days of receipt of a notice of withdrawal, any of the other
Participants may give notice that it wishes to withdraw from this agreement
and the Petroleum Titles.
(f) If more than 1 Participant gives such notice of withdrawal within 30 days of
7 receipt of the first notice of withdrawal then, within a further 15 days if all
the remaining Participants give notice of withdrawal, this agreement will
terminate and be wound up according to its terms.
3.
“(a) Upon a withdrawal from the Joint Venture, unless otherwise provided in this
agreement, the withdrawing Participant:
(i) surrenders absolutely to the other Participants (and if more than one,
pro-rata in the proportion that their respective Percentage Shares bear
to each other) all its Participating Interest;
(ii) the withdrawing Participant must, within 30 days of withdrawal,
execute and deliver all deeds and documents necessary for, and
complete, the Assignment (and registration, if required by the law of
the Nominated State) of its Participating Interest to the remaining
Participants;
(iii) The withdrawing Participant must pay all stamp duty and other
transfer costs which become payable upon the withdrawing
Participant transferring its Participating Interest to the remaining
Participant; and
(iv) upon approval and registration of the withdrawing Participant’s
Participating Interest to the remaining Participants, the withdrawing
Participant is released from all future obligations relating to the Joint
Venture, other than its obligations of confidentiality under this
agreement and for its Percentage Share of expected Abandonment
Obligations at the time of withdrawal, as determined by the Operator.
(b) Any withdrawal from the Joint Venture is without prejudice to any rights or
obligations of the Participants arising prior to the withdrawal, and any surrender of a
Participating Interest is not to be taken as satisfaction, wholly or partly, of the obligations
of a withdrawing Participant which have arisen prior to its withdrawal. »
In this case, you would be required to redeem or to make any person you select to redeem all of
our interests at a price of USD 270,000,000.00 payable within 3 months. We remain at your
disposal to provide you with the necessary documents to proceed to the assignment.

My name is Rania Zarrouk. I am born in Sakiet Sidi Youssef, Tunisia, in 1985. I was hired as
Sales Manager by “Maurice Oil” since March 2014. I was asked to testify in the dispute between
Maurice Oil and Norge Oil based on my personal knowledge. I’m providing this witness statement
to support Alpha Oil’s claim based on the fact that I believe that “Maurice Oil” is a fictitious
company. To my knowledge, this statement is true.
Indeed, around February 26th, 2014, I received a phone call from Norge Oil, and more precisely
Miss Salsabil Hamzaoui, acting as an inhouse counsel in Norge Oil. At first, Ms Hamzaoui
contacted me via my LinkedIn account. We discussed together about a potential collaboration
and we negotiated my potential remuneration. She also invited me to visit the premises of Norge
Oil in Mornag, Tunisia.
Few days after this call, Miss Hamzaoui called me once again. She informed me that my contract
will be signed with a French company called Maurice Oil (and not Norge Oil) and that I will work
as a Sales Manager and mainly manage the sales between Norge Oil and Maurice Oil but I will
10 continue working from Mornag. I said that I would be able to start working on March 1st, 2014.
They confirmed the starting date and I was hired as Sales Manager in “Maurice Oil”.
During my work in “Maurice Oil”, I noticed that there are several signs and indicators confirming
that the company is fictitious. Indeed:
• Whenever I tried to contact any representative from “Maurice Oil” in France, no one
answered my calls nor my emails;
• When we had in person meetings with them, no one from France participated;
• I also noticed that the transactions we had with them were suspicious. Indeed, we used
to receive invoices from Maurice Oil, but Norge Oil never received any products or
services from them.
To the best of my knowledge, and whereas I have no concrete evidence, the situation was very
suspicious. I tried several times to leave the company, but it was very difficult to lose my job and
my salary.

Abstracts
(Relevant provisions)
1. Definitions and interpretation:
Assignment: means the sale, assignment, farm-in, farm-out, transfer, sub-lease or other dealing with, or
creation of, an interest relating to the whole or any part of a Participating Interest, and “Assign” has a
corresponding meaning.
Joint Operations: means those operations and activities carried out by Operator pursuant to this
agreement, the costs of which are chargeable to all Participants.
Joint Venture: means the unincorporated joint venture established by and under this agreement to be
known by the name specified in the Particulars.
7.11 Litigation
(a) All matters relating to the enforcement or defence of rights in respect of or arising out of Joint
Operations must be determined by decisions of the Operating Committee unless the Operator estimates
the value to less than the limit specified in Schedule 1 (Litigation Limit). All such matters, regardless of
value, must be brought to the attention of the Operating Committee at its next meeting.
(b) Subject to any decision by the Operating Committee, the Operator:
(i) must notify the Participants of any claim, litigation, demand or judgment relating to Joint Operations
(Claim) which exceeds the Litigation Limit;
(ii) must not except, at the direction of the Operating Committee, prosecute, pursue, defend or settle any
Claim which exceeds the Litigation Limit; and
(iii) is authorized to prosecute, pursue, defend or settle any Claim which is equal to or less than the
Litigation Limit.
(c) All actions taken by the Operator in conducting litigation and all liabilities incurred pursuant to this
clause are for the Joint Account.
(d) A Participant may act separately, at its own expense, in litigation or administrative proceedings
initiated by the Operator on behalf of the Participants. If a Participant elects to participate separately in
litigation, that Participant is considered to have a divergent interest to the other Participants, and: (i) is
not entitled to continue to receive reports or legally privileged material prepared or supplied by the
Operator in relation to that litigation; and
(ii) is not entitled to require external lawyers appointed by the Operator to cease to act on the basis of a
former client conflict of interest.
(e) This clause does not apply to any Claim made, brought or obtained by a Participant against another
Participant.
12.2 Withdrawal
(a) A Defaulting Participant may not withdraw from this agreement while a Default Event it has
committed has not been remedied in full.
(b) Subject to the conditions of the Petroleum Titles, the provisions of the Act and this agreement, a Non-
Defaulting Participant may withdraw from this agreement in respect of all or any of the Petroleum Titles
as from the end of a Title Year by giving the other Participants and the Operator notice of withdrawal at
least 60 days before the Title Year end, provided that a Participant may not give a notice of withdrawal
from this agreement in respect of any Petroleum Titles if:
(i) the Minimum Work Obligations for the first such 3 years of the Petroleum Title or any renewal thereof
have not been completed or discharged;
13 (ii) the Minimum Work Obligations in respect of the current Title Year have not been completed or
discharged; or
(iii) a Development Plan has been approved and the Development Plan has not been undertaken and
completed for a period of 6 months from the date of final practical completion.
(c) Before a withdrawal by a Non-Defaulting Participant becomes effective, the withdrawing Participant
must provide Security acceptable to the remaining Participants and the Operator in respect of the
withdrawing Participant’s Percentage Share of all expected Abandonment Obligations in respect of all
Joint Venture Property held by the Joint Venture at that time, as determined by the Operator.
(d) In lieu of the withdrawing Participant providing Security covering its future Abandonment Obligations,
the continuing Participants may by Unanimous Vote within 60 days of receiving notice of withdrawal from
this agreement, require the withdrawing Participant as from the end of a Title Year to forfeit absolutely to
the remaining Participants (and if more than one, pro-rata in the proportion that their respective
Percentage Shares bear to each other) all its Participating Interest and the withdrawing Participant is,
upon such forfeiture becoming effective, released from all future obligations relating to the Joint Venture.
(e) Within 30 days of receipt of a notice of withdrawal, any of the other Participants may give notice that
it wishes to withdraw from this agreement and the Petroleum Titles.
(f) If more than 1 Participant gives such notice of withdrawal within 30 days of receipt of the first notice of
withdrawal then, within a further 15 days if all the remaining Participants give notice of withdrawal, this
agreement will terminate and be wound up according to its terms.
12.3 Effect of withdrawal
(a) Upon a withdrawal from the Joint Venture, unless otherwise provided in this agreement, the
withdrawing Participant:
(i) surrenders absolutely to the other Participants (and if more than one, pro-rata in the proportion that
their respective Percentage Shares bear to each other) all its Participating Interest;
(ii) the withdrawing Participant must, within 30 days of withdrawal, execute and deliver all deeds and
documents necessary for, and complete, the Assignment (and registration, if required by the law of the
Nominated State) of its Participating Interest to the remaining Participants;
(iii) the withdrawing Participant must pay all stamp duty and other transfer costs which become payable
upon the withdrawing Participant transferring its Participating Interest to the remaining Participant; and
(iv) upon approval and registration of the withdrawing Participant’s Participating Interest to the
remaining Participants, the withdrawing Participant is released from all future obligations relating to the
Joint Venture, other than its obligations of confidentiality under this agreement and for its Percentage
Share of expected Abandonment Obligations at the time of withdrawal, as determined by the Operator.
(b) Any withdrawal from the Joint Venture is without prejudice to any rights or obligations of the
Participants arising prior to the withdrawal, and any surrender of a Participating Interest is not to be
taken as satisfaction, wholly or partly, of the obligations of a withdrawing Participant which have arisen
prior to its withdrawal.
14 Assignment
14.1 Restriction on Assignment
(a) A Participant may not Assign the whole or any part of its Participating Interest otherwise than:
(i) as permitted by this agreement; or
(ii) with the consent of all the other Participants, which they may give or refuse in their absolute
discretion.
(b) Except as otherwise provided in this agreement, a Defaulting Participant may not Assign the whole or
any part of its Participating Interest.
(c) Any purported dealing by a Participant with its Participating Interest contrary to this agreement is
void.
14.2 Assignment to an Affiliate or a Related Entity
A Participant which is not a Defaulting Participant may at any time without obtaining the prior consent of
the other Participants Assign the whole (but not part) of its Participating Interest to an Affiliate or a
Related Entity. If a Participant Assigns the whole of its Participating Interest to an Affiliate or a Related
Entity, then that Participant:
(a) must, within 14 days following the date of the Assignment, notify all of the other Participants of the
identity of the Assignee and its relationship to the Participant;
(b) continues to be bound by this agreement and is not released from any of its obligations or discharged
from any of its liabilities under this agreement, unless all the other Participants agree; and
(c) must, by the time that the Affiliate or Related Entity to which the whole of its Participating Interest has
14 been Assigned ceases to be an Affiliate of the Ultimate Holding Company or a Related Entity of the
Participant, ensure that all the rights Assigned to that Affiliate or Related Entity have been re-Assigned to
that Participant or Assigned to another Affiliate or Related Entity of that Participant. An Assignment made
pursuant to this clause is free of any rights of pre-emption set out in this agreement.
14.3 Permitted right of Assignment with pre-emption
(a) A Participant, other than a Defaulting Participant, has the right to Assign all or part of its Participating
Interest only subject to the right of pre-emption by another Participant and the other terms and
conditions set out in this clause.
(b) Where a Participant receives a bona fide offer to purchase or farm-in to, or intends to make an offer to
sell or farm-out, for a consideration involving payment of cash to the Joint Venture or a Participant in
whatever form and over any period (including immediate cash, deferred cash, royalty, net profit interest
and the like, and including payment of Joint Expenditure) the whole or part of its Participating Interest
which it is willing to accept and dispose of or sell or farm-out, the Participant (Selling Participant) must
promptly send written notice to the other Participants of the offer to purchase, or farm-in, or sell or farm-
out making the same offer to the other Participants (Offer).
(c) The Offer must:
(i) set out all the details of the offer to purchase, farm-in, sell or farm-out that the Selling Participant has
received or intends to make, including the identity of the proposed acquirer (if then known), to enable an
assessment of the acquirer’s financial standing including, where applicable, details of the financial
standing of the acquirer’s Ultimate Holding Company and any proposed parent company guarantees; and
(ii) attach a copy of all of the Offer documents.
(d) Each other Participant (Non-Selling Participant) has the right for a period of 45 days following receipt
of an Offer (Option Period) to accept the Offer in full.
(e) To accept the Offer a Non-Selling Participant which wishes to accept the Offer must give written notice
of acceptance to the Selling Participant during the Option Period.
(f) Where more than one Non-Selling Participant accept the Offer from the Selling Participant the
accepting Non-Selling Participants are deemed to have accepted the Offer pro rata in proportion to their
respective Percentage Shares, unless otherwise mutually agreed between them.
14.4 Selling Participant free to Assign
If none of the Non-Selling Participants accept the Offer and provided that no Participant would hold a
Participating Interest of less than the Minimum Interest as a consequence of the Assignment then,
following the Option Period, the Selling Participant is free within 6 months from the date of the Offer, and
subject to subsequent completion and delivery of the required Assignment documentation specified in
this agreement, to Assign its Participating Interest the subject of the Offer to the prospective acquirer at a
price and subject to the terms and conditions which are no less favourable
to the Selling Participant than the price, terms and conditions set out in the Offer.
14.5 Requirements of Assignee
An Assignment of part or all of a Participating Interest is not effective unless and until the Assignee:
(a) obtains all relevant Authorizations;
(b) executes and delivers to each Participant a form of assumption deed approved by the Participants
(which approval must not be unreasonably withheld or delayed) under which the Assignee agrees to
assume the obligations of the Assignor under, and be bound by the terms and conditions of, this
agreement, including the obligations of the Assignor under any Cross Security granted to the Assignor by
the other Participants and any Deed of Covenant entered into by any Third Party with the Assignor, to the
extent of the Participating Interest Assigned or upon the Participating Interest being earned under the
terms of the Assignment;
(c) executes and delivers to each of the Participants a Cross Security and Deed of Covenant, to the extent
required under this agreement; and
(d) receives from the Assignor an executed Assignment of the benefit of any Cross Security granted to the
Assignor by the other Participants and any Deed of Covenant entered into by any Third Party with the
Assignor.
14.6 Assignment on Change of Control or less than Minimum Interest
(a) In this clause, Change of Control means, in relation to a Participant, that the Participant ceases to be a
Subsidiary (as defined in the Corporations Act) of its Ultimate Holding Company, except where the shares
of that Participant or any of its holding companies are or become listed by on a recognized stock exchange
and such Participant ceases to be a Subsidiary of its Ultimate Holding Company by reason of the allotment
or transfer of, or any other dealing in, those shares.
(b) If a Change of Control occurs in respect of a Participant (Changed Participant), any other Participant
15 may, by notice given to all the Participants and the Operator, cause the Changed Participant to make a
Deemed Sale Offer as at the date of the notice to the other Participants
(c) If the Participating Interest of a Participant reduces to below the Minimum Interest, whether by sale,
or other disposition or dilution as permitted under this agreement, any other Participant may, by notice
given to all the Participants and the Operator, cause that Participant to make a Deemed Sale Offer as at the
date of the notice to the other Participants.
(d) If, within 30 days after notice of the Deemed Sale Offer is given, the Participants have not agreed on the
Transfer Price an Expert appointed in accordance with in this agreement must determine the Transfer
Price.
(e) On agreement or determination of the Transfer Price, the Deemed Sale Offer is open for acceptance by
all the other Participants pro rata in proportion to their respective Percentage Shares or such other
proportions as they may agree and is irrevocable for a period of 60 days.
(f) A Deemed Sale Offer by a Changed Participant may be accepted by one or more of the other
Participants. A Deemed Sale Offer of a less than Minimal Interest must be accepted by all of the other
Participants.
(g) Upon a Deemed Sale Offer being accepted:
(i) the transferring Participant must sell, and the accepting Participants must purchase, the whole of its
Participant Interest on the terms of the Deemed Sale Offer, subject only to obtaining all relevant
Authorizations; and
(ii) completion of the transfer of the Participating Interest must occur within 60 days after acceptance at
which time the transferring Participant must complete and deliver all required Assignment
documentation, including a discharge of all Encumbrances, to the accepting Participants and the accepting
Participants must pay the Transfer Price to the transferring Participant in immediately available funds
subject to the relevant Authorizations being obtained.
(h) If the Deemed Sale Offer made as a result of the Change of Control is not accepted by any Participant in
accordance with this clause, the Changed Participant is not liable to transfer its Participant Interest as a
result of such Change of Control.
(i) If the Deemed Sale Offer of a less than Minimal Interest is not accepted by all of the other Participants
in accordance with this clause, the Participant holding less than a Minimal Interest is not liable to transfer
its Participating Interest.
14.7 Participant ceasing to be a Participant
(a) If an Assignment of the whole or part of a Participating Interest is made in accordance with this
agreement (other than an Assignment to an Affiliate or a Related Entity or an Assignment on withdrawal)
the Assignor is released from obligations under this agreement arising after the Assignment to the extent
of the Participating Interest Assigned, other than the obligations of confidentiality contained in this
agreement.
(b) If a party ceases to be a Participant, that person is not relieved of any liability under this agreement
which was incurred or arose on or before the date when it ceased to be a Participant, unless this
agreement otherwise provides.
18.3 Permitted disclosure by a Participant
(a) A Participant may disclose Confidential Information:
(i) to the professional advisers or agents of that Participant;
(ii) to an Affiliate of that Participant;
(iii) as required by Law or by any competent Authority, whether the obligation arises as a consequence of
the act of the Participant or otherwise;
(iv) to any stock exchange pursuant to Listing Rules which require disclosure;
(v) where reasonably necessary for the purposes of any arbitration or administrative or legal proceedings
involving only the Participants; or
(vi) to a Third Party, and its advisers, bona fide tendering for or negotiating the purchase of all or part of
the Participating Interest of that Participant or for the provision of finance to that Participant but only if
the Third Party and its advisers first covenant in writing to the disclosing Participant to preserve
confidentiality of information disclosed in the same terms as this clause.
(b) A Participant making a permitted disclosure under this clause must take all reasonable steps to ensure
that the person to whom disclosure is made keeps confidential all Confidential Information disclosed.
19. Dispute Resolution
16 19.1 Limitation on proceedings
Subject to any matter specifically referred to Expert determination under this agreement, the parties
agree that it is a condition precedent to the commencement of any litigation proceedings by a party in
respect of a dispute under, or in relation to, this agreement (Dispute) that the party has complied fully
with the agreed process for resolving a Dispute (Dispute Resolution Process) under this clause
(regardless of the level or levels on which the Dispute has previously been considered) except:
(a) where the Dispute concerns the non-payment of monies due, the quantum of which is certain; or
(b) if the party seeks urgent interlocutory, injunctive or declaratory relief; or
(c) if the other party has failed to observe the requirements of this clause and the party seeks to enforce
compliance with the Dispute Resolution Process,
in respect of the Dispute.
19.2 Dispute Resolution Process
(a) Where a Dispute arises between the parties, a party may give notice to the other parties initiating a
Dispute Resolution Process in respect of the Dispute (Dispute Notice) which Dispute Notice must:
(i) state that the notice is given under this sub clause;
(ii) describe the nature of the Dispute; and
(iii) nominate a representative of the party who is authorized to negotiate and settle the Dispute on the
party’s behalf.
(b) Each other party must within 7 days after receipt of a Dispute Notice nominate in writing to the other
parties a representative authorized to negotiate and settle the Dispute on its behalf.
(c) The parties’ representatives must negotiate in good faith with a view to resolving the Dispute within
21 days after the receipt of the Dispute Notice, (or such longer period as those representatives agree),
failing which the Dispute must be immediately referred to the Chief Executive Officers of the parties.
(d) The Chief Executive Officers must negotiate in good faith with a view to resolving the Dispute within
14 days of the Dispute being referred to them (or such longer period as the Chief Executive Officers agree)
failing which, the Dispute may be immediately referred by any party by notice to mediation or Expert
determination under this agreement.
19.3 Mediation
Mediation of a Dispute must:
(a) be conducted in the Nominated State by the person or body agreed to by the parties or, failing
agreement within 35 days after receipt of the Dispute Notice, as nominated by the President for the time
being of the Law Society of the Nominated State on request by either party;
(b) be conducted in accordance with such rules as may be agreed by the parties or, failing agreement
within 35 days after receipt of the Dispute Notice, in accordance with the rules nominated by the person
or body agreed or nominated to conduct the mediation;
(c) be at the cost and expense of the parties equally (except that each party must pay its own advisers,
consultants and legal fees and expenses) unless the parties otherwise agree; and
(d) if not earlier resolved, be continued for a period expiring on the date being 14 days after the
nomination of the mediator (or such other period as the parties may agree) after which any party may at
any time after that date seek Expert determination in accordance with this agreement or commence
litigation proceedings in respect of the Dispute.
19.4 Dispute Resolution Process not to interrupt Joint Operations
The parties must ensure that neither the commencement nor conduct of any Dispute Resolution Process,
including mediation or Expert determination, causes any interruption to Joint Operations or to the
performance by the parties of their respective obligations under this agreement, nor will it affect any of
the time limits fixed in this agreement unless the performance of Joint Operations or a party under this
agreement is materially affected by the submission of the matter in dispute to litigation or by the result of
the litigation.
19.5 Clause does not apply to matters where consent required
If this agreement refers to the parties reaching agreement on a matter or the consent of any party being
given then, except where this agreement requires that consent or agreement is not to be unreasonably
withheld, the Dispute Resolution Process cannot be used to resolve a dispute between the parties in
relation to the reaching of that agreement or the giving of that consent.
19.6 Arbitration
Any dispute, controversy or claim arising out of or in connection with this contract, or the breach,
termination or invalidity thereof, which cannot be settled through the proceedings mentioned in Clauses
19.1 to 9.5, shall be finally settled by arbitration in accordance with the Arbitration Rules of the
Arbitration Institute of the Stockholm Chamber of Commerce.
17 The arbitral tribunal shall be composed of three arbitrators/a sole arbitrator.
The seat of arbitration shall be Stockholm.
The language to be used in the arbitral proceedings shall be […].
This contract shall be governed by the substantive law of […].
SCHEDULE 7
8. Assignement
The Buyer hereby acknowledges and agrees that the Seller may assign the whole or any part of its rights
and obligations under this deed to any person who becomes a party to JOA and to the Sales Contract
subject to and in accordance with the assignment provisions set forth in those contracts and subject
further to such assignee covenanting directly with the Buyer to observe and perform this deed and to be
bound by all of the terms thereof.
16. Applicable law and jurisdiction
(a) This deed is governed by and must be construed in accordance with the laws of the Nominated State.
(b) The parties submit irrevocably to the non-exclusive jurisdiction of the Courts of the Nominated State
and all Courts competent to hear appeals from those Courts.
(c) Any dispute arising out between the Parties concerning the Assignment of Interests shall be submitted
to the final and binding opinion of an expert in gas and oil appointed jointly, who will notify his decision to
the parties within 30 days from the date of the submission of the second Party.
If a Party does not agree on the conclusion of the expert, it may refer the case to ad hoc arbitration under
the UNCITRAL Rules 2010.

مجلة التحكيم
الفصل -1التحكيم طريقة خاصة لفصل بعض أصناف النزاعات من قبل هيئة تحكيم يسند إليها األطراف مهمة البت فيها
بموجب اتفاقية تحكيم.
الفصل - 2اتفاقية التحكيم هي التزام أطراف على أن يفضوا بواسطة التحكيم كل أو بعض النزاعات القائمة أو التي قد تقوم
بينهم بشأن عالقة قانونية معينة تعاقدية كانت أو غير تعاقدية وتكتسي االتفاقية صيغة الشرط التحكيمي أو صيغة االتفاق
على التحكيم.
الفصل -3الشرط التحكيمي هو التزام أطراف عقد بإخضاع النزاعات التي قد تتولد عن ذلك العقد للتحكيم.
الفصل -4االتفاق على التحكيم هو التزام يتولى بمقتضاه أطراف نزاع قائم عرض هذا النزاع على هيئة التحكيم.
ويجوز إبرام االتفاق على التحكيم ولو أثناء قضية منشورة أمام المحكمة.
الفصل -5يقصد:
أ) بنظام التحكيم النص الجامع المحدد لطريقة معينة إلجراءات التحكيم.
ب) بهيئة التحكيم المحكم المفرد أو فريق من المحكمين.
ج) بالمحكمة الهيئة أو الجهاز من النظام القضائي.
الفصل -6ال تثبت اتفاقية التحكيم إال بكتب سواء كان رسميا أو خط يد أو محضر جلسة أو محضر محر ار لدى هيئة
التحكيم التي وقع اختيارها.
وتعتبر اإلتفاقيات ثابتة بكتب إذا وردت في وثيقة موقعة من األطراف أو تبادل رسائل أو تلكسات أو برقيات أو غيرها من
وسائل االتصال التي تثبت وجود االتفاقية أو في تبادل ملحوظات الدعوى وملحوظات الدفاع التي يدعي فيها أحد األطراف
وجود اتفاق وال ينكره الطرف اآلخر وتعتبر اإلشارة في عقد من العقود إلى وثيقة تشتمل على شرط تحكيمي بمثابة اتفاقية
تحكيم شرط أن يكون العقد ثابتا بكتب وأن تكون اإلشارة قد وردت بحيث يجعل ذلك الشرط جزء من العقد.
الفصل -7ال يجوز التحكيم:
أوال -في المسائل المتعلقة بالنظام العام.
ثانيا -في النزاعات المتعلقة بالجنسية.
ثالثا -في النزاعات المتعلقة بالحالة الشخصية باستثناء الخالفات المالية الناشئة عنها.
رابعا -في المسائل التي يجوز فيها الصلح.
خامسا -في النزاعات المتعلقة بالدولة والمؤسسات العمومية ذات الصيغة اإلدارية والجماعات المحلية إال إذا كانت هذه
النزاعات ناتجة عن عالقات دولية اقتصادية كانت أو تجارية أو مالية وينظمها الباب الثالث من هذه المجلة.
الفصل -8يجب أن تتوفر في أطراف اتفاقية التحكيم أهلية التصرف في حقوقهم.
الفصل -9تبدأ إجراءات التحكيم في نزاع ما في اليوم الذي يتسلم المدعى عليه طلبا بإحالة ذلك النزاع إلى التحكيم ما لم
يتفق األطراف على خالف ذلك.
الفصل -10يجب أن يكون المحكم شخصا طبيعيا رشيدا كفء ومتمتعا بكامل حقوقه المدنية وباالستقاللية والحياد إزاء

األطراف وإذا عينت اتفاقية التحكيم شخصا اعتباريا فإن هذا الشخص االعتباري ينحصر دوره في تعيين هيئة التحكيم.
يجوز للقاضي أو للعون العمومي أن يكون محكما بشرط عدم اإلخالل بالوظائف األصلية والحصول على ترخيص مسبق
من السلطة المختصة قبل القيام بأية مهمة في التحكيم.
وبالنسبة للعون العمومي يجب زيادة على ذلك أن ال تخل المهمة بمصالح اإلدارة.
الفصل -11يثبت قبول المحكم لمهمته كتابة أو بتوقيعه على االتفاق على التحكيم أو بقيامه بعمل يدل على شروعه في
المهمة.
وال يجوز له التخلي بعد القبول دون مبرر وإال كان مسئوال بغرم ما عسى أن يكون قد تسبب فيه بذلك من الضرر
لألطراف.
الفصل -12ال يقبل عزل المحكم أو التجريح فيه بعد ختم المرافعة.
الفصل -13يمكن أن يكون التحكيم ح ار أو بتكليف مؤسسة تحكيم.
في صورة التحكيم الحر تتولى هيئة التحكيم تنظيمه بتحديد اإلجراءات الواجب اتباعها ما لم يتفق أطراف النزاع على خالف
ذلك أو يفضلوا اتباع نظام تحكيم معين.
وفي صورة التحكيم لدى مؤسسة تحكيم فإن هذه المؤسسة تتولى تنظيمه طبق نظامها وفي جميع الصور تراعى المبادئ
األساسية للمرافعات المدنية والتجارية خاصة منها المتعلقة بحق الدفاع.
الفصل -14يجب على المحكمين أن يطبقوا القانون موضوعا ما لم يفوض لهم األطراف صفة المحكمين الصالحين في
اتفاقية التحكيم وفي هذه الصورة ال يتقيد المحكمون بتطبيق القواعد القانونية ويتبعون قواعد العدل واإلنصاف.
الفصل - 15
-1إذا اتفق األطراف خالل إجراءات التحكيم على تسوية النزاع فيما بينهم فإن هيئة التحكيم تختم اإلجراءات وعليها -إذا
طلب منها ذلك األطراف ولم تر مانعا من االستجابة للطلب -أن تقرر التسوية بحكم تحكيم باتفاق األطراف.
-2يصدر حكم التحكيم باتفاق األطراف وفقا ألحكام الفصل 30أو الفصل 75من هذه المجلة وينص فيه على إنه حكم
تحكيم ويعتبر بمثابة أحكام التحكيم الصادرة في األصل ويحدث نفس ما تحدثه من أثر.
الباب الثالث :في التحكيم الدولي
القسم األول :أحكام عامة
الفصل 47
-1تنطبق أحكام هذا الباب على التحكيم الدولي مع مراعاة االتفاقيات الدولية التي التزمت الدولة التونسية بتنفيذها.
-2باستثناء أحكام الفصول - 81 -80 - 54- 53و 82من هذه المجلة ال تنطبق أحكام هذا الباب إال إذا كان مكان
التحكيم واقعا في التراب التونسي أو إذا وقع اختيار هذه األحكام سواء من قبل األطراف أو من قبل هيئة التحكيم.
الفصل 48
أ) إذا كان محل عمل أطراف اتفاقية التحكيم زمن انعقادها واقعا في دولتين مختلفتين
ب) إذا كان أحد األماكن التالية واقعا خارج الدولة التي فيها محل عمل األطراف :

-1مكان التحكيم إذا نصت عليه اتفاقية التحكيم أو وقع تحديده وفقا لها.
-2أي مكان ينفذ فيه جزء هام من االلتزامات الناشئة عن العالقة أو المكان الذي يكون لموضوع النزاع أوثق صلة به.
ج) إذا اتفق األطراف صراحة على أن موضوع اتفاقية التحكيم متعلق بأكثر من دولة واحدة.
أ) إذا كان ألحد األطراف أكثر من محل عمل فالمعبر هو محل العمل األوثق صلة باتفاقية التحكيم.
ب) إذا لم يكن ألحد األطراف محل عمل فالمعبر هو محل إقامته المعتاد.
الفصل 49
أ) تعتبر كل رسالة كتابية في حكم المتسلمة إذا سلمت في محل المرسل إليه أو في محل إقامته المعتاد أو في عنوانه
البريدي وإذا تعذر العثور على أي من هذه األماكن بعد إجراء تحريات معقولة تعتبر الرسالة الكتابية في حكم المتسلمة إذا
أرسلت إلى آخر محل عمل أو محل إقامة معتاد أو عنوان بريدي معروف للمرسل إليه وذلك بموجب مكتوب مضمون
الوصول أو بأية وسيلة أخرى تثبت بها محاولة تسليمها.
ب) تعتبر الرسالة في حكم المتسلمة منذ اليوم الذي تسلم فيه على النحو المذكور في الفقرة السابقة.
-2ال تسري أحكام هذا الفصل على اإلعالمات القضائية أمام المحاكم.
الفصل -50يعتبر متن ازال عن حقه في الدفع كل طرف -مع علمه بمخالفة شرط من شروط التحكيم أو نص من
نصوص هذا الباب التي يجوز لألطراف التمسك بها -يستمر في إجراءات التحكيم دون ان يبادر إلى الدفع حاال أو خالل
األجل أن سبق تعيينه.
الفصل -51ال يجوز ألي محكمة أن تتدخل في المسائل التي هي موضوع اتفاقية تحكيم دولي إال عمال بأحكام هذه
المجلة.
القسم الثانى
اتفاقية التحكيم
الفصل -52على المحكمة التي ترفع أمامها دعوى في مسألة ابرمت بشأنها اتفاقية تحكيم أن تحيل األطراف إلى التحكيم
إذا طلب منها ذلك أحدهم في موعد أقصاه تاريخ تقديم ملحوظاته الكتابية في أصل النزاع ما لم يتضح لها أن اإلتفاقية
باطلة أو عديمة األثر أو ال يمكن تنفيذها.
الفصل -53إذا رفعت دعوى من نوع ما أشير إليه بالفصل المتقدم أو لم يسبق لهيئة التحكيم أن تعهدت بالنزاع تطبق
أحكام الفقرة الثانية من الفصل19من هذه المجلة.

الفصل -54ال يعتبر مناقضا التفاقية التحكيم أن يطلب أحد األطراف قبل بدء إجراءات التحكيم أو أثناءها من القاضي
االستعجالي أن يتخذ إجراء وقائيا مؤقتا.
القسم الثالث
الفصل 55
-1لألطراف حرية تحديد عدد المحكمين لكن يجب أن يكون العدد وت ار.
الفصل 56
-1ال يمنع أي شخص بسبب جنسيته من العمل كمحكم ما لم يتفق األطراف على خالف ذلك.
-2لألطراف حرية االتفاق على اإلجراء الواجب اتباعها في تعيين المحكم أو المحكمين دون اإلخالل بأحكام الفقرتين
4و5من هذا الفصل.
ب) إذا كان التحكيم بمحكم فرد ولم يستطع األطراف االتفاق على المحكم وجب أن يقوم بتعيينه بناء على طلب أحد
األطراف الرئيس األول لمحكمة االستئناف بتونس بقرار استعجالي.
وينبغي على القاضي أن يراعي -في تعيينه للمحكم -شروط المؤهالت المنصوص عليها بالفقرة األولى من الفصل 10من
هذه المجلة.
-4إذا اتفق األطراف على إجراءات التعيين ولم ينصوا في االتفاقية على وسيلة أخرى لضمان التعيين فإنه يجوز ألي
منهم أن يطلب من الرئيس األول لمحكمة االستئناف بتونس اتخاذ اإلجراء الالزم بقرار استعجالي وذلك في إحدى الصور
التالية:
أ) إذا لم يتصرف أحد األط ارف وفقا لما تقتضيه هذه اإلجراءات.
ب) إذا لم يتمكن األطراف أو المحكمان من التوصل إلى اتفاق مطلوب منهما وفقا لهذه اإلجراءات.
ج) إذا لم تقم الجهة -وإن كانت مؤسسة -بأداء أي مهمة موكولة إليها في هذه اإلجراءات.
22 -5الق اررات التي يتخذها الرئيس األول لمحكمة االستئناف بتونس في المسائل الموكولة إليه بالفقرتين 3و 4من هذا
الفصل ال تقبل أي وجه من أوجه الطعن.
الفصل 57
-1على الشخص -حين يعرض عليه احتمال تعيينه محكما -أن يصرح بكل األسباب التي من شأنها أن تثير شكوكا لها
ما يبررها حول حياده أو استقالليته وعليه -منذ تعيينه وما دامت إجراءات التحكيم سارية -أال يتأخر عن إعالم أطراف
النزاع بوجود أي سبب من هذا القبيل إال إذا كان قد سبق له أن أحاطهم علما بها.
-2ال يجوز التجريح في المحكم إال إذا وجدت أسباب من شأنها ان تثير شكوكا لها ما يبررها حول حياده أو استقالليته أو
إذا لم تتوفر فيه المؤهالت التي اتفق عليها األطراف وال يجوز ألي من أطراف النزاع التجريح في محكم عينه أو اشترك في
تعيينه إال ألسباب تبينها بعد أن تم التعيين.
الفصل 58
-1لألطراف حرية االتفاق على إجراءات التجريح في المحكم مع مراعاة احكام الفقرة 3من هذا الفصل.
-2إذا لم يوجد مثل هذا االتفاق فإن الطرف الذي يعتزم التجريح في محكم ما ينبغي عليه أن يعرض أسباب التجريح كتابة
على هيئة التحكيم خالل خمسة عشر يوما من تاريخ علمه بأي سبب من األسباب المشار إليها بالفقرة 2من الفصل 57
من هذه المجلة.
-3إذا لم يتخل المحكم المجرح فيه أو لم يوافق الطرف اآلخر على طلب التجريح فللقائم بالتجريح أن يطلب من محكمة
االستئناف بتونس خالل خمسة وأربعين يوما من العرض المنصوص عليه بالفقرة 2المتقدمة -النظر في التجريح ويكون
المحكم الصادر في الموضوع غير قابل ألي وجه من أوجه الطعن وفي انتظار المحكم المذكور تتوقف اجراءات التحكيم.
-4إذا اسندت اجراءات التحكيم التي اتفق عليها األطراف البت في التجريح لمؤسسة معينة فعلى المحكمة رفض النظر
فيه.
الفصل 59
-1إذا أصبح المحكم غير قادر بحكم القانون أو بحكم الواقع على أداء مهمته أو تخلف عن القيام بها في أجل ثالثين
يوما فإن هذه المهمة تنتهي بتخليه عنها أو باتفاق األطراف على انهائها أما إذا بقي هناك خالف حول سبب من هذه
األسباب فألحد األطراف على أن يطلب من الرئيس األول لمحكمة االستئناف بتونس أن يفصل في موضوع عزل المحكم
بقرار استعجالي يكون غير قابل ألي وجه من أوجه الطعن وإذا كان تعيين المحكم قد تم وفقا لنظام مؤسسة تحكيم فالنظر
في عزله يتم طبقا لنظام تلك المؤسسة.
-2إذا تخلى المحكم عن مهمته أو وافق أحد األطراف على إنهائها وفقا لهذا الفصل أو للفقرة2من الفصل 58من هذه
المجلة فإن هذا ال يعتبر إق ار ار بصحة أي سبب من األسباب المشار إليها بهذا الفصل أو بالفقرة 2من الفصل57من هذه
المجلة.
الفصل 60

عندما تنتهي مهمة أحد المحكمين وفقا للفصل 58أو الفصل59من هذه المجلة أو بموجب تخليه عنها ألي سبب آخر أو
بسبب عزله باتفاق األطراف أو في أي حالة أخرى من حاالت إنهاء المهمة يعين محكم بديل له وفقا للقواعد التي كانت
واجبة التطبيق على تعيين المحكم الواقع تبديله.
الفصل 61
-1تبت هيئة التحكيم في اختصاصها وفي أي اعتراض يتعلق بوجود اتفاقية التحكيم أو بصحتها ولهذا الغرض ينظر إلى
الشرط التحكيمي بالعقد كما لو كان اتفاقا مستقال عن شروطه األخرى والحكم ببطالن العقد ال يترتب عنه قانونا بطالن
الشرط التحكيمي.
-2يثار الدفع بعدم اختصاص هيئة التحكيم في أجل أقصاه تقديم الملحوظات الكتابية للدفاع في األصل وال يجوز منع أي
طرف من إثارة مثل هذا الدفع بحجة أنه عين أحد المحكمين أو شارك في تعيينه أما الدفع بتجاوز هيئة التحكيم نطاق
نظرها فيجب التمسك به بمجرد أن تثار -أثناء اجراءات التحكيم -المسألة التي يدعي بأنها خارجة عن نظرها ولهيئة
التحكيم في كلتا الحالتين ان تقبل دفعا يثار بعد مضي األجل إذا اعتبرت التأخير وجيها.
-3إذا بتت هيئة التحكيم في أي دفع من الدفوع المشار إليها في الفقرة 2من هذا الفصل بحكم جزئي يجوز ألي طرف
في بحر ثالثين يوما من تاريخ إعالمه به أن يطلب من محكمة االستئناف بتونس أن تفصل في األمر طبقا ألحكام الفصل
78من هذه المجلة.
ويجب البت في الموضوع في أسرع وقت وعلى كل حال في ظرف ال يتجاوز ثالثة أشهر من تاريخ تقديم الطلب.
أما الدفوعات المثارة بعد صدور حكم التحكيم في الطعن المذكور فينظر فيها مع األصل.
القسم الخامس
الفصل - 63يجب أن يعامل األطراف على قدم المساواة وأن تهيأ لكل منهم فرصة كاملة للدفاع عن حقوقه.
الفصل 64
-1مع مراعاة أحكام هذا الباب لألطراف أن يتفقوا على اإلجراءات التي على هيئة التحكيم اتباعها.
-2فإن لم يتفقوا كان لهيئة التحكيم -مع مراعاة هذا القانون -ان تسير في التحكيم حسب الطريقة التي تراها مناسبة
وتشمل السلطة المخولة لهيئة التحكيم سلطة تقرير جواز قبول األدلة المقدمة وصلتها بالموضوع وجدواها وأهميتها.
الفصل 65
لألطراف أن يتفقوا على مكان التحكيم داخل تراب الجمهورية أو خارجه فإن لم يتفقوا تولت هيئة التحكيم تعيين هذا المكان
مع األخذ بعين االعتبار ظروف القضية بما في ذلك راحة األطراف مع مراعاة أحكام الفصل 47من هذه المجلة.

الفصل 66
استثناء من أحكام الفصل المتقدم يجوز لهيئة التحكيم أن تجتمع في أي مكان تراه مناسبا للمداولة بين أعضائها ولسماع
أقوال الشهود أو الخبراء أو أطراف النزاع أو لمعاينة البضائع أو غيرها من الممتلكات أو لفحص المستندات ما لم يتفق
األطراف على خالف ذلك.
الفصل 67
-1لألطراف ان يتفقوا على اللغة أو اللغات التي تستعمل في إجراءات التحكيم وإال عينت هيئة التحكيم اللغة أو اللغات
التي تستعمل في هذه اإلجراءات ويسري هذا اإلتفاق أو التعيين على أي ملحوظات كتابية يقدمها أحد األطراف وعلى أي
مرافعة شفوية وأي حكم تحكيم أو قرار أو أي ابالغ آخر يصدر من هيئة التحكيم ما لم تنص اتفاقية التحكيم على خالف
ذلك.
-2لهيئة التحكيم اإلذن بأن يرفق بأي وثيقة ترجمة لها إلى اللغة أو اللغات التي اتفق عليها األطراف أو عينتها هيئة
التحكيم.
الفصل 68
-1على المدعي -خالل المدة التي يتفق عليها األطراف أو تحددها هيئة التحكيم أن يبين الوقائع المؤيدة لدعواه والمسائل
المتنازع عليها وطلباته وعلى المدعى عليه أن يقدم دفاعه فيما يتعلق بهذه المسائل ما لم يكن األطراف قد اتفقوا بطريقة
أخرى على العناصر التي يجب أن تتناولها تلك الملحوظات ويقدم األطراف مع ملحوظاتهم كل المستندات التي يعتبرون أن
لها صلة بالموضوع أو يجوز لهم أن يشيروا إلى المستندات واألدلة األخرى التي يعتزمون تقديمها.
-2يجوز لألطراف -ما لم يتفقوا على خالف ذلك -أن يحوروا أو يتمموا طلبهم أو دفاعهم خالل سير اإلجراءات إال إذا
رأت هيئة التحكيم أنه ال شيء يحملها على السماح بمثل هذا التحوير لتأخر وقت تقديمه.
الفصل 69
-1ما لم يتفق األطراف على خالف ذلك فإن هيئة التحكيم تقرر ما إذا كانت ستعقد جلسة أو جلسات تستمع فيها إلى
األطراف أو ستقتصر على النظر في الموضوع استنادا إلى ما يقدم لها من وثائق وأوراق ومع ذلك يجوز لها بطلب أحد
األطراف أن تعقد جلسة في الوقت الذي تراه مناسبا.
-2يجب أن يتلقى األطراف في أجل كاف اإلشعار بموعد أي عمل إجرائي تقوم به هيئة التحكيم.
-3يجب أن تبلغ إلى األطراف جميع الملحوظات الكتابية واألوراق والمعلومات التي يقدمها أحدهم كما يجب أن يبلغ إليهم
أي تقرير اختيار أو أي مستند قد تستند إليه هيئة التحكيم في حكمها.
الفصل 70
-1إذا تخلف المدعي دون عذر شرعي عن تقديم ملحوظات دعواه وفقا للفصل (68أ) من هذه المجلة فإن هيئة التحكيم
تنهي إجراءات التحكيم.

-2إذا تخلف المدعي عليه دون عذر شرعي عن تقديم ملحوظات دفاعه وفقا للفصل )1(68من هذه المجلة فإن هيئة
التحكيم تواصل اإلجراءات دون أن تعتبر هذا التخلف في حد ذاته اق ار ار لصحة الدعوى.
-3إذا تخلف أحد األطراف دون عذر شرعي عن حضور جلسة أو عن تقديم مستنداته فلهيئة التحكيم مواصلة اإلجراءات
وإصدار حكمها بناء على ما توفر لديها من األدلة كل ذلك ما لم يتفق األطراف على خالفه.
الفصل 71
أ) أن تعين خبي ار أو أكثر لتقديم تقرير إليها بشأن مسائل معينة تحددها.
ب) أن تطلب من أي طرف أن يقدم إلى الخبير أية معلومات لها صلة بالموضوع أو ان يسمح له باالطالع على أي
مستند لفحصه أو مشاهدة أية بضاعة أو أموال أخرى لمعاينتها.
-2بعد تقديم تقرير االختبار وإذا طلب ذلك أحد األطراف أو رأته هيئة التحكيم ضروريا فإن الخبير يحضر بجلسة يناقش
فيها االختبار الذي أجراه ويستمع كذلك إلى شهادة غيره من الخبراء في الموضوع.
الفصل 72
يجوز لهيئة التحكيم أو ألي طرف بموافقتها طلب المساعدة من محكمة مختصة للحصول على أدلة.
ويجوز لهذه المحكمة االستجابة للطلب في حدود اختصاصها ووفقا للقواعد المقبولة لديها في الحصول على األدلة.
القسم السادس
الفصل 73
-1تبت هيئة التحكيم في النزاع وفقا ألحكام القانون الذي يعينه األطراف.
-2إذا لم تحدد األطراف القانون المنطبق فإن هيئة التحكيم تعتمد القانون الذي تراه مناسبا.
-3يجوز لهيئة التحكيم البت في النزاع طبق قواعد العدل واإلنصاف إذا أباح لها األطراف ذلك صراحة.
-4في جميع األحوال تبت هيئة التحكيم في النزاع وفقا لشروط العقد مع األخذ بعين اإلعتبار العرف التجاري المنطبق
على المعاملة.
الفصل 74
في إجراءات التحكيم التي يشترك فيها أكثر من محكم واحد يصدر حكم هيئة التحكيم بأغلبية اآلراء ما لم يتفق األطراف
على خالف ذلك على أنه يمكن البت في المسائل اإلجرائية من طرف رئيس هيئة التحكيم إن باح له ذلك األطراف أو
سائر أعضاء الهيئة.

وإذا لم تتكون األغلبية فإن رئيس هيئة التحكيم يصدر الحكم طبق رأيه ،ويكتفى في هذه الصورة بإمضائه على الحكم.
الفصل 75
-1يصدر حكم التحكيم كتابة ويوقعه المحكم أو المحكمون وفي صورة تعدد المحكمين فإنه يكفي توقيع أغلبية أعضاء
هيئة التحكيم بشرط التنصيص على سبب عدم توقيع اآلخرين.
-2يجب أن يكون حكم التحكيم معلال ما لم يتفق األطراف على خالف ذلك أو لم يكن األمر يتعلق بحكم تحكيم مبني
على اتفاق األطراف وفقا للفصل 15من هذه المجلة.
-3يجب أن يبين الحكم تاريخ صدوره ومكان التحكيم المحدد وفقا للفصل 65من هذه المجلة ويحمل حكم التحكيم على
أنه صادر في ذلك المكان.
-4تسلم إلى كل من األطراف نسخة من الحكم الصادر مذيلة بتوقيع المحكم أو المحكمين وفقا للفقرة ( )1من هذا الفصل.
الفصل 76
-1تختم إجراءات التحكيم بصدور حكم التحكيم في األصل أو بقرار ختم من هيئة التحكيم وفقا للفقرة الثانية من هذا
الفصل.
ج) إذا رأت هيئة التحكيم أن استمرار اإلجراءات أصبح ألي سبب من األسباب غير ضروري أو مستحيال.
-3تنتهي مهمة هيئة التحكيم بختم إجراءات التحكيم مع مراعاة أحكام الفصل 77والفقرة الرابعة من الفصل 78من هذه
المجلة.
الفصل 77
-1خالل ثالثين يوما من صدور حكم التحكيم يجوز لهيئة التحكيم من تلقاء نفسها إصالح الغلط في الرسم أو في
الحساب أو أي غلط مادي تسرب إلى الحكم.
-2إذا قدم أحد األطراف خالل ثالثين يوما من اتصاله بالحكم مطلبا لهيئة التحكيم وأعلم به الطرف اآلخر ولم يسبق
االتفاق على ما يخالف األجل المذكور فإنه يجوز لهيئة التحكيم أن تباشر األعمال التالية - :
27 ج) إصدار حكم تكميلي في جزء من الطلب وقع السهو عنه في الحكم.
وتصدر هيئة التحكيم الحكم خالل ثالثين يوما من تاريخ تعهدها بالمطلب إذا كان حكما إصالحيا أو تفسيريا وخالل ستين
يوما إذا كان حكما تكميليا.
ويجوز لها التمديد عند االقتضاء في أجل إصدار حكم الشرح أو الحكم التكميلي.
-3يكون الحكم الصادر في إحدى الصور المبينة بهذا الفصل جزء ال يتج أز من الحكم األصلي.
القسم السابع
الفصل 78
-1ال يجوز الطعن في حكم التحكيم إال بطريق اإلبطال ويتم ذلك وفقا للفقرتين الثانية والثالثة من هذا الفصل.
-2ال يجوز لمحكمة االستئناف بتونس أن تبطل حكم التحكيم إال في الصورتين اآلتيتين:
أوال -إذا قدم طالب اإلبطال دليال يثبت أحد األمور التالية- :
أ) إن أحد أطراف اتفاقية التحكيم المشار إليها بالفصل52من هذه المجلة ال يتوفر فيه شرط من شروط األهلية أو أن هذه
االتفاقية غير صحيحة في نظر القانون الذي أخضعها له األطراف أو في نظر قواعد القانون الدولي الخاص إن لم يعينوا
القانون المنطبق.
ب) أن طالب اإلبطال لم يقع إعالمه على وجه صحيح بتعيين أحد المحكمين أو بإجراءات التحكيم أو أنه تعذر عليه لسبب
آخر الدفاع عن حقوقه.
ج) إن حكم التحكيم يتناول نزاعا ال يقصده االتفاق على التحكيم أو ال يشمله الشرط التحكيمي أو انه يشتمل على الحكم
في مسائل خارجة عن نطاق االتفاق على التحكيم أو الشرط التحكيمي على أنه إذا كان من الممكن فصل نص الحكم
المتعلق بالمسائل المعروضة على التحكيم عن نصه المتعلق بالمسائل غير المعروضة على التحكيم هو وحده الذي يجوز
إبطاله.
د) إن تشكيل هيئة التحكيم أو ما وقع اتباعه في إجراءات التحكيم كان مخالفا لمقتضيات اتفاقية تحكيم بصفة عامة أو
لنظام تحكيم مختار أو لقانون دولة وقع اعتماده أو لقواعد أحكام هذا الباب المتعلقة بتشكيل هيئة التحكيم
ثانيا -إذا رأت المحكمة أن حكم التحكيم يخالف النظام العام في مفهوم القانون الدولي الخاص.
-3ال يجوز تقديم طلب اإلبطال بعد ثالثة أشهر من يوم تسلم الطالب لحكم التحكيم أو من يوم البت في المطلب من قبل
هيئة التحكيم أن قدم لها هذا الطلب وفقا للفصل 77من هذه المجلة
-4يجوز للمحكمة المتعهدة بطلب اإلبطال -عند االقتضاء وبطلب من أحد األطراف -أن توقف إج ارءات اإلبطال لمدة
تحددها تمكينا لهيئة التحكيم من استئناف إجراءات التحكيم أو اتخاذ ما ترى من شأنه إزالة أسباب اإلبطال.
-5إذا قضت المحكمة المتعهدة ببطالن الحكم كال أو جزء -فإنه يجوز لها عند االقتضاء وبطلب من جميع األطراف -
أن تحكم في موضوع النزاع ويكون لها صفة المحكم المصالح المنصوص عليها بالفصل 14من هذه المجلة أن توفرت هذه

الصفة في التحكيم
وإذا قررت رفض الطعن فإن حكم الرفض يقوم مقام األمر بتنفيذ حكم التحكيم المطعون فيه.
-6يجوز لألطراف الذين ليس لهم بتونس مقر أو محل إقامة أصلي أو محل عمل ان يتفقوا صراحة على استبعاد الطعن
كليا أو جزئيا فيما تصدره هيئة التحكيم.
وإذا طلبوا االعتراف بالحكم التحكيمي الصادر وتنفيذه داخل التراب التونسي وجب تطبيق أحكام الفصول 80و 81و82
من هذه المجلة.
القسم الثامن
الفصل 79
مع مراعاة قواعد التعامل بالمثل تخضع ألحكام هذا القسم األحكام التحكيمية األجنبية? كما تخضع لها األحكام الصادرة في
مجال التحكيم الدولي بصرف النظر عن البلد الذي صدرت فيه وذلك لغاية االعتراف والتنفيذ في تونس.
الفصل 80
1ـ يكون لمحكم التحكيم من النفوذ ما نصت عليه أحكام الفصل 32من هذه المجلة وذلك بقطع النظر عن البلد الذي صدر
فيه ينفذ بناء على طلب كتابي يقدم إلى محكمة االستئناف بتونس مع مراعاة أحكام هذا الفصل والفصلين 81و82من هذه
المجلة.
-2على الطرف الذي يستند إلى حكم تحكيم أو يقدم طلبا لتنفيذه أن يقدم الحكم األصلي المشهود بصحته على الوجه
الصحيح أو صورة منه مطابقة لألصل واتفاقية التحكيم األصلية المشار إليها في الفصل52من هذه المجلة أو صورة منها
مطابقة لألصل وتكون الوثيقتان المذكورتان مرفقتين عند االقتضاء بترجمة رسمية لهما اللغة العربية.
الفصل 81
ال يجوز رفض االعتراف بأي حكم تحكيمي أو رفض تنفيذه بقطع النظر عن البلد الذي صدر فيه إال في الحالتين
التاليتين:
أوال -بناء على طلب الطرف المطلوب تنفيذ الحكم ضده إذا قدم هذا الطرف إلى محكمة االستئناف بتونس المقدم إليها
طلب االعتراف أو التنفيذ دليال يثبت أحد األمور التالية :
أ) إن طرفا في اتفاقية التحكيم المشار إليها بالفصل 52من هذه المجلة ال يتوفر فيه شرط من شروط األهلية أو أن هذه
االتفاقية غير صحيحة في نظر القانون الذي أخضعها له األطراف أو أنها -عند عدم اإلشارة إلى مثل هذا القانون -غير
صحيحة في نظر قواعد القانون الدولي الخاص.
ب) أن الطرف المطلوب تنفيذ الحكم ضده لم يقع إعالمه على الوجه الصحيح بتعيين المحكم أو بإجراءات التحكيم أو انه

تعذر عليه لسبب آخر الدفاع عن حقوقه.
ج) إن حكم التحكيم يتناول نزاعا ال يقصده االتفاق على التحكيم أو ال يشمله الشرط التحكيمي أو أنه يشتمل على الحكم
في مسائل خارجة عن نطاق االتفاق على التحكيم أو الشرط التحكيمي على إنه إذا كان من الممكن فصل نص الحكم
المتعلق بالمسائل المعروضة على التحكيم عن نصه المتعلق بالمسائل غير المعروضة على التحكيم فجزؤه القاضي بالحكم
في المسائل المعروضة على التحكيم هو وحده الذي يجوز االعتراف به وتنفيذه.
د) إن تشكيل هيئة التحكيم أو ما وقع اتباعه في إجراءات التحكيم كان مخالفا لمقتضيات اتفاقية تحكيم بصفة عامة أو
لنظام تحكيم مختار أو لقانون دولة وقع اعتماده أو لقواعد احكام هذا الباب المتعلقة بتشكيل هيئة التحكيم.
هـ) إن حكم التحكيم قد أبطلته أو أوقفت تنفيذه إحدى محاكم البلد الصادر فيه ذلك الحكم أو إنه وقع إبطاله أو إيقاف تنفيذه
بموجب قانون ذلك البلد.
ثانيا -إذا رأت المحكمة أن االعتراف بحكم التحكيم أو تنفيذه يخالف النظام العام في مفهوم القانون الدولي الخاص.
الفصل 82
إذا قدم طلب بإبطال حكم تحكيم أو بإيقاف تنفيذه إلى المحكمة المشار إليها بالفقرة "هـ" من الفصل 81من هذه المجلة
جاز لمحكمة االستئنافي بتونس المقدم إليها طلب االعتراف أو التنفيذ تأجيل حكمها ويجوز لها أيضا بناء على طلب
الطرف طالب االعتراف بحكم التحكيم أو تنفيذه -أن تأذن الطرف اآلخر بتقديم الضمان المناسب.

.11ختم المرافعات
يتمثل ا إلشكال في أنه بعد تشكيل هيئة التحكيم وشروعها في تلقي مذكرات الطرفين ،توجه الطرف
المدعى عليه برسالة إلى رئيس هيئة التحكيم هذا نصها:
حتية واحرتاما،
يسعدان أن نتوجه إليكم هبذه الرسالة ملا ملسناه من حضرتكم من حيادية واستقاللية ومهنية عالية واحرتام حلقوق األطراف ،وحنن ال
نتوسم منكم سوى اخلري والعدل واالنصاف.
مع األسف ،هذه اخلصال ال تتوفر لدى اجلميع ،وقد عاينا ذلك خالل هذا التحكيم .فبعد أن مت تشكيل هيئة التحكيم ،تبني لنا
أن احملكم املعني من قبل اخلصم ،املهندس انجي احملمدي ،سبق له أن قدم خدمات استشارية لفائدة الشركة املدعية ،وذلك عند
قيامها إبجراءات للحصول على تعويض من شركة أتمني على إثر تعرض معدات حقل نفطي اتبع هلا إىل حريق ،وقد تقاضى عن
33 ذلك أتعا ًاب جمزية تتجاوز ما كان حيصل عليه سنواي من عمله العادي كمهندس.
