Planting Agreement
Works to be carried out by the
Planter on the License Area
(collectively, “Planter’s Works”)
SCHEDULE II
PLANTER’S WORKS
The Planter agrees and undertakes to fulfil the following
duties and obligations:
a. shall plant, replant and grow the Pineapple trees on the
License Area following the Planting Plan;
b. shall maintain the License Area in a reasonably good
condition, including but not limited to institute a program
of weeding, to initiate fertilizer application, to institute
pest and disease control measures and any other care
methods and/or works which are reasonably required to
maintain the condition of the License Area;
c. shall maintain and ensure the free flowing of the drains
on the License Area to avoid waterlogged conditions or
flooding;
d. shall not remove or cut the standing Pineapple trees
without consent of the Company;
e. shall not allow open burning on the License Area;
f. shall not alter the layout of the License Area or remove
any sands, earth, rocks or minerals found in and
beneath the License Area without consent of the
Company;
g. shall not plough and break up the License Area without
proper consideration of the water management and
road usage;
h. shall not cultivate the License Area with any other crops
without consent of the Company;
i. shall legally employ and maintain a workforce which is
competent and in sufficient numbers to manage and
cultivate the License Area;
j. shall not use the License Area for any immoral,
offensive or illegal purposes such as exporting earth,
tree cutting, illegal quarters and others;
k. shall ensure that all workers comply with all safety and
health practices and procedures and welfare of its
workers;
l. shall comply with all applicable laws and/or regulations
including but not limited to labour laws and regulations;
m. shall not make alterations, renovations, build and
demolish any permanent or temporary buildings and/or
structures on the License Area without consent of the
Company;
n. shall accept the License Area on an “as is where is”
basis and shall not assign, sublet, transfer or hold the
License Area in trust for any other party;
o. shall immediately notify or report all violation or breach

or notices served by any Appropriate Authorities to the

Company together with corrective and preventive action
plan to prevent recurrence of the violation or breach;

p. shall not use any chemical or pesticide that has been

banned from use in Malaysia or which the Company
specifically advise should not be used on the License
Area, and to follow acceptable environmentally friendly
practices; and

q. shall notify the Company promptly in writing of any

event or circumstances that may adversely affect
performance of this Agreement.

FEES

Planter’s Works Rate of Fees Payment of Fees

1. Initial planting, growing,
maintenance and
harvesting of Pineapple
trees at the License Area.
Ringgit Malaysia Two Million Eight
Hundred Ninety Three Thousand and
Three Hundred (RM2,893,300) for the
basis of approximately Sixteen
Thousand (16,000) Pineapple trees
per acre for Fifty (50) acres, subject
to land condition.
The Company shall pay to the
Planter the Fees in respect of
initial planting of Pineapple
trees according to progress
stated in Schedule IV.

CROPS BUY BACK OPTION

1. Pineapple fruits Ringgit Malaysia 2.50 (Two and Fifty Cents) per kilogram.

2. Pineapple suckers Ringgit Malaysia 0.80 (Eighty Cents) per sucker.
