THIS “NON DISCLOSURE AGREEMENT” (NDA) is made on this ____day of __________, 20
(the “Agreement”). BETWEEN
JSW STEEL LIMITED, a Company within the meaning of Section 2 of the Companies Act,
2013, having its registered office at: “JSW Centre”, Bandra - Kurla Complex, Bandra (East),
Mumbai 400 051 and its Vijaynagar Works at P.O. Vidyanagar, Sandur taluk, District Bellary,
Karnataka-583275 (hereinafter referred to as the “Company” which expression shall unless it be
repugnant to the context or meaning thereof be deemed to mean and include its successors and assigns)
of the One Part; AND

to as the “Employee”) of the Other Part.
Hereinafter the Company and the Employee shall collectively be referred to as the “Parties” and
individually as a “Party”.
RECITALS
A. The Company is engaged, inter alia, in the business of manufacture of steel and steel related
products;
B. The Employee has joined the Company on [……………………date as provided in the
appointment letter] as provided in his/ her letter of appointment;
C. The Employee has agreed to abide and adhere to the provisions of his/her letter of
appointment;
D. The Company has entered into technical agreements including but not limited to foreign
collaboration agreement, license agreements, technical assistance agreements with JFE Steel
Corporation (“JFE”) pursuant to which JFE has agreed to license certain Technology, patents
and Know-How to the Company for manufacture of certain products );
E. The Company intends to disclose the Technology to the Employee in order to allow the
Employee to assist/ support/ coordinate in the manufacture of the products (the “Purpose”);
F. It is expected that in order to accomplish the Purpose as set forth in recital (D) above,
Confidential Information (as defined below) shall be disclosed by the Company to the
Employee; and
G. The Parties have entered into this Agreement to safeguard each Party's respective rights and the
Parties wish to record in writing the terms and conditions on which the Confidential
Information is to be disclosed by the Company to the Employee.
1.1 “Confidential Information” means all information and materials disclosed by or on behalf of
the Company to the Employee in connection with the Purpose and shall include any
information concerning the organization, business, intellectual property, Technology, trade
secrets, Know-How, proprietary information, technical data, formulae, processes, research and
development, finance, transactions or affairs of the Company (whether conveyed in written,
oral or in any other form and whether such information is furnished before, on or after the date
of this Agreement); any information whatsoever concerning or relating to (1) any dispute or
claim arising out of or in connection with this Agreement; (2) any resolution of such claim or
dispute; and any information or materials prepared by the Company that contain or otherwise
reflect, or are generated from, Confidential Information;
1.2 "Know-How” means confidential or trade secrets, technical, industrial and related information
and techniques in any form (including without limitation paper, electronically stored data,
magnetic media, film and microfilm) including, without limitation, ideas, concepts, methods,
techniques, inventions (whether patentable or unpatentable), and other works, drawings,
formulae, test results, reports, project reports and testing procedures, shop practices, instruction
and training manuals, tables of operating conditions, business process know-how,
specifications, quotations, tables, lists and details of customers and suppliers (subject to the
confidentiality obligations of JFE in respect of such customers and suppliers), technical
methods and procedures;
1.3 "Technology" means the technology legally and beneficially owned or beneficially owned by
JFE including the latest technology at the time of this Agreement, which has been developed
by JFE and all intellectual property in respect of such technology, which is being licensed by
JFE to the Company and to be used by the Company in manufacturing the products;
2. The Employee hereby acknowledges that the Confidential Information is being made available
to it for the purposes set out in this Agreement and accordingly undertakes that, subject to
clause 3 below and for the Term (defined hereinbelow) of this Agreement, the Employee shall
keep confidential and, unless with the prior written consent of the Company, will not disclose
to any third party any Confidential Information; provided that any such information may be
disclosed to those on a "need to know" basis. The Employee agree that he/ she shall not during,
or at any time after the termination of his/ her employment with the Company, use for himself/
herself or others, or disclose or divulge to others including future employees, any Confidential
Information, or any other proprietary data of the Company in violation of this Agreement.
3. The obligations in clause 2 above shall not apply in respect of disclosure or use of any
Confidential Information that is:
3.2 disclosure, after giving prior notice to the Company, subject to using best efforts to make
arrangements to protect confidentiality, to the extent required under laws of India or judicial
process; or
3.3 Confidential Information already known or already in the lawful possession of the Employee as
of the date of its disclosure by the Company.
4. The Employee agrees and understands that upon the termination of his/her employment from
the Company:
4.2 shall return to the Company all the Confidential Information in possession, power or control of
the Employee, including but not necessarily limited to: drawings, blueprints, reports, manuals,
correspondence, customer lists, computer programs, and all other materials and all copies
thereof relating in any way to the Company's business, or in any way obtained by the
Employee during the course of employment. The Employee further agree that he/ she shall not
retain copies, notes or abstracts of the foregoing;
4.3 the Company may notify any future or prospective employer or third party of the existence of
this Agreement, and shall be entitled to full injunctive relief for any breach;
4.4 this agreement shall be binding upon the Employee, and shall inure to the benefit of the
Company, its successors and assigns.
5. In view of the difficulties in placing a monetary value upon the Confidential Information or the
effects of unauthorized disclosure or the effects of any breach of the terms of this Agreement,
the Employee agrees and acknowledges that money damages are not a sufficient remedy for
any breach of this Agreement by the Employee and that the Company shall be entitled to
specific performance or injunctive relief (as appropriate) as a remedy for any breach or
threatened breach thereof, in addition to any other remedies available at law or in equity. The
rights, powers and remedies of the Company as provided in this Agreement are cumulative and
do not exclude the rights or remedies available at law or in equity to the Company
independently of this Agreement.
6. The Employee hereby agrees to indemnify and hold harmless the Company from any damage,
loss, cost or liability, costs, charges and expenses that it may pay or incur from investigating,
disputing or defending any claim, action or demand to have arisen out of or to have resulted
from any breach of this Agreement.
8. The Employee understands and agrees that he/ she shall not during his/her employment with
the Company (i) disclose the Confidential Information as received by him/ her to any person
(except those Company’s employee involved in the Purpose) and (ii) use the Confidential
Information for any other purpose but for benefit of Company under instructions from the
Company.
9. No forbearance, delay or indulgence by the Company in enforcing any of the terms and
conditions of this Agreement or the granting of time to the Employee shall prejudice or restrict
the rights and powers of the Company nor shall a waiver of any breach operate as a waiver of
any subsequent or continuing breach of this Agreement.
10. No waiver of any term or condition of this Agreement will be effective unless made in writing.
Any amendments to this Agreement will not be effective unless agreed in writing and signed
by both Parties.
11. This Agreement is governed by the laws of India. Any action or dispute brought in connection
with this Agreement shall be brought exclusively to the jurisdiction of Courts in Toranagallu,
District Bellary, Karnataka.
12. The Employees agrees that the terms and conditions of this Agreement shall survive the
termination of his/ her employment.
13. Any notice or other communication to or by any Party to this Agreement shall be given in
writing to the other Party concerned at the address hereinabove mentioned or such other
address as the Party has notified to the other Party in writing by Registered AD or Courier.
14. No change, variation or modification of any of the terms and conditions set forth herein shall
be valid unless incorporated as an amendment to this Agreement, and signed by the duly
authorized representatives of both the Parties.
IN WITNESS WHEREOF, each of the Parties has caused this Agreement to be duly executed by its
authorized representatives on the date and year first hereinabove written
