Force Majeure - "Event of Force Majeure " means an event beyond the control of the Parties, which prevents a Party from complying with any of its
obligations under this Contract, including but not limited to:
i) act of God (such as, but not limited to epidemics, landslides, hurricanes, tornados, fires, explosions, earthquakes, drought, tidal waves and floods);
ii) war, hostilities (whether war be declared or not), invasion, act of foreign enemies, mobilization, requisition, or embargo;
iii) rebellion, revolution, insurrection, or military or usurped power, or civil war;
iv) contamination by radio-activity from any nuclear fuel, or from any nuclear waste from the combustion of nuclear fuel, radio-active toxic explosive,
or other hazardous properties of any explosive nuclear assembly or nuclear component of such assembly;
v) riot, commotion, strikes, go slows, lock outs or disorder, unless solely restricted to employees of the Supplier or of his Subcontractors; or
vi) acts or threats of terrorism;
vii) specific incidents of exceptional adverse weather conditions, tempest, earthquake or any other natural disaster of overwhelming proportions;
viii) discontinuation of electricity supply for a prolong period of time that would cause the closure of the parties’ main place of business;
ix) government regulations including but limited to business shutdowns;
x) other unforeseeable circumstances beyond the control of the Parties against which it would have been unreasonable for the affected party to take
precautions and which the affected party cannot avoid even by using its best efforts.
I. Consequences.
i) Neither Party shall be considered in breach of this Contract to the extent that performance of their respective obligations is prevented by an Event
of Force Majeure affecting the United States that arises after the Effective Date.
ii) The Party (the “Affected Party”) is prevented from carrying out its obligations hereunder shall give notice to the other Party of an Event of Force
Majeure upon it being foreseen by, or becoming known to, the Affected Party.
II. Optional Termination, Payment and Release.
i)Irrespective of any extension of time, if an Event of Force Majeure occurs affecting the United States and its effect continues for a period of [180] days,
either Party may give to the other a notice of termination
