5.1. The Buyer shall indemnify and hold harmless the Seller from any claims, damages,
liabilities, costs, and expenses arising from or related to the employment of the Employee by
the Buyer after the date of Transfer.

6. **Governing Law**
6.1. This Agreement shall be governed by and construed in accordance with the laws of
