WHEREAS, the undersigned, Seller, has the authority to sell and deliver this precious AU
Metal and enter this Agreement for AU Metal under the Transaction Code: RL/MJ/HK/50KG

The Seller also confirms with full personal authority and legal responsibility that she is
ready, willing and able to sell the said Gold Bars(AU Metal)and provides Bank Account with
banking details attached hereto as Appendix A.
在此 , 卖家签署人，按本交易代码: RL/MJ/HK/50KG,确认有权可出售及提供有关黄金条。卖方同时确认有
充分的授权及有权力范围及法律责任下,已经准备好,愿意及有能力提供本协议书有关之金条给买方,并提供
他的银行存款账户的银行坐标如附录 A。
NOW THEREFORE,in consideration of the mutual interest sand covenants,the parties hereby
confirm with full personal and corporate and legal responsibility, under penalty of
perjury, and unconditionally agree to the following terms and conditions stipulated
hereunder:

因此现在,考虑到双方的共同利益及契约，双方特此确认充分的个人和公司的权利，在法律责任根据伪
证处罚法律，无条件的同意下列的条款及条文规定如下：

1. TERMS AND CONDITIONS 条款及条件

Commodity : AU metal Gold in Bar Form. Less than 5 years.(Refined)

Specifications : 1 Kilogram Bar Shape.

Total Quantity : 50KG.Per Week(R & E)

Purity : 999.5 or above fineness. (Refined)

2.DOCUMENTATION 文件:（IF NECESSARY）

3.PAYMENT 付款

100% payment should be made by Buyer via T/T from bank to bank for Seller immediately
according to the report of refinery. 买方根据熔炼报告以银行转账方式支付 100%货款给卖方。

4. PROCEDURES 操作流程

• Buyer issue LOI to Seller And Seller reply with FCO, then Seller and Buyer sign Sale
And Purchase Agreement and NCNDA/IMFPA for AU Metal by face to face or electronically,
the electronic signatures are deemed acceptable to both parties. And exchange Color
copies of passports of Seller and Buyer and their Corporate Registration/Resolution.

买方开出采购意向书给卖方，卖方开出意向合同回复买方，然后买方和卖方签署正式买卖合约及保
密协议，面对面或电子签章方式是被双方所认可, 及交换买方及卖方之护照复印件/公司营业执照/
董事会决议书。
• Seller shall arrange to guarantee for delivering the AU Metal to Buyer as schedule
of delivery as Appendix F.

卖方依照运送时间表如附录 F 出货给买方

3. After signed this SPA ，Seller will deliver each tranche of AU Metal to Buyer’s
designated refinery in Hong Kong China (SING YAM/GAM SAI).

签订本合同后，卖方运送每批次黄金到买方指定在中国香港的炼金场(晟鑫/金势)。
4. After Seller deliver each tranche of AU Metal to Buyer's designated refinery(Seller borne
transportation charges and Buyer borne refine charges). Buyer sign for acknowledgement to
receive each tranche of AU Metal. Each tranche of AU Metal should be completed the assay
within 3 hours. As soon as assaying is completed and the“assay report”meets with Buyer's
request(999.5), Buyer shall transfer the full payment for each tranche of AU Metal by TT
to Seller's account according to the quantity of“assay report” within 3 hours on the day
of the assay report came out. Seller should acknowledge to transfer the AU ownership to
Buyer or Buyer's designated company automatically immediately. And Buyer also bears
Seller’s two ways airflight and hotel expenses in Hong Kong. Buyer will pay to Seller in
 cash according to Seller presents the invoices and evidence.(Max.USD3,000.per person in
each transaction) and pay the consultancy fee to buyer’s intermediary.
卖方负责运送(含运费)( 买方负责熔炼费)每批次黄金到买方指定的炼金场后，买方签字确认收
到每批次黄金，每批次黄金需在 3 小时内完成化验。一旦化验完成，“检测报告”符合买方的要
求(999.5)，买方应根据检测报告的数量，在检测报告出来的 3 小时内以 TT 电汇款方式支付每批次
黄金货款到卖方银行的账户。卖方即时承诺把黄金物权自动转给买方或买方指定公司。同时买方
支付每次交易卖方的来回香港机票和酒店住宿费用，根据卖方提供有关发票/凭证即时支付给卖
方(限额每次每人各美元 3,000.)。同时买方支付买方居间人的居间费。
5. The procedure of above should be repeated to perform until delivery schedule fully
completed as in Appendix F.

以上的作业流程必须重复执行至交货全部完成,依照运送时间表,如 附录 F。
6. Further rolling deliveries of size and frequency of lifts to be followed according to
the Sale and Purchase Agreement after the delivery of the 50KG of AU Metal has been
completed as per Transaction Code:RL/MJ/HK/50KG
往后的交易依照交易代码: RL/MJ/HK/50KG 规定的数量 50 公斤完成后,可以滚动延展。
7. The complete agreement quantity shall be completed within (12) twelve months from the
date of the first lift.
合同内的总数量会于第一次交运日起算的(12)个月内完成交运。

5. NON-CIRCUMVENT&NON, NON- DISCLOSURE AGREEMENT 不踰越，不泄密

Seller and Buyer accept and agree to the provisions of the international chamber of
commerce, Paris, France, for non-circumvention and non-disclosure, with regards to all
and everyone, including third party assignments with full reciprocation for a period
of 5 (Five) years from the last performance of delivery.
买卖双方以及所有与此协议书有相关联及收取回报的任何一方 , 同意接受法国巴黎国际商会不超
越 , 不泄密的条文 , 从最后一次交运日开始起算期限为 5 年。
6.BANKING COORDINATES 银行坐标

Seller’s Banking Detail and Buyer’s Banking Detail are described in the attached
Appendix A

7. OTHER CONDITIONS 其他条件

• Buyer’s fund for commodity’s payment must be transferred to Seller’s

account according to the amount purchased for each tranche and must be
approved by international Financial Law (ICC500/600) which is legally
 transferable from the Buyer’s Bank to the Seller’s account at Seller’s
Bank.
买方必需按每次交付商品之数量支付相应之货款予卖方，买方同时需按国际财务法规
(ICC500/600) 由买方银行转账致卖方银行账号以确保此举是合法地进行，
• Buyer should meet all the requirements as stated in the above clauses1.1,
otherwise this deal would be void.
买方需遵守上述条款 1.1, 否则交易无效。

8. WARRANTY 担保

Each party represents and warrants under risk and penalty of perjury that the
respective parties are ready, willing and able (RWA) to perform the respective
obligations of each party to this agreement and that the mutual considerations,
which include the currencies and AU Metal are good, clean, and are of non-criminal
origin and are free and clear of all liens and encumbrances.

双方声明并保证根据风险和伪证处罚法的有关条例,双方都准备好了,愿意和能够(风险加权资产)
履行各自的义务,在此的每一方对本协议的条款都已认真研读和仔细考虑,其中包括现金和黄金
完好的,洁净的、无犯罪来源的,并且对所有优先权和抵押权是自由和干净的。

9.PENALTY CLAUSE: 惩罚条款

Any dispute between the parties will settled by negotiation, and if unresolved after
Thirty(30) days of the dispute, then both parties hereby agree to abide by the
decision of the Courts in Hong Kong Special Administrative Region, China and the
place of jurisdiction will be China Hong Kong.

双方之间的争议将通过谈判解决，如果在争议叁拾(30)天后仍未解决，则双方同意遵守中国
香港法院的裁决，管辖地将成为中国香港。
In the event that One party failed to perform accordingly, the other party has
the right to claim the penalty fee 2% of this SPA tranche sum, which will be
given by breaching party.
如果一方未能履行相应义务，另一方有权要求卖方给予根据本协议批次货量金额之 2% 的罚金。
