Customer Service Point - Agreement

This Agreement is entered on 20/Sep/2023 hereinafter called the “Effective Date”) at DELHI

BETWEEN

M/S.“CSC e-GOVERNANCE SERVICES INDIA LIMITED”, a Company incorporated under the


Companies Act 1956, having its registered Office at Electronics Niketan, 4th Floor, DIT, Program
Management Unit, 6, CGO Complex, Lodhi Road, New Delhi-110003 (hereinafter referred to as
“CSC SPV ", which expression shall, unless it be repugnant to the subject or context thereof, shall
deem to mean and include its successors and assigns) of the ONE PART

AND

Mr./Mrs./Ms./M/s RAVINDRA RANA a Village Level Entrepreneurs (VLE) having his/ her
Common Service Center (CSCs) at Chhatri Egra - I Purba Medinipur West Bengal
Sub-District: Egra - I District: Purba Medinipur, State: West Bengal and Pin
Code
Hereinafter referred to as Customer Service Point “CSP/BCA” of the Second Part having CSC/ VLE
ID bearing No. 172443440018 , PAN No ATPPR8125D , Ko Code - 11221889 link
with Branch of BANK OF INDIA.

CSC SPV and the CSP/BCA are hereinafter collectively referred to as “Parties” and
individually as “Party”.

WHEREAS CSC e-Governance Services India Limited is incorporated to implement and monitor the
Common Service Center (”CSC”) established and formed pursuant to CSC scheme to enable the
Government to progressively migrate to an e-Governance platform and enable services through the

CSC network. The primary role of CSC SPV is to monitor the implementation of CSC Schemes and
its outcome on behalf of the Government at the National and State Levels. It provides a centralized
collaborative framework for delivery of services to the citizens through CSCs setup by various
Village Level Entrepreneurs (“VLE”)

WHEREAS the Bank including but not limited to Schedule Bank, Private bank Payment bank,
Gramin Bank, Co-operative Bank etc has undertaken to expand its banking operations
extensively in accordance with the Guidelines dated DBOD. No.
BAPD.CSP/BCA.7/22.01.001/2014-15 dated 1st July 2014 Issued by the Reserve Bank of India and
the related constraints therein, with such further changes as may be initiated by the RBI from
time to time, and pursuant to the aforesaid guidelines, the Bank has signed an agreement with
CSC SPV to work as Corporate Business Correspondent CSP/BCA (CBC)/Service Provider
(CSP/BCA) on principal to principal arrangement and franchise model to facilitate its business
growth and the Corporate Business correspondent" (CBC)/ Service Provider (CSP/BCA) has
offered to undertake such assignment / provide professional services as may be required by the
Bank.
The CBC/BCA agrees to provide the services through Customer Service Point (CSP/BCA/BCA)
/Bank Mitra from its Network of VLE

Terms & Conditions:

It is agreed between CSC e-Governance Services India Limited. Ltd and CSP/BCA as follows:

1. DEFINITIONS:

In this agreement, including the schedules to this agreement, the following words and phrases
shall have the following meaning: "Banks" shall mean BANK OF INDIA and/or any other bank
which is represented by "CSC e-Governance Services India Limited. Ltd" as their Corporate
Business Correspondents (CBC). "End User" Shall refer to the customers of the Bank to whom the
CSP/BCA makes a bank transaction or sale of CSP specified services and products of bank."
Refundable Deposit" refers to the initial amount by the CSP/BCA to the CSC SPV for the
purpose of provisioning the CSC SPV's service(s) relating to CSP/BCA specified banking
services as Customer Service Point (CSP/BCA) to be distributed by CSP/BCA to being service
and is refundable. “Effective Date" shall be the date of signing this agreement. "CSC e-
Governance Services India Limited. Ltd" who is technological and complete backend support
service Provider CSC SPV.

2. PREAMBLE:

The VLE wishes to become a Customer Service Point of the CSC SPV for providing CSP/BCA
specified banking services as business correspondent being offered by the CSC SPV in association
with the banks. The CSC SPV wishes to appoint the VLE as a Customer Service Point (CSP/BCA)
for distributing the specified banking services offered by the CSC SPV on the terms and
conditions described herein and agreed by the CSP/BCA .The CSP/BCA can carry out the
specified banking services offered by the CSC SPV only if sufficient balance is
maintained by the CSP/BCA with the CSC SPV and/or "CSC e-Governance Services India
Limited." In the form of trading balances covering the value of CSP/BCA's transactions. The
Parties accordingly wish to record the basis of their respective rights and obligations as under.

3. SCOPE OF SERVICES:

The CSP/BCA agrees to distribute/provide various services offered by the bank as specified
banking services from time to time and broadly described here under: (BF Activity thru CSP/BCA
for FIP Rural Area Villages and NON FIP Area), Tiny Savings Bank Account through (CSP/BCA)
Model (No Frill), Cash Deposit / Withdrawal (Only Opened By Bank Mitra Accounts), Loan
Deposit, Rupay ATM Card, Tiny Saving Bank Account (other than No Frills Account), Flexi Term
Deposit, Recurring Deposits, Atal Pension Yojna & Other Govt. Security Schemes ( PMJJBY /
PMSBY) As Per BANK OF INDIA Norms, Fund Transfer (Non Cash Transaction), Tatkal Money
Transfer, IMPS Transaction, AEPS Transaction, E-KYC / Aadhar Seeding, E-KYC based Tiny
Saving Bank Account

3.1 The CSP/BCA agree to provide the services as detailed hereunder, as per instructions and as may
be required by the Bank from time to time.

Nature of Services:

1. Identification of borrowers & fitment of activities.


2. Collection and submission of all documents of loan applications including
verification of primary data.
3. Creating awareness about savings and other products offered by the Bank and
education and advice on managing money & debt counseling.
4. Processing & Submission of account opening applications to the Bank.
5. Promotion, nurturing, monitoring and handholding of Self-Help Groups / Joint
Liability Groups / Credit Groups and others.
6. Post sanctions monitoring in case of advances / loans granted by the Bank.

7. Follow up of Recovery.

8. Disbursal of small value credits strictly as per instructions of the Bank.


9. Recovery of principal / interest from the borrowers and prompt deposit of the
same with the Bank.
10. Collection and payment of deposits and withdrawals of Bank’s customers through
inter-operable platform i.e. Aadhar Enabled Payment Services (AEPS) and Micro-
ATMs.
11. Collection and payment of small value deposits and withdrawals & prompt
deposit/withdrawal of the same with the Bank.
12. Promoting STDR and RD products to the FI customers.
13. Promoting application of e-KYC on Kiosk Platform and enabling payment/receipt
in respect of e-governance activity/any other activity.
14. Providing mini account statements and other account information.
15. Sale of Micro / insurance / mutual fund / pension and other third-party products
as may be decided by the Bank.

16. Receipt & delivery of small value remittances / other payment instruments
through Tatkal Remittances and remittance to the accounts of beneficiaries (Inter-
Bank) under IMPS.
17. Any other service as may be advised by the Bank in writing to the CSP/BCA.
18. CSP/BCA shall ensure that their agents/employees/sub-contractors, are holding
minimum qualifications of 12th pass or equivalent qualification for selecting them in
the capacity of agent or employee. Otherwise, CSP/BCA shall obtain prior concurrence
from the Regional Office of the Bank.
19. Regular services are offered to the customers at the service outlets of the Bank.
20. CSP/BCA are properly trained to handle with care, their responsibilities
particularly aspects like soliciting customer, hours of calling, privacy of customer
information and informing the correct terms and conditions of the products offered
etc.
21. Adhere to extant instructions on Fair Practices Code for lending as also code for
collection of dues as Recovery Agent subject to qualifying DRA training and obtain
certification for collection of dues and repossession of security. It is essential that
they refrain from action that could damage the integrity and reputation of the Bank.
22. Shall not resort to intimidation or harassment of any kind either verbal or
physical against any person in their debt collection efforts, including acts intended to
humiliate publicly or intrude the privacy of the borrowers’ family members, referees
and friends, making threatening and anonymous calls or making false and misleading
representations.
23. CSP/BCA shall ensure that due diligence is done on selected agents/ employees
and also obtain their police verification before their appointment.
24. Shall not engage in levying service charges over and above the Bank’s advised
rates. CSP/BCA will be liable for any such actions of agents/employees/sub-
contractors.
25. Are having interoperable devices with updated specifications released by the
Bank/IBA/RBI or any other agency.
26. CSP/BCA may render the services through Sub-Contractors subject to the
condition that CSP/BCA shall obtain prior written approval of the Bank before
engaging Sub-Contractor(s). Notwithstanding approval of the Bank for Sub-
Contracting CSP/BCA shall remain liable to the Bank for acts/ omissions of Sub-
Contractors. Before engaging Sub-Contractor, the Service Provider shall carry out due
diligence process on sub-contracting/ sub-contractor to the satisfaction of the Bank
and Bank should have access to such records. In the event of sub-contracting, the
CSP/BCA shall ensure that suitable documents including confidentiality agreement are
obtained from the sub-contractor and the CSP/BCA shall ensure that the secrecy and
faith of Bank’s data/processes is maintained.
27. CSP/BCA shall adhere to the performance standards in respect of services and
products as detailed in Schedule ‘A’ hereunder written, which forms part & parcel of
this agreement. The Bank reserves the right to change / vary / the contents of
schedule ‘A’ by advising the same to CSP/BCA in writing and upon such advise, the
amended Schedule ‘A’ shall become effective.

4 SECURITY DEPOSIT:
Unless otherwise agreed in writing, the CSP/BCA agrees to deposit with the CSC SPV an undated
duly signed blank Cheque of HDFC BANK Bank and Cheque number is 000104 as
security during the continuance of this agreement with the first party which shall be returned to
the CSP/BCA by the first party to the CSP/BCA at the time of surrendering of CSP/BCA or on the
cessation of the present agreement whichever is earlier. The CSP/BCA further undertakes that in
case of breach of any of the terms and conditions of the present agreement, the first party shall
be at its liberty to use the said Cheque by encasing the same with its banker and in this regard
the CSP/BCA shall have no objection whatsoever.
Provision of negotiable instrument act will also apply in case of submission of same
cheque by CSC CSP/BCA.
5. DISENSATION OF SERVICES:
The CSC SPV shall have exclusivity at the CSP/BCA. Hence, CSP/BCA shall provide services of the
bank authorized by the CSC SPV only. CSP/BCA must have required CSP/BCA are in his
possession for carrying out the services of CSP/BCA as per bank's guidelines. CSP/BCA must have
a reasonably good computer system with licensed software and adequate antivirus software to
run the CSP/BCA's prescribed program. The cost and maintenance of computer system and
software will be borne by CSP/BCA. Any breakdown in hardware and software should promptly
inform to the CSCSPV’s CSP/BCA shall be provided necessary guidelines and support besides
training to start business effectively. CSP/BCA shall maintain secrecy of transaction carried by its
customers according to Fair Practice Code of MA. It will not resort to harassment and
intimidation for lending and collection of dues from borrowers of its customers, relatives or their
friends. CSP/BCA shall issue receipts of transactions to customers generated through system and
no manual receipt will be valid. Responsibility of issuing manual receipt shall be of CSP/BCA and
noncompliance will result in cancellation of CSP/BCA. In case of illiterate customers, the CSP/BCA
shall follow guideline of IIBF, RBI or the Bank issued from time to time.

6. Maintenance of Records by CSP/BCA AND Monitoring/Inspection by the Bank.

6.1 BCA specifically agrees to maintain all records accounts including registers /
documents etc. as per instructions of the Bank from time to time and ensure safe and
proper custody of all records, accounts including documents etc.

6.2 The BCA shall maintain the records, registers, accounts and documents relating to the
customer information in such manner so that those can be isolated, identified and
segregated and the BCA shall protect the absolute confidentiality thereof.

6.3 BCA specifically agrees that the Bank shall be entitled to inspect and audit the records
maintained by BCA through its officers/employees or agents / auditors as may be
decided by the Bank at its sole discretion and BCA hereby undertakes to promptly
produce all records and information required for this purpose / for the purposes of
inspection and audit. CSP/BCA shall provide access, to the Officers / employees /
representatives / agents or auditors of the Bank to the premises / places where such
records are kept / maintained. The Bank shall have a right to obtain copies of any audit

report, review reports and findings made on the BCA in connection with the services
performed by BCA for the Bank.

6.4 Further, CSP/BCA specifically agrees that it shall allow access to Reserve Bank of
India (RBI) or persons authorized by RBI or its employees/officers or other persons to
inspect and access the documents, accounts, records of transactions and all necessary
information in possession of, or stored or processed by the CSP/BCA within a
reasonable time. The persons authorized by RBI shall have right to obtain copies of the
records, information etc. in possession of CSP/BCA. CSP/BCA further agrees that in
case access is not allowed to the persons authorized by RBI for the purposes of
inspection which results in imposition of supervisory fees by RBI upon the Bank, and
the Bank is required to pay such supervisory fees to RBI, CSP/BCA shall be liable to
reimburse to the Bank such fees including any penalty, interest levied and recovered by
RBI.

6.5 The Bank should have right to conduct surprise check of the Service Provider’s
activities in respect of the Services.

6.6 The Service Provider agrees to preserve the documents and data in respect of the
Services for such period in accordance with the legal/regulatory obligation of the Bank
in this regard.

6.7 The Service Provider agrees that the Complaints/feedback, if any received from the
customers of the Bank in respect of the Services by Service Providers shall be recorded
and Bank/Reserve Bank of India shall have access to such records and redressal of
customer complaints by the Service Provider.

6.8 CSP/BCA shall bear all expenses / costs & charges in connection with the inspection
and audit either conducted by the Bank or by RBI.

6.9 CSP/BCA specifically agrees that the Bank has full right to monitor and assess the
performance of services by CSP/BCA and wherever the Bank discovers any deficiency
or non-performance of the services up to the mark, the Bank shall instruct the
CSP/BCA in writing and CSP/BCA agrees to rectify the deficiencies or to ensure
compliance of the instructions of the Bank.

6.10 CSP/BCA agrees to prepare and produce by (Date of Execution) a `Business


Continuity Plan’ for the purposes of ensuring continued rendering of services .

6.11 Undertaken by the CSP/BCA to the Bank or latest within one month from the date of
execution of the agreement. CSP/BCA agrees to make necessary changes to the
Business Continuity Plan or Contingency Plan as per instructions / directions given by
the Bank after examination of the plan submitted by the CSP/BCA.

6.12 CSP/BCA will comply with all the directions of DFS/IBA/RBI applicable for the BC
channel. The requirement of DFS/IBA/RBI will be mandated to the CSP/BCA from time
to time. The CSP/BCA is obliged to implement the same within allocated time.

7 Confidentiality:
7.1 CSP/BCA is aware that all information disclosed to the CSP/BCA by the Bank and all
records, accounts, documents maintained by CSP/BCA are confidential in nature and
having regard to the sensitive nature of the information and records, CSP/BCA
specifically agrees to maintain integrity, secrecy and confidentially of all the
information and records, accounts in respect of the outsourced services in the same
manner & degree of care as CSP/BCA would ensure for its own confidential & sensitive
information. CSP/BCA shall ensure that appropriate and suitable undertaking /
agreements are obtained and maintained from its employees, agents, representatives
and Sub-Contractors as the case may be to ensure compliance with confidentiality
obligations of CSP/BCA.

7.2 CSP/BCA shall hold the Confidential Information in confidence and shall exercise all
reasonable diligence in ensuring that the Confidential Information is not disclosed to
third parties and will refrain from using the Confidential Information for any purpose
whatsoever other than for the purposes of this Agreement or for the purpose for which
such information is supplied. CSP/BCA shall also ensure that confidential information,
directly or indirectly, is not disclosed without prior written consent of the Bank.

7.3 In the event that CSP/BCA becomes legally compelled pursuant to any statutory or
regulatory provision, court or arbitral decision, governmental order, or stock exchange
requirements to disclose any of the Confidential Information, the compelled Party, as
far as possible will provide the Bank with prompt written notice. In any case, the
compelled Party will furnish only that portion of the Confidential Information which is
legally required and will exercise all reasonable efforts to obtain reliable assurance that
confidential treatment will be accorded to the Confidential Information.

7.4 CSP/BCA agrees to indemnify and hereby keeps the Bank indemnified against all
actions, claims, loss, damages, Costs, Charges, expenses (including Attorney / Advocate
fees and legal expenses) which the Bank may suffer or incur on account of breach of
confidentiality obligations as per clause 5.1 above by CSP/BCA or its employees, agents,
representatives, Sub-Contractors. CSP/BCA further agrees to make good the loss
suffered by the Bank upon first demand by the Bank which shall be final, conclusive and
binding on CSP/BCA.

7.5 CSP/BCA specifically agrees that the confidentiality obligations of the CSP/BCA in
terms of this agreement shall survive termination of this agreement.

7.6 CSP/BCA agrees that the products and services of other Banks or Financial Service

Providers that are competitive to the Bank’s products will not be provided at the service
outlets.

8. Relationship between the Parties:

8.1 It is specifically agreed that the CSP/BCA shall act as independent service provider
and shall not be deemed to be the Agent of the Bank except in respect of the
transactions/services which give rise to Principal Agent relationship by implication.

8.2 Neither CSP/BCA nor its employees, Agents, Representatives or Sub-Contractors shall
hold out or represent as agents of the Bank. None of the employees, representatives or
agents of CSP/BCA shall be entitled to claim permanent absorption or any other claim
or benefit against the Bank.

9. Compliance with Laws by CSP/BCA:

9.1 CSP/BCA hereby agrees and declares that it shall be the sole responsibility of
CSP/BCA to comply with the provisions of all the applicable laws, concerning or in
relation to rendering of services by CSP/BCA as envisaged under this agreement.

9.2 CSP/BCA shall procure and maintain all necessary licenses permissions, approvals
from the relevant authorities under the applicable laws throughout the currency of this
agreement.

9.3 CSP/BCA shall be solely liable & responsible for compliance of applicable Labour Laws
in respect of its employees, agents, representatives and Sub-Contractors and in
particular Laws relating to terminal benefits such as Pension, Gratuity, Provident Fund,
Bonus or other benefits to which they may be entitled and the Bank shall have no
liability in this regard.

9.4 CSP/BCA hereby represents and warrants that it has full authority to enter into this
Agreement and render the services as envisaged under this agreement and all
Corporate or other necessary approvals have been obtained for entering into this
Agreement with the Bank. Further, the persons executing this agreement on behalf of
the CSP/BCA have full authority and power to execute this agreement and bind
CSP/BCA.

10. Fees, Taxes Duties & Payments :

10.1 CSP/BCA shall be paid fees and commission in the manner detailed in Schedule ‘B’
hereunder written subject to deduction of income tax thereon wherever required under
the provisions of the Income Tax Act by the Bank.

10.2 All other taxes including service tax, wherever applicable, duties and other charges
which may be levied shall be borne by the CSP/BCA and the Bank shall not be liable for
the same.

10.3 All expenses, stamp duty and other charges expenses in connection with execution of
this agreement shall be borne by CSP/BCA

11. CANCELLATION/TERMINATION/FORFEITURE:

11.1 This agreement shall be effective from 20/Sep/2023 and Agreement shall come
into force upon signature by all the parties and shall be valid for one year which may
be extended further based on the performance.
11.2 This agreement may be terminated in the case of the CSC SPV by giving the CSP/BCA
thirty(30) days written notice or in case of the CSP/BCA by giving the CSC SPV thirty
(30) days written notice. In case of termination of agreement or cessation of business
as mentioned in clause above, the CSP/BCA will be obliged to return all records and
information to the CSC SPV within next fifteen (15) days in good working condition.
11.3 Failure to do so would entitle the CSC SPV to forfeit the Trading Balance lying to the
credit of the CSP/BCA. Should the CSP/BCA wish to cancel the agreement with the
CSC SPV and/or resign from rendering services signed with the CSC SPV, it is the
CSP/BCA's responsibility to ensure that Equipment and or any accessory provide by
the CSC
11.4 CSC SPV/CSC e-Governance Services India Limited .is returned to the respective
party in proper and working condition from its outlet. The CSC SPV reserves the right,
at its sole and absolute discretion, to disconnect or suspend this arrangement to the
CSP/BCA without explanation and without notice, should the CSP/BCA not fulfill any
of his obligations herein or should the CSC SPV suspect that the CSP/BCA is not
acting in good faith or should any fraudulent activity be suspected or for any reason
whatsoever. The CSP/BCA shall be liable for any amount due or those have become
payable prior to the date of suspension/disconnection. The CSC SPV reserves the right
to offset any payment due from the trading balance if any, payable to the CSP/BCA
and shall also be entitled to appropriate, without prejudice, any such payment to any
other liability, which, at its own discretion it deems, the CSP/BCA owes to the CSC
SPV / Bank relating to the CSC e-Governance Services India Limited. The CSC SPV
shall have the right to terminate this agreement in case of voluntary winding up,
unable to pay its valid debt, deficiency in services, and fraud by CSP/BCA or any of its
employees.
11.5 CSC SPV as well as CSP/BCA shall have right to terminate the agreement by giving a
month’s notice in writing to the other party. In the event of termination of the
agreement by CSP/BCA, all records, information including documents etc. shall be
returned by CSP/BCA to the Bank as per instructions of the Bank.
11.6 The Bank shall have a right to terminate the agreement immediately by giving a notice
in writing to CSP/BCA in the following eventualities:

If any Receiver/Liquidator is appointed in connection with the business of the CSP/BCA or


CSP/BCA transfers substantial assets in favor of its creditors or any orders / directions
are issued by any Authority / Regulator which has the effect of suspension of the
business of CSP/BCA.

1. If CSP/BCA applies to the Court or passes a resolution for voluntary


winding up of CSP/BCA or any other creditor / person files a petition for
winding up or dissolution of CSP/BCA.
2. If CSP/BCA, in the reasonable opinion of the Bank is unable to pay its
debts or discharge its liabilities in normal course of business.
3. If CSP/BCA is unable to render the services up to the mark as envisaged
under this agreement upon a reasonable assessment of the circumstances by
the Bank which affect rendering of the services by CSP/BCA as envisaged
under this agreement.

If any acts of commission or omission on the part of CSP/BCA or its agents, employees, sub-
contractors or representatives, in the reasonable opinion of the Bank tantamount to fraud or
prejudicial to the interest of the Bank or its customers.

1. If CSP/BCA is owned/ controlled wholly/ partly by any other bank


operating in India.
2. If any officer/ employee/ director of CSP/BCA or their relatives as
defined in section 2(77) of the Companies Act, 2013 becomes a director/ officer
or employee of the Bank.

11.7 In the event of the termination of the agreement by the Bank pursuant to clause
hereinabove, CSP/BCA shall be liable and responsible to return all records and
information in its possession as envisaged under clause 10.2 above.
11.8 The Bank will have exclusivity at the Customer Service Points of the CSP/BCA for the
BC/BF arrangement. Accordingly, an outlet of the BC/BF sourcing business for the
Bank should not source any banking/financial product for any other Bank/Institution.
11.9 In the event of termination of the Agreement for any reason, Bank shall have the right
to give suitable publicity to the same including advising the Indian Bank’s Association.

11.10 In the event of termination of the Agreement or on the expiry of the term/ renewed
term of this Agreement, the Service Provider shall render all reasonable assistance
and help to the Bank and any new contractor engaged by the Bank for the smooth
switch over and continuity of the Services or if so required by the Bank take all
necessary steps to bring the Services to a close in a prompt and orderly manner.
11.11 Upon termination or expiration of this Agreement, all rights and obligations of the
Parties hereunder shall cease, except:
(a) Such rights and obligations as may have accrued on the date of termination or
expiration;
(b) The obligation of confidentiality; and
(c) Any right which a Party may have under the Application Law.

1. CSP/BCA agrees and hereby keeps the Bank indemnified against all claims, actions,
loss, damages, costs, expenses, charges, including legal expenses (Attorney, Advocates fees
included) which the Bank may suffer or incur on account of any deficiency in services
rendered by CSP/BCA or any acts of Commission / omission on the part of employees, agents,
representatives or Sub-Contractors of CSP/BCA and further agrees to indemnify CSC SPV for
:-

1. Any breach of terms and condition of this agreement

2. any breach in relation to any such Services as aforesaid or


misrepresentation or omission, whether willful or not on the part of the
indemnifying party or on the part of its employees or agencies or in respect of
non-observance of any statutory requirements, third party liability or legal dues
of any nature.

3. Any willful misconduct, misstatement or fraudulent Activity

4. For Breach of any applicable Law, Act, Rules, Regulations, Notification


including the Information Technology Act 2000 and further amendment to
acts.

5. Any act incidental and ancillary to the above act CSP/BCA agrees to
make good the loss suffered by the CSC SPV / Bank on first demand made by
the CSC SPV / Bank in this regard which shall be final conclusive and binding
on CSP/BCA.

2. CSP/BCA further undertakes to promptly notify the bank in writing any breach of
obligation of the agreement by its employees or representatives including confidentiality
obligation and in such an event, the Bank will in addition to and without prejudice to any
other available remedies be entitled to immediate equitable relief in a Court of competent
jurisdiction to protect its interest including injunctive relief.

3. The Service Provider shall be directly and vicariously liable to indemnify the Bank in case
of any misuse of data/information of the Bank by the Service Provider, deliberate or
otherwise and this includes against intangible/ reputation losses.

13. DAMAGES:

The CSC SPV is hereby exampled from and shall not be liable under any circumstances
whatsoever to the CSP/BCA for any loss, damage whether direct, indirect, consequential or
otherwise, or for any loss of profits, or other special damages of any kind whether within
contemplation of the parties or not, that the-CSP/BCA may suffer as a result of any breach by the
CSC SPV on any of its obligations under this agreement or otherwise. The CSP/BCA indemnifies
the CSC SPV against any action for damages or otherwise (resulting as a direct or indirect
consequence of the CSC SPV's performance), brought against it, by customer, and/or an end user
and/or any other party including bank.

The CSP/BCA shall be liable for all legal costs (including attorney and client costs) incurred by the
CSC SPV in enforcing its rights in this agreement as well as for expenses incurred by the CSC
SPV in exercising any rights arising out of breach of the CSP/BCAs obligations herein including
but not limited to collection charges and/or tracing fees. Without prejudice to the provisions
hereof, in the event of any dispute, difference, conflict or questioner is in between the parties
here to relating to or concerning or arising out this agreement, the same shall be referred to the
sole arbitration of the Chairman of the CSC SPV or his nominee, whose decision shall be final and
binding on the Parties. All disputes, obligations, performance, interpretations arising out of this
agreement shall be construed under Indian Laws and subject to the jurisdiction of courts at Delhi
only.

14. Compliance with Laws by CSP/BCA:

1. CSP/BCA hereby agrees and declares that it shall be the sole responsibility of CSP/BCA to
comply with the provisions of all the applicable laws, concerning or in relation to rendering of
services by CSP/BCA as envisaged under this agreement.

2. CSP/BCA shall procure and maintain all necessary licenses permissions, approvals from the
relevant authorities under the applicable laws throughout the currency of this agreement.

3. CSP/BCA shall be solely liable & responsible for compliance of applicable Labour Laws in
respect of its employees, agents, representatives and Sub-Contractors and in particular Laws
relating to terminal benefits such as Pension, Gratuity, Provident Fund, Bonus or other benefits
to which they may be entitled and the Bank shall have no liability in this regard.

4. CSP/BCA hereby represents and warrants that it has full authority to enter into this
Agreement and render the services as envisaged under this agreement and all Corporate or
other necessary approvals have been obtained for entering into this.

5. Agreement with the Bank. Further, the persons executing this agreement on behalf of the
CSP/BCA have full authority and power to execute this agreement and bind CSP/BCA.

15. ELECTRONICS AND SOFTWARE FACILITES:

CSP/BCA is responsible to put up CSP/BCA board on his shop and bear all the cost initially. The
design will be provided to him. He will provide 3 photographs:

The CSP/BCA shall be liable for the replacement cost so any of the relevant items should it fail to
return such equipment within thirty (30) days in good working order condition. All risks including
the risk of destruction by any kind or loss of equipment in any way shall pass on the CSP/BCA,
upon taking delivery of the Equipment from the CSC SPV / CSC e-Governance Services India
Limited and Bank The CSP/BCA is not permitted to sell/ transfer/ assign/ sublet the rights under
this agreement to any third party and/or assign terminal to any other party. The CSP/BCA is not
permitted to transfer or shift the place of business from one place to another place without the
prior approval of the CSC SPV. Ownership and copyright to any software program associated with
the computer system shall invest solely with the CSC SPV. The CSP/BCA shall be responsible and
held liable for any unauthorized copying or modifications there to.

16. AMENDMENT AND NOTICES:

The CSC SPV may amend or substitute any terms and conditions of this agreement and /or any
charges by giving a thirty (30) Day’s notice addressed ot the CSP/BCA or by including the
amendment or substitution on or with statement sent to the CSP/BCA. The CSC SPV shall, with
notice to the CSP/BCA. Cancel or withdraw with immediate effect, any effective discount
applicable to the CSP/BCA account. A notice sent to the CSP/BCA shall be deemed to have been
received by the CSP/BCA within seven (7) days after the dispatch date. The CSP/BCA shall be
bound by the amendments and/or substitutions unless the CSC SPV has been notified otherwise in
writing within seven (7) days after receipt of notice.

17. UNDERTAKINGS BY THE CSP/BCA:

The CSP/BCA undertakes not to do anything that damages the good name and reputation of the
CSC SPV, its subsidiaries or its holding and/or the Bank and shall protect and enhance the good
name and reputation of the CSC SPV in the fulfillment of its obligations under this agreement. To
procure that such promotional or advertising material as may be provide by the CSC
CSP/BCA/Bank from time to time to the CSP/BCA displayed at all times in the CSP/BCA outlets in
accordance with the directions and requirements of the CSC SPV / CSC e-Governance Services
India Limited. To indemnify the CSC SPV against any losses, penalties or damages suffered by the
CSC SPV as a result of the CSP/BCA or its outlet failure to comply with all obligations, which may
fall on the CSP/BCA arising out of this agreement, including annexure hereto and any service level

procedure manuals, as shall be made available to the CSP/BCA from time to time. To procure the
compliance of the CSP/BCA's outlets with all provisions of this .

Agreement in the same manner as the CSP/BCA is obliged to comply there with. In the even to the
CSC SPV being aware of any breaches of the provisions of this clause or any provisions of the
agreement by any of the CSP/BCA outlets, the CSC SPV shall be entitled, without prejudice to any
of its rights, to terminate services to the CSP/BCA. Not to sell the products/services at prices above
or below the marked price as indicated by the CSC SPV and/or not to overcharge the end user the
fee/ charges prescribed by the CSC SPV /Bank. The CSP/BCA shall be directly liable to the CSC
SPV, in case of breach of this condition. Not to indulge in or promote any unlawful, illicit or illegal
activity or purposes pertaining to the line of business of the agreement or products mentioned
herein. Any such activity noticed by the CCSP/BCA in the market place must be brought to the
notice of the CSC SPV immediately. Not to provide service of a similar nature from a competing
CSC SPV from the premises during the validity of this Agreement.

The CSP/BCA further confirms and agrees that it shall ensure to comply with the rules as laid down
in the Information Technology (Reasonable security practices and procedures and sensitive
personal data or information) Rules, 2011, to monitor the security practices, control processes and
checks in CSP/BCA of the confidential information on a regular basis; and to disclose any breaches
in the security practices, control processes and checks immediately to the Information Security
Group of the CSC SPV as well as that of the Bank;

The CSP/BCA further confirms and agrees that it shall ensure to comply with the rules as laid down
under THE AADHAAR (TARGETED DELIVERY OF FINANCIAL AND OTHER SUBSIDIES,
BENEFITS AND SERVICES) ACT, 2016 as amended up to date and shall take specific consent of
the Person regarding submitting the Aadhar Number for availing benefits of the bank from
CSP/BCA. It is specifically agreed by the CSP/BCA that for any breach of the terms and conditions
regarding usage of Aadhar, the CSP/BCA shall be solely responsible for the same and the CSP/BCA
undertakes to indemnify the CSC SPV for any such breach.

18. COMMISSION PAYMENTS:

CSP/BCA Commission is strictly on sharing based. CSC SPV is solely authorized to decide the
percentage of sharing. Commission will be distributed after receipt from Bank only. Process time
will be up to 15 working days. Terms & Conditions will be strictly followed of Bank. Commission
structure is subject to change as per changes made by Bank. If CSC SPV is changing commission
then CSC SPV will inform you by mail or other communication mode.

19. CSP/BCA - DECLARATION:

I hereby declare that I am neither CSP/BCA of Bank nor using any CSP/BCA code of any other
Bank previously.

I have read and understood the terms and conditions and accepted them as binding on me. I
have understood all particulars of the investment plan chosen by me, trading process, and

margins and related terms & conditions at which services provided by CSC e-Governance
Services India Limited as applicable on this date and amended from time to time. I confirm that
