RESOLUTION 23-212 A RESOLUTION AUTHORIZING AN EMPLOYMENT AGREEMENT FOR EXECUTIVE DIRECTOR WHEREAS, the Park District Code authorizes the Board of Commissioners to enter into a contract for the employment of an Executive Director 70 ILCS 1205/8-1(i)(1); and, WHEREAS the Board of Commissioners of the Joliet Park District finds that itis in the best interest of the Park District to enter into and employment contract for the position of Executive Director. NOW THERE FORE, BE IT RESOLVED BY THE JOLIET PARK DISTRICT, OF WILL AND KENDALL COUNTIES, ILLINOIS, AS FOLLOWS: SECTION 1: ‘The Joliet Park District adopts and approves the Employment Agreement between the Joliet Park District and BRAD STAAB dated April 24, 2023 for employment as Executive Director of the Joliet Park District, a copy of which is attached hereto and made a part hereof. SECTION 2: The President and Vice President of the Board of Commissioners are hereby authorized and directed to execute said Employment Contract and all documents necessary to accomplish the purpose of the Contract. SECTION 3: The preamble of this Resolution is hereby adopted as if fully set forth herein. SECTION 4: This Resolution shall take effect immediately upon its passage and approval according to law. PASSED this 24th day of April, 2023 a i Vi ident AYES: Mutz, fa |, Jobe- Gavin, Tatra Gules NAYS: None. assent: _\\On@ EMPLOYMENT AGREEMENT BETWEEN ‘THE JOLIET PARK DISTRICT AND BRAD STAAB This Employment Agreement ("Agreement") is made and entered into as of this 24" day of April, 2023, between the Joliet Park District, Will and Kendall County, Illinois (the "District") and Brad Staab ("DIRECTOR"). In consideration of the mutual promises hereinafter contained and for other good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, the parties agree as follows: L ‘TERM OF EMPLOYMENT: The District hereby employs Brad Staab as the Executive Director of the District and DIRECTOR hereby accepts employment with the District as its Executive Director commencing on January 1, 2023, and terminating on December 31, 2025, unless further extended or terminated in accordance with this ‘Agreement ("Term"). RENEWAL OF AGREEMENT: After December 31, 2025, there shall be no automatic renewal of this Agreement, and, unless otherwise extended by mutual agreement of the Parties, this Agreement shall lapse without further action at the end of the Term. BASE COMPENSATION: Commencing January 1, 2023, the base annual salary for all services rendered shall be $165,000.00, payable in accordance with the District's customary payroll practices, less applicable withholding for taxes and other deductions required by law or court order or requested in writing by DIRECTOR. In subsequent contract years, the DIRECTOR’s salary shall be subject to the same general increase, if any, provided to other full-time exempt employees of the District without further action by the Board. VEHICLE ALLOWANCE: DIRECTOR shall have a vehicle allowance of seven hundred 1 fifty ($750.00) per month in lieu of any other expense reimbursement related to DIRECTOR's use of his personal vehicle for District business, and in lieu of providing DIRECTOR with an automobile provided to him by the District. DIRECTOR shall be ity, property damage, and comprehensive insurance responsible for paying for tal and for the purchase, operation, maintenance, repair and regular replacement of any automobile he uses for District business. CELLPHONE AND LAPTOP: District will pay DIRECTOR a monthly stipend in accordance with the District's personnel policies for cell phone expenses. DIRECTOR will be issued a District-owned laptop. PROFESSIONAL DEVELOPMENT AND EXPENSE REIMBURSEMENT: DIRECTOR is_ encouraged to avail himself of continuing education/professional development opportunities. Subject to prior approval by ‘the Board of Commissioners, the District shall reimburse DIRECTOR for the costs and reasonable expenses for attendance at conferences, including the National Park and Recreation Conference or national workshops in the field that will benefit his professional growth and development. b, DIRECTOR is encouraged to participate in professional and community service organizations in order to further develop expertise, acquire new skills and ideas and establish a community presence and recognition among Joliet residents, which will assist him in successfully carrying out his duties as Director. Subject to prior approval by the Board of Commissioners, the District shall reimburse DIRECTOR for reasonable membership fees and expenses in connection with such professional organizations. 10. USE OF FACILITIES AND PROGRAMS: While employed under this agreement DIRECTOR, his spouse and children shall be permitted to use and participate in Joliet Park District facilities, programs and services at no cost to DIRECTOR, subject to and in accordance with all other District policies. VACATION: DIRECTOR shall be entitled to 30 days of paid vacation per year in accordance with the Districts’ personne! policies, as amended from time to time. Carry- over of vacation time shall be limited to a total of 87 days, per Amendment to Section 6.06/Vacations of the Personnel Policy Manual dated September 23, 2019. Vacation time eared but not taken which is in excess of the 87 day carry over limitation, shall not be allowed to carry over and, at the end of the year in which said excess vacation days were earned, shall be lost. DIRECTOR will schedule his vacation days when it is least disruptive to the District and will notify the Board jis scheduled vacation days. Any vacation of five (5) or more in advance of consecutive days is subject to Board approval. SICK TIME: DIRECTOR shall be entitled to 12 sick days per year in accordance with the District’s personnel policies, as amended from time to time. Carry-over of sick time shall be in accordance with the District's personnel policies as amended from time to time. Sick days may be used for personal illness or medical or dental appointments or for similar uses to care for DIRECTOR's spouse and children. Upon. termination of employment for any reason, DIRECTOR shall not be paid for any of his accrued sick time. HEALTLH, DISABILITY AND LIFE INSURANCE: The Park District shall provide bility, and other health related benefits to the DIRECTOR with group health, 3 1. 12. 13. same extent as is provided under the Park District's plan or plans for its general work force. The District will provide life insurance policy of $100,000.00. Where ments of said plans, DIRECTOR's spouse and eligible, pursuant to the req children shall be provided the foregoing benefits. Disability and Life insurance will be at the sole cost of the District. Health related benefits are subject to the same percentage contribution to premium provided in the District's personnel policies as amended from time to time. seitine's error Employee PENSION: The District agrees to make the Employer contributions to the Illinois Municipal Retirement Fund on behalf of DIRECTOR. EXTENT OF SERVICES: Notwithstanding approved participation in community service organizations and organizations related to the parks and recreation to the interest and profession, DIRECTOR shall devote his entire time and atter affairs of the District and shall promote the image of the District to the community. During the term of this Agreement, DIRECTOR shall not engage in any other business activity that interferes or conflicts with his duties and responsibilities to the District without prior consent of the Board of Commissioners. PERFORMANCE REVIEW AND GOALS: The Board will review and evaluate DIRECTOR’s performance at least annually, by March 1 each year of this Agreement. DIRECTOR shall provide the Board with a written self-evaluation of his own performance by February 1 each year of this Agreement, which shall include ‘without limitation a review of his previous year's performance goals and objectives and his performance goals and objectives for the current year. The failure of the District to meet the timeliness established in this Paragraph 13 shall not constitute 4 14. a breach of this Agreement. TERMINATION FOR CAUSE: The District may terminate DIRECTOR's employment at any time for cause. As used in this Agreement, cause shall include, but is not limited to, any one or more of the following: © Conviction of a felony under State or Federal law, or conviction of a misdemeanor, or official misconduct defined under State law. © Violating any ordinance, regulations, order, policy, personnel manual policy, or rule of the District, or failing to obey any lawful direction given to him by the Board when such violation or failure to obey amounts to insubordination or serious breach of discipline that may reasonably be expected to result in lower morale in the organization or to result in material loss, inconvenience, or injury to the District or the public. ‘© Accepting any unlawful gift in violation of the Gift Ban Act. © Deliberately and improperly using, destroying or damaging District, public, or ‘employee property. B personnel or other District records, including employment applications, accident records, work records, purchase orders, time sheets, or ‘any other report, record or application required in connection with one's ‘employment. © Providing information to the Board of Park Commissioners that DIRECTOR knows to be false or misleading. © Intentionally furnishing false information to the District. property. © Possessing or using firearms or weapons on ‘© Stealing District or employee property. © Reporting to work while under the influence of alcoholic beverages or illegal drugs and/or controlled substances. © Death or any disability that prevents DIRECTOR from performing the essential functions of his job with or without reasonable accommodations. Disability is defined as the Employee's inability to perform Employee's duties for a period of three consecutive months after the exhaustion of any accrued sick leave, if available, and exhaustion of interactive dialogue regarding any reasonable accommodation required by law. 5 15. 16. © Failure to return from any leave of absence required or permitted to be given to District employees. © Willful breach or habitual neglect of duty, acts of moral turpitude or other conduct in derogation of the rights, duties or public confidence of the District © Unsatisfactory performance determined as part of the DIRECTOR’s performance evaluation © Conduct that is detrimental to the best interests of the District © Any other substantial shortcoming that causes DIRECTOR to fail to faithfully perform the duties of the Executive Director of the District. Except for termination as a result of a conviction of a felony under State or Federal Law, conviction for official misconduct, or death, the Park Board shall not terminate ‘the employment of DIRECTOR for cause without first giving him a written statement of the reasons for the termination of his employment and affording him ten (10) days from the date of such Termination notice to either respond in writing, or in person at a closed session of the Board to the reasons given for the termination of his employment. DIRECTOR shall have the right to be represented by counsel at his, ‘own cost and expense during the closed session meeting. RESIGNATION: DIRECTOR may terminate his employment with the District upon no less than ninety (90) days' prior written notice. In such event, unless otherwise determined by the Board, he will continue to render his services in accordance with ion until the date of his cessation this Agreement and receive his normal compens: of employment. NOTICES: Any notice required or desired to be given under this Agreement shall be deemed given if in writing sent by certified mail to DIRECTOR's residence or the 6 v7. 19, 20. 21. District's principal office, as the case may be. WAIVER OF BREACH: The District's fallure to enforce any provision of this Agreement or take any action allowed or required under this Agreement shall not constitute or be construed as a waiver of a breach of any provision of this Agreement by DIRECTOR, and, further, shall not operate or be construed as a waiver of any subsequent breach by DIRECTOR. No walver shall be valid unless in writing and signed by an authorized officer of the District, other than DIRECTOR self, and approved by the Board. ASSIGNMENT: DIRECTOR acknowledges that his services are unique and personal. ‘Accordingly, DIRECTOR may not assign his rights or delegate his duties or obligations under this Agreement. The District's rights and obligations under this ‘Agreement shall inure to the benefit of and shall be binding upon the District's successors and assigns. ENTIRE AGREEMENT: This Agreement contains the entire understanding of the parties. It may not be modified unless done by an agreement in writing signed by the party against whom enforcement of any waiver, change, modification, extension, or discharge is sought. This Agreement supersedes any and all prior agreements between the parties on this subject, as such agreements and the compensation and benefits provided by the Board to the Director during their term(s) are hereby ratified and considered fully performed. HEADINGS: Headings in this Agreement are for convenience only and shall not be used to interpret or construe its provisions. COUNTERPARTS: This Agreement may be executed in two or more counterparts, 7 each of which shall be deemed an original but all of which together shall constitute ‘one and the same instrument. 22. APPLICABLE LAW: This Agreement shall be subject to and governed by the laws of the State of Illinois, and venue shall be in Will County, Illinois. 23. INVALID PROVISION: The invalidity or unenforceability of any particular provision of this Agreement shall not affect the other provisions hereof, and this Agreement shall be construed as if such invalid or unenforceable provisions were omitted.
