I,   the   undersigned,   on   behalf   of   Khalani   Holdings,   INC.,   a   corporation   duly   organized   and   existing  
under   and   by   virtue   of   the   Corporation   Code   of   the   Philippines   and   other   related   laws,   with   full  
corporate   authority   and   responsibility,   is   submitting   this   Letter   of   Intent   to   you.   This   is   to   express  
our   interest   in   securing   contractual   arrangements   to   purchase   Indonesian   Steam   Coal   GAR5377.
Khalani’s   client   is   ready,   willing,   and   able   to   purchase   the   Coal   from   you,   subject   to   the   terms   and  
conditions  to  be  set  forth  in  a  Sales  and  Purchase  Agreement  (SPA),  agreed  upon  by  Seller  and  Buyer.

Quantity:     30,000MT    

Delivery:     FOB  MV  

Documents  Needed:     Latest  Draft  COA,  Latest  Final  COA  from  third  party  inspection  with  
      stamp  and  signature.  COA  must  not  be  more  than  6  months  old.        
 
I  will  await  your  response  to  this  LOI,  and  look  forward  to  fulfilling  our  purchase.
