Ref: JALA/IUL23/Cafeteria of the Fist Party, 4, OTHER CHARGES The Second Party shall pay any municipal or government charges, fees, levis, government taxes and rates of any kind and nature whatsoever, imposed in connection with the Premises or the Second Party's use and occupation of the Premises, or by vitue of the permitted Use, The Second Party shall indemnify the First Party against any liability or damages arising on such account. 5. INSURANCE OBLIGATIONS ‘The Second Party shal, at its own cost, obtain and maintain Insurance policies, as required, 6. _ EARLY TERMINATION 6.1 _ Incase of eary termination of the Tenancy Contract, the Second Party shal give 90 days’ written notice and shall ‘pay 60 days Rent to the First Party from the date of vacating/handling over the Premises tothe First party. 6.2 After the termination, the First Party wil inform the Second Party regarding all te damages and maintenance to be carried out for the labor accommodation/ Premises. 63 The First Party shall refund any balance Rent and Security Deposit to the Second Party after the expiry ofthe Term ‘and utilization of the Security Depasit for the maintenance purpose of the Premises. 7. RENEWAL 74 Either Party should give 90 days' written notice to the other Party on vacating the Premises or renewal of the Tenancy Contract before the expiry of the Term falling which the same shal be considered as Auto-Renewal and ‘appropriate amount of penalty shall be charged. 72 Ifthe contract is renewed, the rental value will be AED 63,000.00 and 66,150.00 for the second, and third years respectively ‘CHEQUE BOUNCE PENALTY In the event of any dishonor of cheque, the Second Party shall be lable to pay a penalty of AED S00 to the First Party, Any retumed cheques should be honored within 7 days from the date of written notice by the Fist party. In the event of fallure to clear the dues, the First party shall have the right to evict the Second Party and to stop all the services being provided to the Second Party and their agents. 9. INDEMNITY ‘The Second Party shall indemnify the First Party against any injury or accident to its employees while using the facilities (electrical fire or any other cause) during the time of occupancy of the Premises. 10, HOLDING OVER IF the Second Party does not vacate the Premises or any part of the Premises on the expiry ofthe Term, the Second Party shall pay to the First Party the Rent accrued for the period until the Second Party vacates the Premises and the same shall be calculated on a pro-rata basis for each day. v Ref: 824/1UL23/Cafeteria 11. SEVERABILITY If any term of this Agreement is held by a court of competent jurisdiction to be invalid or unenforceable, then this Agreement, including all of the remaining tetms, will remain in full force and effect as if such invalid or tunenforceable term had never been included. 12, FULLFORCE AND EFFECT Except as specifically modified or amended by the terms ofthis Addendum, the Tenancy Contract and all provisions contained therein are, and shall continue, in full force and effect and are hereby ratified and confirmed. Further, the additions stated herein shall be made valid as if they ae included in the Tenancy Contract 43. GOVERNING LAW & JURISDICTION ‘This Agreement shall n all respects be interpreted, construed, and governed by and in accordance with the laws of the Emirate of Dubal, United Arab Emirates and any disputes arising therefrom shall be referred to Rental Disputes Center, Dubai 14, Without the commercial approval “Aiyan Cafeteria & Restaurant” can’t operate the Cafeteria & Restaurant. Hereinafter individually refereed to as “Party” and collectively as “Parties” RECITALS: WHEREAS, [AL The Parties had executed a tenancy contract for a commercial property (Cafeteria) dated July 05%, 2023 (hereinafter referred to asthe “Tenancy Contract’) for renting the Labor Camp on Plot No. 599-2255 (the “Premises"); 8. By this Addendum, the Landiord and Tenant wish to formally record the amendment of certain terms ofthe Tenancy Contract, on the terms and conditions set out below. NOW, THEREFORE, in consideration ofthe covenants contained herein, the Parties hereto agree as follows: 2. GENERALTERMS 1.1 The Parties agree to comply with all the laws and regulations in the Emirate wherein the Premises is located, Including complying with all the laws for the registration of the Tenancy Contract with the competent governmentauthorities. 1.2. The Addendum along with its payment terms shall be binding for a lock in period of 3 years ("Term"). 1.3 Notwithstanding anything contained in the Tenancy Contract, the First Party shall be at liberty to evict the Second Party on default of rent payment through any available legal recourse at the cost of the Second Party. Further, the First Party shall also have the right to forflt the entice payment held as security deposit, and al the losses and damages arising from the same shall be borne by the Second Party. 14 Any violation of this Addendum shall be deemed serious, and material non-compliance with the Tenancy Contract. The Parties agree that any violation of this Addendum shall be a cause for a notice to end the Tenancy Contract 2, TENANT'S OBLIGATIONS 21 Payments 2.1.1 The Second Party shall py the rent amount due to the First Party in the manner and amounts as specified in the Tenancy Contract (“Rent”) 2.2 On the date of signing of the Tenaney Contract, the Second Party shal give to the First Party an interest free Security Deposit ("Security Deposit") as a guarantee which shal be refunded tothe Second Party upon the expiry of the Tenancy Contract after deducting all amounts due to the First Party by the Second Party. “A Refi Wi14/sUL23/Cafeteria ‘The First Party may withhold and/or use and/or encashed all or any part ofthe Security Deposit to cover defaults of the Second Party with respect to the following: 1. Damages to the Premises and repainting of the rooms and dedicated area forthe Second Party (ifany) ll Cleaning costs following the Second Party's vacation to restore the Premises to a good condition. ii, Any unpaid Rent along with other accrued and unpaid charges under the Tenancy Contract; and/or, iv. Any damages, costs and expenses incurred to the First Party as a result of any egal action arising asa result of any material violation 243 Ifthe whole or any portion of the Security Deposits so applied as per Clause 2.1.2, the First Party shall notify the Second Party in writing and the Second Party shal reinstate the Security Deposit to its original amount at the time of the next renewal Term. Any appropriation by the First Party shall not waive the Second Party's breach and shall not prejudice any other right ofthe First Party arising from such a breach 22 First Party's Right to Inspect ‘The First Party shall at all times have a right, on a reasonable notice (except inthe case of emergency where no notice shall be required), to enter the Premises in order to inspect and record the state and condition of the Premises or to remedy any breach of the Second Party's obligations. 23° Maintenance, Repair and Alterations The Second Party shall not in any manner, whatsoever, undertake any fit-outs, alterations, additions, Improvernents tothe Premises and make any major modification or changes within the Premises or any other part of the building unless obtained with the prior writen consent of the First Party. 2.4 Tenant's Obligations The Second Party undertakes to adhere to the following restrictions during the occupancy of the Premises: 25.1, Liquor and other prohibited drinks & items are net allowed in the commercial area and surrounding ofthe camp. 25.2. _ Littering around the Premises is not permitted. Any garbage should be thrown in designated bins placed in all areas of the accommodation. 25.3. Smokingis allowed only in designated areas. 25.4. A penalty of AED 1,000/- per incident will be applicable on the room in the event when the Second Party (or representative/labor of Second Party is found: i, Performing any activity which is prohibited by the terms of the Tenancy Contract. 25 Useof the Premises: ‘The Second Party shall not Indulge in any illegal or criminal acts against the laws ofthe residing country or use the Premises for any illegal acts. Ifthe Second Party is found to indulge in any of such illegal activities, then the First, Party has the right to hold Second Party responsible forall the damages incurred & to eject Second Party out of the Premises from immediate effect 3.
