This Agreement shall be for a period of two (2) years, which shall begin on March 1, 2022 and automatically end on February 28, 2024, unless terminated earlier by either Party according to the provisions of this Agreement. The consultancy created in this ‘Agreement shall automatically expire and terminate on the above-stated ending date, without need of further notice. 2. This Agreement shall not be renewed or extended except in writing and with the expressed conformity of ACTIVEONE through its authorized representative. 3. Either Party may terminate this Agreement, even without cause, by giving written notice to the other Party at least thirty (30) calendar days before the effective date of termination. 4. ACTIVEONE may terminate this Agreement immediately, and without complying with the thirty (30)-day notice period above, in the following instances: a. CONSULTANT breaches any provision of this Agreement or fails to comply with his obligations and undertakings herein; », CONSULTANT becomes involved in fraud or any criminal offense; . CONSULTANT’s authority or license to practice medicine is suspended, cancelled, revoked, or CONSULTANT becomes incapacitated to render the contracted medical services at the on-site clinic; and, d. CONSULTANT commits any of the prohibited acts provided under the Data Privacy Act of 2012, while rendering consultancy services arising from this Agreement. Iv. REPRESENTATIONS AND WARRANTIES 1. CONSULTANT represents and warrants that he is a licensed medical practitioner, with the required expertise to render medical services according to the best standards of the profession, and that he shall maintain said license and expertise throughout the duration of this Agreement. 2, CONSULTANT is not an employee of ACTIVEONE or any of its clients.
