ማንነቱን ካረጋገጠልዎት በኋላ (iii) 8.6 ሁሉም የእርስዎ ሠራተኞች፣ አገልጋዮች እና ኃላፊነት ያላቸው የእርስዎ ወገኖች
ይህ የኤምፔሳ ንዑስ ወኪልነት ስምምምነት ውል (ከዚህ በመቀጠል “ውሉ” በመባል
የተጠቀሰው) በዛሬው ቀን _____ ወር ____________ 2015 በሚከተሉት
ተዋዋይ ወገኖች መካከል ተፈርሟል፦
(1) ሳፋሪኮም ኤምፔሳ ሞባይል የፋይናንስ አገልግሎቶች ኃ.የተ. የግል ማኅበር
(SAFARICOM M-PESA MOBILE FINANCIAL SERVICES PLC) አድራሻው፦
አዲስ አበባ ከተማ፣ ቂርቆስ ክፍለ ከተማ፣ ወረዳ 01 (“ሳፋሪኮም ኤምፔሳ”) እና

ወኪሉ ከዚህ በመቀጠል በጋራ “ተዋዋይ ወገኖች” ወይም በተናጠል “ተዋዋይ
ወገን” በመባል ተጠቅሰዋል።
መግቢያ፦
) ዋናው ወኪል ከሳፋሪኮም ኤምፔሳ ጋር አገልግሎቶችን ለመስጠት የስምምነት ውል
ፈጽሟል (“የዋናው ወኪል ስምምነት ውል”)። የዋናው ወኪል ስምምነት ውል ዋናው
ወኪል በስምምነቱ ሥር የተቀመጡቱትን ግዴታዎቹን ለመወጣት ያስችለው ዘንድ
ግዴታዎቹን ሙሉ በሙሉ ለማክበር እስከተስማማ ድረስ ንዑስ ወኪሎችን
መጠቀም እንደሚችል በግልጽ ስለሚያስቀምጥ፤ ተዋዋይ ወገኖች በዚህ የስምምነት
ውል የተቀመጡትን ደንቦችና ግዴታዎች አክብረው ለመንቀሳቀስ በአንድነት
ከስምምነት ላይ ደርሰዋል።
የስምምነቱ ፍሬ ነገሮች፦
1. ትርጓሜዎች
“ሒሳቦች” “አካውንት” ማለት የእርስዎን የሥራ ማስኬጃ ሒሳብ፣ የሽያጭ ማዕከል
የፍሎት ሒሳብ እና የኮሚሽን ክፍያ ሒሳብየሚያካትት ነው። ሒሳቦቹ በሳፋሪኮም
ኤምፔሳ ቁጥጥር የሚደረግበት እና በእርስዎ አማካይነት የሚንቀሳቀስ ኤሌክትሮኒክ
ገንዘብ የያዘ ሆኖ የዚሁ ኤሌክትሮኒክ ገንዘብ ተመሳሳይ የገንዘብ መጠን በኤምፔሳ
የባንክ አደራ ሒሳብ በእርስዎ ስም በጥሬ ገንዘብ የሚቀመጥ ሁሉንም የሒሳብ
ዓይነቶች የሚያካትት የሒሳብ መዝገብ ነው።
“ደንበኛ” ማለት የኤምፔሳን አገልግሎት ለመጠቀም የተመዘገበ ግለሰብ ነው።
“ኤሌክትሮኒክ ገንዘብ” ማለት በኢትዮጵያ ብር የሚሰላ በኤምፔሳ ሲስተም ውስጥ
ዋጋ ያለው ገንዘብ ነው።
“ፍሎት” ማለት በእያንዳንዱ የሽያጭ ማዕከል የኤምፔሳ አገልግሎቶችን ለመስጠት
እንዲችሉ የሚያደርግዎት በእርስዎ ስም በኤምፔሳ ሲስተም ውስጥ የተመዘገበ
ገንዘብ ሲሆን
“ማኑዋል” ማለት በኤሌክትሮኒክ መንገድ የሚሰራጭ ወይም ለወኪሉ የሚሰጥ
የኤምፔሳን አገልግሎት መስጠትን በተመለከተ ፣ የሥራ ክንውኖቹን፣ የአፈጻጸም
ሂደቶቹን ሌሎች ተግባራትን የሚገልጽ በሳፋሪኮም ኤምፔሳ የሚዘጋጅ መመሪያ
ጽሑፍ /ማንዋል/ ሲሆን በየጊዜው እንደ አስፈላጊነቱ በሳፋሪኮም ኤምፔሳ የሚሻሻል
ይሆናል።
“የኤምፔሳ አገልግሎቶች” ወይም “አገልግሎቶቹ” ማለት በኤምፔሳ ሲስተም
ውስጥ ገንዘብን መጨመር ወይም መቀነስን የሚያስከትል የኤምፔሳ ገንዘብ ገቢ
ወይም ወጪ ማድረግ ሲሆን ይህም ገንዘብ እንደ ዲጂታል ብድሮች፣ ዲጂታል
ቁጠባዎች እና ገንዘብ የመላክ አገልግሎቶች እና ተዛማጅ አገልግሎቶችን የሚያካትት
ቢሆንም ትርጓሜው ግን በእነዚህ ብቻ አይወሰንም።
“የኤምፔሳ ሲስተም” ማለት የኤምፔሳ አገልግሎቶችን የሚያቀርብ በሳፋሪኮም
ኤምፔሳ የሚንቀሳቀስ ባለቤትነቱ በሕግ የተመዘገበ በቴክኖሎጂ የተደገፈ መገበያያ
መሳሪያ ነው፤
“የሽያጭ ማዕከል” ማለት ማንኛውም በእርስዎ የሚንቀሳቀስ መደብር፣ ሱቅ
ወይም ሌላ ችርቻሮ ንግድ ማከናወኛ ተቋም ወይም ክፍል ሲሆን በቦታው ላይ
ያሉትን የእርስዎን ሠራተኞች እና ረዳቶች የሚያካትት ነው፤
“ተሳታፊ” ማለት በኤምፔሳ ሲስተም ተጠቅሞ ክፍያዎችን ለመፈጸም ወይም
ለመቀበል ወይም ሌሎች የኤምፔሳ አገልግሎቶችን ለማከናወን ሲስተሙን
የሚጠቀም ማናቸውም ግለሰብ ወይም ሕጋዊ ሰውነት ያለው ተቋም ነው፤
“ፒን” ማለት እርስዎን በግል ለይቶ ሲስተሙ እንዲያውቅዎት የሚያደርግ ወደ
የእርስዎ የኤምፔሳ ሒሳቦች ለመግባትና ሒሳቦቹን ለማንቀሳቀስ የመረጡት
የምስጢር ቁጥር ነው፤
“ሲም ካርድ” ማለት የሳፋሪኮም ኤምፔሳ አጋር በሆነው በሳፋሪኮም
ቴሌኮምዩኒኬሽንስ ኢትዮጵያ ኃ.የተ.የግል.ማ (“የቴሌኮም ኦፐሬተር”) የሚቀርብ እና
ተገቢ ከበሆነ የሞባይል ስልክ ጋር ጥቅም ላይ ሲውል የኤምፔሳ አገልግሎቶች
ለመስጠት የሚያስችል ነው፤
“የገንዘብ ዝውውሮች” ማለት (እንደየሁኔታው) ከደንበኞች የኤምፔሳ ክፍያዎችን
መቀበል እና በአጭር የጽሑፍ መልእክት በሚሰጥ ትዕዛዝ አማካይነት ለደንበኞች
ክፍያዎችን መፈጸም እንቅስቃሴ ነው።
2. ደንበኞችን መመዝገብ
2.1 ከዚህ በታች የተቀመጡትን መስፈርቶችን የሚያሟሉ ደንበኞችን መመዝገብ
ይችላሉ፦
a) ደንበኛው ዕድሜያቸው ቢያንስ 18 ዓመት እና ከዚያ በላይ መሆን አለበት፤
b) ደንበኛው ኤምፔሳን የሚቀበል ሲምካርድ ሊኖራቸው ይገባል፤
c) ደንበኛው የኤምፔሳን ማመልከቻ ቅጽ ሞልተው መፈረም ይኖርባቸዋል።
2.2 ለደረጃ 1 ሒሳቦች፦ ስም፣ የትውልድ ቀን፣ የመኖሪያ አድራሻ፣ ስልክ ቁጥር፣ እና
የደንበኛው የቅርብ ጊዜ ፎቶ፤ ደንበኛው ከዚህ ቀደም ደረጃ 2 በደረሰ የሳፋሪኮም
ኤምፔሳ ደንበኛ አማካይነት የቀረበ አዲስ ደንበኛ መሆን አለበት።
2.3 ለደረጃ 2 ሒሳቦች፦ ስም፣ የትውልድ ቀን፣ የመኖሪያ አድራሻ፣ ስልክ ቁጥር፣ እና
የቅርብ ጊዜ ፎቶ እንዲሁም የደንበኛው ተገቢ መታወቂያ ሰነድ ሲስተሙ ውስጥ
መመዝገብ አለበት።
2.4 ደንበኛው ትክክለኛ አድራሻ እና ስልክ ቁጥር መስጠቱን ማረጋገጥ አለብዎት
እንዲሁም የቀረበልዎት መረጃ ሐሰት አለመሆኑን፣ ትክክለኛ መሆኑን፣ የተሟላ
መሆኑን ወይም አሳሳች አለመሆኑን እንዲሁም የቀረበልዎት ማስረጃዎች
ትክክለኛ ማስረጃዎች መሆናቸውን ማረጋገጥ ይኖርብዎታል።
3. የንዑስ ወኪል አጠቃላይ ግዴታዎች
3.1 የጥሬ ገንዘብ ክፍያዎችን የሚፈጽሙት በሚከተሉት ሁኔታዎች ብቻ ነው፦ (i)
በቂ ፍሎት ሒሳብ ካልዎት (ii) በኤምፔሳ ሲስተም ውስጥ የመጣው የአጭር
የጽሑፍ መልእክት ትክክለኛ እና የተሟላ መሆኑን ካረጋገጡ በኋላ እና (iii)
የደንበኛውን መታወቂያ ሰነድ በኤምፔሳ ሲስተም ከመጣው አጭር የጽሑፍ
መልእክት ጋር ተመሳሳይ መሆኑን አመሳክረው ካረጋገጡ በኋላ።
3.2 ወደ ደንበኛው ኤምፔሳ ሒሳብ ኤሌክትሮኒክ ገንዘብ የሚሞሉት በሚከተለው
ሁኔታ ብቻ ነው፦ (i) ደንበኛው ተመጣጣኝ የሆነ ገንዘብ በጥሬው ከሰጥዎት በኋላ
ከቀረበልዎት መታወቂያ ሰነድ አንጻር በኤምፔሳ ሲስተም ውስጥ የደንበኛውን
መታወቂያ ቁጥር ካስገቡ በኋላ።
3.3 ለእርስዎ የተሰጥዎት ሁሉም ሲምካርዶች የቴሌኮም ኦፐሬተሩ ንብረቶች ናቸው
እና በጥንቃቄ እንዲይዟቸው ይመከራሉ። ማናቸውም በሲም ካርዶች ላይ
የሚደርስ ጉዳት ወይም ዝርፊያ ወዲያውኑ ለሳፋሪኮም ኤምፔሳ ሪፖርት መደረግ
ይኖርበታል።
3.4 የኤምፔሳን የንግድ ምልክቶች እና የንግድ ስሞች የሚጠቀሙት የኤምፔሳን
አገልግሎቶች ለማስተዋወቅ ብቻ ነው።
3.5 ሳፋሪኮም ኤምፔሳ በየጊዜው ታሪፉን የማሻሻል መብቱ እንደተጠበቀ ሆኖ
የኤምፔሳ አገልግሎቶቹን መስጠት የሚችሉት በሲም ካርዶቹ ወይም
በመተግበሪያው ላይ ፕሮግራም በተደረገው የዋጋ ታሪፍ መሠረት ብቻ ይሆናል።
3.6 የኤምፔሳ አገልግሎቶችን መስጠት የሚችሉት በተመዘገበው የእርስዎ ሽያጭ
ማዕከል(ላት) ብቻ ሲሆን የወኪልነት ማረጋገጫ ምስክር ወረቀቱ በሽያጭ
ማዕከሉ ውስጥ በግልጽ በሚታይ ቦታ ላይ መለጠፍ ይኖርበታል።
3.7 ይህን የስምምነት ውል እና በዋናው ወኪል ለእርስዎ የተገለጸውን ሁሉንም
መረጃ፣ ሰነድ፣ መረጃ እና የክንውን ዘዴ በምስጢር ለመያዝ እና ለሌላ
ለማናቸውም ሦስተኛ ወገን አሳልፈው ላለመስጠት ተስማምተዋል።
3.8 በዚህ ውል ስምምነት፣ የዋናው ወኪል ስምምነት፣ በማንዋሉ፣ እና በማናቸውም
የውስጥ ደንቦች፣ የኢትዮጵያ ብሔራዊ ባንክ መመሪያዎች ወይም በየጊዜው እንደ
አስፈላጊነቱ በሳፋሪኮም ኤምፔሳ የሚመጡ ደንቦችን አክብሮ ለመገዛት
መስማማትዎን ያረጋግጣሉ።
3.9 በሕግ ከተገደዱ ማናቸውንም ከስራው ጋር የተያያዙ ሰነዶች ፣ የሥራ ቦታዎን እና
ቁሳቁሶች ለማናቸውም ተቆጣጣሪ ባለሥልጣን ወይም በሳፋሪኮም ኤምፔሳ
የተመደበ ኃላፊ ማሳየት ይኖርብዎታል።
3.10 በዋናው ወኪል ወይም በሳፋሪኮም ኤምፔሳ ከጊዜ ወደ ጊዜ እንደ አስፈላጊነቱ
በሚነገርዎት መሠረት በሳፋሪኮም የአገልግሎት ሰጪ የሥነ ምግባር ደንብ
ሁልጊዜ ተገዢ መሆን ይኖርብዎታል።
4. የፍሎት አስተዳደር
4.1 ሁሉንም ግብይቶችና የገንዘብ ዝውውሮች ማስተናገድ እስከሚችሉበት አቅም
ድረስ የፍሎት ሒሳብዎን ሚዛን ጠብቀው ማቆየት ይኖርብዎታል።
4.2 በሽያጭ ማዕከልዎ ውስጥ ያለው የፍሎት ገንዘብ በማንዋሉ ላይ በተጠቀሰው
መሠረት ሚዛኑን የጠበቀ ስለ መሆኑ የማረጋገጥ ኃላፊነት አለብዎት።
4.3 በሳፋሪኮም ኤምፔሳ በየጊዜው ከሚቀመጠው ዝቅተኛ ገደብ በታች የሚገኝ
ማናቸውንም ፍሎት ሒሳብ ወደ በቂ ደረጃ የመመለስ ኃላፊነት እንዳለብዎት
በዚህ ውል ተስማምተዋል።
5. የመዝገብ አያያዝና ምስጢር ጥበቃ
5.1 ከሚሰጡት የኤምፔሳ አገልግሎቶች ጋር የተገናኙ ሁሉንም መረጃዎች በአግባቡ
የመያዝ ኃላፊነት አለብዎት፥ ይህም የእያንዳንዱን ደንበኛ ዝርዝር መረጃ
በሳፋሪኮም ኤምፔሳ በየጊዜው በሚቀመጠው መስፈርት መሠረት መያዝን
ያካትታል።
5.2 ሁሉም የኤምፔሳ ግብይቶች (የገንዘብ ዝውውሮች) በሲስተሙ ውስጥ
መመዝገብ አለባቸው፣ ይህም መረጃ በማናቸውም ጊዜ የሳፋሪኮም ኤምፔሳ
ንብረት እንደሆነ ይቀጥላል። የገንዘብ ዝውውሮችን ሳይመዘግቡ መቅረት ይህን
የስምምነት ውል ሙሉ በሙሉ እንደመጣስ ይቆጠራል።
5.3 በገንዘብ ዝውወር ወቅት ወይም አገልግሎቱን በሚሰጡበት ጊዜ በእጅዎ ውስጥ
የሚገቡ መረጃዎችን፣ ሰነዶችን፣ የኮምፒውተር ዳታዎችን ምስጢር የመጠበቅ
ኃላፊነት አለብዎት።
6. የማጭበርበር ድርጊትን መከላከልና የደኅንነት ጥበቃ
6.1 የሽያጭ ማዕከሉ ቦታ ደኅንነትና ጸጥታ በበቂ መልኩ የማስከበር ኃላፊነት
አለብዎት።
6.2 የሽያጭ ማዕከልዎን ክትትልና ጥበቃ ሕጉ በሚፈቅደው የጤና እና የደኅንነት
አጠባበቅ ሥርዓት መሠረት ማከናወን ይኖርብዎታል።
6.3 የሞባይል ስልክ ቀፎዎችን አያያዝና አቀማመጥ፣ ፒን ቁጥሮችን በምስጢር መያዝ
እና ፒን በመጠቀም ለሚከናወኑ ለሁሉም የገንዘብ ዝውውሮች ደኅንነት ጥበቃ
ኃላፊነቱን ይወስዳሉ።
6.4 የእርስዎ ሲም ካርድ ወይም የሞባይል ስልክ ቀፎ የማጭበርበር ድርጊትን
ለማከናወን ወይም ያለ ደንበኛው ፈቃድ ከሒሳባቸው ላይ ገንዘብ ወጪ
ለማድረግ ወይም ያለ ደንበኛው ዕውቅና የሞባይል ስልክ ቁጥርን አሳልፎ
ለመስጠት ጥቅም ላይ መዋል የለባቸውም። ከእርስዎ ሲም ካርድ ወይም
ሞባይል ስልክ ቀፎ ጋር ግንኙነት ያለው ማናቸውም የማጭበርበር ድርጊት
ከሳፋሪኮም ኤምፔሳ ጋር ያልዎትን የውል ግንኙነት ከማቋረጥ ባሻገር አግባብነት
ባለው ሕግ ተጠያቂ እንዲሆኑ ያስደርግዎታል።
6.5 ከኢትዮጵያ ሕግ በተጻራሪ ማናቸውንም ዓይነት ወንጀል ለመፈጸም ሲም
ካርዶቹን መጠቀም የለብዎትም፤ ይህም ሲም ካርዶችን ከሃገር ውጭ
መጠቀምን ይጨምራል። ማናቸውም ሕግ ተጥሶ ሲገኝ ውሉ ለጊዜው ሊታገድ
ወይም ሊቋረጥ ወይም በሕግ ሊከሰሱ ወይም ሊጠየቁ ይችላሉ።
7. የገንዘብ ዝውውሮችን ማከናወን እና መፈጸም
7.1 ገንዘብ መሙላት የሚችሉት ወደ ደንበኛ ኤምፔሳ ኤሌክትሮኒክ ሒሳቦች ብቻ
ነው ፤ በቀጥታ ወደ ኤምፔሳ ሌላ ተሳታፊ የኤምፔሳ ሒሳብ ኤሌክትሮኒክ ገንዘብ
መሙላት አይችሉም።
7.2 አንድ ደንበኛ ኤሌክትሮኒክ ገንዘብ ከመሙላቱ ወይም ገንዘብ ከማውጣቱ በፊት
ደንበኛው ሁሉንም የማንነት እና የደኅንነት ማረጋገጫ ሂደቶች ማለፋቸውን
ማረጋገጥ እንዳለብዎት።
8. ብራንዲንግ፣ የማስተዋወቂያ ቁሳቁስ እና የአእምሮ ንብረት መብቶች
8.1 ለእርስዎ የሚቀርብልዎት እንደ የውጭ ማስታወቂያ፣ የሳፋሪኮም ኤምፔሳ
ፖስተሮች፣ እና የሽያጭ ማሽኖች የመሳሰሉ የብራንዲንግ እና የማስታወቂያ ድጋፍ
ሰጪ ቁሳቁሶች የሳፋሪኮም ኤምፔሳ ንብረቶች እንደሆኑ ይቀጥላሉ።
8.2 የኤምፔሳ አገልግሎቶች ለመስጠት በሳፋሪኮም ኤምፔሳ የተፈቀደልዎት
ስለመሆኑ ለመግለጽ በሳፋሪኮም ኤምፔሳ በየጊዜው ለእርስዎ የሚሰጡ ጽሑፎች
በሽያጭ ማዕከላት፣ በማናቸውም በእርስዎ ጥቅም ላይ የዋሉ ጽሑፎች ላይ
በግልጽ በሚታዩበት ቦታ ላይ መሰቀል ይኖርባቸዋል።
8.3 በሳፋሪኮም ኤምፔሳ በየጊዜው በሚገለጸው መሠረት በሽያጭ ማዕከላቱ ውስጥ
የኤምፔሳን ታሪፍ መመሪያዎች በግልጽ በሚታይ ቦታ ላይ መስቀል
ይኖርብዎታል።
8.4 ሳፋሪኮም ኤምፔሳ ከጊዜ ወደ ጊዜ አስፈላጊ ናቸው ብሎ የሚያምንባቸውን
ሌሎች የንግድ ወይም የአገልግሎት ምልክቶች ወይም የቅጂ መብት
ማስታወቂያዎችን በዋናው ወኪል በሚነገርዎት መሠረት እንዲለጥፉ ሊጠየቁ
ይችላሉ።
8.5 የኤምፔሳን የንግድ ምልክት ጨምሮ በማናቸውም የሳፋሪኮም ኤምፔሳ
የአእምሯዊ ንብረቶች ላይ ምንም ዓይነት መብቶች ሊኖርዎት አይችልም።
እንዲህ ያሉትን የንግድ ምልክቶች እና የንግድ ስሞች ለአገልግሎቶቹ ጥቅም ብቻ
መጠቀም እንዳለባቸው እና በሳፋሪኮም ኤምፔሳ ብራንዲንግ መመሪያዎች ተገዢ
መሆናቸው ማረጋገጥ ይኖርብዎታል።
9. የኮሚሽን ክፍያዎች
9.1 የኤምፔሳ አገልግሎቶችን ስለሰጡ ለንዑስ ወኪሉ እና ለዋናው ወኪሉ መከፈል
ያለባቸው የኮሚሽን ክፍያዎች ዝርዝር በየጊዜው በ ሳፋሪኮም ኤምፔሳ በሚሰጥ
ማስታወቂያ እንዲያውቁት ይደረጋል ይህ ዝርዝር የዚህ ስምምነት ውል አንድ
አካል ተደርጎ ይቆጠራል።
9.2 ለዋናው ወኪል እና ለንዑስ ወኪሉ መከፈል ያለበት የኮሚሽን ክፍያ እና የክፍያ
ተመን ሳፋሪኮም ኤምፔሳ በየጊዜው እንደአስፈላጊነቱ በሚያወጣቸው ተመኖች
መሠረት ሊሻሻሉ ይችላሉ።
9.3 የኤምፔሳ አገልግሎቶችን መስጠት በተመለከተ፣ በሚያከናውኗቸው የገንዘብ
ዝውውሮች ብዛት እና ዓይነት ላይ በመመርኮዝ የኮሚሽን ክፍያ የሚከፈልዎት
ሲሆን በዚህም ከሚገኘው የኮሚሽን ክፍያ እርስዎ 80% ሲወስዱ ዋናው ወኪል
ደግሞ 20% ይወስዳል።
9.4 እርስዎ የተከፈልዎት እና የሚከፈልዎት የኮሚሽን ክፍያ ወደ የእርስዎ የኮሚሽን
ሒሳብ /አካውንት/ ተደማምሮ የሚገባ ሲሆን አግባብነት ባላቸው የጊዜ ልዩነቶች
ግብር ከተከፈለ በኋላ ለእርስዎ የተጣራው ክፍያ የሚደርስዎት ይሆናል።
9.5 የኮሚሽን ክፍያዎችን ለማግኘት ሲሉ ምንም ዓይነት የማጭበርበር ድርጊት
መፈጸም የለብዎትም። ጥርጣሬን ለማስቀረት ሲባል የማጭበርበር ድርጊት ስንል
አንድን የተወሰነ ግብይት መጠናቸው አነስተኛ ወደ ሆኑ በርካታ ግብይቶች
መከፋፈልን ያካትታል። ከማጭበርበር ድርጊት ተከተሎ ማናቸውም በሳፋሪኮም
ኤምፔሳ በስሕተት የተከፈለ የኮሚሽን ክፍያ ተመላሽ መሆን አለበት እንዲሁም
ሳፋሪኮም ኤምፔሳ ይህን ተከትሎ ይህን የስምምነት ውል የማገድ ወይም
የማቋረጥ መብቱ የተጠበቀ ይሆናል።
10. አእምሯዊ ንብረት
10.1 የኤምፔሳን ንግድ ምልክት ጨምሮ የኤምፔሳ አገልግሎቶች ላይ ያሉ የአእምሮ
ንብረት መብቶች የሳፋሪኮም ኤምፔሳ እና/ወይም የአጋሮቹ ንብረቶች ናቸው።
በሳፋሪኮም ኤምፔሳ የብራንዲንግ መመሪያዎች ከተፈቀደው ውጭ
ማናቸውም አስመስሎ ማዘጋጀት፣ ማሻሻል፣ ማሰራጨት ወይም ዳግም
ማተም ድርጊት በሙሉ በጥብቅ የተከለከለ ነው።
11. በሕገ ወጥ መንገድ የተገኘ ገንዘብን ሕጋዊ አስመስሎ ማቅረብን መከላከል
እና አጠራጣሪ እንቅስቃሴ
11.1 በኤምፔሳ ሲስተም ውስጥ የማናቸውም ዓይነት ወንጀል ፍሬ የሆነን ገንዘብ
ማንቀሳቀስ በፍጹም የተከለከለ ነው።
11.2 በሳፋሪኮም ኤምፔሳ በየጊዜው እንደ አስፈላጊነቱ የሚሻሻሉትን ደንበኛዎችን
ይወቁ እና በኤምፔሳ የቀረበልዎትን በሕገ ወጥ መንገድ የተገኘ ገንዘብን ሕጋዊ
አስመስሎ ማቅረብ መመሪያዎችና ፖሊሲዎች ማክበር ይኖርብዎታል።
12. ዕግድ እና የውል መቋረጥ
12.1 ውሉን ማቋረጥ እንደሚፈልግ ሠላሳ (30) ቀናት አስቀድሞ በጽሑፍ በመግለጽ
ማናቸውም ተዋዋይ ወገን ውሉን ማቋረጥ ይችላል።
12.2 የዋናው የወኪል ስምምነት ወይም ይህ የስምምነት ውል በሳፋሪኮም ኤምፔሳ
አማካይነት ከዋናው ወኪል ጋር እንዲቋረጥ ከተደረገ፣ ይህ ውል በሳፋሪኮም
ኤምፔሳና በንዑስ ወኪሉ መካከል እንደፀና ይቀጥላል።
12.3 ይህ የስምምነት ውል ተጥሶ ሲገኝ ወይም በእርስዎ የተፈጸመ ድርጊት ዋናውን
ወኪል የዋና ወኪልነት ስምምነቱን እንዲጥስ የሚያደርገው ሆኖ ሲገኝ ይህን
የስምምነት ውል ዋናው ወኪል ወይንም ሳፋሪኮም ኤምፔሳ ማቋረጥ ይችላል።
ከዚህ በታች በተመለከቱት ምክንያቶች ብቻ ሳይገደብ ፤ ይህ ስምምነት እርስዎ
የሚከተሉትን ከፈጸሙ የሚቋረጥ ይሆናል፦
a) ዋናውን የንግድ ሥራ እንቅስቃሴዎን ማከናወን ካቆሙ፤
b) ማጭበርበር፣ እምነት ማጉደል ወይም ሌሎች ገንዘብ ነክ ወንጀሎችን
መፈጸምዎ በሕግ ሲረጋገጥ፤
c) በሳፋሪኮም ኤምፔሳ ወይም በዋናው ወኪል ዕይታ በሦስት ወራት ውስጥ
ከደረሰብዎት ኪሣራ ሊያገግሙ ይችላሉ ተብሎ በማይታመንበት ደረጃ
የገንዘብ ኪሣራ ከደረሰብዎት፤
d) የንግድ ሥራዎ እየፈረሰ ወይም በፍርድ ቤት ትዕዛዝ እየተዘጋ ያለ ከሆነ፤
e) ከዚህ ዓለም በሞት ከተለዩ ወይም አእምሮዎትን ማዘዝና መቆጣጠር
በማይችሉበት የጤና ችግር ውስጥ ከተዘፈቁ፤
f) ለዋናው ወኪል ወይም ለሳፋሪኮም ኤምፔሳ በጽሑፍ አስቀድመው
ሳያሳውቁ የንግድ አድራሻዎትን ከቀየሩ ወይም ከዘጉ፤
g) የብሔራዊ ባንክን የወኪልነት አሠራር መመሪያ ወይም ሌላ ማናቸውም
የአገር ውስጥ ሕግ ደንቦችን ጥሰው ከተገኙ፤
12.4 ውሉ ከተቋረጠ ወይም የስምምነት ውሉ ዘመን ካበቃ የሚከተሉት ሁኔታዎች
ተፈጻሚነት ይኖራቸዋል፦
a) አገልግሎቶቹን መስጠትዎን ማቋረጥ እና አገልግሎቶቹን እንደሚሰጡ
ከመለጽ መቆጠብ አለብዎት።
b) በፍሎት ሒሳቡ ላይ ያለው ቀሪ ሒሳብ ለእርስዎ ተመላሽ ይደረግልዎታል።
12.5 ይህ ስምምነት ውል እንደተቋረጠ ውሉ ከተቋረጠበት ቀን ጀምሮ ምንም
ዓይነት ኮሚሽን ለእርስዎ ተከፋይ አይደረግም።
12.6 የንዑስ ወኪሉ የንግድ ቦታ ላይ ጥቅም ላይ ሲውል የነበረ ማናቸውም ዓርማ
እና የማስታወቂያ ቁሳቁሶች በሙሉ ከንዑስ ወኪሉ የሥራ ቦታ ሙሉ በሙሉ
ይህ የስምምነት ውል ሲቋረጥ መወገድ ይኖርባቸዋል።
12.7 የዚህ ውል ስምምነት መቋረጥ በሌላ መልኩ ካልተገለጸ በቀር ውሉ ከመቋረጡ
በፊት የነበሩ መብቶችን የሚያከብር ሲሆን ውሉ ከተቋረጠ በኋላ በቀጥታም
ሆነ በተዘዋዋሪ እንደሚቀጥሉ የታወቁ የሥራ እንቅስቃሴዎችና ድርጊቶች
በነበሩበት መቀጠል መቻላቸውን የሚያሳጣ አይደለም።
13. የተከለከሉ ተግባራት
የሚከተሉት ተግባራት እና ጉድለቶች የተከለከሉ ሲሆን የእርስዎን ሒሳብ ወይም ይህ
የስምምነት ውል እንዲቋረጥ ወይም እንዲታገድ ሊያስደርጉ ይችላሉ፦
13.1 አንድ መታወቂያ (ማንነትን ገላጭ ሰነድ) በመጠቀም በርካታ ደንበኞችን
መመዝገብ፤
13.2 በማረሚያ ቤት እና ተመሳሳይ ተቋማት ውስጥ የሚገኙ አጭበርባሪ ግለሰቦችን
ለአገልግሎቱ እንዲመዘገቡ ሁኔታዎችን ማመቻቸት፤
13.3 ለአጭበርባሪ ደንበኞች ያለ ባለቤቱ ዕውቅና የሞባይል ስልክ ቁጥርን አሳልፎ
መስጠት፤
13.4 አየር በአየር የሚከናወን ያለ ባለቤቱ ዕውቅና የሞባይል ስልክ ቁጥርን ለሌላ
አካል በማስተላለፍ ፤ ሠራተኞችችን በመጠቀም ወይም የአጭበርባሪዎች
በመተባበር ደንበኛውን ገንዘቡን እንዲያጣ ማድረግ፣ ሁኔታዎችን ማመቻቸት፤
13.5 ገንዘብን ከርቀት በማዘዝ ወጪ እንዲሆን ማድረግ፤
13.6 በማጭበርበር የተገኘ ገንዘብን ወደ ደንበኛ ሒሳብ በቀጥታ ገቢ እንዲሆን
ማድረግ፤
13.7 አጠራጣሪ እንቅስቃሴን ሪፖርት ሳያደርጉ መቅረት፤
13.8 የወንጀል ድርጊትን አይቶ እንዳላዩ ማለፍ/ መደበቅ፤
13.9 በደንበኞች ምዝገባ ሂደት ወቅት ተቀባይነት ያለውን የመታወቂያ ዓይነት
(ማንነት ገላጭ ሰነድ) ሳይጠይቁ መቅረት፤
13.10 ያልተሟሉ የምዝገባ ቅጾችን መጠቀም፤
13.11 ግብይት (የገንዘብ ዝውውር) በሚፈጸምበት ወቅት የደንበኛውን ማንነት
መታወቂያን በማየት ሳያረጋግጡ መቅረት፤
13.12 በምዝገባ ወይም በገንዘብ ዝውውር ወቅት ኦርጂናሉን ሳይሆን ኮፒውን ብቻ
አይቶ ማሳለፍ፤
13.13 ተቀባይነት የሌላቸውን መታወቂያዎች (ማንነት ገላጭ ሰነዶች) መቀበል፤
13.14 ከደንበኛው ገንዘቡን ከተቀበሉ በኋላ ኤሌክትሮኒክ ገንዘቡን ሳያስተላልፉ
መቅረት፤
13.15 ደንበኛው ማግኘት ካለበት ጥሬ ገንዘብ ወይም ኤሌክትሮኒክ ገንዘብ ያነሰ
ገንዘብ ወይም ጎዶሎ ምንዛሪ መስጠት፤
13.16 ያለ ደንበኛው ፈቃድ ከደንበኛ ፍሎት ሒሳብ ላይ ገንዘብ ወጪ ማድረግ፤
13.17 አግባብነት የሌለው ኮሚሽን ክፍያ ለማግኘት ሲባል የሐሰት ምዝገባ
ማከናወን፤
13.18 ትክክለኛ የደንበኛ ስም እና/ወይም መታወቂያ ቁጥር የሌላቸው ምዝገባዎችን
ማከናወን፤
13.19 ተጨማሪ (ተገቢነት የሌለው) የኮሚሽን ክፍያ ለማግኘት ሲባል የተቀማጭ
ገንዘቦችን መጠን መጨመር፤
13.20 አግባብነት የሌለው ኮሚሽን ክፍያ ለማግኘት ሲባል ሐሰተኛ ገቢ ገንዘቦችን
መመዝገብ፤
13.21 ኤምፔሳ ሲምካርዶችን መሸጥ ወይም በጥቅም መቀያየር፤
13.22 ደንበኞችን ለምዝገባ ክፍያ ማስከፈል ወይም ከተጠቃሚዎች በቀጥታ
ማናቸውንም ዓይነት ክፍያ መሰብሰብ ወይም ማስከፈል፤
13.23 ከሲስተሙ ውጪ ደንበኞችን ለገንዘብ ዝውውሩ ክፍያ ማስከፈል፤
13.24 ከመደበኛው ዋጋ በላይ ደንበኞችን ለሲም ምትክ መስጠት አገልግሎት ክፍያ
ማስከፈል፤
13.25 ደንበኞችን የኤምፔሳ ፒን ቁጥራቸውን እንዲሰጡ ማግባባት፤
13.26 ወደ ደንበኛው ወይም ክፍያ እንዳይከፍሉ በማሰብ ላልተመዘገቡ ደንበኞች
ኤምፔሳ ሒሳብ በቀጥታ ገንዘብ ገቢ እንዲሆን ሁኔታዎችን ማመቻቸት፤
13.27 በሽያጭ ማዕከሉ ረዳቶች አማካይነት ፒኖችን ለሌሎች አሳልፎ መስጠት፤
13.28 የተቀመጠውን የፍሎት ደንብ አክብሮ አለመገኘት፤
13.29 ሳፍሪኮም ኤምፔሳን አስቀድሞ ሳያሳውቁና ኦዲት ሳይደረግ ሲምካርዶችን
በተዘበራረቀ መንገድ ከአንድ ቦታ ወደ ሌላ ቦታ ማዛወር፤
13.30 ለማይታወቁ መሸጫ ማዕከላት ሲም ካርዶችን መስጠት፤
13.31 ሲምካርዶችን ለማግኘት በማሰብ ሐሰተኛ መረጃ መስጠት፤
13.32 የውጭ ምንዛሬ አገልግሎቶች ደንብ እንደተጠበቀ ሆኖ፣ በውጭ ምንዛሬ
መገበያየት፤
13.33 የደንበኛዎችን መለያ መስፈርቶችን እና የቀረቡልዎትን በሕገ ወጥ መንገድ
የተገኘ ገንዘብን ሕጋዊ አስመስሎ ማቅረብን መከላከል መመሪያዎች
አለማክበር፤
13.34 በሳፋሪኮም ኤምፔሳ ከቀረቡት ደንቦችና ግዴታዎች ውጭ የተለዩ ደንቦችና
ግዴታዎችን ተፈጻሚ ማድረግ ወይም ይህን ስምምነት መጻረር ወይም
ከስምምነቱ ውጭ የሆነ ድርጊትን መፈጸም፤
13.35 ሲስተሙ በማይሠራበት ወቅት ወይም ኔትዎርክ በማይኖርበት ጊዜ የገንዘብ
ዝውውሮችን ማከናወን።
14. የአለመግባባቶች አፈታት
14.1 ተዋዋይ ወገኖች አለመግባባቶችን በስምምነት ለመፍታት ይሞክራሉ።
አለመግባባቶቹን በስምምነት ለመፍታት ሳይቻሉ ቢቀሩ፣ ጉዳዩ አዲስ አበባ
በሚገኝ በኢትዮጵያ ፌደራል ፍርድ ቤቶች የሚታይ ይሆናል።
14.2 ሳፋሪኮም ኤምፔሳ በተዋዋይ ወገኖች (በዋና ወኪል እና ንዑስ ወኪሉ) መካከል
ማናቸውም ዓይነት አለመግባባት ሲፈጠር ወዲያውኑ እንዲያውቀው መደረግ
ይኖርበታል።
14.3 የትርጉም መጣረስ ወይንም አለመግባባት በሚኖርበት ወቅት የ
ኢንግሊዘኛው ትርጉም በቀዳሚነት ተቀባይነት ይኖረዋል።
15. ኃላፊነትን ለሌላ ወገን ማስተላለፍ
15.1 በዚህ ስምምነት ውል በሌላ መንገድ እስካልተገለጸ ድረስ ፣ ያለ ሳፋሪኮም
ኤምፔሳ በቅድሚያ የሚሰጥ የጽሑፍ ፈቃድ ውጭ በዚህ ስምምነት ሥር
ያሉዎትን መብቶች ሆነ ግዴታዎች ማናቸውንም ለሌላ ማስተላለፍ አይችሉም።
M-PESA SUB-AGENT AGREEMENT
This M-PESA sub-agent agreement (hereinafter referred to as the
“Agreement”) is made on this _____ day of ____________ 2023 by and

The Master Agent, Safaricom M-PESA, and the Sub-Agent are hereinafter
referred to jointly as the “parties” or individually each as the “Party”.
BACKGROUND:
A. The Master Agent has entered into an agreement with Safaricom M-
PESA for the provision of the Services (defined below) (the “Master Agent
Agreement”);
B. The Master Agent Agreement anticipates that the Master Agent may
make use of Sub-Agents in order to discharge its obligations under the
Master Agent Agreement provided the Sub-Agent consents to be bound
by the provisions of the Master Agent Agreement;
C. The Parties have agreed to contract in consideration of the terms and
conditions set out in this Agreement.
AGREED TERMS:
1. DEFINITIONS
“Accounts” means your M-PESA accounts comprising of the mobile
microfinance account (MMF), the Outlet Float Account and the commissions
account. The Accounts shall be a conclusive record maintained by Safaricom
M-PESA of the amount of Money from time to time held by you and
represented by an equivalent amount of cash held by the M-PESA trust
account on your behalf.
“Customer” means an individual who has registered to use the M-PESA
Service.
“E-Money” means the monetary value in the M-PESA System denominated
in Ethiopian Birr;
“Float” means the sum of Money held by you in the M-PESA System for the
provision of M-PESA Services from each Outlet and “Float Account” shall
mean the Outlet’s M-PESA Account.
“Manual” means the manual issued by Safaricom M-PESA in electronic form
or otherwise to the Agent which records methods of operation, procedures,
and other practical matters relevant to the provision of M-PESA Services as
updated by Safaricom M-PESA from time to time.
“M-PESA Services” or “Services” means the M-PESA cash-in and cash-out
services that result in the acquisition or redemption of Money on the M-PESA
System and includes, without limitation, analogous services such as digital-
credit, digital-saving, and remittance services etc.;
“M-PESA System” means the proprietary technology platform operated by
Safaricom M-PESA providing the M-PESA Services;
“Outlet” means any shop, unit or other retail premises or portion thereof
operated by you and includes the employees and assistants operating
therein;
“Participant” means any person or legal entity that participates in the M-
PESA System by using the M-PESA Services to send or receive Payments
or undertake other M-PESA Services;
“PIN” means your personal identification number being the secret code you
choose to access and manage your M-PESA Accounts;
“SIM Card” means the subscriber identity module, which is issued to the
Agent by Safaricom Telecommunications Ethiopia PLC (the “Telecom
Operator”), an Affiliate of Safaricom M-PESA, and which, when used with the
appropriate mobile phone apparatus enables you to use the M-PESA
Services;
“Transactions” means (as the context requires) receiving M-PESA
payments from Customers and paying out cash sums to Customers in
accordance with SMS instructions and registering new Customers.
2. REGISTERING CUSTOMERS
2.1. You may register Customers meeting the requirements below:
a. A Customer must be at least 18 years old;
b. The Customer has an M-PESA-enabled SIM Card;
c. The Customer completes and signs the M-PESA application form;
2.2. For Level 1 accounts: name, date of birth, residential address,
telephone number, and recent photo of the user; and the user shall be
introduced by another person who already maintains level 2 account
with Safaricom M-PESA.
2.3. For Level 2 accounts: name, date of birth, residential address,
telephone number, and recent photo and valid identity card of the user
shall be captured in the system.
2.4. You must ensure that the Customer has provided an active address
and phone number and take such reasonable steps as would satisfy
you that the information provided is not false, inaccurate, incomplete or
misleading and that the documents provided are genuine.
3. SUB-AGENT’S GENERAL OBLIGATIONS
3.1 You will make cash payments only: (i) if you have sufficient Float (ii)
upon checking the accuracy and completeness of the information
contained in the SMS from M-PESA System and (iii) after cross-
checking the Customer’s ID against the details provided in the SMS
from the M-PESA System.
3.2 You will upload E-Money in a Customer’s M-PESA Account only: (i) if
the Customer hands over equivalent amount of money in cash (ii) that
the Customer identifies him/herself with the appropriate ID document.
3.3 All SIM Cards supplied to you are the property of the Telecom Operator
and you are required to take good care of them. Any damage to or theft
of the SIM Cards must be immediately reported to Safaricom M-PESA.
3.4 You may only use the M-PESA trademarks and trade names for the
purpose of promoting and providing the M-PESA Services.
3.5 You may only provide the M-PESA Services using the tariffs
programmed in the SIM Cards or app as may be varied by Safaricom
M-PESA in revised tariffs notified to you from time to time.
3.6 You may only provide the M-PESA Services at your registered Outlet(s)
and certificate of agency shall be posted in conspicuous place.
3.7 You agree to hold in confidence this Agreement and all information,
documentation, data and know–how disclosed to you by the Master
Agent and not to disclose it to any third party.
3.8 You agree to comply with the terms of this Agreement, the Master
Agent Agreement (which you acknowledge its receipt), the Manual, and
any bulletins, National Bank of Ethiopia Directives or notices as may be
published by Safaricom M-PESA regarding the Services from time to
time.
3.9 You shall, if required by law, provide access to any of your documents,
materials or premises to any regulator mandated to oversee, supervise
or otherwise prudentially regulate Safaricom M-PESA.
3.10 You agree to adhere at all times to the Safaricom M-PESA Supplier
Code of Conduct as may be notified to you by the Master Agent or
Safaricom M-PESA from time to time.
4. FLOAT MANAGEMENT
4.1 You shall be required to maintain Floats to such level as will be
sufficient to cover all Transactions.
4.2 You shall ensure that the Float at your Outlet is balanced daily as
specified in the Manual.
4.3 You agree to restore the Floats to a sufficient level if the balance of any
of the Floats drops below the limits specified from time to time by
Safaricom M-PESA.
5. RECORD KEEPING and CONFIDENTIALITY
5.1 You must keep proper records in relation to the provision of M-PESA
Services by you, including the registration particulars of each Customer
as may be stipulated by Safaricom M-PESA from time to time.
5.2 All M-PESA Transactions shall be recorded in the system which shall
at all times remain the property of Safaricom M-PESA. Failure to record
Transactions shall constitute a material breach of this Agreement.
5.3 You shall maintain the confidentiality of records, documents,
information and data made available to you during transactions or in
delivering the Service.
6. FRAUD MANAGEMENT AND SAFETY
6.1 You must maintain adequate levels of security at the premises hosting
the Outlet.
6.2 You must observe and procure the observance of your Outlet with any
law governing occupational health and safety.
6.3 You will be responsible for the safekeeping and proper use of the
Terminals, for keeping each PIN secret and for all Transactions
undertaken using each PIN.
6.4 Your SIM Card or Terminal must not be used to perpetrate fraud, nor
permitted to withdrawing Customer’s deposits without their consent or
with fraudulent swaps. Any act of fraud associated with your SIM Card
or Terminal shall result in legal action against you as per the law in
addition to any sanction by Safaricom M-PESA.
6.5 You must not use the SIM Cards to commit any offence(s) against
Ethiopian Law including without limitation, operating the SIM Cards in
a foreign country. In the event of any breach of any law, you may face
suspension and/or termination of this Agreement forthwith and/or
prosecution or other legal proceedings at your risk.
7. UPLOADING AND REDEMPTION TRANSACTIONS
7.1 You may upload E- Money into Customer’s M-PESA accounts only and
not directly into another M-PESA participant’s M-PESA account.
7.2 You agree that before a Customer uploads E-Money or redeems
Money, you shall ensure that the Customer complies with any identity
and security validation and verification procedures.
8. BRANDING, PROMOTIONAL MATERIAL AND INTELLECTUAL
PROPERTY RIGHTS
8.1 Branding and advertising support materials such as external signage,
Safaricom M-PESA posters, and internal point of sale supplied to you
remain the property of Safaricom M-PESA.
8.2 You shall display conspicuously at the Outlets, and on all stationery and
literature used by you, the text as stipulated by Safaricom M-PESA from
time to time disclosing to the general public that you are authorized by
Safaricom M-PESA to provide the M-PESA Services.
8.3 You must conspicuously display at the Outlets the M-PESA tariff
guidelines as updated by Safaricom M-PESA from time to time.
8.4 You may be required to display at the Outlets such other trade or
service marks or copyright notices as Safaricom M-PESA may stipulate
from time to time and communicate to you through the Master Agent.
8.5 You acquire no rights or goodwill in any of Safaricom Mpesa’s
intellectual property including the M-PESA trademark.
8.6 You shall, and shall procure that all of your employees, servants and
other authorized persons, use such trademarks and trade names for
the purposes of the Services only and comply with Safaricom M-
PESA’s branding guidelines.
9. COMMISSIONS
9.1 Commission payable to the Sub-Agent and the Master Agent for the
various M-PESA Services will be provided from time to time by
Safaricom M-PESA, which shall also be regarded as integral part of this
Agreement.
9.2 Both the Master Agent and the Agent acknowledge that the commission
payable and the tariffs may be varied by Safaricom M-PESA by the
publication of revised rates from time to time.
9.3 In consideration of providing the M-PESA Services, you will earn a
commission based on the number and type of Transactions where you
will get 80% of the commissions earned while the Master Agent gets
20%.
9.4 Commissions earned by and payable to you will be rolled up to your
commission’s account and paid to you net of taxes at regular intervals.
9.5 You must not make any fraudulent claim for commissions. For the
avoidance of doubt, a fraudulent claim includes claims arising from the
splitting of a transaction into multiple transactions of lesser value. Any
commissions erroneously paid out to you by Safaricom M-PESA
following a fraudulent claim shall be clawed back and Safaricom M-
PESA shall reserve the right to suspend or terminate this Agreement
forthwith.
10. INTELLECTUAL PROPERTY
All intellectual property rights in the M-PESA Services including the M-PESA
trademark are the property of Safaricom M-PESA and/or its affiliates. Any
reproduction, modification, distribution or republication of M-PESA materials
outside Safaricom M-PESA’s branding guidelines is strictly prohibited.
11. ANTI-MONEY LAUNDERING and SUSPICIOUS ACTIVITY
11.1 The movement of money through the M-PESA System which is or
forms part of the proceeds of any crime is expressly prohibited.
11.2 You shall comply with all Know Your Customer and Anti-Money
Laundering guidelines and policies as may be notified to you by
Safaricom M-PESA from time to time.
12. SUSPENSION and TERMINATION
12.1 Either Party may terminate this agreement by giving thirty (30) days’
notice of such intent to the other Party.
12.2 If the Master Agent Agreement or this Agreement is terminated by
Safaricom M-PESA against the Master Agent, the Agreement shall
continue between Safaricom M-PESA and the Agent.
12.3 The Master Agent may terminate this Agreement forthwith upon the
occurrence of any breach of this Agreement or if any action taken by
you may place the Master Agent in breach of the Master Agent
Agreement. Among other, this Agreement can be terminated if you;
a) ceased your main commercial activity;
b) are guilty of a criminal offence involving fraud, dishonesty or other
financial impropriety;
c) sustain a financial loss or damage to such a degree which, in the
opinion of the Safaricom M-PESA or the Master Agent, makes it
impossible for you to gain your financial soundness within three
months from the date of the loss or damage;
d) business is being dissolved or wound up through court or
otherwise;
e) die or become mentally incapacitated,
f) relocate or close your premises without the prior written consent
of the Master Agent or Safaricom M-PESA;
g) violate any provision of the National Bank Use of Agent Directive
or any other national laws.
12.4 Upon the termination or the natural expiry of the Agreement the
following conditions shall apply:
a) You shall cease, and not hold yourself out as offering, the
Services.
b) The balance outstanding in the Float shall be returned to you.
12.5 Upon termination of this Agreement no commission shall be payable or
liable to be paid to you in respect of any period after the date of such
termination.
12.6 All logos and promotional materials used for the promotion of agency
business service shall be removed from the premises of the Agent upon
the termination of this Agreement.
12.7 The termination of this Agreement except where otherwise expressed
shall be without prejudice to rights accruing prior to termination and
without prejudice to the continuation of any provision which expressly
or by implication comes into operation or continues in force after the
date of termination.
13. PROHIBITED ACTIVITIES
The following acts and omissions are prohibited and may result in the
termination or suspension of your Account or this Agreement:
13.1 Registration of multiple Customers using one identification document;
13.2 Facilitating the registration of fraudsters in prison and other similar
sites;
13.3 Fraudulent SIM swap to defraud Customers;
13.4 Facilitation of fraudulent over-the-air swaps and subsequent loss of
Customer’s funds either to the Agency employee(s) or acting in concert
with fraudsters;
13.5 Remote withdrawal of acquired funds;
13.6 Direct deposit of fraudulently acquired funds into Customer’s account;
13.7 Failure to report suspicious activity;
13.8 Tipping off;
13.9 Failure to refer to an acceptable form of Identification when registering
Customers;
13.10 Incomplete registration forms;
13.11 Failure to verify Customer IDs when transacting;
13.12 Acceptance of ID copies at the point of registration or transaction;
13.13 Acceptance of IDs that do not conform to the acceptable form of IDs;
13.14 Failure to transfer e-money despite receipt of cash from Customer;
13.15 Short-changing the Customer by giving less cash or E-money than is
due to the Customer;
13.16 Withdrawing Customer float without Customer consent;
13.17 False registrations to earn undeserving commissions;
13.18 Multiple registrations without correct Customer names and/or ID
numbers;
13.19 Breaking down of deposits to earn more (undeserving) commission;
13.20 Fraudulent deposits to earn undeserving commissions;
13.21 Selling or otherwise trading M-PESA SIM Cards;
13.22 Charging Customers for registrations or Charge or collect any fees
from users directly;
13.23 Charging Customers for transactions outside the system;
13.24 Charging Customers for SIM replacements above normal price;
13.25 Soliciting Customer M-PESA PINS;
13.26 Facilitating direct deposits to Customer M-PESA account or to
unregistered subscribers to avoid charges;
13.27 Sharing of PINs by Outlet Assistants;
13.28 Non-compliance with the required float rule;
13.29 Irregular relocation of SIM Cards without prior consent and audit from
Safaricom M-PESA;
13.30 SIM Cards applications for non-existent Outlets;
13.31 Falsifying information to secure SIM Cards;
13.32 Without prejudice to IMR Services, transacting in foreign currency;
13.33 failure to comply with Know Your Customer (KYC) and Anti-money
laundering guidelines provided to you by Safaricom M-PESA.
13.34 impose separate terms and conditions apart from those provided by
Safaricom M-PESA or perform against or beyond the Agreement.
13.35 undertake transactions in the absence of system or network
connectivity.
14. DSPIUTE RESOLUTION
14.1 The Patties shall try to settle disputes amicably. If disputes are not
resolved amicably, the matter will be referred to the Federal Courts in
Addis Abeba Ethiopia.
14.2 Safaricom M-PESA shall be immediately notified when any dispute
arises between the Master Agent and the Sub-Agent.
14.3 In case of dispute or discrepancy the English language version
of this Agreement shall prevail over another.
15. ASSIGNMENT
Save as provided in this Agreement, you may not transfer any rights or
obligations you may have under this Agreement without Safaricom M-
PESA’s prior written consent.

IN WITNESS the parties execute this Agreement on the date appearing at

the beginning of it.
