This contract is created based on No 2018-0047 regulation (Nov 28, 2018 enacted) by the Ministry of Culture, Sports and Tourism of Korea.

The exclusive contract is entered into by and between

[Talent Business Company (A.SSET Co., Ltd.)] (hereinafter referred to as “Agency”)
And
[Talent(MODEL)](Passport Full Name: LUKSHA YULIYA )(hereinafter referred to as “Model”)
as follows, and both parties shall execute this contract based on the good faith.

Article 1 (Purpose)

The purpose of this contract is to promote the mutual benefit and development of 'Agency' and 'Model' in
model services by specifying the matters required when the 'Model' delegates the management authority for
the activities as a professional model(hereinafter referred to as “model service”) to 'Agency' and the 'Agency'
thereby executes its authority.

Article 2 (Granting Management Authority, etc.)

1. 'Model' shall delegate exclusive management authority for talent activities set forth in Article 3 to
'Agency', and 'Agency' shall be authorized to execute all the management authorities concerning such
activities.

2. 'Model' shall execute the management authority faithfully for 'Agency' to exert one’s own talent and
ability to the fullest, and make the best effort to prevent one’s personal rights from being infringed both
internally and externally in connection with one’s talent activities within the scope of one’s management
authority.

3. 'Model' shall not negotiate or do talent activities by himself/herself or through any third party other than
'Agency' without prior approval from 'Agency' in connection with the talent activities in which 'Agency' shall
exercise the exclusive authority during the contract period.

Article 3 (Range of Model Services and Media)

1. The services of a 'Model' refer to the following activities:

1) Basic activities as a model and incidental activities such as broadcasting appearances, advertising
appearances, fashion shows, events, etc.
2) Other activities closely related to the activities referred to in sub-clause 1 above, or activities agreed
separately by the 'Agency' and the 'Model' as creative activities such as performances, fine art, art, or
influencer activities.

2. The media for model service are as follow:

1) TV (including terrestrial broadcasting, satellite broadcasting, cable, CCTV, IPTV and other new video
media) and radio, mobile devices, the Internet, etc.
2) All media for fixing images, and all the image recordings including videotapes, video discs, and other
digital methods
3) Movies, stage performances, events, and outdoor advertising
4) Catalogue, look-books, posters, postcards, still photographs, photo books, newspapers, magazines, and
other printed materials

5) Various projects or new media using copyrights, portrait rights, and characters, which have been agreed
upon separately by 'Agency' and the 'Model'

3. Despite of the provisions of paragraphs 1 and 2, the scope of specific model services, media, etc. may be
determined differently in the “Annex Agreement” by 'Agency' and 'Model'.

Article 4 (Management Authority and Duties of 'Agency')

1. The scope of the management authority and obligations against 'Model' exercised by 'Agency' pursuant to
Article 2 are as follows.
1) Conducting or entrusting all training that needs to acquire or improve the skills for model service
2) Negotiating and signing to contracts for model services in Article 3, Clause 1
3) Negotiating appearance to the media under Article 3, Clause 2
4) Promotion and advertisement for the model service of 'model'
5) Receiving and managing payment such as model fees for model services of 'Model' from clients
6) Schedule management for 'Model'
7) Planning, production, distribution and sales of contents
8) All other supports for model service of 'Model'

2. 'Agency' has the authority to sign a contract by negotiating and adjusting the terms and conditions and
how to implement the contract for the model service of 'Model' with a third party on behalf of the 'Model'.
'Agency' must consider the physical and mental preparation of 'Model', explain the content and schedule of
job to 'Model' in advance, and shall not enter into a contract against the explicit intention of the 'Model'.

3. If a third party infringes or interferes with the model service of the 'Model', 'Agency' shall take necessary
measures to rule out the infringement or interference.

Article 5 (General Authority and Duties of 'Model')

1. 'Model' may suggest its own opinions at any time on the management activities which are entrusted to
'Agency' under Article 2, and may, if necessary, request the 'Agency' to view or copy materials or documents
related to the activities of the 'Model', and the 'Agency' shall comply with this request.

2. 'Model' shall provide model services by exerting her own talents and skills to the fullest in accordance
with the exercise of the management authority of the 'Agency'.

3. 'Model' shall not do any actions that might impair the dignity of a professional model or burden the health,
or damage the reputation or credibility of the 'Agency'.

4. 'Model' shall not do any actions which might destruct or infringe the contract, such as entering into the
same or similar contract with a third party without prior consent from the 'Agency' during the term of the
contract.

Article 6 (Supporting Personality Education and Mental Health of 'Model')

'Agency' may provide education necessary for 'Models' to have qualities and personalities as a professional
model and if 'Model' is found to have extreme depression, the appropriate treatment may be provided with
the consent of 'Model'.

Article 7 (Distribution of Profits, etc.)

1. The revenue distribution method and the specific distribution ratio shall be determined separately by

contract between 'Agency' and 'Model (or 'Mother Agency'(hereinafter referred to as “MA”)). The revenue
subject to the distribution refers to the amount that deducts expenses directly incurred in connection with
the model's official model service activities (actual expenses required to assist and maintain model activities,
such as airfare, vehicle maintenance, clothing, food and accommodation, transportation, etc.) and fees and
other expenses incurred by the 'Agency' under the consent of the model from the all the revenues incurred
by the model service of 'Model'. The basic deduction amount shall follow the terms of the annexed contract.

2. 'Model' shall not let the agency bear any expenses unrelated to the model service.

3. 'Agency' shall pay the 'Model' a lump sum or installment payment of the money under the contract on the
day or the day before departure. However, if there is a justifiable reason to delay payment (due to the delay
in calculating expense amount occurred by 'Model', invoice delay etc.) the payment deadline may be
extended.

4. In the event that there is an amount that the 'Model' has indemnified to a third party on behalf of the
'Model' due to the reasons attributable to 'Model', the compensation expense may be deducted
preferentially from the income of the 'Model'.

5. 'Agency' shall provide the statement (data that can prove the total income and expense deduction details)
to 'Model' at the same time as the settlement payment. 'Model' may raise an objection to 'Agency' within 30
days from the date of receipt of the statement, such as the fact that the deducted expenses have been over-
counted or the income of 'Model' has been under-counted, and 'Agency' shall faithfully provide the basis for
such settlement.

Article 8 (Publicity Rights, etc.)

1. 'Agency', during the contract period only, shall have the right to use all names, photos, portraits,
handwriting, voices of ‘Model' including real name, stage name, and nickname, and all other items that
indicate the identity of 'Model' in connection with the service or the work of 'Agency', and the right to use it
expires immediately when the contract period ends.

2. 'Agency' shall not exercise the authority of Clause 1 in a manner that undermines the honor of 'Model' or
the personal rights of 'Model'.

Article 9 (Copyright etc.)

1. The copyright of Contents created by the 'Agency' in relation to 'Model' during the contract period
("Contents" in this contract refers to the deliverable that is developed through the media of Article 3, Clause
2 in relation to the model service of 'Model') shall belong to the 'Agency', and the rights necessary for the
use of the contents of 'Model' are deemed to have been transferred to 'Agency' unless otherwise specified.

2. With respect to this provision, 'Agency' recognizes the copyright and Neighboring Copyright of 'Model'
protected under the copyright laws of the Republic of Korea.

Article 10 (Territory)

The power of this contract is limited to the Republic of Korea.

Article 11 (Term of Contract)

1. The term of this contract is

From 2021/MAY/11 to 2021/AUGUST/08 (total __90__ days).

However, there is a possibility of changes due to reasons beyond control (such as delays in visa application
or issuance, changes in airline schedules, etc.), and the actual contract period may be adjusted slightly
accordingly.

2. The time of termination of the exclusive authority owned by 'Agency' to 'Model' shall comply with the
provisions of the Korea International Model Management Association (KIMMA) and shall be determined 12
months after the actual date of departure of 'Model'.

2. If 'Model' becomes unable to provide normal model services due to the personal reasons such as any of
the following reasons, the term of the contract shall be extended by that period or, if not, the amount of
guarantee shall be adjusted. The specific number of extension days or amounts shall be discussed between
the 'Agency' and 'Model (or MA) '.
1) Use of sick leave (in case of COVID-19 suspected symptoms, it is mandatory to use sick leave until the test
result is released)
2) Absence from more than 3 castings a day due to reasons unrelated to model activities (personal reason).
3) In the event that the model service is unable to be provided due to other reasons attributable to 'Model'.

Article 12 (Confirmation and Guarantee)

1. 'Agency' shall confirm and guarantee the ability to perform or the possession of personal or material
resources necessary for management rights and duties of Article 4-1 when signing this contract to 'Model'.

2. 'Model' shall confirm and guarantee the following clauses to 'Agency';

1) The possession of rights and authorities necessary for signing validly this contract
2) Singing this contract does not violate other contracts with the third party
3) Not signing any contract with the third party violating this contract during the term of this contract

Article 13 (Change of Content of Contract)

The content of contract can be changed between 'Agency' and 'Model (or MA) ' by writing when the change
of a part of this contract is necessary. The changed content shall be effective on the day after the change
agreed unless otherwise stipulated in writing.

Article 14 (Cancellation of Contract, etc.)

1. If 'Agency' or 'Model' violates the content of this contract, the not guilty party shall set the period of
suspension and requires the guilty party to correct the violations. If the correction was not accepted by the
guilty party, the not guilty party shall cancel the contract and ask compensation.

2. If 'Model' violates the content of this contract to nullify it during the term while 'Agency' performs their
duties in good faith according to this contract, 'Model' shall pay 15% of the gross, the profit by his or her
work during the remaining term of the agreement, to 'Agency' in addition to the compensation in Article 1.

3. Existing right and duties shall not be affected by the cancellation on the day of cancellation of this contract.

Article 15 (Force Majeure)

This contract shall be finished if 'Model' is not able to work any longer due to irresistible reasons such as the
death of his or her immediate family members, being injured (it shall not be applied if there are imputable
reasons for 'Model'), or contracted serious disease. In this case, 'Agency' cannot ask compensation for
damages to 'Model'.

Article 16 (Confidentiality)

'Agency' or 'Model' shall not leak secrets known to them on the work related to this contract or the content
of this contract to the third party or use them for illegitimate purposes. This shall be also applied after the
end of the term of the contract.

Article 17 (Arbitration and Jurisdiction)

1. Every disputation related to this contract shall be strived to be settled by 'Agency' and 'Model (or MA) '
autonomously.

2. If the disputations are not settled even by the previous clause, the following clause 2 or 3 shall be applied.
This agreement is governed by the Laws of the Republic of Korea.
1) Korea Creative Content Agency (KOCCA) affiliated Content Disputation Settlement Committee’s
adjustment
2) Arbitration of Korean Commercial Arbitration Board established by Arbitration Law
3) Litigations at courts according to Civil Procedure Act.

Article 18 (Annex Agreement)

1. 'Agency' and 'Model' can supplement some contents for this contract or draw an annex agreement to
stipulate clauses which are not mentioned above.
2. The change of the content of contract according to the Article 13 and annex agreement according to the
previous clause shall be done not against or violating this contract.

The paper contract or electronic shall be drawn to establish and prove the content of this contract, and
'Agency', ' ‘Model', and 'MA' shall sign and store it.

Annex Agreement (Detailed Conditions)

A. Guarantee and Distribution of Gross

1) 'Agency' shall guaranty the least amount of money (hereinafter referred to as “Net Guarantee”),
USD ( 1,500 ), to give to 'Model' for work during the term of the contract. Unless otherwise
there is a special reason, the expense which is allocated for the lists specified by 'Agency' in the
article B shall not be deducted from Net Guarantee.
2) 'Model' shall take 50% of the total gross.
3) In case of Article C-1 (mere performance of 'Model' without imputable reasons), 'Model' shall
take 60% of the total gross after deduction of the expenses. This means that 'Agency' shall share
the burden of a part of the expenses of 'Model'.

※ The maximum advance 'Agency' can provide for accommodation fee is

C. Termination
1) 'Agency' shall have the right to close the agreement if 'Model' does not fulfill the gross of more
than 3 million (3,000,000) Korean Won within the three-week assessment period after the
beginning of the contract.
2) 'Agency' shall terminate the contract immediately once finding out that 'Model' is involved in
illegal cases such as physical violence, drugs, theft, prostitute, etc.
3) 'Agency' shall have the right to cancel the agreement based on the Article D-1.
4) 'Agency' shall have the right to cancel the agreement when 'Model' violates the Article 16 of
Standard Contract.
5) 'Agency' shall have the right to close the agreement when 'Model' cannot continue working due
to mental or physical problems.
6) 'Agency' shall have the right to terminate the agreement when there is a difference between the
physical information given by ‘Model (or MA)’ and that measured by 'Agency'. In case of external
features such as tattoo, piercing, scar, etc., that shall be decided by its presence while the size of
the body cannot exceed more than 2cm.
7) 'Agency' shall have the right to cancel the agreement when 'Model' changes his or her
appearance such as hair dying, cut, tattoo, etc. without a consult with 'Agency'.

D. Penalty
1) 'Agency' shall impose the penalty of KRW 200,000 on 'Model' if 'Model' violates Working Rules or
Models’ APT Rules twice. However, if the violation was not deliberate with repentance, the
penalty of KRW 100,000 shall be imposed. The penalty of KRW 500,000 shall be imposed if
'Model' violates the rules three times, and the Article C-3 shall be applied if 'Model' violates the
rules four times.
2) 'Agency' can ask compensation for financial damages or damages on its reputation due to the
negligence (excessive times of lateness, not attending the studio, unilateral refusal for shooting,

etc.) of 'Model'. In this case, 'Agency' should have a proper ground for compensation.
3) 'Model' shall restore to the original if he/she changed his/her appearance such as hair
dying, cut, tattoo, etc. without a consult with 'Agency'. 'Agency' can ask compensation for the
expense invested for 'Model' if he or she cannot restore.

Working Rules

I. 'Model' shall not be absent from or late for without leave schedules related to work such as
shooting and casting, etc.
II. 'Model' shall actively cooperate with and accept the recommendations of 'Agency' related to
work performance.
III. 'Model' shall not behave rudely to staff at 'Agency' by swearing, insulting, etc.
IV. 'Model' shall not show unprofessional or rude attitude, going beyond reasonable standard of
social behavior, towards shooting staff including clients and photographers, peer models,
interpret managers, etc.
V. 'Model' shall not do risky activities such as excessive drinking, tanning, etc. which can influence
work in a bad way.

Models’ APT Rules

I. Smoking every kind of cigarettes (including electrical cigarette) inside including balcony shall be
prohibited according to the ENFORCEMENT DEGREE OF THE NATIONAL HEALTH PROMOTION ACT.
'Model' who violated the prohibition shall be imposed the penalty of minimum KRW 100,000, the
expense of replacing wallpaper/professional cleaning, and can be ordered to leave the
accommodation.
II. The public space shall be always cleaned after using it.
III. The restoration of the facility including common household appliances, pipe clogging, etc. owing
to the negligence of an user shall be performed by the responsible person in principle. It would
be shared together if the person responsible for the negligence does not show up.
IV. Shoes used outside should not be used inside. Shoes for inside given(slippers) should be used or
he or she should walk with bare feet.
V. Non-authorized people cannot go in and out the accommodation in principle; however, they can
do so if authorized by 'Agency'.
VI. After 10PM, activities such as watching TV and films or listening to music with a speaker, not with
personal earphone or headphone, shall be prohibited. Every activity which may badly influence
people’s sleep is prohibited from midnight to 7AM.
VII. Recycling is mandatory according to the Korean law. The fine shall be imposed if violated.
