Location: Islamabad (with travel to Peshawar and other places as needed)

Programme Background:
Sustainable Energy and Economic Development (SEED) is a £37.5 million programme that aims
to support provincial economic development and sustainable energy in Pakistan. It will
support the province of Khyber Pakhtunkhwa (KP), to plan and finance the infrastructure and
investment it needs for growth, jobs and prosperity. The programme will also address
Pakistan’s energy crisis by providing innovative financial solutions to industry for the adoption
of sustainable energy practices. Within SEED, ASI has been contracted to deliver the first
component - Improved Economic and Urban Planning in Khyber Pakhtunkhwa – with a budget
of £15 million. The programme’s longer-term outcomes include generating higher levels of
public and private investments, enhancing public investment management efficiencies and
ensuring that investments made produce greater economic, social, and environmental
returns. The programme will be managed by the UK’s Foreign Commonwealth and
Development Office (FCDO).

Context:
The Provincial Energy Development Organization (PEDO) has set forth a strategic mission
focused on enabling the effective use of electricity generated from hydropower projects
within its region. At the core of this mission is the aim to extend the benefits of clean and
sustainable energy to local industries situated in the immediate vicinity of these power
facilities. To realize this vision, PEDO contemplates the potential necessity of establishing
dedicated transmission infrastructure, along with the necessity of forging bilateral
agreements with industrial stakeholders. Foremost among PEDO's priorities is the
development of captive industries around its operational power plants, recognizing the
substantial advantages this can offer in terms of energy self-reliance and economic
empowerment. The utilization of captive power will play a crucial role in guaranteeing a
continuous and reliable electricity supply to the industries selected through competitive
process at prices that remain competitive within the region. By doing so, it helps to mitigate
the risks associated with power interruptions and energy transmission losses, ultimately
enhancing the overall operational stability of these businesses. As a result, this initiative is
expected to drive economic growth in the province, with a natural outcome being the creation
of additional job opportunities and expanded economic prospects for the local population.
Crucial to the success of this mission are the bilateral agreements that PEDO aims to secure
with industrial consumers. These agreements will serve as the blueprint for collaboration,
delineating the terms, conditions, and responsibilities of both parties. Pricing structures,
delivery schedules, and other critical aspects will be addressed within these agreements,
creating a structured and mutually beneficial partnership.
At its core, this initiative seeks to empower captive industries, offering them a dedicated and
dependable source of electricity. By doing so, it aims to enhance the competitiveness and
efficiency of these industries, rendering them more resilient to power supply challenges. The
technical assistance provided by SEED underscores the importance of expert guidance in
navigating the intricate complexities of this mission, further underlining the potential for
economic growth and energy self-sufficiency within the region.
With this context in mind, SEED is looking for a firm/ consortium of consultants under one
lead firm having requisite skills to meet the objectives, perform tasks, and achieve the
milestones identified below.

Assignment Objectives:
The firm/ consortium of consultants under one lead firm will meet the following objectives:
1. 1. Evaluate existing hydel infrastructure of PEDO, address potential technical
challenges thereof, and identify and mitigate risks to ensure a reliable and
uninterrupted supply of electricity to industrial consumers.
2. Evaluate and enhance the financial viability of the proposed power project under the
captive model by assessing feasibility, identifying and mitigating cost-benefit and revenue
risks, formulating a robust transaction structure aligned with industry standards, and
analysing the financial impact of risk mitigation measures on project feasibility.
3. Safeguard the legal and regulatory integrity of the project by ensuring compliance with all
legal requirements, effectively managing the acquisition of licenses and permissions, drafting
comprehensive procurement documents, and overseeing the development of legally sound
bilateral agreements to protect the interests of PEDO and industrial consumers.
Sope of Work:
The firm/ consortium of consultants under one lead firm will perform, but not limited to, the
following tasks:

1. Technical Tasks:
i. Identification of Captive Projects (Supply side): Identify power projects suitable
for the captive model, including, but not limited to, the following projects:
1. 10.2 MW Jabori HPP in District Mansehra, KP
2. 11.8 MW Karora HPP in District Shangla, KP
3. 2.6 MW Machai HPC in District Mardan, KP
4. 1.875 MW Shishi HPC in District Lower Chitral, KP
5. 17 MW Ranolia HPP in District Kohistan, KP
ii. Demand Analysis: Analyse the electricity demand for each identified power plant
through preliminary discussions with potential stakeholders during pre-
qualification or pre-RFP meetings.
iii. Connectivity Assessment: Provide technical insights on the connectivity
requirements for planned adjoining industries and explore the possibility of
integrating the power supply with the national grid as a hybrid system if feasible.
iv. Criteria Establishment with KP Energy & Power Dept and PEDO: Consultations
with KP Energy & Power Dept., PEDO, SEED, and commercial and legal members of
the team for establishing criteria for shortlisting and selection of industrial
consumers.
v. Bid Process and Bidders Selection: Assist PEDO in the bid process and selection of
the successful bidder(s) for the captive power.
Agreement Execution Support: Assist PEDO in the execution of definitive
agreements with successful captive consumers.
vi. Stakeholder Engagement: Engage with government bodies and other relevant
stakeholders to gather input, for consultations on behalf of the PEDO & SEED, and
address any concerns.
vii. Proactive Information/Data Gathering Team: The consultant will deploy a
dedicated team to proactively collate and gather all required information from
relevant stakeholders and departments independently for this assignment,
without the need for direct assistance from the SEED team. This team will
consistently provide regular updates, progress reports, and relevant data to both
SEED and PEDO.
viii. Continuous Collaboration with Energy & Power Dept., PEDO, and SEED:
Collaborate closely with the Energy and Power Department, PEDO, and SEED
throughout the process, ensuring alignment and obtaining necessary approvals at
each stage. Further, collaborate with the PEDO and SEED team for regularly
incorporating feedback on various components of the concept note. Such
incremental reviews will ensure the drafts of the full concept note are in line with
the expectations of all parties.
ix. Adaptability and Openness to Change: Remain open to adapting new ideas and
tasks based on new insights, feedback, and changing circumstances to enhance the
project's overall effectiveness and impact.

2. Commercial Tasks:
i. Commercial Evaluation and Suitability Analysis: Collaborate with PEDO to assess
the commercial viability of power plants for industrial development, considering
factors such as infrastructure, environmental impact, and accessibility. Evaluate
the technical inputs provided by PEDO for this analysis.
ii. Financial Viability Assessment: Assess the financial viability of proposed industries
operating under the captive model.
iii. Formulate a Transaction Structure: Establish a transaction structure for the sale of
electricity.
iv. Risk Identification and Mitigation: Identify potential risks associated with the
project and develop strategies to mitigate them
v. Criteria Establishment with KP Energy & Power Dept. and PEDO: Consultations
with KP Energy & Power Dept., PEDO, SEED, and technical and legal members of
the team for establishing criteria for shortlisting and selection of industrial
consumers.
vi. Bid Documents: Assist legal expert in drafting EOI advertisements, pre-
qualifications documents, RFQ, RFP, and other bid documents for the procurement
process.
vii. Bid Process and Bidders Selection: Assist PEDO in the bid process and selection of
the successful bidder(s) for the captive power.
viii. Agreement Execution Support: Assist PEDO in the execution of definitive
agreements with successful captive consumers.
ix. Stakeholder Engagement: Engage with government bodies and other relevant
stakeholders to gather input, for consultations on behalf of the PEDO & SEED, and
address any concerns.
x. Proactive Information/Data Gathering Team: The consultant will deploy a
dedicated team to proactively collate and gather all required information from
relevant stakeholders and departments independently for this assignment,
without the need for direct assistance from the SEED team. This team will
consistently provide regular updates, progress reports, and relevant data to both
SEED and PEDO.

3. Legal Tasks:
i. Regulatory Investigation: Investigate regulatory requirements for establishing
industries and securing necessary licenses or permissions from national regulators
and power purchasers.
ii. Assist Energy & Power Dept of KP/PEDO in Obtaining All the Necessary Licenses,
Registrations etc. Assist PEDO in procuring all necessary licenses, registrations, and
other prerequisites identified during the investigative phase, which are mandatory
under federal and provincial laws of Pakistan and Khyber Pakhtunkhwa (KPK), to
facilitate the commencement of this project.
iii. Documents Drafting for PEDO Approval: Development of draft EOI
advertisements, pre-qualification documents, RFP package, and draft definitive
agreement for PEDO approval.
iv. Bid Process and Bidders Selection: Assist PEDO in the bid process and selection of
the successful bidder(s) for the captive power.
v. Agreement Execution Support: Assist PEDO in the execution of definitive
agreements with successful captive consumers.
vi. Criteria Establishment with KP Energy & Power Dept. and PEDO: Consultations
with KP Energy & Power Dept., PEDO, SEED, and technical and commercial
members of the team for establishing criteria for shortlisting and selection of
industrial consumers.
vii. Stakeholder Engagement: Engage with government bodies and other relevant

Deliverables:
Payment will be based on deliverable basis. The key deliverables are the following with which payments
will be tied:

Viabilities/Evaluations and Suitability Analysis Reports: 2023
This report will provide an in-depth analysis of the
technical, commercial, and legal viabilities of power
plants for industrial development. It will include, but not
limited to, technical insights, financial projections, cost-
benefit analyses, potential revenue streams for each of
the power project selected for this captive mode, and
legal insights. This assessment will produce, but not
limited to, the following reports:
D2.1 – Captive Project Selection Report: This report will
outline the selected power projects suitable for the
captive model. It will include detailed profiles of each
project, highlighting their specifications and potential for
industrial use.
D2.2 – Regulatory Requirements and Licensing Report:
This report will detail the regulatory requirements for
establishing industries and securing licenses or
permissions. It will provide a clear roadmap for
compliance with national regulators and power
purchasers.

D2.3 – Connectivity and Integration Proposal: This


proposal will offer technical and legal insights on the
connectivity requirements for planned adjoining
industries. It will also outline a plan for integrating the
power supply with the national grid as a hybrid system.

3 D3 – Market Demand Assessment Report: This report Deadline: 15th Jan 2024 10%
aims to provide a thorough examination of the electricity
requirements for each designated power plant, along
with the identification of industries poised for the
adoption of captive power solutions. It will document
findings from preliminary discussions with stakeholders.
The firm/consortium of consultants under one lead firm
will draft an RFI (request for information) to the
satisfaction of the client, i.e., PEDO, which will advertise
it through different advertising avenues of their choice.
Subsequent to that, the firm/ consortium of consultants
under one lead firm will hold in person meetings with the
interested parties/prospective customers of the captive
power, and produce a report with demand assessment as
one of its constituents.

4 D4 – Transaction Structure Framework approved by Deadline: 30th Jan 10%


PEDO: This framework will outline the transaction 2024
structure, including a comprehensive business model/
financial model, for the sale of electricity, and its approval
from PEDO.
5 D5 – Risk Assessment and Mitigation Strategy approved Deadline: 15th Feb 2024 5%
by PEDO: This document will identify potential risks
including, but not limited to, technical, legal and
commercial and all significant risks associated with the
project and provide a comprehensive mitigation strategy.
It will include risk matrices and action plans and their
approval by PEDO.
6 D6 – Preparation of definitive Agreements for the supply Deadline: 28th Feb 2024 10%

8 D8 – Captive Industry Proposal Evaluation Report: The Deadline: 30th April 10%
firm/ consortium of consultants under one lead firm will 2024
assist the client, i.e., PEDO in evaluation of proposals
received from prospective captive industries. It will
include an assessment of each proposal's
feasibility/viability and alignment with the project
objectives. Additionally, it will outline recommendations
for the finalization of selected proposals.
9 D9 – Negotiations leading to selection, Signing of Deadline: 30th May 15%
Definitive Agreements, Letter of Award, etc., with the 2024
Selected Partner(s): This entails negotiations, executing
the definitive agreements with the captive industries
selected for captive power, issuance of the letter of
award, and ensuring a seamless transition to the
operational phase.
10 Retention Payment: This is linked to the satisfactory Within 2-weeks after 10%
performance, and will be released at the end of this the completion of all

• Payment under this contract is expressly contingent upon the successful and satisfactory completion of each
defined deliverable or milestone, as mutually agreed upon by both parties. Payment for each deliverable will only
be made upon full compliance with the agreed-upon acceptance criteria, quality standards, and any other terms
specified for that deliverable. In the event that any deliverable is not successfully completed, does not meet the
acceptance criteria, or fails to meet the quality standards established within the agreed-upon timeframe, the Client
reserves the right to withhold payment for that specific deliverable until all necessary corrections, revisions, or
improvements are made to meet the agreed-upon requirements. Any milestones expected to be delayed shall be
noticed in advance to the client, i.e., PEDO and the SEED team. Late deliverables may not be considered complete
and hence for payment disbursement, unless it is because of the events beyond the control of the selected
firm/consortium of consultants under one lead firm.
• Both parties acknowledge and agree that payment shall only be made for deliverables that have been fully
completed, accepted, and met all contractual obligations as outlined in this agreement.
• The contract may be terminated by the client, i.e., PEDO or SEED at any point if it is determined that the project is
not feasible from technical, commercial, or legal, or any other perspectives.
• *Success of outputs are subject to lenders approval – However success fee processing is subject to Component lead
and relevant ASI personnel approval
• **All timelines are indictive and aligned to the traction of the transaction advisory work.
• *the selected firm/ consortium of consultants under one lead firm will be reimbursed for out-of-pocket expenses
(these include travel expenses to and from Lahore and hotel accommodation outside Lahore, as approved by ASI
Security). Per diems for overnight stays outside Lahore will be provided by SEED at GBP 20 per night spend outside
Lahore (this should cover food and other subsistence charges incurred and can be billed against a monthly invoice).
• *Out-of-pocket expenses will be charged at actual and will be billed monthly along with the details of expenses
incurred however, the selected firm/ consortium of consultants under one lead firm will remain within the expense
cap as per SEED’s Budget lines for Accommodation and Travel.
• *Expense arrangement will be made by respective ASI Office Manager – an email request atleast 24 hours in
advance (working days) to set request in motion. Please refer to the SOP presentation part of the induction pack.
Duration:
November 2023 to May 2024 with frequent travel to Peshawar as and when needed by SEED
team.

Management/Reporting:
The firm/ consortium of consultants under one lead firm will report to the SEED Team Lead
and the concerned output lead.

Termination of contract

SEED may terminate the contract for any of the following reasons:

• failure of the consultants to meet the requirements specified in the RFP and agreed
upon in the contract;
• failure of the consultants to meet agreed-to deadlines;
• failure of the consultants to resolve problems in a timely manner;
• unapproved changes in the team proposed.

Values and Obligations:
All members of the SEED team are expected to adhere to the following values and
obligations:
• At all times working collaboratively and openly with other members of the SEED
team, proactively providing guidance, advice and sharing experiences in order to
solve problems, overcome challenges and manage risks together.
• Freely and openly sharing information gained from government counterparts,
FCDO or other international projects with other members of the team.
• Respecting the confidentiality of the SEED team’s discussions, assessments,
decisions and plans or agreements with FCDO; sharing information with external
parties only when authorised to do so by the Team Leader or Deputy Team Leader.
• Adhering to decisions taken by the programme’s leadership and taking collective
responsibility for implementing those decisions and communicating them to
counterparts or other external parties.
• Ensuring they have an accurate understanding of policies and decisions made by
FCDO that relate to SEED and respecting and adhering to those policies.
• Complying with the channels set out by ASI for all communications with FCDO
through the SEED leadership structure.
• Careful coordination with other team members of communications and meetings
with government counterparts to ensure coherence of technical advice and as
efficient use of counterparts’ time as possible.
• Constant monitoring of risks to the delivery of SEED activities and achievement of
objectives, as well as the reputation of SEED and FCDO, and swift referral of those
risks to the Team Leader and Deputy Team Leader.
• Consultants are obliged to look out for, and report human rights abuses known and
rumoured to have taken place connected with or undertaken by our counterparts.
In the event that advisors gain information about any such abuses they should
report the matter in line with the procedure contained in the SEED Human Rights
Assessment and Framework document.
• Professional coordination with other internationally funded programmes
supporting SEED, including briefing those programmes when requested by the
Team Leader or Deputy Team Leader.
• Contributing constructively to team meetings, development of workplans, risk
assessment, progress reviews and report writing, as well as external evaluations by
FCDO or its independent evaluation advisers.
• Complying with SEED’s media policy of referring all inquiries from the media to the
• Team Leader and Deputy Leader before responding in any way to those inquiries.
• Minuting all meetings with officials from FCDO and sharing those minutes with the
Team Leader and Deputy Team Leader at the earliest opportunity.
• Maximizing the impact of the programme’s limited resources by ensuring
expenditure
• on travel, accommodation or other costs is as efficient as possible.
• Complying with financial procedures designed to protect the financial integrity of
the programme and notifying the Deputy Team Leader and Project Managers of
any incidents that threaten that integrity.
• Complying with ASI’s Duty of Care and security procedures designed to ensure
safety of personnel and notifying the Deputy Team Leader and Project Managers
of any incidence that threatens the security of personnel or assets of the
programme.

Compliance with Working Policies:


• Consultant(s)/Subcontractor(s) shall observe the highest ethical standards during
the performance of Services related to this assignment and must comply and apply
business practices that follow the Adam Smith International’s Code of Conduct
available at: https://www.adamsmithinternational.com/about-us/policies/code-
of- conduct-2018/.
• Consultant(s)/Subcontractor(s) shall apply zero tolerance to terrorism or the
financing of terrorism; bribery or corruption of any kind; human trafficking or
modern slavery; safeguarding or child protection breaches, money laundering,
fraud, or tax evasion; and discrimination. They shall use reasonable endeavors to
give effect to any reasonable request from Adam Smith International to adjust
working practices for this purpose or otherwise to promote positive social or
environmental impact.

Satisfactory Performance:
• Consultant(s) and subcontractors shall perform all obligations under the contract
with necessary skill, diligence, efficiency, and economy to satisfy acceptable
professional standards and in accordance with Good Industry Practice and
payments are subject to the satisfaction of ASI in relation to the performance by
the Consultant(s)/Subcontractors of obligations under this contract.
• If for any reason ASI is dissatisfied that the Consultant(s)/Subcontractor(s) is not or
has not been carrying out their duties, obligations and responsibilities under this
contract, an appropriate sum may be withheld from any payment otherwise due
to the consultant(s)/subcontractor(s). In such an event, ASI shall identify the
particular element(s) of the Services with which it is dissatisfied together with the
reasons for such dissatisfaction in coordination with the SEED technical team. Any
payment by ASI to the contractor/subcontractor of the amount outstanding will be
made upon remedy of any unsatisfactory work or resolution of outstanding
queries.
• Should ASI determine after paying for a particular part of the Services that this has
not been completed satisfactorily, ASI may recover, or withhold from further
payments, an amount not exceeding that previously charged for that part of the
Service until the unsatisfactory part of the service is remedied to its satisfaction.

III. Instructions to Bidders

a. It would be deemed that by submitting a proposal, the bidder has:


• Understood and examined the RFP document and agrees to all conditions and implications
that arise from it;
• Sought, obtained, and perused all relevant information for the submission of the proposal.
b. For any error or incomplete submission arising out of an interpretation of the RFP document, its
annexures or any information passed on to the bidder by the SEED or any of its officials, SEED shall
not be liable and no request for redressal of grievance or reconsideration can be accommodated.
c. SEED reserves the right to annul the entire or part of the bidding process or to reject any or all
proposals if:
• at any time during the bidding process, any material misrepresentation is made or
discovered;
• the bidder does not respond to queries or requests for clarifications or requests for
additional information; or
• the bidder or their representatives or any person on their behalf attempts to influence the
process of procurement in any manner whatsoever.
d. In case of rejection of one or more proposals after the opening of bids, and the bids belong to the
highest evaluated bidder, SEED reserves the right to continue with the bid and invite the next
highest evaluated bidder.
e. Any measure, taken to modify the bid process as mentioned above, will be at the sole discretion
of SEED and is not negotiable.

Bidding Procedure
A single stage two envelop bidding process shall be followed. Bidders should examine all Instructions,
Terms and Conditions as given in the RFP. Failure to furnish information required in the RFP or
submission of Bids not substantially responsive or viable in every respect will be at the Bidder’s risk
and may result in rejection of the bids. Bidders should strictly submit the Bid as specified in the RFP,
failing which the bids will be held as non-responsive and will be rejected.

Bids shall comprise a single email containing the following two zip files;

• Technical Proposal
• Financial Proposal
The bids shall be submitted in soft copy to PWRProcurement@adamsmithinternational.com

Pre-Qualification Criteria:
Technical proposals will be evaluated only for those proposals for which the firm/consortium of
consultants under one lead firm meets the following criteria:

Technical Proposal
Technical proposals will have three sub-sections:

i. Technical strength of the Firm/ Consortium of consultants under one lead firm:
Suitable evidence should be provided for each component to show past
experience and strength of the firm/consortium of consultants under one lead
firm, including experience of designing, planning, and carrying out projects of similar
nature and summary details of the projects underway.
ii. Key Experts’ Expertise and Experience: Resume of all the experts with supporting
documents (degree and experience certificates) should be attached
iii. Approach and Methodology
• Methodology with clear implementation plan/strategy against each aspect of
the ToRs. Where there are multiple options, the consultant is expected to
provide a comparative analysis of the main options, suggest the best option
for the assignment and justify the recommendation.
• Workplan and compliance strategy to meet the timelines for the assignment.
• A staffing and human resource mobilization plan, with CVs for the proposed
team
• The technical proposal, including methodology, workplan and staffing plan
should be no more than 12 pages, in Calibri font 11. CVs and graphics can be
presented in Annexures, which are additional to the 12 pages. Any material
in the technical proposal beyond the 12th page will not be evaluated.
• Shortlisted firms will be interviewed and will be required to present their
proposal.

Financial Proposal
The financial proposal will comprise the following:

1. The financial proposal should be submitted for the whole project with a breakdown of costs, e.g.,
cost of each participant in each suggested vertical, sub-vertical.
2. The price quoted will be fixed for the entire contract. All prices are to be quoted in Pak-rupee, and
must clearly state all applicable taxes to be included in the quoted price. SEED will not allow any
compensation to the approved bidders for variation in the rate of exchange of rupee against dollar
or any other currency. All offers in this respect should be firm and final.
3. The quoted price must include all taxes, installation/integration services and the costs of
delivery/implementation in the required locations.
