SERVICE AGREEMENT Elevator Preventive Maintenance KNOW ALL MEN BY THESE PRESENTS: This Service Agreement is made and entered into and executed by and between: ‘THE EASTWOOD LE GRAND IT CONDOMINIUM ASSOCIATION INC., 8 non-stock, non-profit corporation duly organized and existing under and by virtue of Philippine laws, with office address at Union Street Eastwood Expansion Eastwood City Barangay Bagumbayan, Quezon City 1110, represented herein by its President, MICHAEL ROSS P. ATIENZA, who is duly authorized for this purpose as evidenced by Secretary's Certificate which is attached hereto as Annex “A” and made an integral part hereof, hereinafter referred to as the “Client” sand - JARDINE SCHINDLER ELEVATOR CORPORATION, a corporation duly organized and existing under and by virtue of the laws of the Philippines, with business office at 20/F Tower 1, Insular Life Corporate Center, Insular Drive, Filinvest Corporate City, Alabang Muntinlupa City 1781, represented herein by its Managing Director, YIN NYEIN THU, who is duly authorized for this purpose as evidenced by Secretary's Certificate which is attached hereto as Annex “B" and made an integral part hereof, hereinafter referred to as the “Contractor.” Client and Contractor shall hereinafter be collectively referred to as “Parties.” WITNESSETH: WHEREAS, the Client needs a professional and qualified service provider for the preventive maintenance of its Elevator installed within the premises of THE EASTWOOD LE GRAND II CONDOMINIUM located at Union Street Eastwood Expansion Eastwood City Barangay Bagumbayan, Quezon City 1110, and specifically described in the Scope of Service attached hereto as Annex “C” and made integral part hereof (hereinafter called the "Equipment”); WHEREAS, the Contractor is engaged in the elevator service and maintenance and has the technical capability and experience to perform said services; WHEREAS, the Contractor has offered its services to the Client and the Client has accepted its offer subject to reasonable terms and conditions; NOW, THEREFORE, for and in consideration of the mutual covenants hereunder specified by these presents, the Parties hereby agree as follows: 1. SCOPE OF SERVICE AND OTHER COVENANTS OF THE CONTRACTOR. 1.1. The Contractor, undertakes to perform the services and maintenance outlined in the Scope of Service attached hereto as Annex “C” and Service Level Agreement ("SLA") attached as Annex “D” made integral part hereof. : 7 1.2. ai; 14. 1.5. 1.6. ‘The Contractor agrees to perform all necessary, related and incidental services for a fee as may be necessary to meet the purposes of this ‘Agreement, Certificates of completion shalll be issued by the Contactor for every service rendered. The Contractor shall provide, at no cost to the Client, a supervisor to conduct periodic inspections and field audit to the performance of the Contractor's technicians in order to validate the compliance to the requirements under this agreement, and to identify factors for the effective maintenance and recommend measures necessary to maintain the equipment. ‘The Contractor shall immediately submit service reports reflecting such as but not limited to (i) preventive maintenance works; (ii) remedial/emergency repairs; (iil) report reflecting cases requiring exceptional handling, if any; (iv) recommendations suggesting improvements to the process, as seen fit or necessary. The Contractor shall provide the call-out or call-back services as agreed upon in the Scope of Service to correct any problem and/or condition that need attention before the next scheduled service visit and whenever necessary to meet the purposes of this Agreement. This includes Client’s requests for assistance and recommendations from Contractor through telephone calls. A 24-hour “hotline” response number for emergency call- out shall be provided by the Contractor. 2. WARRANTIES. 21. 2.2. 2.3. 2.4. Capacity to Carry Out the Contract. The Contractor is an independent service provider and warrants that It has substantial capital, tools, equipment and investment necessary to carry out its obligations under this Agreement. It has valid and subsisting permits, licenses, and registrations as required by law or ordinance for the continuous ‘operations and conduct of its business. It undertakes to obtain, renew, ‘and maintain the effectivity of such license, permits, and registrations from the proper authorities during the term of this Agreement and until all its obligations are fulfilled. It has secured all the necessary permits and licenses for it to engage in business as an independent job contractor, and that it shall, for the duration of this Agreement, maintain its status as such independent job contractor of good standing. Service/Good Workmanship. The Contractor warrants that all work shall be rendered in accordance with the terms of this Agreement. Tools. The Contractor warrants that all required maintenance tools, cleaning materials, labor, and other effects required and necessary to carry out and accomplish purposes of this Agreement are effective, of ‘good quality and fit for use. Working Areas. All working areas shall be cleaned properly after every servicing of the Equipment. all waste and scrap materials from the servicing of the Equipment shall be disposed of properly provided that parts or scrap materials that are owned by the Client shall be disposed of only with written permission by the Client. All costs in the disposal of waste and scrap materials by the Contractor shall be for the account of the latter. : ber #Y 2.5. 2.6. 2.7. 2.8. 2.9. Compliance with Laws. The Contractor shall comply with all applicable national and local laws, ordinances, regulations and codes in the performance of its obligations under this Agreement, including but not limited to the procurement of permits, licenses and certificates where required, employment and labor laws, and payment of applicable taxes. Relationship and Contractor's Service Personnel. Nothing in this Agreement shall be construed as creating an employer-employee relationship between herein Parties, its employees, agents, or workers. As such, the Contractor assumes full responsibility and shall indemnify and hold Client free and harmless from, any and all claims, damages or lawsuits arising out from employer-employee relationship. The Contractor further assumes full responsibility and compliance with its obligations as employer under the Labor Code and other pertinent laws, rules and regulations including the payment of legally mandated wages and benefits; and maintains effective discipline, full control and supervision over its personnel/employees, agents, or workers assigned under this Service Agreement. Skilled Technicians. The Contractor shall provide qualified, skilled, ‘mentally and physically fit service personnel. Contractor shall also provide appropriate uniforms and ID’s to its service personnel. Employees’ Safety. The Contractor is responsible for its personnel’s safety at all times while on Client's premises or while engaged in the performance of the services hereunder. The Contractor shall cover all related cost to ensure that all its personnel are properly trained including mandatory certifications, policies and procedures Is in place as provided by law under DOLE DEPARTMENT ORDER NO. 13, Series of 1998, GUIDELINES GOVERNING OCCUPATIONAL SAFETY AND HEALTH IN THE CONSTRUCTION INDUSTRY and shall furnish his workers with protective equipment for eyes, face, hands and feet, lifeline, safety belt/harness, protective shields and barriers whenever necessary by reason of the hazardous work process or environment, including but not limited to: heavy duty and fully-functional rope suspended platform (gondola) and strictly observe the safety and precautionary measures while engaged in the performance of the services hereunder and in accordance to the safety regulations and laws under Republic Act No. 11058 also known as AN ACT STRENGTHENING THE COMPLIANCE WITH OCCUPATIONAL SAFETY AND HEALTH STANDARDS AND PROVIDING PENALITIES FOR VIOLATION THEREOF. The Contractor shall assign a safety officer to ensure that all their employees are always safe and secure in the performance of the service. On-the-Spot-Searches. The Contractor shall allow service personnel, agents or others engaged by Contractor in the performance of its obligations under this Agreement to be subjected to on-the-spot searches or security screening upon entering and/or exiting Client's premises. The Contractor further warrants that its service personnel shall not have in their possession any potentially harmful and dangerous or illegal items including firearms and explosives within the Client’s premises. ye 2.10. 241. House Rules. The Contractor shall all times observe compliance to the house rules of the Client. Any damage, injury or even death that may result due to Contractor's failure to abide shall for the account and responsibility of the Contractor. Professional Conduct and communications. The Contractor shall observe proper decorum and behavior towards the Client and all third parties within the property. The Contractor and its employees shall avoid any interactions and dialogues other that the Client and its representative. It shall assume full responsibility for the proper performance by its employees of the services required under this Agreement, in accordance with Its general orders and specified instruction of the Client, and shall be solely responsible for any actions or omissions of its employees during their deployment and be fully liable for any claim, demand, suit, loss, damage, or any amount arising from such actions or omissions of its employees. 3. PERFORMANCE BOND; COMPREHENSIVE GENERAL LIABILITY (CGL). 34 3.2 The Contractor shall provide the Client the following: Performance Bond. The Contractor undertakes, whenever requested by the Client, to (i) post in favor of the Client a Performance Bond in the form of a surety bond issued by a reputable and stable insurance company duly certified by the Insurance Commission as authorized to issue such security in the amount equivalent to Twenty-five percent (25%) of the total contract amount. The bond shall answer for any claim, loss or damage the Client may suffer by reason of the Contractor's default of any of its obligations and/or breach of the terms and conditions of this Agreement and shall likewise guarantee payment for any loss, damage or injury that may be caused by the Contractor to the Client, to its person(s), officers, agents, clients, and/or guests. Comprehensive General Liability. In order to answer for accidents, death or injury of third persons, the Contractor shall submit to the Client a Comprehensive General Liability (CGL) Insurance amounting to one hundred (100%) percent of the total contract amount wherein the Client is the beneficiary. For both requirements, the Contractor shall agree to shoulder any excess ‘expense or monetary liability above the amount of the bond whichever bond will apply. 4. LIABILITY. 4a The Contractor shall be responsible for personal injury or death arising from the negligence or omission of its employees during the time of the performance of the work under this Agreement. However, nothing herein shall be construed to mean that the Contractor is assuming liability for damages arising from mere accident which could not be prevented by the exercise of due diligence. gt? ae 4.2 43 Force Majeure. Both parties shall not be responsible for any failure to perform any of the terms of this Agreement if the fulfillment thereof has been delayed, hindered, interfered with, or prevented: (i) by force majeure provided that there is no delay, failure or fault on the party raising its application and has taken all precautions in case of such contingency and exerted all efforts to minimize the damage; or (ii) by compliance with any order or request of any national, ‘provincial, municipal or other authority or any person purporting to be acting for such authority. Neither party shall hold each other liable for any damages arising from any failure or delay in the performance of their obligations under this Agreement due to causes mentioned in (i) or (ii) above, provided that the other party Is informed in writing of such suspension or closure of the party's facility by the government immediately from receipt of notice of suspension or notice of closure by the Contractor and/or the occurrence or cessation of the force majeure event and the extent to which such force majeure event affects the notifying party's obligations under this, Agreement. Upon the occurrence of any Force Majeure Event, each party's obligations and/or monetary obligations to the other party shall be suspended until such time that the Force Majeure Event has ceased; provided that, upon cessation of the Force Majeure Event, each party shall promptly comply with their respective obligations and/or monetary obligations without the payment of any delay or penalty interest or surcharges. The Contractor shall be liable for the non-operability of the equipment caused by negligence and non-performance of the employees/agents of the Contractor. Monetary sanctions or deductions shall be made depending on the damage or monetary claims made by third parties such as tenants, unit owners etc. The finding of liability shall be made by technical experts of the property manager. 5. DUTIES OF THE CLIENT. 5a 5.2 5.3 54 5.5 5.6 The Client shall undertake to perform the following: ‘The Client shall cover all expenses related to securing government related permits and licenses if applicable. The Client shall provide access of the equipment's location and witness/es in the course of testing and other works. ‘The Client shall timely settle the service fee within thirty (30) working days from receipt of the Statement of Account (SOA). The Client shall make the dates available based on the Contractor's schedule as attached as Annex “D”. The Client shall inform Contractor at least 3 working days in the event the Client is unavailable. The Client shall provide a point of contact for sign off and completion of the work. The Client may offer to lend hand and power tools as may be requested. 57 The Client shall not allow any third party, company or individual to do any repair or work or replace any part covered under this Agreement without the consent of the Contractor. 6. ETHICAL COMMITMENT. 61 6.2 6.3 The Contractor shall declare and inform in writing any and all relationships aside from that arising from this contract with the Client, the Property Manager-First Oceanic Property Management Inc., its officers, employees and agents past and present at the onset during the accreditation process. Should it be discovered thereafter, Contractor is bound to disclose such relationship prior to the signing of this contract or payment of down payment whichever comes first. ‘The Contractor shall not solicit or accept any favor in cash or in kind or pay-offs from the Client, its Trustees, employees or agents. The Contractor shall also caution its employees or agents against soliciting or accepting any favor in exchange of cash or in kind or pay- offs. 7. CONFIDENTIALITY. Tale 7.2 The Contractor agrees that all data or information received or gathered by the Contractor, its employees and agents in the course of or in the performance of their obligations herein shall be deemed and kept confidential and handled in accordance with all applicable laws such as the Data Privacy Act of 2012. Such data or information shall not be divulged by the Contractor, its employees/workers or agents to any third party without the written consent of the Client. Upon the termination of this Agreement, all documents and other information prepared, used, required or obtained by the Contractor in relation to this Agreement shall remain as the exclusive property of the Client and shall be left with the Client for safekeeping. The Contractor thereby ensures that all its employees shall keep in confidence all information derived in the performance of their duties. Unauthorized release of information/data shall be ground for damages. The foregoing jation on confidentiality shall survive and subsist even after the termination or cancellation of this Agreement. 8. CONTRACT AMOUNT/SERVICE FEE. 81 8.2 8.3 The Client shall pay the Contractor a service fee of One Hundred Five Thousand Four Hundred Seventy Seven Pesos Only (P105,477.00) monthly, or a total amount of One Million Two Hundred Sixty Five Thousand Seven Hundred Twenty Four Pesos Only (P 1,265,724.00) for One (1) year inclusive of the 12% Expanded Value ‘Added Tax (VAT) for annual preventive maintenance of the Equipment. The fee shalll be paid within Thirty (30) working days after completion of the service and after receipt of the Statement of Account, service report, Certificate of Completion duly approved by the Client. It is understood that the contract amount shall include all required maintenance tools, cleaning materials, and labor required and necessary to carry out and accomplish purposes of this Agreement. “er AT 8.4 8.5 ‘The Client agrees that the cost of: (2) replacement parts and components, which are not mentioned in the ‘Scope of Service of this Agreement that are found defective due to normal wear and tear, or (b) changes and/or alterations, deviations or additions to the original design of the equipment and accessories subject matter of this Agreement, or (c) for all and any other similar or analogous cases that may be considered extraordinary repairs or replacements that may constitute extra charges payable under any provision of this Agreement. Such necessary labor, extra charges or for such replacement and repair Jobs will be for the Client's account. Extra charges and quotations for repair works and supplies not mentioned in the Scope of Service, shall be subject to Client’s approval in writing before the initiation of work and shall be billed separately by Contractor payable within thirty (30) working days after completion of the service and after receipt of the Statement of Account, service report and Certificate of Completion duly approved by Client. 9, TERMINATION. Should any of the Parties violate the terms and conditions stipulated herein, the aggrieved party may terminate this Agreement, through service of a written notice to the other Party, at least thirty (30) days before the intended date of termination. 10. TERM AND RENEWAL. 10.1 10.2 The effectivity of this Agreement shall be from January 1, 2023 and until December 31, 2023 unless sooner revoked, terminated or cancelled. After the expiration of this Agreement, the Parties may renew the same at the option of the Client. In determining whether if not the services of the Contractor will be renewed, the Client shall strictly evaluate the performance of the former with respect to services rendered and faithful compliance to the terms of this Agreement. There shall be no implied renewal or extension of this Agreement. It may only be renewed or extended through another instrument to be executed by the parties under the terms and conditions that may be imposed by the Client. 11, GENERAL PROVISIONS. 1a 11.2 113 Assignment. Without written consent of the Client, the Contractor shall not subcontract or assign to a third party any of the latter’s obligations under this Agreement. Waiver. Any waiver or failure to enforce any provision of this Agreement on one occasion will not be deemed a waiver of any other provision or of such provision on any other occasion. Binding Nature. Each of the Parties acknowledges and warrants that this agreement and the Annexes attached herein are valid and binding obligations, enforceable in accordance with its terms, and that shall be : fer binding upon and shaill inure to the benefit of the Parties hereto and their respective successors and permitted assigns. This Agreement cancels and supersedes all previous contracts or agreements between the Parties herein. This agreement shall not be considered as changed, modified, altered or in any way amended by acts of tolerance of the Client unless Such change, modification, alterations or amendments are made in writing and signed by both Parties to this Agreement. 11.4 Governing Law. This Agreement shall be governed by and construed in accordance with the Laws of the Republic of the Philippines. 11.5 Severability. If any provision of this agreement is, for any reason, held to be invalid or unenforceable under any applicable law or by a competent court or authority, the same shall not affect any other provision of this agreement which is otherwise valid and enforceable to the maximum extent permitted by law. 11.6 Amendments and Modifications. This Agreement and the Annexes attached herein constitute the sole and the entire agreement between THE Parties with regard to the subject matter hereof and the Parties waive the right to rely on any alleged express provision not contained herein. No provision hereof may be amended, modified except in writing and signed by the Parties hereto. 117 Venue. In case of any action brought by one party to the other for the enforcement or interpretation of any provision hereof, the same shall be brought before the proper court of Quezon City, to the exclusion of any other venue. In the event of such termination, the Contractor will be under no further obligation to continue the works and all monies owing by the Client under this Agreement shall become immediately due and payable. If any either of the Parties terminates this Agreement before the expiry date and without material breach by the other Party, the terminating party shall pay the other Pary an indemnification of 50% of the amount to be invoiced for the remaining services until the expiry date.
