COMPENSATION AGREEMENT

This Compensation Agreement ("Agreement") is entered into on this ____ day of ________,
2023, ("Effective Date"), by and between:
1. xxxxxxxxxxx of Obote Avenue, Ireda Lumumba Cell, Lira City, Lira District ("Property
Owner").
2. xxxxxxxxxxxxxxxx ("Responsible Party").
Hereinafter collectively referred to as the "Parties."
Recitals:
WHEREAS, the Responsible Party is responsible for causing damage to the property owned by
the Property Owner, located at Obote Avenue, Lira City, Lira District, herein referred to as the
"Property," due to the pouring of materials (sand and aggregates) on the Property without
property owner consent;
WHEREAS, the Parties desire to enter into this Agreement to settle the matter amicably and to
specify the terms and conditions for the compensation for the damage caused;
NOW, THEREFORE, in consideration of the premises and the mutual covenants contained
herein, the Parties hereby agree as follows:
1. Compensation for Property Damage:
1.1 The Responsible Party acknowledges and accepts full responsibility for the damage caused to
the Property as a result of pouring materials on the Property.
2. Payment Terms:
2.1 The Responsible Party shall make the full and final compensation payment of total sums
Uganda Shillings Ten Million Only (Ushs 10,000,000) to the Property Owner via below account
details

3. Release and Indemnification:

3.1 Upon receipt of the full compensation amount specified in Section 1, the Property Owner
agrees to release and discharge the Responsible Party from any and all claims, demands, actions,
causes of action, liabilities, and obligations, whether at law or in equity, arising out of or in
connection with the damage caused to the Property.
3.2 The Responsible Party shall indemnify and hold the Property Owner harmless from any
further claims or liabilities related to the damage caused to the Property.
4. Governing Law and Jurisdiction:
4.1 This Agreement shall be governed by and construed in accordance with the laws of the
Republic of Uganda without regard to its conflict of laws principles.
4.2 Any disputes arising under or in connection with this Agreement shall be subject to the
exclusive jurisdiction of the state located within the jurisdiction of Uganda
5. Entire Agreement:
5.1 This Agreement contains the entire understanding between the Parties and supersedes all
prior agreements, understandings, or representations, whether oral or written.

the Effective Date.
