Review the feasibility study & reassess road sections for detailed engineering,
including geometric features, type and condition of existing drainage &
retaining structures (including an estimate of their load-carrying capacity,
pavements, and other major features), those of existing bridges & the rest of
drainage structures to include its respective Hydrology & Hydraulics analysis.
The analysis shall indicate “conclusion” indicating if each & every existing
structure is: a) Adequate but needs minor/major upgrading, b) Inadequate or
dilapidated that needs to be replaced altogether and c) New structure needed
in some points along the line;
Carry out the necessary topographic surveys as basis for to design &
documentation. Establish horizontal control points, benchmarks, & reference
beacons as required to prepare the detailed engineering design to enable
construction quantities to be calculated with reasonable accuracy (±10%);
Prepare development plan to include portion of intersecting roads. The limits of
design at sections wherever there is intersecting road shall be adequate
(±100m from centerline of main road) to an extent necessary so that the
interface between the main road and the intersecting road is properly defined;
Review available data relating to traffic, axle loads, & existing pavement
strength; and determine the strength of the existing pavement structures in
accordance to internationally-accepted field & laboratory testing methods;
Carry out classified traffic counts & axle load surveys along the project roads,
& estimate future traffic & axle loads to a level of accuracy necessary for
designing appropriate pavement structures & corresponding layer thicknesses;
Perform the followings based on the survey of the existing drainage systems:
(a) identify, design & quantify any necessary additional, replacement, or
amendments to existing structures; (b) check streambeds & cross-drainage
channels above and below the roads for possible erosion effects; (c) design &
quantify any necessary protective works; (d) examine the existing side
drainage; (e) specify, design, & quantify new side drainage & line drains where
necessary to eliminate scour and erosion or to provide support for narrow road
cross sections;
Prepare practical & cost-effective pavement and retaining structure designs on
the basis of condition surveys, projected traffic levels, pavement structure
studies, and axle load considerations, as determined from the above activities
and previous studies;

Assess the requirement for slope protection measures adjacent to the road, &
design the most cost-effective remedial works. Verify & refine climate change
adaptation options selected in the feasibility study;
Investigate, test, and define sources & estimated quantities of construction
materials and prepare the material sources map with indicative properties, its
applicability (i.e. for sub-grade, for sub-base, etc.) and estimated quantities;
Review the need for road safety measures based on the findings of the
feasibility study and road safety review of the road environment. Identify,
design and estimate the cost of road accident mitigation measures based on
this review;
Update the EMP as appropriate; incorporate necessary technical
specifications with design and contract documentation;
During the preparation of tender documents, clearly identify environmental
responsibilities as explained in the environmental impact assessment/initial
environmental examination report and the environmental management plan
EMP;
Update and/or prepare resettlement action plan (RAP) as necessary based on
detailed design in accordance with the agreed resettlement framework,
including entitlement matrix and compensation plan; coordinate with various
agencies in preparing the procedures for timely land acquisition and
disbursement of compensation to affected persons;
Assess the social impact and prepare necessary social development plans.
The plan should be based on indigenous people development framework, as
required;
Prepare complete detailed drawings and tender documentation satisfactory for
procurement under ICB with procedures of Pre-Qualification in accordance to
the procurement guidelines of JICA; and
Assist PMU as requested in the preparation of invitation for bids,
prequalification, and evaluation of bids. Also assist PMU in providing answers
to question from prospective bidders relative to design and other technical
issues.

5.45 km along Sekst III. The total length of this toll road about 15 km.

3.A GENERAL COMMENTS
In our opinion, the Terms of Reference included in the RfP are clear and
comprehensive in the description of the requirements. As such, we think the contents
of the ToR are sufficient for us to estimate the resources and tasks required to meet
the objectives of the project to a reasonable level of accuracy, which in turn allows us
to support the statements of our technical proposal and the figures in our financial
proposal.
That said, we consider it very important to note that the ToR does not contain an
explicit description for some of the key assumptions made in the definition of the
objectives and outputs, nor the identification of the key risks that could compromise the
achievement of the objectives and outputs in time, cost and quality.
Specifically and most relevant, there is no mention of the potential impact of the
Covid19 pandemic on the services and the toll roads that are the subject of the
services.

APPROACH, METHODOLOGY AND WORK PLAN
4.A MOTIVATION OF OUR PROPOSAL
The objectives of the project are explained very concisely and clearly in of the ToR for
the Toll Roads and Bridges Final Business Case and Bidding Document Development,
respectively.
We are also very aware of the great challenges that DGH and BPJT face in the
delivery of such an ambitious toll road programme (2,500 km of new toll roads by
2024, according to the strategic plan of MPWH), as mandated by the policies and
regulations of the Indonesian Government for the benefit of the people.
Our motivation in joining forces in the consortium PT. Perentjana Djaja - PT. Deloitte
Konsultan Indonesia - PT. Indokoei Internasional - ANG Law Firm is to put our best
capabilities at the service of DGH and BPJT to help them deliver with maximum output
and minimum risk, not only during the project assignment, but also beyond, thanks to
the transfer of knowledge and skills.
In order to do so, we will base our work on the following principles:
- Application of a combination of international best practices and deep knowledge of
the institutional, technical and socioeconomic environment of Indonesia, through
the use of a mix of experts that have proven ability to work in multicultural and
multidisciplinary teams and abide to the highest standards of professionalism.
- Efficiency and efficacy in the management of resources towards the ouputs and
outcomes.
- Long-term view, sustainability and the building of useful knowledge for the Client
and other stakeholders.
- Consideration to the protection of the health and safety of all people involved in /
affected by the project, especially in relation with the Covid19 pandemic and its
risks.
- Diligence in the application of innovative methods and tools to support the
technical, managerial and collaboration/communication aspects of our work.
- Transparency and consistency in the processes and deliverables -avoiding
negative surprises for discrepancies.
- Confidentiality and privacy of all information, including personal.
Furthermore, approximately one-third of the team -excluding assistant staff- consists of
women professionals, which is worth highlighting given the lack of gender balance in
the construction industry, both globally and in Indonesia. The three firms in the
consortium are committed to the promotion of gender balance among our staff,
contractors and suppliers.
4.B UNDERSTANDING OF THE KEY ROLES
The key parties involved in toll road development by Toll Road Concessionaires, who
will be included in our collaboration/communication plans and procedures are:
- DGH as executing agency and grantor of the concessions
- BPJT as regulator, manager and supervisor of toll roads

concession contract, including construction, commissioning and operation for a

- The communities -beneficiaries of the projects
- The Ministry of Finance as owner of government assets
- Other government agencies: Provincial, City or Regency Governments
- Utilities and infrastructure regulators
- Ministry of the Environment and other Ministries and Agencies (such as BPN or
LMAN) as needed
requirements on current actual field conditions and the results of coordination with
relevant agencies and local Government.
b. Reports of survey results to be submitted to BPJT include:
● Topographic Survey;
● Hydrological Survey;
● Geotechnical and geological Survey;
● Survey of existing road network and existing road function around Toll Road
corridor as well as crossing that directly related to toll road plan;
● Survey of existing drainage network around Toll Road corridor and crossing;
● Utility Network Survey on toll road area; and
● Land use survey of the toll road Right of Way (ROW) area.
c. The results of the field survey are checked by the CM Consultant, seen by the
Concessionaire and reported to BPJT.
4.C.1.3Report of the Review of Basic Design Drawing
The Review Basic Design Drawing refers to the Basic Design Drawings, the results of
field surveys and the results of coordination with relevant agencies and local
Government. Submission of report the review results Basic Design Drawing to BPJT
with the following conditions:
a. The Concessionaire and the CWC must coordinate with all relevant agencies, and
local Government, on the areas where toll road will be traversed but not limited to
aspects of crossing buildings, irrigation canals, utilities, handling of roads tangent
to toll roads or toll road access, plantation areas, conservation areas, and
protected forests.
b. Coordination with the local Government by exposing the toll road development
plan as point (a) to obtain information and inputs and minimize design changes
and social disturbance impacts that may hamper the construction process.
c. The results of coordination/discussion with relevant agencies are submitted and
reported to BPJT along with supporting documents.
d. The results of the Review Basic Design Report include the following reports:
1. Design Criteria and Design Concept Criteria
Report design criteria and design concepts that should be reported, including:
● Design criteria and road geometric concepts;
● Design criteria and concepts of pavement structures;
● Design criteria and structural design concepts (bridges, overpass,
interchange);
● Criteria and drainage network concept;
● Criteria and design concepts of geotechnical handling;
● Criteria and design concepts of building equipment and toll infrastructure;
and
● Special Specifications.
4.C.2 Construction
4.C.2.1Preparation of Design and Build Picture Details
The stages of drawing up the detail drawings of the Detailed Engineering Design
Drawings are the stages as a follow-up to the approval of the review of the Basic
Design Drawings so that in detail the Detailed Engineering Design drawings of each
construction can be carried out immediately, subject to the following conditions:
a. Schedule of Detailed Engineering Design Drawings.
The Basic Engineering Design drawings are adjusted to take into consideration
the construction plan and the work methods to be performed by the CWC.
b. Preparation of Detailed Engineering Design Drawings.
The Detailed Engineering Design drawings are prepared based on the review of
Basic Design drawings considering design criteria and design concepts that have
been submitted and approved by BPJT.
c. Approval and Review of Detailed Engineering Design Drawings.
Checking and approval of the Detailed Engineering Design drawings of each type
of construction will be carried out by the Concessionaire/project level with the
following conditions:

quality control processes run in accordance with the specified standards and
specifications, assist in coordination for the smooth running of the work, as
technical Advisor, Quality Assurance and time control to achieve the target
implementation time. The IQA Consultant in this case serves to evaluate the
potential for delays, evaluate quality management systems, work procedures,
and fulfillment of implementation schedules.
c) Design Adjustment on the Field
In the process of construction implementation in case of problems or special
requests it is necessary to adjust the design by the CWC (Design Consult) in
accordance with the field conditions and targets to be achieved for this
consultant The CM Consultant will conduct a field inspection to ensure the
necessary adjustment of design due to the problem. The Design Consultant of
CWC have to make the necessary detail design drawings including with the
technical justification.
If the design revision is minor i.e. design adjustment which has no impact on the
alignment and the ROW plan, then the inspection and approval of the design
adjustment draw will be done at the level of the CM Consultant and the
Concessionaire. When the design adjustment is major i.e. changes that affect
the alignment and ROW plan then the examination and approval will be done up
to the level of BPJT. The IQA Consultant in this case will conduct evaluation and
coordination to ensure the level of handling of such design adjustments.
d) Work Supervision
The supervision of the day-to-day work will be performed internally by the
Service Provider supervisor and externally by the CM Consultant that the
outcome of the work is in accordance with the objective of compliance with the
technical requirements and quality achievements, Time, Cost and meeting the
safety, security and environment requirements.
be recorded and the quality control provisions of each work shall be stipulated in
the Specifications under internal control by the Service Provider's supervisor and
externally by the CM Consultant. The IQAC will ensure quality control
procedures work well. Reports of quality control results of each work are
reported to BPJT and the IQAC as BPJT representatives in the field.
f) Reporting
All activities ranging from design detail, progress and quality control of
construction implementation and adjustment of design on site occurring
periodically should be reported to BPJT. Periodic reports of such construction
activities made by the service provider are examined by the CM consultant and
approved by the TRE to be submitted to BPJT. The report on the execution of
the work is not limited to the periodic report but does not rule out the existence of
a special report as necessary.
g) Discussion on Addendum Scope of Work
The Concessionaire may conduct deliberations and negotiations with BPJT on
changes in the scope of work on the basis of design changes and construction
results for reports in the scope of addendum.
4.C.3 Hand Over
Handover of work will be done after all work has been completed. The terms of hand
over of the work are regulated as follows:
4.C.3.1Provisional Hand Over (PHO)
a. After the construction completed or completion progress at least 98%, the Builder
Contractor may request for Provisional Hand Over to the Concessionaire.
b. The CM Consultant will facilitate the process of handover of work by making the
schedule and stages of the first handover process or provisional hand-over (PHO).
The stages of the process is as follows:
● Establishment of the Hand Over committee by the Concessionaire;
● Coordination meeting of the work hand over committee to arrange the division
of tasks in the examination process both administrative and physical field;
● The committee makes the first visit to examine and record defects and
deficiencies (defect and deficiencies) of work, commissioning test, or testing
sampling;
● The Service Provider performs repair improvements as well as defect and
deficiencies findings;
● The second visit of the job-handling committee to ensure defects and
difficulties have been completed;
● The Committee issues the Provisional Hand Over (PHO) Report in which the
Contractor remains responsible for fulfilling the completeness or deficiency in
the functional and operational feasibility process; and
● The Builder Contractor shall perform maintenance of all toll road constructions
during the maintenance period in accordance with the Contract of Agreement
with the Concessionaire.
c. The CWC must submit the handover document in the form of:
● Drawing of Implementation Result (As Built Drawing);
● Work quality control report;

● Manual of road maintenance, bridge and facilities and toll road equipment;
and
● Photo/video project.
4.D METHODOLOGY
The Project is to be implemented in several locations throughout Indonesia, so the
method of implementation is as important as the problem of the quality of the final work
itself.
Broadly speaking, this activity will cover the following matters, and the realization of
the implementation in the field will be carried out by consultant, namely:
- Technical control: aspects of quality, volume, time, cost.
- Control over the related coordination process.
- Control of project administration.
- Reporting.
The main task of Consultant is to prepare information in the form of technical data and
carry out the administrative process of activities, proposed implementation methods if
necessary), carry out continuous inspection and supervision in the field including
conducting tests, evaluating and updating data and making reports and
recommendations. for Owner.
Acting for and on behalf of the Task Giver to control the physical implementation of the
construction carried out by the Contractor with ranges covering “Pre-audit”,
“Monitoring”, and “Post-audit”.
The scope of control includes:
- Aspects of the quality of the work.
- Aspects of work volume.
- Aspects of work completion time.
- The overall cost aspect of the job.
Everything refers to the terms and conditions stated in the contract.

The objective of this activity is to assist DGH and BPJT (Toll Road Management
Agency) in evaluating changes made to toll road contracts, required by revisions to the
original design at the start of the contract, or contract amendments made during
construction. To that end, the client will appoint independent consultants to undertake
transparent, accountable assessments applying international best practice in
accordance with prevailing laws and regulations.
The outputs from this activity will be “Preliminary Assessment Reports” providing a
review of individual contract changes with recommendations for further review, if
required. There will also be, where required, detailed “Contract Changes Assessment
Reports” setting out the results of a careful review of a contract change, identifying
critical issues and making clear recommendations of further action required by the
Client.
The scope of work to be carried out by the consultant for the implementation of this
activity includes:
a. Preparation Works
The preparations work is mainly to evaluate the administrative aspects, such as (i)
gather, catalogue and review all supporting documents (contract documents,
correspondence, minutes of meetings, etc. related to changes in the scope of
work and design), (ii) consult with major stakeholders to consider their
understanding of events, and (iii) appraise the current situation on site and gauge
status of “to-date”. The contract documents at least should include the following
documents:

4.D.1.3Output/Reporting
The Consultant shall provide reports and outputs as required. All reports produced are
to be to a high professional standard of preparation, in English and Indonesian
submitted in soft copy (PDF and MS Word) and (6 hard copies Indonesian and 6
English. The Consultant shall provide the following outputs:
Inception Report
After initial review and coordination with stakeholders, carried out within 30 days
of commencement, the Consultant shall present a brief inception report setting out
how to approach the tasks and indicating expected staff assignments in a draft
work plan. The report shall include proposed criteria for ranking the preliminary
reviews.
Preliminary Assessment Report (x 10)
The consultant shall provide a Preliminary Assessment Report for up to ten (10)
contracts, which will be specified by the Client at the beginning of this project.
Contract Changes Assessment Report
Based on the Preliminary Assessment Report certain packages will require more
detailed examination of the contract changes. These more detailed assessments
will be reported by a Contract Changes Assessment Report. This report will focus
on issues raised by the preliminary assessment.
The report will include findings of the assessment and recommendations for the
client of how to proceed.
It is not yet determined how many Contract Change Assessment Reports will be
required but the consultant should assume that a minimum of four (4) will be
carried out within the current assignment timeframe and resources.
Progress Reports – Monthly/Quarterly
The consultant will provide brief monthly progress reports and additional quarterly
reports. These will be based on ESP reporting formats and shall be provided
within 7 days of the end of the reporting period. The reports shall include
notification of the status of implementation and utilisation of staff. Any issues
impacting on time execution of the activity will be highlighted.
Final Reports
During the final month of the assignment the consultant will provide Final Report.
The report shall summarise the assignment activities and reference all of the
outputs. The report will include a summary of the staff utilisation and budget
expenditure for the project. There will also be sections detailing “lessons learned”
and making recommendations for future activity.

The Consultant will provide the specialists shown in the figure above with appropriate
qualifications and experience to carry out the assessment task. Specialists will have
recognised qualifications and expertise in their fields and have work experience on toll
road projects (planning, construction and operation) or major highways. It is
anticipated that the consultant will have three groups of specialists to do the work.
Core Team: A Team Leader and key senior staff will be provided full time to initiate all
of the tasks and deliver the Preliminary Assessment Reports.
It is assumed that the Core Team and support staff will be full time for the duration of
the assignment. Other staff will be assigned on an as needed basis. Inputs may be
continuous or intermittent.
The Technical Support Group members will be mobilised to support activities and
tasks that are identified by the Team Leader and scheduled in agreement with the
client.
The Legal & Financial Support Group members are considered specialist support and
shall be assigned to carry out specific reviews/tasks as required.
Assistant and Sub Professional Staff will be mobilised to support senior staff in tasks
and provide general support to all activities.
Depending on the final workload that transpires it may be that not all of the identified
resources are used, and some may be cut from the contract. Conversely it may be
that additional inputs are required, and the contract may be amended accordingly with
changes to inputs and /or time frame.

To mitigate these risks and safeguard the delivery, our work will be based on:
1. Observance and compliance of national regulations and national and
international best practices for the prevention and management of Covid19 in
engineering and construction projects, including MPWH Instruction No
02/IN/M/2020
2. The backstop support and guidance of our company Health and Safety experts
for Covid19-related risks.
3. Promotion of the use of ICT platforms that are well-known, easy to use, secure
and efficient (e.g. Microsoft SharePoint) for delivery and monitoring in as many
project tasks as practically possible.
4. Keeping travel to a minimum once the information technology and the quality
management safeguards are in place for all activities that can be done online.

5. Apply the best working practices that Solvere uses for international projects
involving toll road concessionaires in different countries and locations, such as
Q&A sheets linked with data rooms. We have applied these successfully in the
past in many toll road projects.
6. Diligent and safe application of innovative tools and methods to complement and
leverage the technical, management and collaboration/communication
dimensions of our work.
At the beginning of the project we will assess the training needs of the staff involved
from the Client to prepare and deliver ad-hoc, learning-by-doing training on the use of
these platforms. It will be up to the Client’s decision during contract negotiations
and/or project inception whether to adopt these software platforms as mandatory for
all, part or none of the documentation.
We will follow the same principle for the individual audits, to be reflected in each of
the toll roads’ audit plans. This will include the assessment of BIM (building
information modelling) implementation at each toll road concession to evaluate the
potential for efficient, online work.
Furthermore, we propose to include additional support staff to help in the
management and supervision of software solutions for communication and
documentation management during Covid19, dedicated to the Project. These
resources would be covered by the provisional sums, to be discussed with the Client
during negotiation. See the following section for more information.
4.E.2 Information And Communication Technologies
Although the ToR does not specify any operational requirements about document and
information management (only briefly in 2.5.22), we consider essential to provide a
strategic plan and resources to maximise the adoption of useful technology, given the
huge amount of documentation to be processed and evaluated, the Covid19 risks to
mobility and the tight timeframes. Otherwise it could result in some of the
consequences identified in the previous point.
Therefore, we propose to include additional support staff to help in the management
and supervision of software solutions for communication and documentation
management during Covid19, dedicated to the Project. These resources will guarantee
that i) the work can be done properly despite the Covid19 limitations and ii) the tools
and methods used remain for future use by the Client.
The proposed additional resources are:
➔ Document Management System expert to set up, operate and maintain the DMS
for the project.
➔ Web app developer to design, implement and supervise a specific platform to
collect, organise, analyse and visualise the information and reports related to the
audits and contract changes. This platform will be available for the client at the
end of the contract, for future use in other toll roads, and our experts will provide
training at the end.
➔ A cybersecurity expert to perform risk assessments, provide recommendations to
be included in the information and communication procedures and the audit plans
and monitor the IT systems and software to guarantee the integrity and safety of
information.

Innovation -doing things better with the existing and new resources- plays a key role in
the achievement of the Project objectives, and our firms have the experience and
credentials to make the best use of the existing technologies to the specific needs and
context of this project, in innovative and practical ways. We will apply innovation within
a strategic management framework, considering the actual project needs, the
capabilities of all stakeholders and the usefulness of specific tools and methods.
An information and communication strategy will be developed at the onset of the
project, with the principle of reinforcing consistency, transparency and continuity (“no
nasty surprises”) through the process, ensuring that there are no major discrepancies
between the assessment of documentation, site visits, briefing and debriefing meetings
and post-visit reports.
4.E.2.1Robust solution for privacy and security.
Each contract that is reviewed is confidential information so it must be protected and
enforced in a special manner. The information leakage does not only affect the
consultant but also affects the BUJT and BPJT as the parties to the cooperation
agreement.
Our firms have rigorous procedures for our staff to use equipment and information
with security and privacy. We will include in the plans and do short upfront training
sessions for all key people involved.

- Focus on the sections that are most advanced as representative of the design and
construction capacity of the CWC and Concessionaire.
- If the delay in progress of a section or a whole toll road is related to land
acquisition issues, we will concentrate our efforts on the Final Engineering Plan
and extrapolate the findings -as applicable- from the more advanced sections to
our assessment.
- Depending on the relevance and level of priority of the toll road to be audited, we
can adjust the audit plan to do more than 1 audit cycle if the Client decides to do
so and in consideration of the overall work plan.
When assessing needs and designing capacity building, we will also consider the side
of the Concessionaire and Contractor, because -especially in Contractors- the
personnel is usually limited and sometimes young and less experienced. In this
particular regard, we envisage two possible courses of action to improve collaboration
from the counterpart in toll road supervision:
- Prepare knowledge products and guidelines with recommendations on best
practices for future audits and contract change reviews;
- Prepare specific assessment reports on human resource and information
technology management on the Concessionaire’s and Contractors’ side based on
the latest international experiences and include improvement suggestions for
future regulation and supervision policies, for instance to be included in the terms
of reference in future projects.
➔ Work ethically and diligently in the handling of information and documentation, for
the benefit of the Client, the project objectives, ADB's goals and the good of the
broader society.
We will operate on a system that monitors the quality of the project from the
perspective of the key project stakeholders: The Client, Concessionaires, ADB, and
others.
The Team Leader and the rest of the team will systematically verify that all the
activities related to the quality fulfil the requirements. The team is made of
professionals with broad, demonstrable experience in the sector, who are perfectly
capable of dealing with problems arising during the execution of the project, taking
action to avoid delays, cost overruns or any deviation from the objectives. We will
identify and report potential constraints before the consequences manifest.
In case of any complaints regarding staff performance, the Team Leader will take
action immediately, by means of: Analysis of the problem, analysis of courses of
action, decision and follow-up. We will always gather objective information from all
angles, looking for the best possible solution and a participatory approach.
The Quality Control Officer will be responsible to verify that all reports comply with the
requirements before submission. He will report back to Team Leader and assist in the
proposed improvements if any. Experts will also be involved in this process, as
required.

6.A TEAM COMPOSITION
Our proposed team is listed in the table below. The experts’ qualifications, skills and
experience meet and exceed the requirements in the ToR and are very familiarised
with the teamwork environment of large civil engineering projects, including toll roads.
The overall direction and coordination of the team will be done in close cooperation
between the Team Leader -who has relevant experience in PPP projects in Indonesia-
and the Co-Team Leader who has a long, proven track record of working with BPJT
and MPWH.
The proposed Team Leader has many years of experience with Toll Road technical
and contractual audits and has direct experience working in PPP projects Indonesia
and ADB-financed projects since 2012. He speaks Bahasa Indonesia, has supervised
projects in different regions of the country and is very well familiarised with the
institutional, cultural and technical aspects of Indonesia. He was Team Leader of the
technical advisory team of the PPP Project Development Facility (PDF) in BAPPENAS
-national planning agency- financed by ADB for project identification, preparation,
transaction and capacity building. More information can be found on

The proposed Co-Team Leader who has worked as Team Leader in several projects
with BPJT. He has also direct experience in sampling and testing in toll road projects.
He will bring his best practice in technical and project management to complement the
international Team Leader and the team.
