Article 2: Term of delivery

 Notice of Shipment :
+ Before the sailing date of carrying vessel to Vietnam, the Buyer
shall notify by fax to the Seller the following information:
- Name and number of the vessel;
- Deadweight Capacity (DWC);
- Draught;
- ETD, ETA.
+ Within 1 days after date of B/L, the Seller shall notify by fax to the
Buyer the following information:
- Name and number of the vessel;
- B/L number and date;
- L/C number and date;
- Commodity; Quantity and Quality of goods
Article 3: Terms of Payment
By at sight irrevocable L/C in 100% of Contract value opened within 10 working
days from this contract’s date. Period for presentation: Within 15 days from the date of
shipment.
- Issuing Bank: KASIKORNBANK PUBLIC COMPANY LIMITED,
BANGKOK.
- Advising Bank : Vietcombank, Ho Chi Minh City Branch.

 Documents required
1/ Commercial invoice in six originals issued, manually signed and stamped by
beneficiary issued on the printed forms with the beneficiary's letterhead, and
showing the production and expiry dates (shelf life of 2 years) and batch no. of
each item of which Chamber Of Commerce in Vietnam should certify one original
2/ Full set of (3/3) original marine bills of lading made out to the order of ''Al Ahlam
Co., For Trade And Industry L.L.C/ Albeqa'a - Bar Elias - Hamiah Bldg -
Lebanon'' and notify as the same showing Freight Prepaid and Shipped On Board,
free demurrage not less than 21 days, issued by Liner Shipping Line not from
Forwarder Agent.
(B/L must mark 'Freight Prepaid', the freight will be paid to the shipping company
directly by the Buyer prior to issuance of the B/L and copy of the T/T will be
forwarded to the Seller)
3/ Certificate issued by the shipping agent stating that the vessel is a liner vessel and
not older than 15 years at time of loading.
4/ Certificate from the Shipping Line attesting that vessel is not Israel and will not
call at any Israel port during its voyage and is not banned entry to Lebanon ports
for any reason what so ever according to the Lebanon laws and regulations.
5/ Certificate Of Origin issued by The Chamber Of Commerce And Industry In
Vietnam showing: the name of the exporters, the production and expiry dates (shelf
life of 2 years) and batch no. of each item and not mentioning the value, (which
must be before issuing date of B/L but not more than 10 days or at the same B/L
date) in one original and 2 copies
6/ Packing List in one original and 5 copies attesting that packing: in cartons
7/ Veterinary Certificate issued and stamped by Competent Authority and certified by
The Chamber Of Commerce And Industry In Vietnam, dated before but not more
than 10 days from date of shipment shown on the B/L or at the same B/L date, and

 showing the production and expiry dates (shelf life of 2 years) and batch no. of
each item., (noting that the production date should be same month of inspection
date and same as mentioned on the label and all other documents) in 1 original and
2 copies
8/ Radioactivity Measurement Certificate issued by Competent Authority, certified by
The Chamber Of Commerce And Industry In Vietnam, and showing the production
and expiry dates (shelf life of 2 years) and batch no. of each item in one original
and 2 copies
9/ Health Certificate issued by Competent Authority, certified by Vietnam Chamber
Of Commerce And Industry, attesting that the goods are fit for human
consumption, and showing the production and expiry dates (shelf life of 2 years)
and batch no. of each item in 1 original and 2 copies
10/Quality and weight certificate in one original and 4 copies
11/Analysis Certificate issued by competent authority in reference to the Health
Certificate and certified by The Chamber Of Commerce And Industry In Vietnam
and showing the production and expiry dates (shelf life of 2 years) and batch no. of
each item 1 original and 2 copies
12/Validity Certificate issued by beneficiary attesting that the shipped goods are valid
for two years and the consumption period is not less than two thirds of the
announced validity from the time of its arrival in 1 original and 2 copies
13/Certificate from beneficiary that cartons are marked in Arabic wording.
14/Specification certificate certify that:-

- Fish : light meat tuna skipjack solid with two chilies
- Oil : soyabean oil
- N.W.: 160 grams.
- D.W.: 112 grams.
- Oil/Brine : 60/40
- Max flakes 15 pct.
- Number of chunks : max. 11 pcs.
- Label with UV coated
- Carton white with four colours printing
The colour should be light meat, red meat removed, skins and bone removed, dark
meat and black spots should be removed, the look has to be nice, oil and brine
should be clean.
15/Beneficiary's Undertaking stating that in case of the goods under this contract
rejected by Health Authority at destination due to quality do not as per
specification and quantity do not as per declaration, shipper undertake to replace
with new cargo or refund with full invoice value.
16/Beneficiary's certificate certifying that: draft of all required documents against this
contract to be approved by the buyer prior to issuance of original.
17/Goods will be inspected by representative of the applicant prior to shipment and
original/fax or copy of pre-shipment inspection certificate is required

Article 4: Arbitration
Any dispute between the buyer and the seller will be settled amicably at first. If it
does not reach to agreeable result, both sides should appoint their own representative to
form international arbitration in vietnam to resolve the problem. Decision reached by this
arbitration will be final and binding to both sides.
Article 5: Force majeure
Neither the Seller nor Buyer is responsible for any delay in or cancellation of
shipment and/or delivery due to force majeure, such as: strikes, fire, floods, war, riots,
embargoes, earthquakes, including but not limited to acts of God, restriction or any
condition beyond the seller's control. Force majeure circumstances must be notified in
writing by each party to other within 7 days and confirmed a certificate of force majeure
issued by Government authority. Beyond this time, force majeure circumstances shall not
be taken into consideration.
Article 6: General conditions
This contract is made in Ho Chi Minh City - Viet Nam, in 06 English originals, 03
for each party of equal value. This contract comes into effect from signing date, any
amendment and additional clause to these conditions shall be valid only if made in
writing and sent by fax and confirmed by both parties.
