RECEIPT, RELEASE AND QUITCLAIM

I, _____________, of legal age, with address at ______________, acknowledge having duly

received the amount of PhP________ (“the Sum”) as my final pay from Demopower Philippines,
Inc. (“the Company”) on _______ 2022, and state:

1. I knowingly and voluntarily accept the Sum and consider the same as full, complete, absolute
and final payment and settlement of any and all claims of whatever nature, including salaries,
wages, fees and charges, separation pay, final pay, reimbursement of expenses, allowances,
tax refund, bonuses, backpay, commissions, or any other kind of compensation, remuneration,
benefits, emoluments, penalties, damages or awards, which I had, now have, or may have
against: (a) the Company; (b) its parent company or its subsidiaries and/or affiliates; and/or (c)
any of the Company’s and/or its parent company’s shareholders, directors, officers,
employees, agents, successors-in-interest, customers and/or clients (collectively, “the
Released Parties”), in connection with or by reason of my engagement with and separation
from the Company, or any matter or cause whatsoever.

2. As consideration for my receipt of the Sum, which I recognize as valuable, reasonable,

adequate and legal –

(a) I fully, finally, irrevocably and forever remise, release and discharge the Released Parties
from any and all claims, charges, actions, or demands, including but not limited to
complaints for breach of contract, actual or constructive illegal dismissal, forced
resignation, harassment or vexation, discrimination or unfair treatment, unfair labor
practice, or demands for reinstatement, or money claims, including but not limited to
unpaid salaries, fees and charges, reimbursement of expenses, or non-payment/under-
payment of final pay, separation pay, allowances, tax refund, bonuses, backpay,
commissions, penalties, or any other kind of compensation, remuneration, emoluments,
benefits, actual, moral and exemplary damages and attorney’s fees, and all other claims,
which I ever had, now have, or which, I, my heirs, executors and administrators, hereafter
can, shall or may have, by reason of, arising out of, or in connection with, my engagement
with and separation from the Company or any matter or cause whatsoever.

(b) I discharge the Released Parties from any and all liabilities in relation to my engagement
and separation from the Company, and I, my heirs, beneficiaries, executors, administrators
and successors-in-interest, undertake not to sue the Released Parties for any claim or
action of whatever kind or nature, including those enumerated in (a) above, or any
complaint for breach of contract, illegal dismissal, reinstatement, or any form of money
claims or damages, and should there be any such complaint, case, matter, claim or action,
pending in any court or tribunal, I shall cause its withdrawal or dismissal with prejudice
immediately.

(c) I hold harmless and shall indemnify the Released Parties from and against any claims of
whatsoever nature and howsoever arising, which may be asserted against the Released
Parties arising out of or in connection with my engagement with and/or separation from the
Company or any matter or cause whatsoever.

(d) I agree that this quitclaim may be pleaded as an absolute and final bar to any suit or suits
or legal proceedings that may hereafter be prosecuted by me or by my heirs, beneficiaries,
executors, administrators and successors-in-interest, or by anyone claiming by, through, or
under me, in my representation or on my behalf, or by through or under myself in my
personal capacity, against the Released Parties before all judicial, quasi-judicial and
administrative bodies arising out of or in connection with my engagement with and
separation from the Company or any matter or cause whatsoever.

3. I affirm and certify under oath that:

 (a) I had freely, voluntarily and knowingly entered into a valid and legitimate project or fixed-
term service arrangement with the Company with full knowledge of its nature and
consequences.

(b) I recognize and accept the expiration of my engagement with the Company effective on
__________.

(c) I have read and understood the contents of this Receipt, Release and Quitclaim with
complete knowledge and understanding of its legal consequences.

(d) I have freely and voluntarily executed this Receipt, Release and Quitclaim with no force,
influence, intimation or threat being brought to bear upon me.
