BOARD OF TRUSTEES AND THEIR TERMS AND CONDITIONS AND DUTIES AND RESPONSIBILITIES: a The Board of Trustees shall consists ELEVEN Trustees out of which four are Ex-officio Trustees, namely, Immediate Past President, Present President and Present Secretary and President Elect of Rotary Club of Puttur (East), Puttur D.K. and remaining Seven Trustees are elected from the members of Rotary Club of Puttur East, Puttur, D.K. b. Among the trustees, they shall appoint PRESIDENT, SECRETARY and TRESURER who holds office for a period not less than Four years and out of the Trustees herein i.e, No.2 to 7, after lapse of 4 years, 2 trustees who are selected by taking lot by President and other members, shall retire and 2 trustees out of remaining retired ‘trustees shall retire after 6 years from today and remaining trustees shall retire after 8 years from today. The vacancy so created shall be filled up, out of which one shall be appointed by trustees of this trust and another shall be appointed by General Body of Rotary Club Puttur East from the members of Rotary club of Puttur East. A Trustee may resign from the Board of Trustees by addressing a letter to the President of the Board of Trustees and the resignation shall take effect from the date of receipt of the resignation by the President. g. A Trustee who fails to attend without previous permission for three consecutive meetings of the Board of Trustees or all the meetings of the Board of Trustees held during a continuous period of SIX months, whichever is longer, shall cease to be a trustee, and by passing a resolution to that effect at the meeting of the Board of Trustees. h. If any meeting is adjourned for want of quorum it will be adjourned to the same day, at the same time and at the same place in the succeeding week. The Accounts of the trust shall be maintained regularly by the Treasurer and every year accounts shall be closed by 31" March. The accounts shall be duly audited by a qualified Chartered Accountant appointed by the Board of Trustees within three months from end of the Accounting Year. 11. OVERRIDING EFFECT: It is considered that the objects of the Trust will be better achieved if the income of the Trust is exempted under the Income Tax Act. In case, however a particular clause or clauses of this Trust Deed hes been inadvertently clothed in a language capable of interpretation in conflict with the provisions of the Income Tax Act for granting exemption, it is hereby agreed that such clause will have restricted meanings so that the relevant provisions of Income Tax Act shall always have the overriding effect, 15. AMENDMENT CLAUSE: No amendments to the Trust Deed shall be made which may prove to be repugnant tothe provisions of section 2(5, 11, 12 & 13 and 80G of the Income Tax Act, 1961 as amended from time to time. Further, no rreendment shall be carried out without the prior approval of the Director of Income Tax/Commissioner of Income Tax. 16. DISSOLUTION CLAUSE: In the event of dissolution or winding up of the Trust the assets remaining as on the date of dissolution shall under no circumstance be distributed among the Trustees, but the same shall be transferred to nother charitable trust whose objects are similar to those of this trust and wiich enjoys registration under section 12 or recognition under section 80G of the Income Tax Act, 1961, as amended from time to time. 17, MISCELLANEOUS: 1.
