Dear Mr. Kovvy Lakkdawn,

This legal opinion seeks to answer your question as to whether or not you
are criminally or civilly liable by the contract entered into with McCovyhd
Naquarantino based on the facts as presented.

Facts

The following are the pertinent facts as discussed;

McCovyhd Naquarantino, signed a two contract to play exclusively for ECQ


as a basketball star. However, before the basketball season could open,
MECQ (Maasikasong E-Commerce Queen) offered McCovyhd
Naquarantino a more attractive pay plus fringe benefits. He accepted the
offer and transferred to MECQ.

ECQ sued McCovyhd Naquarantino and Maasikasong E-Commerce Queen


for breach of contract. Defendants claim that the restriction to play for Pure
Love alone is void, hence, unenforceable, as it constitutes an undue
interference with the right to enter into contracts and the impairment of his
freedom to play and enjoy basketball.
Issue

1. Whether or not MECQ (Maasikasong E-Commerce Queen) contract with


McCovyhd Naquarantino is valid.

2. Whether or not MECQ (Maasikasong E-Commerce Queen) is liable for


breach of contract.

Applicable Law

The Civil Code of the Philippines provides for the following;

Article 1305. A contract is a meeting of minds between two persons whereby

one binds himself, with respect to the other, to give something or to render

some service.

(1) Consent of the contracting parties;
(2) Object certain which is the subject matter of the contract;
(3) Cause of the obligation which is established.

Analysis and Conclusion:

Applying the foregoing, we believe that there is not enough legal basis for
Energy Citrus Quencher (ECQ) to seek for the legal action and that the
contract entered into with Mr McCovyhd Naquarantino is valid and free of
and legal defect.

the facts you have narrated and our appreciation of the same. The opinion
