The Memorandum of Association

It is a document containing the fundamental rules regarding the


constitution and activities of the company

It is the charter of the company defines its raison deter.

It lays down the area of operation of the company.

It also regulates the External Affairs of the company

The name clause

The register office clause

The object clause

The capital clause

The liability clause

The association clause


Article of Association

It contains regulations regarding all matter concerning the internal affairs


of the company.

It should be printed divided into paragraphs and serially numbered.

Alteration is done by passing a special resolution.


Consent of Proposed directors

Everyone nominated as a director must give their written consent by


signing and stating that they accept to function as directors and agree to
purchase and pay for qualification of Shares.
Statutory Declaration

It is a declaration stating that all the legal requirements about registration


have been complied with is to tb submitted to the registrar.
Payment of fees

Along with the above mentioned documents necessary fees have to be paid
for the registration of the company.
