PLN Nusantara Power Unit Pelaksana Pembangkiten Tarahen having a registered office at JI, Lintas Sumater KM. 15 Tarahan Lampung Selatan (hereinafter refer as the “Beneficary”) to make a payment of maximum amount up to Rp 268.157.533,00 (two hundred sixty eight million cone hundred fy seven thousand five hundred thirty three Rupiah) if in the opinion of Beneficiary the Principal has failed to fulfill its obligations in sccordance with the condition stated in the Perjanjian No. _0002.P/DAN.01.02/822070000/2021 dated March 19,2021, Amandemen Pertama No. 0013.Amd/DAN.01,02/¢22070000/2022 dated April 13,2022," “Amandemen—-Kedua No. _0074.Ama/DAN.61.02D22070000/2022 dated August 18, 2022, Amandemen Ketiga No. O117.Amd/DAN.01.02/F22070000/2022 dated November 18, 2022 and Surat Pemberitahuan Kebijakan Pengelolaan Perjanjian Barang/Jasa Setelh Legal End State Holding Subholding PLN Group No. ZKOOO1612 dated January 5, 2023 for Pengadaan Jasa Retubing dan Bongkar Pasang Nozzle including but not limited to the Principal failure to maintain the validity period of this Bank Guarantee in accordance with the Contract and/or request of the Beneficiary, This Bank Guarantee is issued with the following provisions 1. This Bank Guarantee shall be effective on and as of the date of March 26, 2021 until May 23, 2024 2 ‘The payment of Bank Guarantee shall be made without require Principal approval upon our receipt of Beneficiary’s first written demand stating that the Principal has failed to fulfil its obligation under the ‘Contract and the amount tobe paid to Beneficiary by attaching of the original of this Bank Guarantee 3. The deadline for submission and receipt of any claim on this Bank Guarantee by Beneficiary to the Bank shall be made in writing, not later than 30 (thirty) calendar days from the date of maturity of this Bank Guarantee, provided that if the date falls ‘on a holiday or a day on which banking institutions are permitted to be closed, then the submission shall bbe made no later than one working day thereafter. 4. Lintas Sumatera KM. 15 Tarahan Lampung Selatan (untuk selanjutnya disebut sebagai “Penerima Jaminan”), untuk membayar sejumlah vang sebesar Rp.268.157.533,00 (dua ratus enam puluh delapan jutaseratus Tima puluh tujuh ribu lima ratus tiga pul tiga Rupiah), apabila—Tegjamin-melakukan, wanprestasi daniataugagal untuk memenuhi kewajibannya —sebagsimana_—dinyatakan dalam Perjanjian No. 0002,P/DAN.01,02/822070000/2021 tanggal 19 Maret 2021, Amandemen Pertama No. 0013 Amd/DAN.01.02/C22070000/2022 tanggal 13 April 2022, “Amandemen—Kedua No. 0074. Amd/DAN 01.02/D22070000/2022 tanggal 18 Agustus 2022, Amandemen Ketiga No, (0117. Ama/DAN 01.02/F22070000/2022 ‘anggal 18 November 2022 dan Surat Pemberitahuan Kebi Pengelolaan Perjanjian Barang/lasa. Setelah Legal End State Holding Subholding PLN Group No. ZKO001612, tanggal 05 Januari 2023 untuk Pengadaan Jasa Retubing dan Bongkar Pasang Nozzle termasuk namun tidak terbatas pada kegagalan Terjamin untuk memelinara masa berlaku Bank Garansi ini sesuai Kontrak danfatau permintaan Penerima Jaminan Bank Garansi ini dikeuarkan dengan ketenusn-ketentuan sebagai berikut 1. Bank Garansi isi berlaku fei? sejak anguat 26 Maret 2021 dan akan berakhir pads tanggal 23 Mei 2008, 2. Pembayaran atas Bank Garansi ini dilakukan tanpa perlu mendapat persetujuan Terjamin setelah adanya Surat permintaan pencairan Bank Garansi dari Penerima Jaminan kepada Bank yang menyatakan bahwa Terjamin wanprestas/gagal_memenubi ‘ewajibannya berdasarkan Kontrak dan jumlah yang hharus dibayarkan kepada Penerima Jaminan beserta asi Bank Garansi ini 3. Baas wakts_pengajuan dan penerimaan usuan penagihan/klaim atas Bank Garansi ini adalah selambatambatnya 30 (Giga puluh) hari klender sejk tanggal jtuh tempo Bank Garansi ini, dengan ketentuan apabila tangsal trsebut jatuh pada hari Nibur atau di lar hari kerja Bank, maka pengsjuan dilakkan selambat-lambatnya pada satu hari kerja Bank stelshaya 4. Bank akan membayar kepada Penerima Jaminan untuk jumlah tersebut di tas selambet-lambataya 15 (lima belas) hari kalender setelah diterimanya surat Permintaan pencairan Bank Garansi dan asli Bank Garansi dari Penerima Jaminan kepada Bank 5. The payment of Bank Guarantee claims/demands is absolute and unconditional even though there is @ ‘demand, request or objection from the Principal or any other party whatsoever 7. The payment of Bank Guarantee claims/demands will be made to the account designsted by the Beneficiary, free and clear of, without any reduction for any reason, either present oc future, of all taxes, levies, fees or withholdings whatsoever, imposed or collected with respect thereto, 8. This Bank Guarantee is non-transferable and/or ean not be pledged to another party. 9. This Bank Guarantee can't be amended, modified or supplement unless such amendment, modification or supplemented has been approved by Beneficiary in written or as expressly required by Beneficiary to Applicant 10, ‘This Bank Guarantee shall be govemed by and ‘construed in accordance with laws and regulations applicable in Indonesia, 11. For the purpose ofthis Bank Guarantee issuance and any consequences thereof, Bank chooses the Court of Kantor Panitera Pengadilan Negeri (Office of the Registrar of the State Court) in Serang as general and permanent domicile 12, This Benk Guarantee has been executed in both Bahasa Indonesia and English. The two versions of this Bank Guarantee shall not be construed. as separate documents and, when taken together, shall constitute one and the same instrument.
