This Nondisclosure Agreement (the “Agreement”) is entered into by and between “UMW Tech
Solutions Private Limited” with its principal offices at B WING, 5TH FLOOR, BUILDING NO.42, Unit
No. 501, Dhanashree Heights, Azad Nagar, Off Veera Desai Road, Andheri (West), Mumbai - 400 053
(India), (referred hereas “Live101“) located at Mumbai for the purpose of preventing the unauthorized
disclosure of Confidential Information as defined below. The parties agree to enter into a confidential
relationship with respect to the disclosure of certain proprietary and confidential information
(“Confidential Information”).

A Non-Disclosure Agreement (NDA) is between the Company and Its employees, artists, clients, or
other business associates, would prohibit the employees from sharing confidential information related
to the platform's operations, artists, and clients with any unauthorized parties. This information may
include artist fees, performance details, contact information, business plans, financial data, and any
other information that the company wishes to keep private.

The NDA would cover all information as confidential, the obligations of the employees to keep that
information confidential, and the consequences for any breaches of the agreement. The employees
would be prohibited from sharing any confidential information with anyone outside of the company,
unless specifically authorized by the company.

Any breach in the agreement will be deal with adequate legal action and penalty as per the case and
ten times of the loss incurred by the company.

This Agreement and each party’s obligations shall be binding on the representatives, assigns and
successors of such parties. Each party has signed this Agreement through its authorized
representative.
