Agreement: clearing the ground ‘To say that contract is based upon the agreement of the parties may be a trite state- ment but it is also statement which begs a number of questions. Two of these ques- tions will be dealt with in this chapter. The first is: who decides whether or not the parties have indeed reached agreement? Is it the parties or is it the courts? The sec- ‘ond question is: how is it decided whether or not the parties have actually reached agreement? I) Who decides that an agreement has been reached? When discussing the standard which is adopted in deciding whether or not a con- tract has been concluded, a useful starting point, which is quoted in most of the reference works on the law of contract, is the judgment of Blackburn j in Smith » Hughes (1871) LR 6 QB 597. He said: If, whatever a man’s real intention may be, he so conducts himself that a reasonable man. ‘would believe that he was assenting to the terms proposed by the other party, and that other party upon that belief enters into the contract with him, the man thus conducting himself would be equally bound as if he had intended to agree to the other party's terms. ‘More recently, the same point was made by Lord Clarke in giving the judgment of the Supreme Court in RTS Flexible Systems Ltd v Molkerei Alois Milller GmbH & Co (UK Production) [2010] UKSC 14; [2010] 1 WLR 753, [45] when he stated: Whether there is a binding contract between the parties and, if so, upon what terms depends upon what they have agreed. It depends not upon their subjective state of mind, ‘but upon a consideration of what was communicated between them by words or conduct, and whether that leads objectively to a conclusion that they intended to create legal rela- tions and had agreed upon all the terms which they regarded or the law requires as essen- tial for the formation of legally binding relations. ‘These statements establish the important point that the test for the existence and the scope of an agreement is objective rather than subjective. A subjective test attempts to ascertain the actual intention of the contracting parties, whereas an objective test examines what the parties said and did and not what they actually intended to say or do (see Section 23). The commercial justification for the adoption of an objective test is that great uncertainty would be caused if a person who appeared to have agreed to certain terms could escape liability by claiming that he had no ‘real’ inten- tion to agree to them. ‘A good example of the application of the objective testis provided by Centrovincial Estates ple v Merchant Investors Assurance Co Ltd [1983] Com LR 158. The claimants let premises to the defendants at a yearly rent of £68,320, subject to review from 25 December 1982. The parties were obliged by their contract to endeavour to reach agreement before 25 December 1982 on the then current market rental value of the property and to certify the amount of the current market rental value. CENTRAL ISSUES 1, When deciding whether or not parties, have in fact reached agreement the law could either seek to examine the sub- jective intentions of the parties or it could have regard to their intention, objectively ascertained. 2. English law has chosen to adopt an objective approach. The reasons for this choice will be examined in this chapter, together with the different forms that the objective test can take. ‘It will be suggested that the approach adopted by the judges is to attempt to put themselves in the position of a reasonable person in the position of the parties (principally, but not ex- lusively, the promisee of the disputed promise), The judges do not adopt the perspective of the reasonable detached observer. Finally the chapter concludes by con- sidering whether or not the law adopts a subjective approach in the case where one party attempts to ‘snap up’ an offer which he knew that the offeror did not intend and in the case where one party ‘was at fault in failing to notice that the other party’ offer contained a mistake, or he was himself responsible for indu- cing that mistake in the other party. The conclusion that will be reached is that it is not necessary to resort to a subjective approach in order to explain these cases, and that they can be analysed in terms consistent with the objective test that is ‘generally applied by the courts. 2.1 INTRODUCTION A party who wishes to establish that a legally binding contract has been formed between himself and another party must prove a number of matters. The first is that the parties have reached agreement. This is usually done by demonstrating that one party has made an offer that the other has accepted. The rules relating to offer and acceptance are discussed in Chapter 3. Secondly, the agreement must be expressed in a form that is sufficiently certain for the court tobe able to enforce.
