COMMISSION AGREEMENT

PARTIES

- This Commission Agreement is entered on April 30, 2021 by and between STRUCTEX BUILDERS
INC., a duly registered business entity with its address at Purok 6 address Bgy Pandan, Daraga, Albay
referred to as the “Principal” and BICOL MINING AND TRADING with its representative JULIE G.
TEJIDO with its address at 88 Lapu Lapu street, New Buncag, Puerto Princesa City hereinafter referred
to as the “Negotiator”.
- Both parties hereby acknowledge and certain terms are drafted and agreed upon with a registered buyer of
river sand/aggregates POLY RESOURCES PTE LTE located at # 7 Jalan Kilang #03-01 Singapore
referred to as the "Client".

AGREEMENT

- The parties hereby agree that the Principal authorizes the Negotiator to transact, negotiate the sale of
Aggregates, river sand with its source located in Albay Province to the Client with the corresponding
incentives and rightful commissions.

THE SALE

- The Parties agree that the price of the product/aggregates shall be determined by the Principal and the
Buyer upon Letter of Intent has been executed which will be made by the mentioned parties; and that the
Principal shall obtain and provide ample amount of physical samples of river sand for the clients/buyer
testing purposes and other related requirements relative to the qualitative and quantitative analysis which
will be determined by the Client's preferred testing institution. Likewise the Principal agrees to give the
necessary commissions to the mentioned Negotiator upon the commencement of the project as stipulated
in the contract entered between STRUCTEX BUILDERS INC and POLY RESOURCES PTE LTE.

TERM

- This agreement shall be valid and effective on the date after the signed contract has been made and
executed between the Principal and the Client and that the same agreement shall last until the Client has
fulfilled, consummated and or terminates its contract agreement with the Principal.
- In the event of a contract renewal after which the first transaction/contract agreement has been fulfilled,
the Negotiator still has the right to all the commissions as provided by the commission agreement signed
by both parties.
- The term of this Agreement may be extended and amended upon the provision of written consent from
both the Principal and the Negotiator.
- In the event that the client, and at his own expense, utilizes, donates, additional equipment, machineries
and any tangible materials specifically to speed up and to augment the operations, such assets that is
under the name and or provided by the Client, POLY RESOURCES PTE LTE shall be properly
inventoried after the termination of the contract. Likewise in the event that the Client decides to donate
the said equipment and properties after which the project/contract has been finished, the Negotiator and
the STRUCTEX BUILDERS INC shall have both the rights to possess, own and disposal. Ownership,

sale and/ or rentals and disposal of any of the mentioned properties shall be jointly decided by both the
Negotiator and the STRUCTEX BUILDERS INC. The enclosed provision with regards to the
additional equipment to be provided by the client as mentioned, will not in any way affect the
commission agreement if no such event/transaction would transpire.

COMMISSION EARNINGS

- The Principal hereby agrees that the Negotiator is entitled to a commission of not less than Php50.00 net
per metric ton of river sand/aggregates. Billings and payments are to be made by the Principal to the
Client. Payment of necessary commissions/incentives shall be directly remitted by the Principal to the
Negotiator and it shall be settled immediately after each shipment of the Panamax ship left from its
loading port in Albay. Per voyage shipment of the Panamax shall be determined as indicated in the
contract agreement entered between the Principal and the Client. Likewise, all payments of commissions
to be made by the Principal to the Negotiator shall be deposited to a bank account to be provided by the
Negotiator/s and or shall be in a form of cash or managers check, whichever is practicable.

RELATIONSHIP OF THE PARTIES

- The Principal hereby agrees that the authorized Negotiator has the exclusive rights to transact and
negotiate the sale of river sand to POLY RESOURCES PTE LTE.
- Any transactions that may arise during the course of negotiation and or actual operations apart from
supplying river sand/ aggregates shall be all under the Negotiators account and that the Principal agrees
and will not in any way transact directly with the Client without informing the Negotiator.

CONFIDENTIALITY

- All the terms and conditions set forth in this Agreement and any materials provided during the term of the
Agreement must be kept confidential, unless the disclosure is required pursuant to the process of the law.
- Disclosing and using this information for any purpose beyond the scope of this Agreement, or beyond the
exemptions set forth above, is expressly forbidden without the prior consent of the Negotiator.
- This section will remain in full force even after the termination of this Agreement for a period of 1 year.

TERMINATION

- This agreement may be terminated in the event any of the following occurs:
1. Immediately, in the event one of the parties breaches this Agreement.
2. At any given time by providing written notice to the other party 30 days prior to terminating the
agreement provided that valid and legal ground shall be the bases to proceed thereof.

REPRESENTATION AND WARRANTIES

- The Parties agree and disclose that they are fully authorized and understand to enter in this Agreement.
The performance and obligations of any of the Parties involved may not violate the rights of any third
party or violate any other agreement made between them and/or any other organization, person, business
or law/governmental regulations.

SEVERABILITY

- In the event that any provision of this Agreement is found to be void and unenforceable by a court of
competent jurisdiction, then the remaining provisions will remain in full force in accordance with the
Parties’ intention.

GOVERNING LAW

- This Agreement shall be governed by and construed in accordance with the laws of the Republic of the
Philippines.

ALTERNATIVE DISPUTE RESOLUTION

- Any dispute of difference whatsoever arising out of, or in connection with, this Agreement shall be
submitted to arbitration in accordance and subject to the laws of the Republic of the Philippines.

AMENDMENTS

- The Parties agree that any amendments made to this Agreement must be in writing, where they must be
signed by both Parties.
- As such, any amendment made by the Parties shall be in construed and will be applied to the provisions
in this agreement.

ASSIGNMENT

- The Parties hereby agree not to assign any of the responsibilities in this agreement to a third party, unless
such is consented by both Parties in writing.

ENTIRE AGREEMENT

- This agreement contains the entire agreement and understanding among the Parties hereto with respect to
the subject matter hereof, and supersedes all prior agreements, understanding, inducements and
conditions, express or implied, oral or written, of any nature whatsoever. The express terms hereof control
and supersede any course of performance and/or usage of the trade inconsistent with any of the terms
provided by this agreement.
