WHEREAS the LICENSOR is the absolute owner of the Independent Unit bearing Number-TVG/133, located in he multi storey complex known as “The Vilas” constructed on land, admeasuring 13.01 Acres or thereabout situated in theh revenue estate of village Sarhaul, Sector-25, Gurugram, Haryana, having a Super Area of 6602. AND WHEREAS on the approach of the LICENSEE, the LICENSOR has agreed to-let out and the LICENSEE has agreed to take on license the “Demised Premises” Now Therefore It Is Agreed Between The Parties hereto as follows: 1. (a) That this LEAVE & LICENSE AGREEMENT shall be for a period of Thirty Six (86)Months commencing from 01.6.2023 and expiring on 31.5.2026 with a lock in period for 22. (Twenty Two) months. Every year, there will be Five (5) % rent escalation after every 12 months. The LEAVE & LICENSE AGREEMENT shall cease to exist by the efflux of time. In the event LICENSEE terminates the LEAVE & LICENSE AGREEMENT before the expiry of the lock in period then the LICENSOR will be Hable to recover LICENSEE Fee for the remaining months of Lock in period by forfeiting Security Deposit and if Security Deposit is not enough to cover remaining months of LICENSEE Fee, in that case LICENSEE should pay to cover the gap between remaining balance of LICENSEE Fee. ao Page 2 of 9 Ne Reg. To clarify, if the LICENSOR terminates the Agreement at the end of eighteen (18) months, LICENSOR will pay six(6) months LICENSEE fee, along with Security Deposit to LICENSEE at the time of vacation. The LICENSOR and LICENCEE can terminate the LEAVE & LICENSE AGREEMENT by giving a minimum of Two (02) months of advance written notice to the other Party after the lock -in period of 22 months. ‘The LICENSOR shall be entitled to terminate this agreement, notwithstanding LICENCEE period in the event that the assurance and representations of the LICENCEE are found to be false, incorrect and or/ event untrue after giving 60 day notice to LICENCEE. (a) That the LICENSEE has agreed to pay to the LICENSOR a sum of Rs.2,60,000/- (Rupees Two Lacs sixty thousand only)on account of License Fee. Tax will be deducted at source as per applicable laws. The LICENSEE Fee shall increase by 5% from the last LICENSEE Fee after the expiry of 12 months starting from 1.06.2023. (b) The LICENSEE shall pay directly common maintenance & security charges payable to MGF, The Villas or any maintenance & security agency appointed by them. (¢) The LICENSEE shall hand over peaceful, vacant possession of the Demised Premises at the expiry of this LEAVE & LICENSE Agreement and the LICENSOR will refund the Security Deposit at the same time of handover of the keys. The nail marks on walls will be filled with white putty tf The LICENSEE does hereby covenant and agrees with the LICENSOR to pay monthly License Fee through bank online transfer between 1* to 5% of every Page 3 of 9 month, subject to applicable provisions relating to deduction of tax at source under the Income Tax Act and issuing certificate of that deduction at the end of the respective financial year. The delay in payment on account of delay in license fee shall attract a penalty of 24% pa. If the monthly advance payment realization of License Fee is delayed beyond 15 days from the due date, the LICENSOR shall have the right to cancel the LEAVE & LICENSE and the LICENSEE will return peaceful and vacant possession of the demised premises in 60 days. ‘That the LICENSEE shall pay a sum of Rs. 7,80,000.00 (Indian Rupees seven lacs eighty thousand only), as interest free security deposit, which would be returned to the LICENSEE by the LICENSOR after deducting outstanding claims, if any, at the time of termination of the LEAVE & LICENSE and handing over of actual physical possession of the demised premises by the LICENSOR to the LICENSEE. That in respect of charges such as electricity, water, Gas etc. for which the bills have not been received at the time of vacating the Demised Premises, the LICENSOR will hold only a part of the Security Deposit equivalent to last billed charges and refund the balance security deposit by way of demand draft to the LICENSEE at the time of termination of the LEAVE & LICENSE and its handing over of actual physical possession of the premises. The amount held out of the Security Deposit will be refunded to the LICENSEE on the payment of respective charges for the period for which the premises were occupied by the LICENSEE. In case of delay in payment of security deposit, LICENSOR shall be liable to pay @ penalty of Rs.5,000/- per day in addition to Security Deposit payable, LICENCEE will not be liable to pay any License fee beyond the period / early termination of this Agreement on account of delay in vacation due to delayed payment of Security Deposit. ‘That the LICENSOR shall pay house tax and ground License Fee and any other Payments and taxes to the local authorities and municipal tax pertaining to the Demised Premises. Page 4 of 9 os Na 10. 11. ‘That the Licensee shall pay the common maintenance and security charges along with electricity, water, gas, telephone and other charges for the entire duration of their occupation of the villa directly to MGF/ The Vilas Condominium association or any maintenance and security agency appointed by them. That the Demised Premises has separate and dedicated clectric meters for normal & alternate power supply (to be used in case of power cuts) with a sanctioned load of 20 KW for and that the LICENSEE shall pay to the concerned authorities amount billed for normal & alternate power as per the meter readings recorded on meters on a timely basis for the duration the LEAVE & LICENSE is in force. The LICENSEE will hand over the original bills duly receipted after Payment, to the LICENSOR every month and keep a photocopy for its records, That the Demised Premises shall be used exclusively for the residential purposes of Mr. Vikas Gupta and his family only and no non-residential use whatsoever will be carried on from the Demised Premises. The LICENSEE shall not sublet or assign any part or whole of the demised premises. That no structural additions or alterations shall be carried out by the LICENSEE in the Demised Premises or any part thereof which are of permanent nature, without prior approval of Licensor. If any such changes are found, the LICENSOR shall have the right to terminate the LEAVE & LICENSEAGREEMENT with 60 days notice and the LICENSEE shall vacate the demised premises. ‘That the LICENCE, at the time of initial occupation, has checked to its satisfaction that all the sanitary, electrical and other fittings and fixtures are in good working order and that nothing is broken or missing. However, the LICENSOR shall rectify any defect, if brought to his knowledge within 30 days that ie 30.06.2023.Any structural repairs(including structure, seepage, doors, windows, cabinets, flooring, curtain pelmets, inherent electrical and plumbing systems, lift etc.) shall be responsibility of the LICENSOR. ‘The Li these things fixed within 15 days, failing which Licensee will ensor will them fixed and adjust the cost from the Licensee fees. ee Page 5 of 9 12. 13. 14, 15. 16. Any other damages related to normal maintenance or upkeep of electrical, sanitary, fixtures and fittings will be paid by LICENSEE. That the LICENSEE shall permit the LICENSOR or their authorized representatives, to enter the Demised Premises to inspect and to carry out any repairs at reasonable time as and when necessary, with prior appointment. ‘That two (2) months prior to the expiry of the LEAVE & LICENSE Agreement, the LICENSEE accepts that the LICENSOR will show the Deemed Premises to new prospective tenants during two (2) months months before the expiry of Leave and License Agreement after informing the LICENSEE and at a mutually convenient time. ‘That the LICENSEE accepts that if it does not vacate the deemed premises after the expiry of the LEAVE & LICENSE period of 36 (Thirty Six) months as referred to hereinabove, the LICENSEE shall be liable to pay damages at the rate of Rs.5,000/- (Rupees Five Thousand) per day in addition to the License Fee, subject to a maximum period of 90 days. That all rules, regulations, laws and bye-laws of the local Municipal Corporation (MC) and any other local authority having jurisdiction over the Demised Premises shall be complied with by the LICENSEE. In case any penalty is levied for misuse of the premises etc. that the LICENSEE shall be responsible for the same and will be liable to pay the same to the MC & other local authorities or reimburse the same to the LICENSOR. The LICENSOR will have the right to terminate the LEAVE & LICENSE AGREEMENT, in case of any such eventuality, and the LICENSEE shall vacate the demised premises within 60 days. That all rules, regulations, laws and bye-laws of local Municipal Corporation (MC) and any other local authority having jurisdiction over the Demised Premises shall be complied with by the LICENSOR also. AND it is hereby further expressly agreed and declared that in case of any misuse of the premises for any other purpose than residential use then the LICENSOR would have the right to terminate the LEAVE & LICENSEAGREEMENT and the LICENSEE shall vacate the demised premises within 60 days. ‘That If during the License period, LICENSOR proposes to sell, assign, gift or otherwise transfer its right in the Demised Premises or create any encumbrance in respect of the Demised Premises in favor of any person including a company (hereinafter called the “Proposed LICENSOR”), LICENSOR shall forthwith give 60 (Sixty) days prior written notice thereof to LICENSEE. Upon receipt of such notice, LICENSEE shall have the option to (i) terminate this LEAVE and LICENSE AGREEMENT or (ii) attorn to the Proposed LICENSOR. In case LICENSEE opts to attorn, LICENSOR shall ensure that the Proposed LICENSOR enters into a LEAVE & LICENSE AGREEMENT with LICENSEE on the same terms and conditions. Notwithstanding any such attornment, the LICENSOR will guarantee the repayment of the security deposit to the LICENSEE in the event of Proposed LICENSOR failing to refund the security deposit as provided for herein.” Further, if the LICENSOR proposes to create any third party right in the demised premises as aforementioned, during the Lock in period, in that event if the Licensee exercises his option to terminate this LEAVE and LICENSE AGREEMENT, he shall be entitled to be compensated with an amount, not exceeding the License fee payable under this agreement to the Licensor, for entire lock in period. ‘The Leave and License agreement may be extended/renewed by Licensor after the expiry of the license /agreement period. ‘That the LICENSOR represent and warrant that he/she is the legal owner of the Demised Premises and is authorized and able to make this LEAVE & LICENSE Agreement and that LICENSOR will hold the LICENSEE free and harmless of any demands, encumbrances, claims, actions or proceedings by others in respect of quiet possession of the Demised Premises and the LICENSOR further represent that he will ensure to the LICENSEE a peaceful and uninterrupted use and 21. 22. 24, 25. 26. enjoyment of the Demised Premises during the entire term of the LEAVE & LICENSE Agreement. In case of Force Majeure none of the Parties will be liable or responsible for non- fulfillment of its obligation under the present Leave & License Agreement. If the force majeure event is continued for a period of six months then both the parties may mutually decide the future course of action. It is stated that during the happening of force majeure event the LICENSEE shall be liable to pay LICENSE FEE unless he has lost the possession of the premises during the said event. ‘The Force Majeure event shall include Fire (not caused due to negligence of the LICENCEE or any of his family members), act of God, riots, Act of terrorism, war and civil commotion only. Shall be responsible for failure or omission to fulfill, observe or carry out any of the terms, provisions, or conditions of this Leave & License Agreement, The Licensor shall indemnify and keep indemnified the Licensee during the period of this Agreement from and against all actions, suits, proceedings, costs, charges, expenses and other liabilities brought against, suffered or incurred by the Licensee by reason of any breach, non performance or non observance by the Licensor or on account of its disputes and/or differences with the Licensor or any person related thereto, howsoever in respect of the said premises. ‘That in case of any dispute concerning this LEAVE & LICENSE Agreement, the jurisdictional courts will be the relevant courts at Gurugram and the provisions of this LEAVE & LICENSE Agreement shall be governed in accordance with the laws of India. ‘The LEAVE & LICENSE AGREEMENT signed today shall be got Registered on or before 25.05.2023. The entire cost shall be shared by and between LICENSOR and LICENSEE equally. ‘The original copy of this LEAVE @ LICENSE AGREEMENT will be kept with the LICENSOR, and a certified / photo copy will be provided to the LICENSEE.
