ARTICLE I
PURPOSE AND OBJECTIVES
Purpose and Purpose the conclusion of this work contract agreement is: that the FIRST PARTY appoints
the SECOND PARTY as a Contractor to carry out the Work Liberation Land , Displacement Solid Dozer and
Land Clearing and Special Industrial Area Development Project located at location Jembrana Bali
Province , and furthermore the SECOND PARTY as appointed by the FIRST PARTY stated that they are
willing and able to work Liberation Land , Displacement Solid Dozer and Land Clearing and Special
Industrial Area Development Project located at location Jembrana Province of Bali according to the rules
determined and agreed upon by THE PARTIES.

SECTION 2
BASIS OF AGREEMENT
As base agreement this agreement are:
Letter of Interest and Letter of Commitment from the SECOND PARTY to the FIRST PARTY to become a
Work Contractor Liberation Land , Displacement Solid Dozer and Land Clearing and Special Industrial
Area Development Project located at location Jembrana Bali Province As following :
1. Asset Legality Data and Work Permits Liberation Land , Displacement Solid Dozer and Land
Clearing and Special Industrial Area Development Project located at location Jembrana Bali
Province owned by the FIRST PARTY
2. Location Profession Liberation Land , Displacement Solid Dozer and Land Clearing and Special
Industrial Area Development Project located at location Jembrana Bali Province designated by
the FIRST PARTY.
3. That the SECOND PARTY has experience in carrying out landfilling and land clearing work
4. That the SECOND PARTY owns and/or has the support of Heavy Equipment and Fleet and has the
capability sufficient financially . _

ARTICLE 3
TERMS AND CONDITIONS
FIRST PARTY appoints to the SECOND PARTY to carry out the Work Liberation Land , Displacement Solid
Dozer and Land Clearing and Special Industrial Area Development Project located at location Jembrana
Province Bali .according The terms and conditions agreed upon by the PARTIES are as follows:
1. The work carried out by the SECOND PARTY must comply with the RKS.
2. THE SECOND PARTY must have a Team of Experts of at least 1 person in accordance with the field
of work and proven by a certificate of expertise
3. THE SECOND PARTY must have K3 and implement insurance accident work to wholepower work
4. Executors are required to use work safety equipment
5. THE SECOND PARTY is not allowed/permitted to delegate work without the knowledge and
permission of the FIRST PARTY.

6. SECOND PARTY is permitted / permitted to provide freight costs without having to permit from
the FIRST PARTY.

ARTICLE 4
TYPE OF WORK
Type Profession includes :
1. Liberation Land
2. Land clearing work
3. Profession Graduation Dozer Solid
4. design Area Plan (Renew Working Drawing Planning )
5. Industrial Estate Development

ARTICLE 5
CONTRACT VALUE

ARTICLE 6
PAYMENT AND JOB PROGRESS
THE PARTIES agree determine the Value Per Physical Progress with the Work Progress Payment system
determined at 100% of the total value of the work contract as follows:
1. STAGE 1: THE FIRST PARTY provides Payment with publish Guarantee Payment in the form of a
Bank Guarantee Referring to the article of the Civil Law 1832 or SKBDN Swift Fin MT 752 for IDR
5,000,000,000,000.00 (five trillion rupiah).

ARTICLE 7
BANK GUARANTEE ISSUANCE MECHANISM AS ADVANCE PAYMENT
1. THE PARTIES agree Issuance of BANK GUARANTEE 1832 (BG) from the FIRST PARTY by means of
the applicable Bank System
2. THE PARTIES AGREE AND The provision of funds from the FIRST PARTY to the SECOND PARTY by
means of the applicable Bank System
3. BOTH PARTIES agree give Guarantee Implementation in the form of cash equivalent Rp.
5,000,000,000.00 (five billion rupiah) to the FIRST PARTY via BNI Account 46 No. Account :

ARTICLE 8
BANK WARRANTY CONDITIONS
THE PARTIES agree determine the 1832 Bank Guarantee issued by the FIRST PARTY by means of the
applicable Bank System, as payment for dozer and land clearing work from the FIRST PARTY to the SECOND
PARTY in the following conditions: Unconditional, Irrevocable, Clear And Clean

ARTICLE 9
TERM OF BANK GUARANTEE
THE PARTIES agree to determine the maturity period of the Bank Guarantee is for 1 (one) year + 1 (one)
day

ARTICLE 10
COORDINATE BANK
In order to Issuance of BANK GUARANTEE (BG ) as an upfront payment, THE PARTIES agree to provide
their respective Coordinating Banks

ARTICLE 11
WORK IMPLEMENTATION
Implementation Profession based on stages and based on the Time Schedule agreed by the PARTIES are:
1. Maximum of 12 Calendar Months (One Year), calculated from the Commencement Work Order
(SPMK) and Site Handover Event Minutes (BASTL) issued from the FIRST PARTY to the SECOND
PARTY.
2. THE SECOND PARTY must start work with and without conditions no later than 30 ( thirty) days
after the issuance of the work order (SPMK) and location handover certificate from the FIRST
PARTY to the SECOND PARTY

ARTICLE 1 2
INVOICES
Invoice submission as payment submitted by the SECOND PARTY To the FIRST PARTY after the Work is
carried out by the SECOND PARTY and reaches progress determined / adjusted by the FIRST PARTY.

ARTICLE 13
MINUTES OF JOB HANDOVER
The work is deemed completed by the SECOND PARTY if the FIRST PARTY has received the Minutes Give
up Accept Job .

ARTICLE 14
PROJECT SUPERVISORS
FIRST PARTY appoints his representative Construction Management ( MK ) for Supervision of work carried
out by the SECOND PARTY in framework Implementation Profession Liberation Land , Displacement
Solid Dozer and Land Clearing and Special Industrial Area Development Project located at location
Jembrana Bali Province

ARTICLE 15
PROJECT IMPLEMENTATION PERIOD
Period time implementation Profession Liberation Land , Displacement Solid Dozer and Land Clearing
and Special Industrial Area Development Project located at location Jembrana Bali Province
implemented by the SECOND PARTY is determined for 12 calendar months ( one year)

ARTICLE 16
RIGHTS AND OBLIGATIONS
PARTY Rights and Obligations :
1. Entitled to receive the Work Results until 100% complete through the agreed mechanism.
2. Has the right to supervise the implementation of work carried out by the SECOND PARTY and has
the right to receive periodic work reports and minutes of work done.
3. Has the right to stop work, dismantle work results unilaterally if there is a deviation in the work
carried out by the SECOND PARTY or if the SECOND PARTY carries out the Work Liberation Land
, Displacement Solid Dozer and Land Clearing and Special Industrial Area Development Project
located at location Jembrana Province of Bali “ no in accordance project requirements and RKS.
4. Has the right to revoke / cancel this Work Contract Agreement if the SECOND PARTY transfers /
subtracts work to a THIRD PARTY / ANOTHER PARTY without the consent and permission of the
FIRST PARTY.
5. Obliged to provide the complete Development Project construction Project Location along with
Permits.
6. Obliged to transfer funds according to the progress that has been determined for payment of
work Liberation Land , Displacement Solid Dozer and Land Clearing and Special Industrial Area
Development Project located at location Jembrana North Bali Province to the SECOND PARTY . .
7. Obliged to guarantee that during the execution of the work by the SECOND PARTY the location is
safe without any interference from any Party so that the work runs as it should according to the
agreed schedule.
Rights and Obligations of the SECOND PARTY:
1. Has the right to receive complete project data and document files from the FIRST PARTY
2. Entitled to receive Bank Guarantee 1832 or funds as an advance payment and receive funds as
payment for work Liberation Land , Displacement Solid Dozer and Land Clearing and Special
Industrial Area Development Project located at location Jembrana Bali Province

3. Obliged to carry out dozer solid dumping work and Land Clearing work in accordance with the
Work Contract and SPK based on the agreed TIME SCHEDULE for the Work Liberation Land ,
Displacement Solid Dozer and Land Clearing and Special Industrial Area Development Project
located at location Jembrana Province of Bali accordingly Provision Requirements projects and
RKS.
4. Obliged to make periodic reports on the results of work to the FIRST PARTY including minutes of
work results
5. Obliged to provide an Associate Expert Team of at least 1 ( one ) person according to the sub-
sector of work, each of which is equipped with a Certificate of Expertise.
6. Obliged to complete the legality of the company
7. Obliged to provide work safety insurance (K3 ).

ARTICLE 17
DISPUTE
This agreement was made based on good faith and if in the future there is a dispute then it will first be
resolved through deliberation and consensus, but if no consensus can be reached, then it will be resolved
through the applicable legal channels, then the PARTIES agree to choose a place in court State in Central
Jakarta

ARTICLE 19
FORCE MAJEURE
If occur a Force Majeure situation is a situation that forces one to stop such as due to: natural disasters,
demonstrations, a state of emergency / a state of emergency that is continuously uncertain, resulting in
circumstances that force the implementation of work to stop, then the SECOND PARTY will make a Force
Majeure Report , if the actual situation occurs in a Force Mayeur situation, the PARTIES make a Minutes
according to the incident and then the project is temporarily suspended and if conditions have returned
to normal / stable, the project will be reviewed again whether it can be continued or not and the PARTIES
to make addendums.

ARTICLE 20
OTHER PROVISIONS
1. Provision nothing yet and / or no listed inside _ agreement cooperation this must be included then
inside _ letter agreement must separate _ agreed upon by the PARTIES above base intention ok .
2. Every additions / addendums that are in agreement this must poured return in a manner written and
signed returned by the PARTIES thereafter .
3. Agreement this made and intended for all parties listed therein _ _ letter agreement this and others
that followed addressed and agreed upon by the PARTIES. As for the switch right to the other party
doesn't listed inside _ letter agreement cooperation this no could done without agreement of the
PARTIES involved .

4. Whole content agreement cooperation its nature secret and THE PARTIES have agreed for guard
secrecy . Exception given if content from letter agreement this must opened by law .

ARTICLE 21
MAINTENANCE PERIOD
1. maintenance period for every profession determined for 3 ( three ) months , since
handover report _ accept profession signed
2. at the moment end of maintenance period the , second split party will sign handover report
_ accept the second and considered as give up accept last job . _
3. Give up accept profession conducted by the FIRST PARTY and the SECOND PARTY.

ARTICLE 22
JOB ADD LESS
1. If in then day in the implementation process construction there is profession add and work
not enough consequence change building material specifications or picture work , then
matter the will arranged in a separate addendum .
2. Every profession plus or not enough must through and from the FIRST PARTY
3. Profession plus or less through the SECOND PARTY as a result problem technical ,
should be notified to the FIRST PARTY.
4. THE FIRST PARTY has the right no approve , unpack and not replace cost if there is
profession added by the SECOND PARTY without knowledge of the FIRST PARTY

ARTICLE 2 3
CLOSING
Other matters that have not been sufficiently regulated in this agreement will be made in Addendum
which is an integral part of this agreement.
This Employment Contract Agreement is made in 2 (two) copies, signed on sufficiently stamped paper and
there are witnesses so that it is legally valid in the Republic of Indonesia and both have the same legal
force.
