DECLARATION OF COMPLIANCE WITH thingQbator STARTUP STAGE

GUIDELINES

This Declaration ("Declaration") is entered into and made effective as of the date of acceptance
into the Startup Stage of 'thingQbator' ("Program") by the undersigned startup team ("Team").
This Declaration is issued pursuant to the terms and conditions set forth by 'thingQbator'.

WHEREAS, the Team acknowledges and agrees to abide by the following guidelines as
prerequisites for participation in the Startup Stage:

1.Non-Registration and Incorporation: The Team hereby affirms that it has not registered,
incorporated, or been incubated in any jurisdiction prior to or while enrolling in the Startup
Stage.

2.Disclosure of Directorship or Shareholding Interests: The Team members, if presently

holding positions as directors or shareholders in any other company, whether presently
operational, defunct, or incubated, shall provide full disclosure of such interests, including details
of any relevant agreements. Failure to do so or if thingQbator team is made aware later through
any resources or channels, will result in immediate disqualification of the participant team from
the Program.

3.Alignment with Companies Act, Schedule 7: The Company, represented by the Team,
affirms that the goods or services it intends to provide are in accordance with one or more
articles outlined in Schedule 7 of the Companies Act.

4. Exclusivity of Funding Commitments: The Team agrees not to seek or commit to any
alternative funding sources during the cohort period. In cases of awards, prizes, or other non-
binding monetary inflows, complete and transparent disclosure is mandatory for review. Failure
to comply will lead to automatic disqualification.

5. Identity of Directors and Founders: When the startup (Private Limited) is incorporated
during the Startup Stage, the Directors and Founders of the startup shall be identical individuals.

6. Age Requirement for Directors: When the startup (Private Limited) is incorporated during
the Startup Stage, each Director of the startup will have attained the age of majority as defined
by the relevant jurisdiction, which shall be no less than 18 years.

The undersigned hereby declare, under penalty of perjury, that the foregoing statements are true
and correct to the best of their knowledge, belief, and information.

This Declaration shall be binding upon the Team, its successors, and assignees. Any deviation
from the terms and conditions set forth herein may result in the immediate termination of the
Team's participation in the Program.
