MEMORANDUM OF UNDERSTANDING / NON-DISCLOSURE

CONFIDENTIALITY PARTNERSHIP AGREEMENT

This Agreement is between

Dr Viacheslav pescador, a serving medical doctor, with address Vulytsya, Medova, 2, Kyiv,
Ukraine, 03048, Is hereby referred to as PARTY A and . Didier Calvez, hereby referred to as
PARTY B

PARTY A and PARTY B are both partners in a business transaction of the value of USD$13.4(T
hirteen million, Four hundred thousand US dollars)

The modalities involved in this business transaction require the active participation of PARTY
A and PARTY B only. PARTY A and PARTY B do, at this moment, agree by affixing signatures
to this MEMORANDUM OF UNDERSTANDING that:
1) They will maintain a non-disclosure of their business details; therefore, neither
should PARTY A nor PARTY B reveal or disclose the details/ modalities of the
funds to any third party.

2) The proceeds of this business transaction shall be delivered to PARTY B, and PARTY
B has agreed to guarantee these proceeds' safety in his/her custody.

3a) PARTY B shall be entitled to 25%($3,350,000.00 USD) (25% of the Net Value
($13,400,000.00 USD)of the total Net Value of Funds and does not require any verbal or
written approval from PARTY A to have this payment representing full payment of HIS/HER
services.

b) PARTY A shall be entitled to 65% ($8,710,000.00USD) of the total funds

transferred to PARTY B's account.

c) PARTY B, after receipt of the funds in his/her position as a business developer, will re-
invest PARTY A's share of 65%, calculated to be $8,710,000.00USD only, into real estate
business and other related businesses with a return on investment (ROI) agreed upon by both
parties to be shared on a ratio of 1:2 equaling 50% each (Both Parties) This specifics of the
sharing of the proceeds have been previously agreed to by both PARTY A and PARTY B.

4) 10% ($13,400,000.00USD) of the Total Value ($13,400,000.00USD) shall be used to

cover all expenses incurred in the process of making this transaction a success.

5) In no case shall PARTY B request of PARTY A any proportion that is greater than
that previously agreed to by both PARTY B and PARTY A

6) PARTY A and PARTY B have agreed to exercise due diligence and absolute
confidentiality in executing this agreement.

The said business transaction is free from any encumbrances such as Drugs, Money
Laundering, and Terrorism activities and is dated this day 03th day of December 2023
